公司组成的一家合资公司 均注册并位于古巴境内 Whereas CONTRACTOR has received and will receive certain CONFIDENTIAL INFORMATION as defined below for the execution of the PROJECT from CUVENPETROL and from AXENS S A UHDE GMBH LURGI GMBH CHINA PETROCHEMICAL TECHNOLOGY CO LTD hereinafter collectively referred to as LICENSORS and has signed with CUVENPETROL and LICENSORS Confidentiality Agreements in order to protect said CONFIDENTIAL INFORMATION as hereinafter defined 承包商在项目执行中已收到并将继续获得了由CUVENPETROL公司 AXENS S A 公司 UHDE GMBH公司 LURGI GMBH公司 中国石油化工科技有限公司 以下统称 授权方 提供的一些 保密信息 定义如下 为保护上述 保密信息 承包商与CUVENPETROL公司和授权方签署了保 密协议 Whereas CONTRACTOR is interested in receiving from your company hereinafter referred to as the RECEIVING PARTY quotations and possible supply of equipment materials and or engineering services and or construction labor and or consultancy services hereinafter referred to as ACTIVITIES in connection with the implementation of the PROJECT 承包商有兴趣接收贵公司 以下简称 接收方 在有关项目实施时提供的报价 可能供应的设 备 材料和 或工程服务 建筑工人 顾问服务等 以下简称 各项活动 Whereas for the purpose of permitting RECEIVING PARTY to provide quotations and possibly to perform above said ACTIVITIES it is necessary for CONTRACTOR to disclose to RECEIVING PARTY certain of the CONFIDENTIAL INFORMATION as hereinafter defined 为了接收方能够提供报价并执行上述的各项活动 承包商有必要向接收方提供一些特定的保密信 息 2 of 5 Therefore CONTRACTOR is prepared to make such disclosure to RECEIVING PARTY provided that RECEIVING PARTY hereby agrees the following 因此 只要接收方同意以下条款 承包商则愿意向接收方提供必要信息 1 CONFIDENTIAL INFORMATION shall mean but are not limited to i the contents of the ACTIVITIES documents and any information provided pursuant to this Confidentiality Undertaking or the ACTIVITIES documents ii any information and or documents relating to the PROJECT including but not limited to CONTRACTOR and LICENSORS technology or that was developed in connection therewith and iii any other information and or documents supplied to RECEIVING PARTY that is marked or is otherwise indicated to be confidential 保密信息 指的是但不限于 i 各项活动的文件内容和根据此保密承诺书提供的任何资料或各 项活动文件 ii 有关该项目的任何信息和 或文件 包括但不限于承包商和授权方的许可技术 或者说是与其有关的延伸 以及 iii 任何提供给接收方的信息和 或被标记的文件 或用他方式 进行标识的 均需保密 2 The RECEIVING PARTY shall treat the CONFIDENTIAL INFORMATION in the same manner as it treats its own confidential information and shall not without the prior written consent of the CONTRACTOR reproduce or use the CONFIDENTIAL INFORMATION for any other purpose than the PROJECT 接收方在处理保密信息时应当作对待自己内部的保密信息一样 未经承包商事先书面同意 接收 方不得复制或用于此项目以外的其他目的 3 The RECEIVING PARTY shall only disclose CONFIDENTIAL INFORMATION to those of its employees who have a need to know it for the PROJECT who have been informed of the obligations of confidence and non use under this Confidentiality Undertaking and who are bound to the RECEIVING PARTY by obligations of non use and secrecy no less stringent than those contained in this Confidentiality Undertaking RECEIVING PARTY shall be responsible for the said employees compliance with the provisions of this Confidentiality Undertaking 接收方只能向其有需要了解该项目的员工透露保密信息 其员工应被告知根据本保密承诺书有义 务保密并不做他用 或接收方保证不低于本保密承诺书所载的义务和不做他用 接收方将负责上 述雇员严格遵守本保密承诺书的规定 4 The RECEIVING PARTY will not disclose the CONFIDENTIAL INFORMATION either in whole or in part to any third party including but not limited to its Affiliates and Subcontractors without the prior written consent of the CONTRACTOR If the RECEIVING PARTY is authorized to disclose it shall be a condition of such disclosure that prior to any disclosure such third party enters into an appropriate agreement with the RECEIVING PARTY whereby the terms of the present Confidentiality Undertaking shall be respected and agreed upon by said third party 接收方事先未经承包商的书面同意 不得向任何第三方 包括但不限于其隶属机构和分包商 透 露无论是全部或部分保密信息 如果接收方被授权可以透露 在此之前 该第三方应与接收方签 订合适的协议并充分尊重本保密承诺书的条款 并同意作为本保密承诺书中所说的第三方 5 The above restrictions concerning the use and disclosure of CONFIDENTIAL INFORMATION shall not apply to any information which RECEIVING PARTY can demonstrate 以上关于使用和透露保密信息的限制不适用于接收方可以证明的以下情况 a is in the public domain i prior to receipt thereof or ii which subsequently becomes part of the public domain by publication or otherwise other than by a wrongful act of the RECEIVING PARTY or its Affiliates Subcontractors vendors employees directors officers agents advisers or representatives 已在公共领域存在 一 在收到保密承诺书前 或 ii 随后在公共领域进行出版的 而这 些公开出版并非由于接收方或者其附属机构 分包商 供应商 员工 董事 高级职员 代 理人 顾问或代表的不法行为导致的 3 of 5 b was lawfully in its possession prior to receipt thereof through no breach of any confidentiality obligation 在接受本承诺书之前 接收方已经以合法方式占有的技术资料 c was received by the RECEIVING PARTY from a third party having no obligation of confidentiality to the CONTRACTOR LICENSORS with respect thereto and 接收方从第三方获得的且没有保密限制的技术资料 而且该第三方也没有对这类技术资料向承包 商 授权方履行保密的义务 以及 d is at any time developed by RECEIVING PARTY independently from CONFIDENTIAL INFORMATION of the CONTRACTOR 是接收方根据从承包商的保密信息独自延伸开发的 It is specifically agreed that no part of the CONFIDENTIAL INFORMATION shall be deemed to be within the foregoing exceptions merely because such part is embraced by more general information in the public domain or literature or in the possession of the RECEIVING PARTY In addition no combination of features shall be deemed to be within the foregoing exceptions merely because individual features of any such combination are within one or more of such exceptions 接收方专门同意 不因由于在公共领域或文学领域包含了较多以上保密信息的任何部分的常规信 息而被视为上述的例外 此外 上述的一个或多个单独的例外情况的组合也不能被视为上述的例 外 The combination shall only be within the exceptions if the combination itself and its principle of operation are in the public domain or literature or in the possession of the RECEIVING PARTY without any secrecy obligation or restriction of use 该组合例外情况仅适用于 接收方在公共领域或文学领域没有任何保密义务或限制 去使用或占 有组合的本身以及其操作原理 In the event that any part of the CONFIDENTIAL INFORMATION falls within any of the exceptions set forth above the RECEIVING PARTY agrees that it shall neither identify nor confirm that such part of the CONFIDENTIAL INFORMATION was or is the same as that which the RECEIVING PARTY received from the CONTRACTOR 如果任何部分的保密信息属于上述例外情况时 接收方同意不识别 不证实该部分的保密信息曾 经或目前与承包商提供的信息是相同的 6 RECEIVING PARTY may disclose the following categories of such CONFIDENTIAL INFORMATION or any combination thereof 在以下情形下 接收方可以透露保密信息中的单一信息或其组合 a which the RECEIVING PARTY can prove is disclosed pursuant to and in conformity with Applicable Law or a judicial order or in connection with any legal proceedings or dispute resolution proceedings pursuant to this Confidentiality Undertaking provided that if RECEIVING PARTY is required to disclose such information it shall give prior notice to the CONTRACTOR of such required disclosure and shall use all reasonable efforts to oppose the requested disclosure as appropriate under the circumstances or to seek through a protective order or other appropriate mechanism to maintain the confidentiality of the CONFIDENTIAL INFORMATION 接收方可以证明其披露信息的行为按照现行法律规定或司法要求 与本保密承诺书相关的任 何诉讼或纠纷解决过程 如果接收方要求透露有关信息的 应当事先通知承包商 并采取一 切合理措施 保护性命令和其他合理机制去维持保密信息的保密性 4 of 5 b which the RECEIVING PARTY can prove is required to be disclosed under securities laws applicable to publicly traded companies and their subsidiaries or other requirements imposed upon such Party by Applicable Law and 接收方可以证明是须根据证券法并适用于上市公司及其附属公司的 或第三方根据现行法律 要求其透露 以及 c any information disclosed to Affiliates Subcontractors vendors employees directors officers agents advisors or representatives of the RECEIVING PARTY according to Articles 3 and 4 hereinabove 根据本文第三 第四条款规定的向附属公司 分包商 供应商 员工 董事 高级职员 代 理人 顾问或接收方的代表透露有关信息的 7 Upon CONTRACTOR s request in writing the RECEIVING PARTY agrees to return all CONFIDENTIAL INFORMATION in its possession including all documents and other materials containing relating to or based upon any CONFIDENTIAL INFORMATION whether written or otherwise fixed in any tangible form transmitted hereunder as well as any copies or parts thereof The RECEIVING PARTY may satisfy its obligation to return the CONFIDENTIAL INFORMATION by destroying all such CONFIDENTIAL INFORMATION and delivering to the CONTRACTOR a certificate signed attesting of such destruction Notwithstanding the above provision RECEIVING PARTY may retain 1 one copy of CONFIDENTIAL INFORMATION in a limited access file directory for the sole purpose of determining its compliance with the obligations under this Confidentiality representations or warranties express or implied as to the quality accuracy and or completeness of the CONFIDENTIAL INFORMATION disclosed hereunder 承包商对于已向接收方公开的保密信息的质量 准确性和 或完整性不作任何陈述或保证 明示或 暗示 9 The obligations of confidence and restriction of use of this Confidentiality Undertaking shall be effective upon the date of acceptance by RECEIVING PARTY as evidenced by the date accompanying the signature of your authorized representative below EFFECTIVE DATE They shall remain in force twenty five 25 years after the EFFECTIVE DATE 接收方对本保密承诺书的保密义务和使用限制自接收方授权代表在下面 有效日期 签署之日起 生效 自生效日期之算起二十五年内有效 10 This Confidentiality Undertaking does not obligate the Parties to enter into negotiations or any subsequent agreement 本保密承诺书并非强制性要求各缔约方进行谈判或进行任何后续协议 11 This Confidentiality Undertaking shall be binding upon and inure to the benefit of each of the Parties and its respective successors and permitted assignees This Confidentiality Undertaking constitutes the entire agreement of the Parties with respect to the disclosure of CONFIDENTIAL INFORMATION and supersedes and cancels all prior communications understandings and agreements between the Parties whether written or oral expressed or implied
