信息资源权利转让协议书信息资源权利转让协议书 为了促进优秀文化成果的传播利用 以及在网络环境下保护信息资源 即作品 的版权人的合法权益 推动中国高等教育和科学研究事业发展 经甲乙双方协 商一致 就甲方向乙方提供信息资源事宜 达成以下协议 第一条 第一条 合作内容 合作内容 1 1 甲方授权乙方 在乙方开发建设并拥有数据库版权的 数据库中 使用甲方拥有版权的信息资源 以下可简称内容 该信息资源名称 是 该信息资源既可以是固定内容 亦可以是动态发布内容 以备选标注为准 1 2 针对该信息资源 甲方授权乙方在中国对高等教育和科研机构进行有限制 性 即特定的 IP 或账密 的信息网络传播服务 1 3 甲方给乙方授权的信息资源一经实施 生效 既不可撤销 若双方发生异 议时 只针对即将履行的更新内容进行谈判 1 4 甲方给乙方所授权的信息资源是可以选择公开的信息资源 不涉密 不涉 及个人隐私 符合驻在国的相关法规和国际惯例 1 5 双方一致选定本协议授权形式为 专有许可方式 非专有许可方式 以备选标注为准 第二条 第二条 双方的权利和义务双方的权利和义务 甲方的权利和义务 甲方的权利和义务 2 1 甲方授权乙方从甲方指定的网络地址下载信息资源 或者由甲方直接给乙方 指定的邮箱 网盘 云盘 包括但不限于这些方式 投送信息资源 且甲方保 证按时按质按量履行授权责任 2 2 甲方是否向乙方提供 FTP 方式下载权限 提供 不提供 以备 选标注为准 2 3 甲方对所提供信息资源的真实性 准确性负责 保证信息资源不出现版权问 题 若在信息资源的真实性 准确性和版权问题上与第三方发生纠纷 责任由 甲方承担并负责解决 不用乙方承担连带责任 2 4 甲方负责处理与所授权内容作者的各种关系 乙方不与内容作者发生稿费支 付关系 2 5 甲方如在内容传输手段方面有任何变更 须及时通知乙方 2 6 甲方对授权行为的回报方式有选择权 即现金 现金等价的乙方产品 使用权 部分现金加乙方产品使用权 以备选标注为准 乙方的权利和义务 乙方的权利和义务 2 7 乙方对甲方所授权的信息资源内容 仅拥有在前述指定的数据库中登载 并在中国对高等教育和科研机构进行有限制性 即特定的 IP 或账密 的信息网 络传播服务之权限 并承诺不向第三方数据商转供该内容 2 8 乙方在使用甲方提供的内容时 须保证每条信息资源的作者署名正确及镜 像文件完整性 保障版权人的基本权利 2 9 乙方将所授权内容用于其他商业用途须经过甲方另行授权 乙方可出于公 司内部业务重组的需要 通过书面通知甲方或者公告通知 将本协议的权利义 务转让给与乙方有关联关系的企业 2 10 当乙方在中国以专有许可形式获得甲方的内容授权时 乙方有权自行制止 针对甲方内容的盗版侵权行为 且甲方有义务提供相应的法律援助 2 11 当甲方选择现金或部分现金回报方式时 乙方须在本协议签订之日起两周 之内向甲方指定账户支付版权使用费 元人民币 甲方收到协议价款后一 周内给乙方开据增值税发票并快递寄出 2 12 当甲方选择或部分选择乙方产品使用权作为回报方式时 须另行签订书面 协议 作为本协议的附件 第三条第三条 协议的生效变更与解除协议的生效变更与解除 3 1 本协议生效期间为 年 月 to promote the propagation and utilization of outstanding cultural achievements as well as the protection of the legitimate interests of copyright owners producing information resources i e works through internet speeding up the development of China s higher education and scientific research both Party A and Party B agree that the treaty can be signed in matters of information resources provided by Party A for Party B First Content of Cooperation 1 1 Party A authorizes Party B to copy the information resources hereinafter referred as CONTENT whose copyright is owned by Party A into database developed and owned by Party B The title of the CONTENT is They can be a fixed content which may also be dynamically publishing content the alternative marking shall prevail 1 2 Against the CONTENT Party A authorizes Party B to provide internet information appreciation services through restricted webpage or database access i e IP password to students scientists and professors within the research institutes or universities in China for the purpose of education and research 1 3 Should the authorization be effective this formal consent is irrevocable should an objection be made negotiations are restricted to the new CONTENT that has not been copied into the database developed by Party B 1 4 The CONTENT refers to information resources which are open access non confidential and or non privacy The authorization is in conformity with laws in Party A s country and based on international norms 1 5 Both agree that this agreement is in the way of exclusive license which may also be nonexclusive license The alternative marking shall prevail Second Rights and Obligations Rights and Obligations of Party A 2 1 Party A authorizes Party B to download the CONTENT from network address appointed by Party A Party A can also give Party B the CONTENT by ways including but not limited to specified E mail network or cloud disk And furthermore it is necessary for Party A to perform authorization punctually with quantity and quality guaranteed 2 2 Party A provides Party B with the right of download by means of FTP YES NO The alternative marking shall prevail 2 3 Party A takes full responsible for the authenticity and veracity of the CONTENT never with copyright problems And joint and several liability shall not stigmatize Party B once the third Party investigates and affixes Party B s the responsibilities 2 4 Party A is amenable to deal with all problems and items involving the author Party B shall not pay for the author 2 5 Party A shall dully inform Party B of any changes in respect of means by which the CONTENT is transmitted 2 6 The ways of return to Party A shall be optional cash right to utilize the Party B s products whose value is equal to that of the cash combination between and Option done only by both shall be effective Rights and Obligations of Party B 2 7 Against the CONTENT provided by Party A Party B shall be restricted to upload them to the above specified database and to provide internet information appreciation services through restricted webpage or database access i e IP password to students scientists and professors within the research institutes or universities in China for the purpose of education teaching and or learning Party B shall promise not to transfer the CONTENT to the third Party 2 8 The CONTENT shall be kept in the same format as their originals credited so that the copyright owners can be protected 2 9 To spread the CONTENT for other commercial uses Party B shall be authorized by Party A Should the need to reshape the inside operation appear Party B is permitted to transfer the rights to companies that are related to these business by way of written notice or bulletin 2 10 Should the CONTENT under this agreement is pirated or and distributed through internet unlawfully rights to curb the misdeed are reserved by Party B And Party A shall be obliged to provide Party B with relevant legal aid 2 11 If Party A s way of return is cash or combination between and Party B shall remit Party A copyright fees YUAN RMB to the specified account of the latter Party A shall provide Party B with value added tax invoice and set the invoice by way of express delivery 2 12 If Party A s way of return is or combination between and a written agreement shall be signed as an Appendix Third Effectiveness Modification
