No. 48, Zhenzhistreet Chongfu Town Tongxiang City Zhejiang / China (“Company”) WHEREASbluesign owns the technology and the necessary know-how (including but not limited to confidential technical and commercial information, data, formulae, processes, mathematical modeling, EHS know-how, chemical-technical-knowledge and other know-how, in written, electronic or other form: “bluesign know-how” according to Appendix A) for the development, production and processing of textiles and products with as little use of contaminants and resources as possible. The production processes and practices, the products used (components, materials and auxiliaries) as well as the products manufactured will be examined in view of their compliance with the bluesign criteria. A detailed Screening Report will be produced covering these issues (the “Report” or “bluesign screening report”). The Report can be used to optimize the production processes and practices at Companys Production Site. The bluesign screening report contains all information concerning the bluesign screening, production data of the Production Site, components, resources, machinery data etc. and the homologation of the components used.1.1蓝标应在企业生产现场实施审计，监测生产流程、实施方式、使用原料（组件，材料和助剂）以及制造的产品是否遵守蓝标标准。详细的审计报告将涵盖以上问题（标注“报告”或“蓝标审计报告”）。该报告可用于优化生产流程和企业生产现场。蓝标审计报告包含生产现场所有相关生产数据，组件，资源，机械数据等，同时包括使用组件的认证。1.2 Company shall grant bluesign all necessary rights of access to the Production Site and access to all necessary documents, in particular the production documentation, and provide other necessary information for the fulfillment of the Assignment.企业应给予蓝标组织进入生产现场和访问所有必要的文件的权利，特别是生产资料及其他必要的信息。Art. 2 Delivery of the Screening Report条目2. 蓝标审计报告的投递bluesign shall produce the Screening Report within 45 working days after the on-site examination and the delivery of all information and documents required by bluesign. Travelling expenses for screening and handing-over of screening report are included. The fee shall be payable within 30 days after the last date of signature of this Agreement but in any event prior to the commencement of the Screening. This means CHF 1500.- per work or travel day for travelling, accommodation and meals, if any. The valid bluesign price list shall be made known to the Company.企业额外要求的咨询或其他服务费用不含在内. 所有额外费用的产生会提前告知。5.4 In the event of cancellation of the on-site visit with short notice by Company, all associated expenses shall be reimbursed to bluesign (e.g. cancelled airline tickets etc.).企业在少于14天的情况下取消现场访问，则需补偿蓝标相关的费用（如机票费等）。5.5 All fees and costs for services rendered by bluesign do not include taxes (including but not limited to value added taxes or their equivalent), levies, imposts, stamp duties, charges or withholding taxes and all liabilities with respect thereto of whatsoever nature or kind (collectively referred to as “Taxes”) which will be invoiced to Company in accordance with applicable local law. Any and all payments made by Company shall be made free and clear of, and without withholding or deduction of, any Taxes, unless such withholding or deduction is required by applicable law and/or by applicable double tax treaties. Company shall promptly provide bluesign with evidence of such payment and copies of all documentation submitted with each such payment. The Parties shall use their best endeavors to obtain a refund of the deductions or a recovery of any applicable Tax and will support each other in their obligations in this respect. If Company fails to do so, an interest will become due at a rate of 1.5% per month (or such other rate as may be established in the invoice) from the Due Date up to and including the date payment is actually received. The accrued interest shall be paid to bluesign along with the late payment.企业支付不得迟于有关发票日期的30天，或蓝标发票规定的期限（“截止日期”）。如果企业未及时付款，将收取每月1.5（或可开据发票等其他利率）的利率。 如逾期付款的，需向蓝标支付利息。5.7 The Parties agree that bluesign may review and increase the fee set out in this section if bluesign finds a different situation during the Screening as outlined in this agreement (page 1) and reported (e.g. additional processes, significant larger number of chemical products used). Under no circumstances shall any personnel of Company be considered to be an employee or agent of bluesign and vice versa.本协议的规定，并非建立协议双方的伙伴或合资关系，即任何一方不得进入，或有权参与作出任何陈述或担保或代表行为。任何情况下，企业员工均不会被视为蓝标的员工或代理人。8.2 The claims and obligations under this Agreement may not be set-off against each other. The Input-Stream-Management ensures that approved chemical products and raw materials are used in all steps of the manufacturing process. Substances posing risks to people and the environment are hence eliminated from the very beginning. Limits for the input streams are determined in view of five main aspects: resource productivity, consumer safety, air emission, water emission, and occupational health. The components are assessed according to this basis, and classified as either blue or grey.
