Purchase Price 16购船价格：-USD （美元）2Deposit 押金17As security of the correct fulfillment of this Agreement the Buyer shall pay a deposit of 10% 18(ten per cent) of the Purchase Price within banking days from the date of this19Agreement. This deposit shall be placed with20 and held by them in a joint account for the Sellers and the Buyers, to be released in accordance21with joint written instructions of the Sellers and the Buyers. Interest, if any, to be credited to the 22Buyers. Payment付款方式25The said Purchase Price shall be paid in full free of bank charges to26on delivery of the Vessel, but not later than 3 banking days after the Vessel is in every respect27physically ready for delivery in accordance with the terms and conditions of this Agreement and 28Notice of Readiness has been given in accordance with Clause 5. 上述购买船舶价款，不产生任何银行费用，须在交船时支付给但，根据本合同的条款和条件，船舶在各个方面实际做好交接准备，并且按照第5条款递交准备就绪通知书后，应不迟于3个银行工作日之内支付。 294. Inspections 检查 30a)* The Buyers have inspected and accepted the Vessels classification records. The Buyers 31 have also inspected the Vessel at/in on 32 and have accepted the Vessel following this inspection and the sale is outright and definite,33 subject only to the terms and conditions of this Agreement.34买方已经检查并接受船舶的船级记录。买方也已经在（日期）在（地点）对船舶进行了检查。并且在该检查之后接受了该船舶，那么，船舶买卖关系，仅根据本协议之条款和条件，彻底无条件地和明确肯定地宣告成立。b)*The Buyers shall have the right to inspect the Vessels classification records and declare 35whether same are accepted or not within36买方应该有权检查该船舶的船级记录，并在（时间）内宣布是否接受船舶现状买卖。The Sellers shall provide for inspection of the Vessel at/in37卖方应在为买方安排船舶检查。The Buyers shall undertake the inspection without undue delay to the Vessel. Should the 38Buyers cause undue delay they shall compensate the Sellers for the losses thereby incurred.39买方应该承诺该检查不得给船舶造成无故不合理的延误。如果买方造成了无故不合理的延误，则应当赔偿卖方因此而遭受的损失。The Buyers shall inspect the Vessel without opening up and without cost to the Sellers. 40买方将检查船舶，但不得打开/拆开以及不能给卖方造成任何费用。During the inspection, the Vessels deck and engine log books shall be made available for 41examination by the Buyers. If the Vessel is accepted after such inspection, the sale shall 42become outright and definite, subject only to the terms and conditions of this Agreement,43provided the Sellers receive written notice of acceptance from the Buyers within 72 hours 44after completion of such inspection. 45在检查期间中，船舶航海日志和轮机日志应提供给买方进行检查。如果买方在该检查之后接受该船舶，即在买方完成本次检查之后72小时内，卖方收到来自买方的接受该船舶的书面通知，那么，船舶买卖关系仅受限于本协议的条款和条件，彻底无条件地和明确肯定地宣告成立。Should notice of acceptance of the Vessels classification records and of the Vessel not be46received by the Sellers as aforesaid, the deposit together with interest earned shall be 47released immediately to the Buyers, whereafter this Agreement shall be null and void.48如果卖方没有在上述条件下接收到买方的，接受该船舶船级记录的通知，和/或接受该船舶的通知，保证金连同赚取的利息，应该立即释放给买方，在此之后，该协议应该宣告无效和空白作废。*4a) and 4b) are alternatives; delete whichever is not applicable. In the absence of deletions,49 alternative 4a) to apply.50 4a)和4b)二选一；删除不用的。如果未作删除，则视为选用4a)。 5.Notices, Time and Place of Delivery交船地点和时间51a)The Sellers shall keep the Buyers well informed of the Vessels itinerary and shall 52provide the Buyers with , , and days notice of the estimated time of arrival at the 53intended place of drydocking/underwater inspection/delivery. When the Vessel is at the place54of delivery and in every respect physically ready for delivery in accordance with this 55 Agreement, the Sellers shall give the Buyers a written Notice of Readiness for delivery.56卖方应随时报告给买方本船舶的行程，以及给予买方提前 / / 和 天之预计抵达进坞/水下检查/交船的地点及时间的通知。当船舶抵达交船地点，并根据本协议在各个方面实质准备就绪交接后，卖家应需向买方递交书面的准备就绪通知书。b)The Vessel shall be delivered and taken over safely afloat at a safe and accessible berth or57 anchorage at/in 58 in the Sellers option. 59船舶应在卖方指定的安全和可以自由进入的泊位或锚地，并在安全漂浮的状态下进行交接。Expected time of delivery: 60预期的交付时间：Date of canceling (see Clauses 5c), 6b) (iii) and 14): 61销约期/解约日（见条款5C,6B(iii) 和14）c)If the Sellers anticipate that, notwithstanding the exercise of due diligence by them, the 62Vessel will not be ready for delivery by the canceling date they may notify the Buyers in 63writing stating the date when they anticipate that the Vessel will be ready for delivery and 64propose a new canceling date. Upon receipt of such notification the Buyers shall have the 65option of either canceling this Agreement in accordance with Clause 14 within 7 running 66days of receipt of the notice or of accepting the new date as the new canceling date. If the 67Buyers have not declared their option within 7 running days of receipt of the Sellers 68notification or if the Buyers accept the new date, the date proposed in the Sellers notification 69shall be deemed to be the new canceling date and shall be substituted for the canceling 70date stipulated in line 61.71如果卖方预见到，尽管已经恪尽职守/合理谨慎，该船舶在解约日截止前仍然无法准备好交船，他们可以书面通知买方声明他们预期准备好交船的日期，并提出一个新的解约日。一旦买方收到本通知，买方有权选择根据第14条之规定在收到本通知后7个连续日之内取消本协议，或者接受新的日期作为新解约日，如果买方在收到卖方通知后的7个连续之内没有行使其选择权，或者接受了新的日期，则卖方通知中所提议的日期将被视作新的解约日，并用来替代第61行所规定的旧解约日。If this Agreement is maintained with the new canceling date all other terms and conditions 72hereof including those contained in Clauses 5a) and 5c) shall remain unaltered and in full 73force and effect. Cancellation or failure to cancel shall be entirely without prejudice to any 74claim for damages the Buyers may have under Clause 14 for the Vessel not being ready by 75the original cancelling date.如果在订立新解约日的情况下，本合同依然保持存在，其他所有条款和条件，包括第5条的a)和c)的内容，应仍然保持不变，以及全部效力和作用效果。取消与否将完全不会影响买方根据第14条该船在原解约日未准备就绪的情况下可能享有的索赔损失的权力。76d)Should the Vessel become an actual, constructive or compromised total loss before delivery 77the deposit together with interest earned shall be released immediately to the Buyers 78whereafter this Agreement shall be null and void.79如果在交接前该船舶实际全损，推定全损或协议全损，保证金连同所计利息将立即全数返还买方，此后本协议应是作废和无效。6.Drydocking / Divers Inspection 进船坞/水下检查/检验80a)*The Sellers shall place the Vessel in drydock at the port of delivery for inspection by the 81Classification Society of the Vessels underwater parts below the deepest load line, the 82extent of the inspection being in accordance with the Classification Societys rules. If the 83rudder, propeller, bottom or other underwater parts below the deepest load line are found 84broken, damaged or defective so as to affect the Vessels class, such defects shall be made 85good at the Sellers expense to the satisfaction of the Classification Society without 86 condition/recommendation.* 卖方应在交船港口安排船舶进坞，以接受船级社对低于最深载重线水下部分进行检验，检验的范围程度要遵循船级社的规则。如果发现船舵、螺旋桨、船底或其它低于最深载重线的水下部分，有影响船舶船级的破裂、损坏或缺陷，则，卖方应该承担费用完成这些缺陷的修复工作，直到符合船级社规定，并且不得遗留船级条件/批注*。87b)*(i) The Vessel is to be delivered without drydocking. However, the Buyers shall 88have the right at their expense to arrange for an underwater inspection by a diver approved 89by the Classification Society prior to the delivery of the Vessel. The Sellers shall at their 90cost make the Vessel available for such inspection. The extent of the inspection and the 91conditions under which it is performed shall be to the satisfaction of the Classification 92Society. If the conditions at the port of delivery are unsuitable for such inspection, the 93Sellers shall make the Vessel available at a suitable alternative place near to the delivery 94port.船舶不安排进船坞交船。然而，买方应该有权在交船前安排由船级社认可的潜水员进行水下检验，并自己承担费用。卖方应该自费安排船舶以备此类检查。执行此检验的范围和条件应符合船级社的要求。如果在交船地点的条件状况不适合这种检验，卖方应当安排船舶在靠近该交船港口的一个适宜的替代地点进行检查。95(ii) If the rudder, propeller, bottom or other underwater parts below the deepest load line 96are found broken, damaged or defective so as to affect the Vessels class, then unless 97repairs can be carried out afloat to the satisfaction of the Classification Society, the Sellers98shall arrange for the Vessel to be drydocked at their expense for inspection by the99Classification Society of the Vessels underwater parts below the deepest load line, the 100extent of the inspection being in accordance with the Classification Societys rules. If the 101rudder, propeller, bottom or other underwater parts below the deepest load line are found 102broken, damaged or defective so as to affect the Vessels class, such defects shall be made 103good by the Sellers at their expense to the satisfaction of the Classification Society104without condition/recommendation*. In such event the Sellers are to pay also for the cost of 105the underwater inspection and the Classification Societys attendance.如果发现船舵、螺旋桨、船底或其他低于最深载重线水下部分有影响船级的破裂、损坏或缺陷，除非能在船舶漂浮状态下进行维修并满足船级社的要求，否则，卖方应该自费安排船舶进坞和船舶船级社对低于最深载重线的水下部分进行检查，检查的范围程度遵循船级社的规定。如果发现船舵、螺旋桨、船底或其他低于最深载重线水下部分有影响船级的破裂、损坏或缺陷，这些缺陷应该由卖方承担费用完成修复，直到符合船级社规定，并且不得遗留船级条件/批注*。在此情况下，卖方应该承担水下检验费用以及船级社验船师的出勤费用。 106(iii) If the Vessel is to be drydocked pursuant to Clause 6b) (ii) and no suitable dry- 107docking facilities are available at the port of delivery, the Sellers shall take the Vessel 108to a port where suitable drydocking facilities are available whether within or outside the 109delivery range as per Clause 5b). Once drydocking has taken place the Sellers shall deliver 110the Vessel at a port within the delivery range as per Clause 5b) which shall, for the 111 purpose of this Clause, become the new port of delivery. In such event the canceling date 112 provided for in Clause 5b) shall be extended by the additional time required for the 113drydocking and extra steaming, but limited to a maximum of 14 running days.如果船舶根据第6条(b)款(ii)项规定进坞，但在交船港口并没有适合的干船坞设施空闲可用，卖方应安排船舶进入一处具有合适可用的干船坞的港口，无论是在第5(b)条款规定交船范围之内或者之外。一旦船舶完成坞修，卖方应该可以在第5(b)条款规定的交船范围之内任一港口进行交船，为此，该港口应当成为新的交船港口。在此情况下，第5(b)条款规定的解约日，应根据坞修工作所需增加的时间和额外航行时间而相应地的延长，但最长不得超过14天。114c)If the Vessel is drydocked pursuant to Clause 6a) or 6b) above如果船舶根据上述条款6a或6b进船坞115(i) The Classification Society may require survey of the tailshaft system, the extent of 116the survey being to the satisfaction of the Classification surveyor. If such survey is not 117required by the Classification Society, the Buyers shall have the right to require the tailshaft 118to be drawn and surveyed by the Classification surveyor. The extent of the survey being in 119accordance with the Classification Societys rules for tailshaft survey and consistent with 120the current stage of the Vessels survey cycle. The Buyers shall declare whether they 121require the tailshaft to be drawn and surveyed not later than by the completion of the 122inspection by the Classification Society. The drawing and refitting of the tailshaft shall be 123arranged by the Sellers. Should any parts of the tailshaft system be condemned or found 124defective so as to affect the Vessels class, those parts shall be renewed or made good at 125the Sellers expense to the satisfaction of the Classification Society without 126condition/recommendation.*船级社可能要求对尾轴系统进行检验，检验的范围程度需达到船级社验船师的要求。如果船级社没有要求进行检验，买方应有权要求抽出尾轴进行船级社检验，检验的范围程度需遵循船级社对尾轴检验的规则和符合现阶段船舶检验的周期。买方应该在不晚于船级社完成船舶检查之前宣布是否要求抽出尾轴进行检验。尾轴的抽出和重装工作应该由卖方安排。如果尾轴系统的任何部件宣布报废或发现缺陷，以至于影响船级，卖方应该承担费用对这些部分进行更新或完成修复，直到满足船级社的要求，无任何船级遗留条件/批注*。 127(ii) The expenses relating to the survey of the tailshaft system shall be borne 128by the Buyers unless the Classification Society requires such survey to be carried out, in 129which case the Sellers shall pay these expenses. The Sellers shall also pay the expenses 130if the Buyers require the survey and parts of the system are condemned or found defective 131or broken so as to affect the Vessels class*.尾轴系统检验的有关费用应当由买方承担，除非船级社要求进行检验，在这种情况下，应由卖方支付这些费用。如果买方要求检验以及尾轴系统任何部件宣布报废或发现有影响船级的缺陷或损坏，卖方也应承担检验费。132(iii) The expenses in connection with putting the Vessel in and taking her out of 133drydock, including the drydock dues and the Classification Societys fees shall be paid by 134the Sellers if the Classification Society issues any condition/recommendation* as a result 135of the survey or if it requires survey of the tailshaft system. In all other cases the Buyers 136shall pay the aforesaid expenses, dues and fees. 137如果是由于本次检验导致船级社签发任何船级条件/批注，或者船级社要求对尾轴系统进行检验，那么船舶进坞和出坞的有关费用，包括船坞费和船级社费用，都应该由卖方承担。在其它任何情况下，上述费用应由买方承担。(iv) The Buyers representative shall have the right to be present in the drydock, but 138without interfering with the work or decisions of the Classification surveyor. 139买方代表应有权参加船舶在干船坞的检查活动，但不得妨碍船级社验船师的工作或决定。(v) The Buyers shall have the right to have the underwater parts of the Vessel 140cleaned and painted at their risk and expense without interfering with the Sellers or the 141Classification surveyors work, if any, and without affecting the Vessels timely delivery. If, 142however, the Buyers work in drydock is still in progress when the Sellers have 143completed the work which the Sellers are required to do, the additional docking time 144needed to complete the Buyers work shall be for the Buyers risk and expense. In the event 145that the Buyers work requires such additional time, the Sellers may upon completion of the 146Sellers work tender Notice of Readiness for delivery whilst the Vessel is still in drydock 147and the Buyers shall be obliged to take delivery in accordance with Clause 3, whether 148the Vessel is in drydock or not and irrespective of Clause 5b). 149在不影响卖方或船级社验船师工作（若有），以及不影响船舶及时交接的前提下，买方应该有权对船舶水下部分进行清洗和油漆，并自己承担风险和费用。然而，如果卖方已经完成被要求的工作，但买方在干船坞的工作仍在继续，由于买方需要完成其工作而导致额外在坞时间，应由买方承担风险和费用。在需要额外时间完成买方工作的情况下，虽然船舶仍未出坞，卖方可以在完成自己的工作当时递交船舶交接准备就绪通知书，同时买方应该必须按照第3条款接收船舶，不管船舶是否在坞，和不予考虑第5(b)条款。*Notes, if any, in the surveyors report which are accepted by the Classification Society 150without condition/recommendation are not to be taken into account. 151 若在验船师检验报告中出现标注/注释，并被船级社接受而不被视为船级条件/批注，则不予考虑。 *6a) and 6b) are alternatives; delete whichever is not applicable. In the absence of deletions, 152alternative 6a) to apply. 153条款6 a和 6 b二选其一，删除任一条不适用，在不删除的条件下，采用6a.7.Spares / Bunkers, Etc.零件/燃油等 154The Sellers shall deliver the Vessel to the Buyers with everything belonging to her on board and on 155Shore. All spare parts and spare equipment including spare tail-end shaft(s) and/or spare 156propeller(s)/propeller blade(s), if any, belonging to the Vessel at the time of inspection used or 157unused, whether on board or not shall become the Buyers property, but spares on order are to be 158excluded. Forwarding charges, if any, shall be for the Buyers account. The Sellers are not required to 159replace spare parts including spare tail-end shaft(s) and spare propeller(s)/propeller blade(s) which 160are taken out of spare and used as replacement prior to delivery, but the replaced
