The total value of this contract are RMB. The detailed goods name, type, specification ,unit of measure, qty and price described in the following attachment A.此合同总金额为人民币 所达成买卖协议的商品详细名称、种类、规格、单位、数量，见附件A.2.Delivery term交付2.1 Seller will deliver the goodsBefore 2008 Feb.28 buyer can receive machine with hydraulic chuck, Before 2008 Mar.29 Seller technicist arrive buyer factory for machine adjust and operator training.交货时间： 2008 年 2 月 28 日前将机器运到买方，2008 年 2 月 29 日前派技术人员到达买方工厂进行安装调试，培训操作员工。2.2Deliver address: Runsheng Load l, Suzhou Industrial Park, Jiangsu, PRC交货地点：苏州工业园区润胜路1号克瑞流体系统（苏州）有限公司2.3Transportation and package. Seller shall a) Follow any appropriate law or rules ,packing & marking and transferring as buyer or any forwarders instruction ;b)shipping goods follow buyers instruction on transportation route or any forwarders instruction. c) Seller shall not charge buyer the packing ,handling, stock or transportation fee(include tariff ,tax, charge, etc) unless this contract has defined the terms for these cost . d)Seller shall provide PO number or contract number ,ship notice /bill or loading/packing list for every lot of delivery .e) Seller shall quickly send bill of lading or other related documents to buyer as requested . Seller shall correctly indicate commodity category on B/L or related documents as buyer request. The mark on the package or on invoice should be easily identified .装运和包装 。 卖方将 a) 依照适用的法律或法规 ，根据买方或任何承运人的 指示对货物进行适当的包装 、标注和转运；(b)按买方指定的路线运输货物；(c) 除非本合同中另有规定 ，否则不应收取处理 、包装 、储存和运输货物的费用（包括关税、税、费等） ；(d) 货物提供注明买方合同号和/ 或发运号及发货日期的装箱单 ；(e) 按买方的指示迅速发出各批货物的原始提单或其他货运收据 。卖方应按买方或承运人的要求在提单或其他货运收据上标明所运货物的正确分类 。 每件货物包装上的商标及装箱单 、 提单和发票上的货物识别标志应足以使买方容易地识别货物 。2.4Freight term: CIF运货费用：买方工厂交货,卖方承担买方工厂交货前一切费用和风险2.5. Expedite delivery .Seller should load the goods as quick as possible and use expedited forwarder ormethod as buyer requested if seller can not deliver the goods as agree date on this contract. Seller should pay all additional freight charge in this situation unless buyers activity impact sellers on time delivery .加急发运.如卖方未能以买方原定的运输方式按合同规定的交货日程装运货物,导致买方要求卖方采取一种加急(更为快捷的）运输方式，卖方应尽可能迅速地装运货物 。卖方应负责支付该加急发运的全部费用 ，除非因买方的作为使卖方无法实现买方的交货日程要求 。2.6 Delay and penalty .Seller should on time deliver the goods as agreed date . Seller shall pay all the loss caused by delayed delivery and pay 0.1% of contract value per day as punishment for the delay . Buyer shall deduct accordingly from payment .交货延迟和罚款.卖方应按合同规定时间交货.任何因卖方延迟交货而造成的买方开工延迟等经济损失,应由卖方承担.每延期交货一天,卖方应付买方相当于合同金额0.1%的罚款,由买方从货款中相应扣除。3.Inspection. a).pre-inspection: According “Fuyang Jintai structure lathe specification” and tapping function check in seller place. b). According “Fuyang Jintai structure lathe specification” and tapping function check in buyer place.验收方法:按照富阳市金泰仪表机床厂主要技术检验标准验收和攻丝功能测试，在卖方厂内进行。最终验收：按照富阳市金泰仪表机床厂主要技术检验标准验收和攻丝功能测试，在买方厂内进行。4.Payment term付款方式4.1Currency:RMB结算币种：人民币4.2 Tax: VAT 17% included税金：所有产品均含17%增值税4.3 Buyer should pay30% of total goods value after sign this contract , Buyer should pay 70% of total goods value after pre-check and before consignment .支付方式：（1）合同签定之日起付30%预付款 （2）预检验后发运前再付货款的70% 5.Service and guarantee 售后服务和质量保证5.1Seller shall provide one year free charge service in buyers site . In first year, since first inspected and qualified by buyer, seller has obligation to ensure product work as designed .During this period , all necessary maintenance service and replaced components are free of charge . Seller technicist arrive buyer factory for machine repair after buyer call seller within 36 hours (as soon as possible). After one year , Seller shall has obligation to provide free charge maintenance service and just charge the cost of replaced components . The total components cost shouldnt exceed the cost of entire machine deducting assembling cost . Seller keep spare parts for repair during 5 years after one year free charge service. Seller keep accuracy according to “Fuyang Jintai structure lathe specification” with one year.卖方对所提供的产品免费保修一年。自验收合格后一年内,卖方对不良零件进行免费更换且免收服务费.卖方承担一切费用和义务以确保所供产品达到设计功能. 在发生故障通知卖方后卖方需在36小时内尽快到达现场，自验收合格一年后,卖方有义务应买方要求上门维修,只收来回路费和工人人工费以及所更换的零件成本费用. 卖方销售零件的价格总和不应超过该设备扣除组装费用后的价格 。卖方保证在保质期后的5年使用期间能够提供备件以供买方购买以作维修之用。卖方保证在使用第一年内，精度能维持在富阳市金泰仪表机床厂主要技术检验标准内。5.2.Training .Seller shall provide on site training with free of charge. Determine time by buyer inside 1 month of machine received.
