P.R.CAndParty B: Address: 此种处理方法尤其适用于当事方的信息量较大的情况。有时，中文合同中会列明当事方的名称、地址、法定代表人、电话、传真等诸多信息，此时，要将所有这些信息纳入合同封面显然不现实，因此只能采取这种处理办法。 LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期值得注意的一点是，上述插入的形式引导语并不完全仅仅是形式，还涉及到签订时间的问题。中文合同中很少将生效日、签订日载于文首，大多时候仅于签署页注明，英文合同则不然。因此，在合同中译英的过程中，也有必要将相应的生效日和签订时间提前，置于文首。 PART II 翻译论坛境外投资项目核准暂行管理办法两版译本比较及万法通建议版本本 文针对国家发展和改革委员会于2004年10月09日颁布的境外投资项目核准暂行管理办法的两种译本进行概要比较，并在此基础上提出万法通的建议版 本，以期提出中英法规翻译中的常见问题，并在此基础上推动法规翻译的标准化。本文为初步性的征求意见稿，不代表万法通的最终标准，更不旨在树立法规翻译的 最终模板，有不当LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期之处，欢迎读者反馈和指正。所资比较的两版译文，一者摘自，下称“版本一”，一者摘自中国教育文摘网（），下称“版本二”。 原文标题：境外投资项目核准暂行管理办法 版本一：The Interim Measures for the Administration of Examination and Approval of the Overseas Investment Projects版本二：Verification and Approval of Overseas Investment Projects Tentative Administrative Procedures两版分析比较： 1. 【术语】版本二采用Verification and Approval译“核准”，值得商榷。“Verification”表示对某项事物的真实性进行认证，或者纠正其中不实部分，而此处LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期核准中的审核，是适 用一定的标准决定是否给予批准，其结果是不确定的，重点也不在被审查对象是否真实，而在于其是否符合既定标准。因此，版本一所采用的 “Examination”更切合原意，且“Examination and Approval”也是国外行政机构、立法中的惯用词组，如“examination and approval process”、“examination and approval authority”。 2. 【结构】就句子结构而言，版本二基本上舍弃了介词的运用。舍弃介词在某种程度上可以使英文更为简练，但可能会以牺牲逻辑关系为代价。相较而言，版本一则较成熟地利用介词，清晰地阐明了各部分之间的结构关系。 3. 【定冠词】版本一在标题中连续出现了三个定冠词“the”，这可能与法律英语的简化趋势有关。在法律文件中，特别是标题中，很少如此频繁地使用定冠词“the”，一方面是为了保证文体简洁，另一方面，去掉定冠词，可以使行文显得更为正式； LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期4. 【结构】版本一将administration置于“examination and approval”之前，导致标题中接连出现了三个名词化的动词，并连接出现了两个“of”结构，在一定程度上削弱了结构的平衡感。 万法通建议版本： Interim Administrative Measures for Examination and Approval of Overseas Investment Projects 第一条根据中华人民共和国行政许可法和国务院关于投资体制改革的决定，为规范对境外投资项目的核准管理，特制定本办法。 LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期版 本一： Article 1 With the view of regulating the administration of the examination and approval of overseas investment projects, the present Measures are formulated in accordance with the Administrative License Law of the Peoples Republic of China and the Decision of the State Council on Reforming the Investment System.版 本二： Article 1 These Procedures are specially formulated in accordance with the PRC， Administrative Licensing Law and the State Council， Reform of the Investment System Decision in order to standardize the administration of verification and approval of overseas investment projects.两版分析比较： LAWSPIRIT LEGAL TRANSLATION MAGAZINE2009年03月30日 总第三期1. 【英文起草习惯】两版均未在“本办法”第一次出现时给予定义，而直接采用“the present Measures”/“these Procedures”，与英文习惯不符； 2. 【英文起草习惯】原文中“特制定本办法”中的“特”，版本二译成“specifically”，意义相差甚远；版本一予以略译，实际上丢失了对法律文件而言非常重要的形式部分。相对应的译文应为“hereby”。 万法通建议版本：With the view of regulating the administration of the examination and approval of overseas investment projects, these Interim Administrative Measures for Examination and Approval of Overseas Investment Projects (these “Measures”) are hereby formulated in accordance with the Administrative License Law of the Peoples Republic of China and the Decision of the State Council on Reforming the Investment System.
