specific中国银河证券股份有限公司分支机构人员职务职级管理暂行规定根据中国银河证券股份有限公司职务职级管理办法和经纪业务管理相关规定,结合现阶段分支机构职责定位,制定本暂行规定。公司可根据业务发展需要进行修订。本规定适用于分支机构(证券营业部、代表处及分公司,下同)在编员工。分支机构正、副总经理(主任)的职级由公司负责确定;分支机构其他员工的职务职级由所在单位负责确定报公司备案,由公司实施统一管理。每个考核年度结束,分支机构的在编员工根据本办法进行定级;分支机构正、副总经理(主任)的职级调整由公司本部负责确定;分支机构其他员工的职务职级调整由所在单位申请经公司批准后实施。证券营业部的客户经理按照公司已印发的客户经理管理办法相关规定执行。一、遵循原则(一)市场化原则。充分体现市场化指导思想和要求,与业绩考核直接挂钩。(二)专业化原则。根据岗位特点设定相应职级序列,为员工职业发展提供多种晋升通道。二、证券营业部人员的职务职级(一)正、副总经理1. 序列:正、副总经理入管理序列。副总经理如兼任市场营销部或理财服务部的部门经理,绩效奖励可按照营销序列执行,上不封顶。2. 职级区间:总经理职级区间为MD-SVP;副总经理职级区间为D-VP。3. 职级确定原则:绩效优先、考核调整。(1)一般证券营业部(设立2年(含)以上的证券营业部)和D类(含)以上的服务部升级证券营业部:先根据证券营业部的实际业绩情况,分别按照优先标准、最低标准、综合标准的优先顺序确定正、副总经理的职级职等,再根据考核调整标准进行职等或薪档的调整。(2)E/F类服务部升级证券营业部:设立不满2年的,其总经理可入D1职等,副总经理可入SVP1职等,再根据考核调整标准进行职等或薪档的调整;从第3年开始按照一般证券营业部入级标准入级。(3)设立不满2年(含筹建期)的异地搬迁、新设及处于筹建期的证券营业部:其正、副总经理先按照当地证券营业部正、副总经理平均职等确定职级区间,再根据考核调整标准进行职等或薪档的调整;从第3年开始按照一般证券营业部入级标准入级。4.具体标准规定:(1)优先标准是对市场排名靠前的营业部设置的鼓励性入级标准,即:股基交易量市场排名进入前1500名且营业收入指标符合相应标准的证券营业部,其总经理可入MD3-ED2职等,副总经理可入D1/SVP5职等。具体:股基交易量市场排名前5名且营业收入在公司证券营业部排名中进入前2%的证券营业部总经理,由公司酌情向上级单位申报,给予总裁助理待遇,副总经理入D1职等;股基交易量市场排名前10名且营业收入在公司证券营业部排名中进入前5%的证券营业部总经理入MD3职等,副总经理入D1职等;股基交易量市场排名前50名且营业收入在公司证券营业部排名中进入前10%的证券营业部总经理入MD2职等,副总经理入D1职等;股基交易量市场排名前100名且营业收入在公司证券营业部排名中进入前15%的证券营业部总经理入MD1职等,副总经理入D1职等;股基交易量市场排名位于前500名且营业收入在公司证券营业部排名中进入前20%的证券营业部总经理入ED4职等,副总经理入SVP5职等;股基交易量市场排名位于前1000名且营业收入在公司证券营业部排名中进入前30%的证券营业部总经理入ED3职等,副总经理入SVP5职等;股基交易量市场排名位于前1500名且营业收入在公司证券营业部排名中进入前50%的证券营业部总经理入ED2职等,副总经理入SVP5职等。其中:营业收入指标根据以后年度实际经营情况由公司适时进行调整。(2)综合标准是对不符合优先标准的其他证券营业部设定的正、副总经理入级标准,也称三因素综合排名入级标准。即:对不符合优先标准的其他证券营业部,考察上年度绩效贡献度、业绩增长性、地区竞争度三项指标,按照0.55、0.35、0.1的权重加权得分后从高到低排序,总经理按照0.2:0.3:0.2:0.15:0.1:0.05的比例分别入ED1职等及D职级各职等,副总经理按照0.2:0.5:0.25:0.05的比例分别入SVP4、SVP3、SVP2、SVP1职等。三项指标具体得分规则如下:绩效贡献度:以证券营业部分类为度量值,并对各分类证券营业部中股基市占率高于90分位数的营业部给予加分。具体规则如下表:分 其他情况:(1)从公司外部招聘的证券营业部总经理,第一年根据人才引进的协商谈判情况,参考其拟任职营业部原总经理的职级水平,在其做出相应业绩承诺的前提下定级;第二年及以后根据其所任职证券营业部的实际绩效结果及个人履职考核情况予以确定。(2) 新提拔任职的,第一年按其所任职机构对应职级的最低职等执行;任职满一年之后,按照其所任职机构实际业绩考核结果确定。(3) 公司分支机构之间调动的,若调动后对应职级提高的,第一年按其原职等调高一个职等入级;第二年及以后按其所任职机构的实际绩效结果予以确定。若调动后对应职级降低的,原则上第一年保留其原职等不变,并兼顾其以往年度的绩效考核情况;第二年若完成公司要求的业绩指标,可维持原职等,否则降低一个职等;第三年及以后按其所任职机构的实际绩效结果予以确定。(4) 公司本部到分支机构交流调动的, 第一年按照调动前后个人对应职级孰高原则定级;第二年及以后按其所任职机构的实际绩效结果予以确定。(5) 为了充分肯定原下辖有服务部证券营业部对服务部设立、发展、升级工作的贡献,2010、2011年入级时对原下辖有证券服务部的证券营业部总经理上浮1个职等(但不得跨职级);以后年度按其所任职营业部的实际绩效结果予以确定。注:业绩指标(股基交易量市场排名)计算中已包含下辖证券服务部业绩数据的证券营业部,其总经理职等不再按该原则做上浮调整。(6) 副总经理主持工作的,按所在营业部副总经理对应职等高1职等入级。(二)证券营业部其他人员1. 部门设置证券营业部要根据客户导向、绩效导向、目标导向及责权清晰、精干高效原则建立组织管理体系。根据证券营业部岗位设置和绩效管理办法,证券营业部原则上设市场营销部、理财服务部、运行管理部三个部门,规模较大的证券营业部可将运行管理部分开设置为交易运行部和综合管理部,也可根据业务发展需要在市场营销部和运行管理部下设二级部门,但均须报公司审批。2. 部门编制及岗位证券营业部人员编制与分类挂钩,总编制数和运行管理部人员编制数按照指导编制确定,从严控制。市场营销部和理财服务部管理服务人员编制数与业务规模挂钩。规模较大证券营业部可根据实际业务开展需要适当增配财务、技术人员,但不得超过营业部总编制数。:下业部uan 财服务部、运行管理部三个部门。证券营业部设财务经理、技术经理、合规经理,人员编制和管理归属证券营业部。具体如下:(1)财务经理、技术经理设专职,合规经理采取专职或兼职方式,由证券营业部按照公司及监管部门要求落实。当地监管部门要求必须配专职合规人员、或业务团队规模50人及以上的证券营业部,必须配专职合规经理,且合规经理须满足合规经理的任职条件且通过公司合规经理专项资格考试;采取兼职合规经理模式的,须由证券营业部运行管理部经理及以上职位人员兼任,并符合岗位之间互斥要求。(2)报告路线。财务经理、技术经理、合规经理要按照岗位工作要求履职,业务工作及重大事项直接向营业部总经理和公司本部职能归口管理部门报告。(3)管理考核。财务经理、技术经理、合规经理均采取双线考核,营业部总经理和公司本部相应职能归口管理部门考核权重分别为60%和40%。(4)岗位要求和职责。公司本部职能归口管理部门负责从业务归口管理角度制定和完善财务经理、技术经理、合规经理岗位职责说明书,证券营业部总经理可以结合营业部管理实际,进行增补。各归口部门制定的财务经理、技术经理和合规经理岗位说明书见附件4。副总经理/总经理助理团队管理岗市场营销部理财服务部运行管理部招聘培训岗渠道营销岗理财经理岗投资顾问岗技术助理岗柜台业务岗IB专员岗行政管理岗出纳岗合规经理岗财务经理岗技术经理岗证券营业部总经理计划财务部法律合规部信息技术部经纪管理总部部门经理岗部门经理岗部门经理岗证券营业部组织架构图如下所示:3. 职级序列证券营业部除正、副总经理以外的人员,均按照岗位职责入相应职级序列:运行管理部行政和柜台岗位入操作技能序列,其他岗位均入专业技术序列;市场营销部和理财服务部所有岗位均入市场营销序列。4. 入级规则和标准(1)特殊入级指标:对于资源型员工按照开发客户业绩指标完成情况给予职级晋升空间,上年度个人开发客户或以其他方式(须符合监管要求)直接为公司创造收入500万/300万/200万/150万/100万元以上的,分别可以入MD1/ED1/D1/SVP1/VP1职等,上述入级不受年龄、工作经验以及营业部人员职级比例控制等因素限制。(2)岗位入级指标:根据岗位职责要求给予职级区间,除按照特殊入级标准入级的人员和有直接收入承诺的投资顾问岗以外,营业部总体入VP职级人员比例为35%(含)以内,前后台人员职级比例应保持均衡;AVP及以下职级不直接设置控制比例,由证券营业部总经理根据岗位基本要求、岗位业绩条件、员工实际工作能力和绩效考核情况定级,并根据每年履职及考核情况进行调整。从公司外部招聘的新业务骨干,第一年在其拟任岗位的职级区间内,可根据人才引进的协商谈判情况及其业绩承诺定级;第二年及以后根据其在证券营业部的实际绩效结果及个人履职考核情况予以定级。证券营业部人员职务职级任职基本条件(除正、副总经理)见附件1。(3)薪档调整结合个人年度考核结果对薪档进行调整。即:VP及以上职级人员如在上年度证券营业部内部考核排名进入前10%(不足1人,可按1人计)且入职等与上年度相同的,可调高1个薪档(到该职等的最高薪档为止)。AVP及以下职级人员如在上年度证券营业部内部考核排名进入前45%且入职等与上年度相同的,可调高1个薪档(到该职等的最高薪档为止)。三、代表处人员的职务职级(一)正、副主任1. 兼职正、副主任按照所在证券营业部岗位确定职级,年底一次性给予一定金额的津贴。2. 专职正、副主任入管理序列,其中:专职主任按照代表处辖内证券营业部总经理职等水平的75分位数入级(辖内设立时间不足2年的网点不计入基数),专职副主任的入级区间为D-SVP;如代表处副主任曾任营业部总经理的,可入D职级;如曾任营业部副总经理的,入SVP职级。具体由代表处主任按照代表处副主任的履职情况和年度考核结果确定。(二)其他人员1入级规则和标准代表处现有专职员工入专业序列,原则上入VP-AVP职级,由代表处主任根据岗位基本条件、员工工作业绩和考核情况确定;代表处兼职员工按照所在证券营业部岗位入级。对于代表处中业务能力强、工作年限长且有管理经验的专职员工,可比照分公司部门经理职级标准入级,具体名单(须说明申请理由及实际工作业绩)由相关代表处报公司三定工作组审批。代表处人员职务职级任职基本条件(除代表处正、副主任)见附件2。2薪档调整代表处的专职员工在上年度内部考核排名中进入前10%(不足1人,可按1人计)且入职等与上年度相同的,可调高1个薪档(到该职等的最高薪档为止)。四、分公司人员的职务职级(一)正、副总经理1序列:分公司正、副总经理入管理序列。2职级区间:分公司总经理职级区间为MD-ED;副总经理职级区间为ED-SVP。3职级确定标准:综合评价、考核调整。即:先根据分公司综合标准评价结果确定总经理职级职等,再根据分公司总经理上年度绩效考核结果进行职等或薪档的调整。(1)综合标准按照四因素(管理幅度、绩效贡献度、业绩增长性、地区竞争度)加权综合评分,根据分数从高到低排名,分别按照5%、15%、20%、30%、20%、10%的比例确定入级区间,具体见下表:分公司正、副总经理入级标准条 薪档调整分公司员工在上年度内部考核排名中进入前10%(不足1人,可按1人计)且入职等与上年度相同的,可调高1个薪档(到该职等的最高薪档为止)。五、其他事项(一)分支机构人员首次入级原则上均入相应职等的第1薪档。档入级维持不变果为入级,排名指标根据各年度实际情况由公司负责级。
