（四）维护合作社对外签订的各类合同的严肃性，按照合作社要求制定相应的生产计划组织生产，交售农产品。决不能因为市场发生变化，就首先违约，擅自出售农产品；违约者，按照合同法予以赔偿。 （五）在销售特色农产品时，支持合作社在自己的销售收入中提取一定比例的金额，用于合作社公务活动、生产发展基金和所聘用合作社理事长和财会人员的工作。 （六）要遵纪守法，自觉执行合作社的各项规章制度。 （七）要积极参加合作社理事会、监事会召开的各种会议，一边了解情况，行使自己的监督权和管理权。 （八）要为自己的利益高度负责，必须百倍慎重选择、罢免理事长人选，以免因选择人选事务而给自己的利益带来损害。第12条 社员有退社的自由。社员退社须提前一个月以书面行使提出，由理事会即使办理退社手续。退社后，其入社股金于年终决算后两个月内退还；本社经营盈余，应分给其应得红利；本社经营亏损，应扣除其应承担的亏损份额。退社后，不得分配本社共有财产，不退会费。第13条 有下列情况之一，经理事会批评教育无效，由理事会表决予以除名，并办理退社手续： （一）不遵守本社章程； （二）不履行社员责任； （三）6个月以上不参加本社组织的活动。 （四）其行为给本社名誉和利益造成严重危害。第14条 社员死亡的，其法定继承人（含一人以上）应在6个月内办理入社手续，继续享有权利并承担义务。法定继承人不愿意入社的，可以按照第十二条的规定申请退社。第3章 机构第15条 本社设立社员大会、理事会、监事会等内设机构。第16条 社员大会是本社的最高权力机构。社员大会由全体社员组成。经授权，社员代表大会，可以履行社员大会职权。社员代表由社员直接选举产生，其人数不少于社员总人数的五分之一，每届任期三年，可连选连任。第17条 社员大会或社员代表大会的职权： （一）审议通过本社章程，决定本社解散或与其它组织合并、联合等重大事项； （二）选举或罢免理事会、监事会成员； （三）审议制定本社生产经营方针、发展规划和年度生产经营计划、财务预算方案，本着“用多少，提多少”的原则，讨论、批准合作社提留办公经费、发展项目资金和有关人员工资的金额； （四）讨论、决定出售产品价格时，应及时对外签订各种购销合同； （五）审议批准本社理事会、监事会的年度工作报告和财务决算报告； （六）审议决定社员缴纳的每股金额、股金总额、每个社员认购股金的最大份额，会费分摊的原则和标准。 （七）审议决定扩大股本金及认购相关事宜； （八）讨论、决定购买生产资料（机具、工具、饲料），征租土地，建立各种用房，修路等项目； （九）讨论决定其他重大事项。第18条 社员大会至少每两个月开一次，遇有下列情形之一时，可以临时召开： （一）理事会提议； （二）监事会提议； （三）销售农产品季节，研究销售合同； （四）五分之一以上社员或三分之一以上代表提出。第19条 社员大会应当有三分之二以上的全体社员出席方可召开，要设签到本并存档。表决实行一人一票制。社员因不能到会，可书面委托其他社员代理，一个社员最多只能代理2名社员。各项决议须有出席会议的三分之二以上社员同意，方可生效。第20条 召开社员大会前，理事会须提前几天向社员通知会议内容，否则社员有权拒绝参加。第21条 理事会是社员大会的执行机构，负责日常工作，对本社大会负责。理事会社员大会选举产生，本合作社理事会由理事5人组成，每届任期三年，可连选连任。理事会选举产生理事长1人，理事长为本社的法定代表人。推荐选举理事长，要充分尊重社员的意愿，由社员选举产生，不能由政府和村委会指定。理事长应以为全体社员提供服务为宗旨，不能对社员进行行政管理，不能对社员从事本社业务范围以外的事项进行干预。经社员大会确定下来的工资由合作社在销售农产品销售额取；办公经费、项目资金提多少可根据社员的数量和农产品销售额大小来确定，在社员数量和农产品销售额很少的情况下，所聘人员工资一般每人每月300元，在社员数量和农产品销售额较大时，一般每人每月不能超过600元，理事长有特殊贡献时，可由社员大会予以确定提高工资或予以奖金。第22条 理事会行使下列职权： （一）组织召开社员大会，执行社员大会决议； （二）向社员大会提交需讨论审议的章程修订草案、建设项目、合同草案、提留总额等需要讨论决定的会议事项； （三）决定本社内部业务机构的设置； （四）讨论决定本社社员的入社、退主、除名、继承等事项； （五）决定对本社社员与职员的奖励和处分； （六）代表本社对外签订合同； （七）组织本社社员参加培训和各种协作活动； （八）聘用或解雇本社职员； （九）管理本社的资产和财务； （十）履行社员大会授予的其它职责，办理章程规定的有关事项。第二十三条 理事会负责本社经营活动，保障本社的财产安全。如因渎职失职、隐私舞弊等造成损失的，追究当事人的经济责任。构成犯罪的，由司法机关依法追究其刑事责任。 第二十四条 理事会议最少每个月开一次，每次会议须有三分之二以上理事出席方能召开，参加理事会议的三分之二以上理事同意方可形成决定。召开理事会议由理事长主持，应邀请监事代表列席，必要时可邀请社员代表列席。列席者无表决权。理事个人对某项决议不同意见时，须将其意见记入会议记录。 第二十五条 理事长的职责 （一）必须带遵守合作章程，大公无私，公道正派，忠实履行自己的职责，切实为广大社员服务，坚决按照社员大会或社员代表大会决定办事，坚持贯彻执行理事会、监事会的决定。 （二）必须认真执行民主集中制的制度，按照章程规定及时召开社员大会，对待定事项进行研究决定，决不允许凌驾于社员之上，个人专断，以权谋私。 （三）要代表广大社员的原意，与那些向合作社提供种牛、种鸡、兽药、添加剂或资金等各种养殖生产资料的龙头企业、工厂、公司、市场、协会等进行谈判，谈判内容必须经社员大会集体讨论，记录在案，并推选出谈判代表2人。 （四）要对与合作社签约的协会（或各类龙头企业）负责，凡协议中规定合作社应承担的工作任务，如产品的质量、数量；技术培训的组织；购进各种生产资料，都要通过组织社员，落实到位，以保证合作社与社会各方签订的协议落到实处。 （五）积极接受龙头企业为合作社提供的有偿或无偿系列服务，积极聘请其他专家、技术人员定期或不定期为社员提供有偿技术服务，提高生产率。 （六）要有计划地组织广大社员认真学习和贯彻国家的法律法规，提高社员政治素质和科技素质，培养新时代农民，。 （七）要不断增强对外开放的观念，大力发展创汇畜牧业，开展畜牧业招商引资，经常与各类规模较大的龙头企业沟通，洽谈，通过多方合作社在市场竞争中取得更好的经济效益。 （八）自己要积极学习有关法律法规，积极钻研技术，不断提高自己政
