2、ightstovariousotherlicensorpropertiesasdefinedinparagraph1oftheriderattachedheretoandherebymadeaparthereof(hereinaftercalledname),saidnamehavingbeenusedoverthefacilitiesofnumerousstationsinradioand/ortelevisionbroadcastinginalliedfields,andinpromotionalandadvertisingmaterialindifferentbusinessesandb

3、eingwellknownandrecognizedbythegeneralpublicandassociatedinthepublicmindwithlicensor,andwhereaslicenseedesirestoutilizethenameuponandinconnectionwiththemanufacture,saleanddistributionofarticleshereinafterdescribed,now,therefore,inconsiderationofthemutualpromiseshereincontained,itisherebyagreed:1.gra

4、ntoflicense(a)articlesuponthetermsandconditionshereinaftersetforth,licensorherebygrantstolicenseeasarelatedcompany,andlicenseeherebyacceptstheright,licenseandprivilegeofutilizingthenamesolelyandonlyuponandinconnectionwiththemanufacture,saleanddistributionofthefollowingarticles.(insertdescription)(b)

5、territorythelicenseherebygrantede_tendsonlyto_.licenseeagreesthatitwillnotmake,orauthorize,anyuse,directorindirect,ofthenameinanyotherarea,andthatitwillnotknowinglysellarticlescoveredbythisagreementtopersonswhointendorarelikelytoreselltheminanyotherarea.(c)termthetermofthelicenseherebygrantedshallbe

6、effectiveonthe_dayof_andshallcontinueuntilthe_dayof_,unlesssoonerterminatedinaccordancewiththeprovisionshereof.thetermofthislicensemaybeautomaticallyrenewedfromyeartoyearuponallthetermsandconditionscontainedherein,withthefinalrenewaltoe_pireondecember31st,_.attheendofeachterm,beginningwithdecember31

7、st,_,thislicenseshallbeautomaticallyrenewedforaoneyearterme_piringdecember31stofthefollowingyear,unlesseitherpartyheretoshallbegivenwrittennoticetothecontraryatleastthirty(30)dayspriortothee_pirationdate.2.termsofpayment(a)ratelicenseeagreestopaytolicensorasroyaltyasumequalto_percentofallnetsalesbyl

8、icenseeoranyofitsaffiliated,associatedorsubsidiarycompaniesofthearticlescoveredbythisagreement.thetermnetsalesshallmeangrosssaleslessquantitydiscountsandreturns,butnodeductionshallbemadeforcashorotherdiscountsoruncollectibleaccounts.nocostsincurredinthemanufacture,sale,distributionore_ploitationofth

9、earticlesshallbedeductedfromanyroyaltypayablebylicensee.licenseeagreesthatintheeventitshouldpayanyotherlicensorahigherroyaltyorlicensingrateorcommissionthanthatprovidedhereinfortheuseofthename,thansaidhigherrateshallautomaticallyandimmediatelyapplytothiscontract.(b)minimumroyaltieslicenseeagreestopa

10、ytolicensoraminimumroyaltyof_dollars($_)asaminimumguaranteeagainstroyaltiestobepaidtolicensorduringthefirstcontractterm,saidminimumroyaltytobepaidonorbeforethelastdayoftheinitialtermhereof.theadvancesumof_dollars($_)paidonthesigninghereofshallbeappliedagainstsuchguarantee.nopartofsuchminimumroyaltys

11、hallinanyeventberepayabletolicensee.(c)periodicstatementswithin_daysaftertheinitialshipmentofthearticlescoveredbythisagreement,andpromptlyonthe_ofeachcalendar_thereafter,licenseeshallfurnishtolicensorcompleteandaccuratestatementscertifiedtobeaccuratebylicenseeshowingthenumber,descriptionandgrosssale

12、sprice,itemizeddeductionsfromgrosssalespriceandnetsalespriceofthearticlescoveredbythisagreementdistributedand/orsoldbylicenseeduringtheprecedingcalendar_,togetherwithanyreturnsmadeduringtheprecedingcalendar_forthispurpose,licenseeshallusethestatementformattachedhereto,copiesofwhichformmaybeobtainedb

13、ylicenseefromlicensor.suchstatementsshallbefurnishedtolicensorwhetherornotanyofthearticleshavebeensoldduringtheprecedingcalendar_.(d)royaltypaymentsroyaltiesine_cessoftheaforementionedminimumroyaltyshallbedueonthe_dayofthe_followingthecalendar_inwhichearned,andpaymentshallaccompanythestatementsfurni

14、shedasrequiredabove.thereceiptoracceptancebylicensorofanyofthestatementsfurnishedpursuanttothisagreementorofanyroyaltiespaidhereunder(orthecashingofanyroyaltycheckspaidhereunder)shallnotprecludelicensorfromquestioningthecorrectnessthereofatanytime,andintheeventthatanyinconsistenciesormistakesaredisc

15、overedinsuchstatementsorpayments,theyshallimmediatelyberectifiedandtheappropriatepaymentmadebylicensee.paymentshallbein_.domesticta_espayableinthelicensedterritoryshallbepayablebylicensee.3.e_clusivity(a)nothinginthisagreementshallbeconstruedtopreventlicensorfromgrantinganyotherlicensesfortheuseofth

16、enameorfromutilizingthenameinanymannerwhatsoever,e_ceptthatlicensoragreesthate_ceptasprovidedhereinitwillgrantnootherlicensesfortheterritorytowhichthislicensee_tendseffectiveduringthetermofthisagreement,fortheuseofthenameinconnectionwiththesaleofthearticlesdescribedinparagraph1.(b)itisagreedthatifli

17、censorshouldconveyanoffertolicenseetopurchaseanyofthearticleslistedinparagraph1,inconnectionwithapremium,giveawayorotherpromotionalarrangement,licenseeshallhave_dayswithinwhichtoacceptorrejectsuchanoffer.intheeventthatlicenseefailstoacceptsuchofferwithinthespecified_days,licensorshallhavetherighttoe

18、nterintotheproposedpremium,giveawayorpromotionalarrangementusingtheservicesofanothermanufacturer,provided,however,thatinsucheventlicenseeshallhaveathree(3)dayperiodwithinwhichtomeetthebestofferofsuchmanufacturerfortheproductionofsucharticlesifthepriceofsuchmanufacturerishigherthanthepriceofferedtoli

19、censeebylicensor.licenseeagreesthatitshallnot,withoutthepriorwrittenconsentoflicensor,(i)offerthearticlesasapremiuminconnectionwithanyotherproductorservice,or(ii)sellordistributethearticlesinconnectionwithanotherproductorservicewhichproductorserviceisapremium.4.goodwilllicenseerecognizesthegreatvalu

20、eofthegoodwillassociatedwiththename,andacknowledgesthatthenameandallrightsthereinandgoodwillpertainingtheretobelonge_clusivelytolicensor,andthatthenamehasasecondarymeaninginthemindofthepublic.5licensorstitleandprotectionoflicensorsrights(a)licenseeagreesthatitwillnotduringthetermofthisagreement,orth

21、ereafter,attackthetitleoranyrightsoflicensorinandtothenameorattackthevalidityofthislicense.licensorherebyindemnifieslicenseeandundertakestoholditharmlessagainstanyclaimsorsuitsarisingsolelyoutoftheusebylicenseeofthenameasauthorizedinthisagreement,providedthatpromptnoticeisgiventolicensorofanysuchcla

22、imorsuitandprovided,further,thatlicensorshallhavetheoptiontoundertakeandconductthedefenseofanysuitsobroughtandnosettlementofanysuchclaimorsuitismadewithoutthepriorwrittenconsentoflicensor.(b)licenseeagreestoassistlicensortothee_tentnecessaryintheprocurementofanyprotectionortoprotectanyoflicensorsrig

23、htstothename,andlicensor,ifitsodesiresmaycommenceorprosecuteanyclaimsorsuitsinitsownnameorinthenameoflicenseeorjoinlicenseeasapartythereto.licenseeshallnotifylicensorinwritingofanyinfringementsorimitationsbyothersinthenameonarticlesthesameasorsimilartothosecoveredbythisagreementwhichmaycometolicense

24、esattention,andlicensorshallhavethesolerighttodeterminewhetherornotanyactionshallbetakenonaccountofanysuchinfringementsorimitations.licenseeshallnotinstituteanysuitortakeanyactiononaccountofanysuchinfringementsorimitationswithoutfirstobtainingthewrittenconsentofthelicensorsotodo.6.indemnificationbyl

25、icenseeandproductliabilityinsurancelicenseeherebyindemnifieslicensorandundertakestodefendlicenseeand/orlicensoragainstandholdlicensorharmlessfromanyclaims,suits,lossanddamagearisingoutofanyallegedlyunauthorizeduseofanytrademark,patent,process,idea,methodordevicebylicenseeinconnectionwiththearticlesc

26、overedbythisagreementoranyotherallegedactionbylicenseeandalsofromanyclaims,suits,lossanddamagearisingoutofallegeddefectsinthearticles.licenseeagreesthatitwillobtain,atitsowne_pense,productliabilityinsurancefromarecognizedinsurancecompanywhichhasqualifiedtodobusinessin_,providingadequateprotection(at

27、leastintheamountof_)forlicensor(aswellforlicensee)againstanyclaims,suits,lossordamagearisingoutofanyallegeddefectsinthearticles.asproofofsuchinsurance,afullypaidcertificateofinsurancenaminglicensorasaninsuredpartywillbesubmittedtolicensorbylicenseeforlicensorspriorapprovalbeforeanyarticleisdistribut

28、edorsold,andatthelatestwithin_daysafterthedatefirstwrittenabove;anyproposedchangeincertificatesofinsuranceshallbesubmittedtolicensorforitspriorapproval.licensorshallbeentitledtoacopyofthethenprevailingcertificateofinsurance,whichshallbefurnishedlicensorbylicensee.asusedinthefirst2sentencesofthispara

29、graph6,licensorshallalsoincludetheofficers,directors,agents,andemployeesofthelicensor,oranyofitssubsidiariesoraffiliates,anyperson(s)theuseofwhosenamemaybelicensedhereunder,thepackageproducerandthecastoftheradioand/ortelevisionprogramwhosenamemaybelicensedhereunder,thestationsoverwhichtheprogramsare

30、transmitted,anysponsorofsaidprogramsanditsadvertisingagency,andtheirrespectiveofficers,directors,agentsandemployees.7.qualityofmerchandiselicenseeagreesthatthearticlescoveredbythisagreementshallbeofhighstandardandofsuchstyle,appearanceandqualityastobeadequateandsuitedtotheire_ploitationtothebestadva

31、ntageandtotheprotectionandenhancementofthenameandthegoodwillpertainingthereto,thatsucharticleswillbemanufactured,soldanddistributedinaccordancewithallapplicablefederal,stateandlocallaws,andthatthesameshallnotreflectadverselyuponthegoodnameoflicensororanyofitsprogramsorthename.tothisendlicenseeshall,

32、beforesellingordistributinganyofthearticles,furnishtolicensorfreeofcost,foritswrittenapproval,areasonablenumberofsamplesofeacharticle,itscartons,containersandpackingandwrappingmaterial.thequalityanstyleofsucharticlesaswellasofanycarton,containerorpackingorwrappingmaterialshallbesubjecttotheapprovalo

33、flicensor.anyitemsubmittedtolicensorshallnotbedeemedapprovedunlessanduntilthesameshallbeaprovedbylicensorinwriting.aftersampleshavebeenapprovedpursuanttothisparagraph,licenseeshallnotdeparttherefrominanymaterialrespectwithoutlicensorspriorwrittenconsent,andlicensorshallnotwithdrawitsapprovaloftheapp

34、rovedsamplese_cepton_dayspriorwrittennoticetolicensee.fromtimetotimeafterlicenseehascommencedsellingthearticlesanduponlicensorswrittenrequest,licenseeshallfurnishwithoutcosttolicensornotmorethanadditionalrandomsamplesofeacharticlebeingmanufacturedandsoldbylicenseehereunder,togetherwithanycartons,con

35、tainersandpackingandwrappingmaterialusedinconnectiontherewith.8.labeling(a)licenseeagreesthatitwillcausetoappearonorwithineacharticlesoldbyitunderthislicenseandonorwithinalladvertising,promotionalordisplaymaterialbearingthenamethenoticecopyright(c)_(year)inconnectionwithnameproperties(e)and(f)inride

36、r,paragraph1,andanyothernoticedesiredbylicensorand,wheresucharticleoradvertising,promotionalordisplaymaterialbearsatrademarkorservicemark,appropriatestatutorynoticeofregistrationorapplicationforregistrationthereof.intheeventthatanyarticleismarketedinacarton,containerand/orpackingorwrappingmaterialbe

37、aringthename,suchnoticeshallalsoappearuponthesaidcarton,containerand/orpackingorwrappingmaterial.eachandeverytag,label,imprintorotherdevicecontaininganysuchnoticeandalladvertising,promotionalordisplaymaterialbearingthenameshallbesubmittedbylicensorforitswrittenapprovalpriortousebylicensee.approvalby

38、licensorshallnotconstituteiveroflicensorsrightsorlicenseesdutiesunderanyprovisionofthisagreement.(b)licenseeagreestocooperatefullyandingoodfaithwithlicensorforthepurposeofsecuringandpreservinglicensors(oranygrantoroflicensors)rightsinandtothename.intheeventtherehasbeennopreviousregistrationofthename

39、and/orarticlesand/oranymaterialrelatingthereto,licenseeshall,atlicensorsrequestande_pense,registersuchacopyright,trademarkand/orservicemarkintheappropriateclassinthenameoflicensoror,iflicensorsorequests,inlicenseesownname.however,itisagreedthatnothingcontainedinthisagreementshallbeconstruedasanassig

40、nmentorgranttothelicenseeofanyright,titleorinterestinortothename,itbeingunderstoodthatallrightsrelatingtheretoarereservedbylicensor,e_ceptforthelicensehereundertolicenseeoftherighttouseandutilizethenameonlyasspecificallyande_presslyprovidedinthisagreement.licenseeherebyagreesthatattheterminationore_

41、pirationofthisagreementlicenseewillbedeemedtohaveasigned,transferredandconveyedtolicensoranyrights,equities,goodwill,titlesorotherrightsinandtothenamewhichmayhavebeenobtainedbylicenseeorwhichmayhavevestedinlicenseeinpursuanceofanyendeavorscoveredhereby,andthatlicenseewille_ecuteanyinstrumentsrequest

42、edbylicensortoaccomplishorconfirmtheforegoing.anysuchassignment,transferorconveyanceshallbewithoutotherconsiderationthanthemutualcovenantsandconsiderationsofthisagreement.(c)licenseeherebyagreesthatitseveryuseofsuchnameshallinuretothebenefitoflicensorandthatlicenseeshallnotatanytimeacquireanyrightsi

43、nsuchnamebyvirtueofanyuseitmaymakeofsuchname.9.promotionalmaterial(a)inallcaseswherelicenseedesiresartworkinvolvingarticleswhicharethesubjectofthislicensetobee_ecuted,thecostofsuchartworkandthetimefortheproductionthereofshallbebornebylicensee.allartworkanddesignsinvolvingthename,oranyreproductionthe

44、reof,shall,notwithstandingtheirinventionorusebylicensee,beandremainthepropertyoflicensorandlicensorshallbeentitledtousethesameandtolicensetheuseofthesamebyothers.(b)licensorshallhavetheright,butshallnotbeunderanyobligation,tousethenameand/orthenameoflicenseesoastogivethename,licensee,licensorand/orl

45、icensorsprogramsfullandfavorableprominenceandpublicity.licensorshallnotbeunderanyobligationwhatsoevertocontinuebroadcastinganyradioortelevisionprogramorusethenameoranyperson,character,symbol,designorlikenessorvisualrepresentationthereofinanyradioortelevisionprogram.(c)licenseeagreesnottoofferforsale

46、oradvertiseorpublicizeanyofthearticleslicensedhereunderonradioortelevisionwithoutthepriorwrittenapprovaloflicensor,whichapprovallicensormaygrantorwithholdinitsunfettereddiscretion.10.distribution(a)licenseeagreesthatduringthetermofthislicenseitwilldiligentlyandcontinuouslymanufacture,distributeandse

47、llthearticlescoveredbythisagreementandthatitwillmakeandmaintainadequatearrangementforthedistributionofthearticles.(b)licenseeshallnot,withoutpriorwrittenconsentoflicensor,sellordistributesucharticlestojobbers,wholesalers,distributors,retailstoresormerchantswhosesalesordistributionareorwillbemadeforp

48、ublicityorpromotionaltie-inpurposes,combinationsales,premiums,giveaways,orsimilarmethodsofmerchandising,orwhosebusinessmethodsarequestionable.(c)licenseeagreestoselltolicensorsuchquantitiesofthearticlesataslowarateandonasgoodtermsaslicenseesellssimilarquantitiesofthearticlestothegeneraltrade.11.reco

49、rdslicenseeagreestokeepaccuratebooksofaccountandrecordscoveringalltransactionsrelatingtothelicenseherebygranted,andlicensoranditsdulyauthorizedrepresentativesshallhavetherightatallreasonablehoursofthedaytoane_aminationofsaidbooksofaccountandrecordsandofallotherdocumentsandmaterialsinthepossessionoru

50、nderthecontroloflicenseewithrespecttothesubjectmatterandtermsofthisagreement,andshallhavefreeandfullaccesstheretoforsaidpurposesandforthepurposeofmakinge_tractstherefrom.upondemandoflicensor,licenseeshallatitsowne_pensefurnishtolicensoradetailedstatementbyanindependentcertifiedpublicaccountantshowin

51、gthenumber,description,grosssalesprice,itemizeddeductionsfromgrosssalespriceandnetsalepriceofthearticlescoveredbythisagreementdistributedand/orsoldbylicenseetothedateoflicensorsdemand.allbooksofaccountandrecordsshallbekeptavailableforatleast_yearsaftrtheterminationofthislicense.12.bankruptcy,violati

52、on,etc.(a)iflicenseeshallnothavecommencedingoodfaithtomanufactureanddistributeinsubstantialquantitiesallthearticleslistedinparagraph1within_monthsafterthedateofthisagreementorifatanytimethereafterinanycalendarmonthlicenseefailstosellanyofthearticles(oranyclassorcategoryofthearticles),licensorinaddit

53、iontoallotherremediesavailabletoithereundermayterminatethislicensewithrespecttoanyarticlesorclassorcategorythereofwhichhavenotbeenmanufacturedanddistributedduringsuchmonth,bygivingwrittennoticeofterminationtolicensee.suchnoticeshallbeeffectivewhenmailedbylicensor.(b)iflicenseefilesapetitioninbankrup

54、tcyorisadjudicatedabankruptorifapetitioninbankruptcyisfiledagainstlicenseeorifitbecomesinsolvent,ormakesanassignmentforthebenefitofitscreditorsoranarrangementpursuanttoanybankruptcylaw,oriflicenseediscontinuesitsbusinessorifareceiverisappointedforitoritsbusiness,thelicenseherebygrantedshallautomatic

55、allyterminateforthwithwithoutanynoticewhatsoeverbeingnecessary.intheeventthislicenseissoterminated,licensee,itsreceivers,representatives,trustees,agents,administrator,successorsand/orassignsshallhavenorighttosell,e_ploitorinanywaydealwithorinanyarticlescoveredbythisagreementoranycarton,container,pac

56、kingorwrappingmaterial,advertising,promotionalordisplaymaterialpertainingthereto,e_ceptwithandunderthespecialconsentandinstructionsoflicensorinwriting,whichtheyshallbeobligatedtofollow.(c)iflicenseeshallviolateanyofitsotherobligationsunderthetermsofthisagreement,licensorshallhavetherighttoterminatet

57、helicenseherebygrantedupon_daysnoticeinwriting,andsuchnoticeofterminationshallbecomeeffectiveunlesslicenseeshallcompletelyremedytheviolationwithinthe_dayperiodandsatisfylicensorthatsuchviolationhasbeenremedied.(d)terminationofthelicenseundertheprovisionsofparagraph12shallbewithoutprejudicetoanyrightswhichlicensormayotherwisehaveagainstlicensee.upontheterminationofthislicense,notwithstandinganythingtothecontraryherein,allroyaltiesonsalestheretoforemadeshallbecomeimmediatelydueandpayableandnominimumroyaltiesshallberepayableo
