4、chasersagent/theagent,thepropertyknownas(hereinaftercalledtheproperty)subjecttothetermsandconditionshereincontained.2.thepurchasepriceofthepropertyishk$whichshallbepaidbythepurchasertothevendorinthefollowingmanner:(a)initialdepositofhk$shallbepaiduponsigningofthisagreement;(b)furtherdepositofhk$shal

5、lbepaiduponsigningoftheformalagreementforsaleandpurchaseonorbefore;and(c)balanceofpurchasepriceofhk$shallbepaiduponcompletionwhichshouldtakeplaceonorbefore.3.completionshalltakeplaceonorbeforeandthepropertyistobesoldtothepurchasersubjecttoclause17hereofbutotherwisefreefromincumbrances.4.uponcompleti

6、on,thevendorshalldelivervacantpossessionofthepropertytothepurchaser.5.thepurchasershallnotsub-sellthepropertyortransferthebenefitofthisagreement,whetherbywayofadirectorindirectreservation,rightoffirstrefusal,option,trustorpowerofattorney,nominationoranyothermethod,arrangementordocumentofanydescripti

7、on,conditionalorunconditional,orenterintoanyagreementsotodobeforethecompletionofthesaleandpurchaseoftheproperty.whenfi_ingthedateofsigningoftheformalagreementforsaleandpurchase,thepurchaserandvendorshouldrefertoclause8below.6.thevendorandthepurchaseragreethattheyshallseparatelyappointtheirownsolicit

8、ors.thevendorshallberepresentedbyandthepurchasershallberepresentedby.7.eachpartyshallbearitsownlegalcosts.subjecttoclause11hereof,allstampdutyshallbebornebythepurchaser.8.thepurchaseragreestoapplytothehousingauthorityforaletterofnominationwithinonemonthfromthedateofthisagreementbutinanyeventnolatert

9、hansevenworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.9.inordertoenablethepurchasertoapplyfortheletterofnomination,thevendoragreestotendertheoriginalofthecertificateofavailabilityforsaletothepurchaserorhissolicitorswithindaysfromthedateofthisagreementbutinanyeventnolaterthanseve

10、nworkingdayspriortothesigningoftheformalagreementforsaleandpurchase.10.shouldthepurchaserfailtoobtainaletterofnomination(otherwiseduetothevendorsfailuretotenderthesaidcertificateofavailabilityforsalepursuanttoclause9above)beforethesigningoftheformalagreementforsaleandpurchaseorfailtocompletethepurch

11、aseinmannerhereincontainedorfailtoobserveanyofthetermscontainedinthisagreement,thedepositshallbeforfeitedtothevendorandthevendorshallthenbeentitledathissolediscretiontosellthepropertytoothereligiblepurchasersashethinksfitbutwithoutprejudicetothevendorsrighttoclaimspecificperformanceanddamagesfromthe

12、purchaser.11.shouldthevendorfailtotendertheoriginalofthecertificateofavailabilityforsaletothepurchaserorhissolicitorsaccordingtoclause9ofthisagreementorfailtocompletethesaleinthemannerhereincontainedorfailtocomplywithanyofthetermsofthisagreement,thevendorshallforthwithreturnthedeposittothepurchasera

13、ndshallpaytothepurchaserasumequivalenttotheamountoftheinitialdepositasliquidateddamagesandshallalsoreimbursethepurchaserwiththepaymentofstampdutybutwithoutprejudicetothepurchasersrighttoclaimspecificperformanceanddamagesfromthevendor.12.inconsiderationoftheservicesrenderedbythevendorsagentandthepurc

14、hasersagent,entitledtoreceivehk$_fromthevendorandthepurchasersagentshallbeentitledtoreceivehk$fromthepurchaserascommission.suchcommissionshallbepaidonorbefore.orinconsiderationoftheservicesrenderedbytheagent,theagentshallbeentitledtoreceivehk$fromthevendorandhk$fromthepurchaserascommission.suchcommi

15、ssionshallbepaidonorbefore.13.ifinanycaseeitherthevendororthepurchaserfailstocompletethesaleandpurchaseinthemannerhereinmentioned,thedefaultingpartyshallcompensateatoncethevendorsagenthk$andthepurchasersagenthk$/theagenthk$asliquidateddamages.14.thepropertyissoldtothepurchaseronanasisbasis.15.thisag

16、reementsupersedesallpriornegotiations,representation,understandingandagreementsbetweenthepartieshereto.16.itisherebyagreedthatthesaleandpurchasehereofshallincludethechattels,furnitureandfittingsassetoutintheremarks.17.thepurchaseracknowledgesthatheispurchasingthepropertysubjecttotheliabilityforpayme

17、ntofpremiumassetoutinparagraph1ofthescheduletothehousingordinancecap.283.thevendordeclaresthatforthepurposeofcalculationoftheamountofpremiumunderparagraph1(b)ofthescheduletothehousingordinance,theinitialmarketvalueandthepurchasepriceofthepropertyarehk$andhk$respectively.18.ifthepurchaserismorethanon

18、eperson,theyshallholdthepropertyasjointtenants.19.itisherebyagreedthat*thevendorsagentistheagentofthevendoronlyandthepurchasersagentistheagentofthepurchaseronly/theagentistheagentforboththevendorandthepurchaser/forthevendoronly/forthepurchaseronly.20.itisdeclaredbythevendorandthepurchaserthattheyare

19、sellingandpurchasingthepropertyunderthehossecondarymarketschemeofthehongkonghousingauthorityandacknowledgethatthisagreementissubjecttotheterms,covenantsandconditionsmentionedinthescheduletothehousingordinance(cap.283)andanyamendmentsthereto.21.thesaleandpurchasehereofisalsosubjecttotheadditionalterms(ifany)setoutinthescheduleheretoandintheeventofanyco
