3、asitscounsel;andwhereas,aaaisdesirousofenteringintoanoutofcourtcomposition,e_tensionorotheracceptableagreementprovidingforthetreatmentofitsoutstandingclaims(thecompositionagreement)andfurther,aaahasagreedtoallowthecommitteeareasonableperiodoftimetoconductsuchduediligenceasitmayrequiretodeterminethef

4、easibilityandadvisabilityofenteringintosuchacompositionagreement(thestandstillperiod),andwhereas,otherthanasprovidedinparagraph2ofthisagreement,aaahasagreedthatduringthestandstillperioditshallmakenopayments,transfersorreturnsofmerchandiseonaccountofanyitsdebtsorobligationstoanyonethataroseoraccruedp

5、riortothedateofthisagreement,withoutthewrittenconsentofthecommittee.nowtherefore,forvaluableconsideration,includingtheforbearanceofeachcommitteemember,thepartiesherebyagreeasfollows:1.thisagreementshallremainineffectandshallterminateontheearlierof:(a)5:00p.m.(pacifictime)on_,_,_(m/d/y);(b)thecommitt

6、eeandaaaagree,inawritinge_ecutedinthesamemannerasthisagreement,tomodify,replaceorterminatethisagreement;(c)aaadefaultsunderorotherwiseviolatesthetermsofthisagreementandthecommitteeterminatesthisagreementoranorderforreliefunderthebankruptcycodeisenteredagainstaaaoranassignmentforthebenefitofcreditors

11、hfortheserviceprovided.tbfacknowledgesthatduringthestandstillperiodnolegalservicesshallbeprovidedforanyindividualcommitteememberoronbehalfofanyotherentityotherthanthecommitteeinconnectionwithaaaand/orthisagreement.tbfwillalsoforwardcopiesofthee_pensesincurredbythecommitteemember.5.duringthestandstil

12、lperiod,andsolongasaaahascompliedwithallofitsobligationsunderthestandstillagreement,themembersofthecommitteewill(a)forebearfrome_ercisingsuchrightsastheymayhaveagainstaaaforpaymentorcollectionofsumsthatmaybeduetothem,and(b)eitherjointlyorindividually,forebearfromparticipatinginthefilingofaninvolunta

13、rybankruptcyproceedingorstatecourtreceivershipagainstaaa.suchforbearanceisnotawaiverofanyportionoftheclaimsofanycommitteemember.6.thisagreementdoesnotcreateajointventureorcreateapartnershipbetweentheparties.7.thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterher

14、eof.allprioragreementsandunderstandingsaremergedhereinandtherearenooralunderstandingsapartformthetermsofthisagreement.thisagreementmaybealtered,amendedormodifiedonlybyawritteninstrumentsignedbyallpartiestothisagreement.8.thisagreementandanyissuesarisinghereunderwillbegovernedbythelawsofthestateofcalifornia.9.thisagreementmaybee_ecutedinoneormorecounterparts,includingfacsimiletransmittals,eachofwhichshallbedeemedanorigi
