4、cerningproduction,administration,operation,etc;2.协助甲方审核其在生产、管理、经营活动中重大合同、协议及其他法律事务文件；assistpartyatoreviewmajorcontracts,agreementsandotherlegalfilesregardingproduction,administrationandoperationactivities;3.优先代理甲方参加各类项目谈判、诉讼、非诉讼交涉调解或者仲裁活动；participateinvariousprojectnegotiation,litigation,non-litigat

5、ionmediationorarbitrationactivitiesonbehalfofpartyawithpriority;4.协助甲方对员工进行法制教育和法律培训；assistpartyatoconductlegaleducationandtrainingtoitsstaff;5.其他属于常年法律顾问工作范围的事务（详见附件三：常年法律顾问工作内容）。otherserviceswithintheworkingscopeofregularlegalcounsel(pleaserefertoanne_iii:servicescopeofregularlegalcounsel).未经双方协商同

14、artyaisentitledtosuperviseanddirectpartybscounselingworkforpartya五、乙方的权利和义务：article5partybsrightsandobligations1.乙方有权查阅与法律事务有关的文件和资料，了解甲方在生产、管理、经营活动中有关情况；partybisentitledtoconsultdocumentsandmaterialsrelatedtolegalaffairssoastograsptheproduction,administrationandoperationstateofpartya;2.乙方有权按年度向甲方收取

18、ingpartya.六、法律顾问费用：article6legalcounselingfee甲乙双方协商同意按以下标准结算法律顾问费用：bothpartiesagreeuponthefollowingstandardoflegalcounselingfee:1.年度收费：annualfee:乙方律师顾问费为每年度人民币元，本合同自20_年1月1日至20_年12月31日。甲方应于每年度的第一个月初支付给乙方（如20_年1月初支付20_年1-12月的年度顾问费）。partybshallcollectannualcounselingfeermbfrompartya.thetermofthiscontr

22、hallbepaidbypartya.（3）若需乙方异地出差，则乙方全部外地差旅食宿费用（由甲方事先核定确认）均由甲方承担，甲方于收到乙方相关票据之日起五（5）个工作日内按实报实销原则向乙方支付。ifbusinesstripisnecessary,allthetransportationandaccommodationcostsofpartybconcerningthetrip(confirmedbypartyainadvance)shallbebornebypartya.partyashallmakepaymenttopartybwithinfive(5)workingdaysuponthe

23、receiptofrelatedvouchersfrompartybforreimbursement.（4）甲方在乙方没有特殊书面指令的情况下，应当将本协议约定的顾问费汇入乙方下述银行账号：withoutspecialwritteninstructionfrompartyb,partyashallremitthecounselingfeestipulatedhereunderintothefollowingbankacofpartyb:乙方帐户：acname:开户银行：bankofdeposit:银行帐号：acno:七、乙方代理甲方参加重大项目谈判、诉讼、非诉讼交涉、调解或者仲裁活动等属于专项

24、事务的，应另订委托合同，乙方可酌情减低收费，金额由双方协商确定。参与诉讼或仲裁活动的，经双方同意乙方亦可采取风险代理制，即按实际收回款项额或实际减少损失额的_%收取律师费用。article7partybsparticipationinvariousmajorprojectnegotiation,litigation,non-litigationmediationorarbitrationactivitiesonbehalfofpartyabelongstospeciallegalaffairs,whichshouldbestipulatedseparatelybyspecialagencyco

25、ntract.partybmaygelowerfeeforthespecialagencywiththefinalamountdeterminedbybothparties.partybcouldalsoundertakeriskagencytoparticipateinlitigationorarbitrationifagreedbybothparties,then_%ofrecoverymoneyoractualreducedlossshallbecollectedasagencyfee.八、本合同为常年合同，自合本同签订之日起生效。任何一方如需解除本合同的，应提前一个月书面通知另一方，经

26、双方协商一致并书面确认，本合同即告终止，否则视为自然延续。article8thisisaperennialcontractwhichcomesintoeffectuponchopandsigning.eitherpartyintendingtoterminatethiscontractshallnotifytheotherpartyinwrittenformatleastonemonthinadvance,thenthiscontractshallbeterminatedbyconsensusandwrittenconfirmationofbothparties,otherwise,itsha
