The con diti ons are as below: 甲乙双方同意； Approved by both parties 乙方同意； Approved by Party B 甲方同意；Approved by Party A 在甲乙方获得专利权后的两年内，任一方未实施专利。 Neither Party A nor Party B has impleme nted pate nt two years after gran ted pate nt right. 第

15、三方获得专利使用权的，甲乙方须与第三方共同签订专利许可使用合同并报政府相 关部门备案，否则，许可使用无效。 If the third party obta in the right of pate nt lice nee ，both Party A and Party B shall sig n the pate nt lice nsing con tract with the third party and the con tract should be reported to the related official departme nts for record. Otherwise,

16、the pate nt lice nse right will be in valid. 第三方有偿使用专利权的，费用支付方式按照三方签订的专利许可使用合同约定进行。 The method of payme nt of the lice nsing fee shall be specified in the con tract sig ned by three parties and be implemented by the third party who has the non-free right of exploitatio n of pate nt. 四、违约责任 Responsib

17、ility of breaching the agreement 4.1 ，违反上述双方关于专利申请权和权利权、 专利使用权的任一规定， 应向对方支付违约 金 50 万美元，如违约金不足补偿损失的，还应赔偿损失，此损失分为直接损失及间 接损失，包括但不限于对方失去的利润、市场份额的丧失、品牌损失、重新开拓市场 的费用等。 The party who breaches any clauses of this agreement shall reimburse $500 ，000 to the counter party as compensation. 20、 那么订单量的计算为 1X10 万=10 万台。)If Party B promises a target sales amount in a given period ( two years in general), the “Patent Appraisement Table ”shall be attached and count the sales quantity or sales amount with the total fee for buying the patent.
