8、Report为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在 必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口 与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按 协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲 方提供其他供应商类似商品的报价和广告资料。In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at a

9、ny time when necessary, with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyers commentson quality, packing, price, etc. of the goods supplied by Party A under this agreem

Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.10. 广告及费用Advertising and Expenses 根据乙方的销售活动和市场运作活动计划甲方有义务向乙方提 供广告支持，包括提供样本，宣传册，电子版样本和大型的广告图画 等。乙方负担本协议有效期内在上述区域内销售代理商品做广告宣传 的一切费用，并向甲方提交所用于广告的声像资料， 供甲方事先核准。 Concerned advertisement

12、 and video materials intended for advertising for prior approval.11. 技术支持和培训条款：Technology support and training terms: 技术资料支持：甲方应向乙方提供较为详细和精准的图册和电子版。Technical Support: party A provides party B a more detail and accurate books and electronic components.技术培训：甲方有对乙方售后技术人员来国内进行维修技术培训的 义务。Technical traini

13、ng ： party A has the obligations to train party B s after-sale technical personnel.12. 工业产权Industrial Property Rights在本协议有效期内，为销售有关产品，乙方可以使用甲方拥有的商 标，并承认使用于或包含于产品中的任何专利商标、 版权或其他工业 产权为甲方独家拥有。 一旦发现侵权，乙方应立即通知甲方并协助 甲方采取措施保护甲方权益。Party B may use the trade-marks owned by Party A for the sale of the product

14、covered herein within the validity of this agreement, and shall acknowledge that all patents, trademarks, copy rights or any other industrial property rights used or embodied in the product shall remain to be the sole properties of Party A. Should any infringement be found, Party B shall promptly no

15、tify and assist Party A to take steps to protect the latters rights.乙方不得申请注册附件一所列商标或者申请与其商标相同或相似的 商标。未经甲方专门允许的情况下， 乙方在任何时候都不得表述其拥 有商标的权利和商标所有权。 乙方必须同意不作出任何损害商标权利 或所有权的行为或事件。Party B shall not apply for the registration of the trademarksin Annex I or cause to be done so in whole or in part or other tr

16、ademarks similar thereto with respect to the products or any other products in territory. Party B shall not represent at any time that it has any right or title in and to the Trademarks except as otherwise specifically provided for herein and shall agree not to do or cause to be done any act or thin

17、g which may in any way impair the right or title of the Trademarks.13. 协议有效期Validity of Agreement协议生效 : 此协议自有关当事人签署之日起生效。Effectivity of sole age nt agreeme nt: the sole age nt agreeme ntwill come into force upon duly sig natures of the con certed parties.协议有效期： 年月日到年月日This agreeme nt whe n duly sig

20、mi nate this agreeme nt.14. 不可抗力Force Majeure由于水灾、火灾、 地震、干旱、战争或协议一方无法预见、控 制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协 议，该方不负责任。但是，受不可抗力事件影响的一 方须尽快将发 生的事件通知另一方，并在不可抗力事件发生 15 天内将有关机构出 具的不可抗力事件的证明寄交对方。Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to floo

21、d, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a cer

22、tificate of the event issued by the relevant authorities to the other party within15 days after its occurrence.15. 仲裁条款：Arbitration ：此协议适用于中华人民共和国法律。 如有争端， 双方友好协商解 决。如协商不成的， 均应提交中国国际经济贸易仲裁委员会天津国际 经济金融仲裁中心，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。This agreement is enforceable in China court of laws and
