Chi na生产商:*以下简称“甲方地址：中国*I市* *Exclusive Exporter- * Co Ltd (called Party B)Add: No*Road,*District,*P. R. Chi na独家出口商:* 以下简称“乙方地址:* I市* *2、独家代理权的授予：Appo in tme nt of Exclusive Age nt:甲方正式委任乙方为其在*地区的

3、独家代理商，乙方接受甲方的委任。甲方同意不直接或间接以“ BBB、“ BBAB 品牌、或与其他任何非乙方的第三方单位建立契约关系来销售出口甲方的所有以“ BBB系列、BBAB 系列及以后开发的新型产品系列*和其*产品到乙方 代理区域。乙方承诺在上述区域内不销售非甲方生产的上述同类型产品，乙方承诺不在上述区域 内代理出口非甲方生产的上述同类型产品。Party A hereby appo ints Party B as its exclusive age nt in *, and at the same time. 9、%本协议继续生效。If Party B couldn ' t fulfill the 70% of sales target required ， Party A has the right toterm in ate the Agreeme nt un laterally. Party B shall be treated as qualified exclusive age ntand exclusive exporter if Party B reaches the sales target no less tha n 70%, theagreeme nt will be eff

10、ective.(4 )如果乙方完本钱协议规定总量的80% ，本协议到期日期自动延续到2021年12月31日If Party B fulfills the 80% of the total sales target, the Agreement will be automaticallyexte nded to 31th Dec. 2021.6、市场情况报告：Reports on Market Con diti ons:乙方有义务每三个月就当前市场情况及消费者意见提供详细报告给甲方，一旦有特殊市场变动，乙方也应 即时向甲方提供书面详情报告。所有对该品种的产品升级改进的要求，只要经济合理，甲方应予

11、以考虑， 依据乙方要求对产品进行改进和开发。Party B shall have the obligati on to forward once every three mon ths to Party A detailedreports on current market conditions and of consumer' s comments, and if there is anyspecial change in the market, Party B shall also report timely to Party A its full particulars in w

12、riti ng. All econo mically reas on able requests for upgrades and cha nges to the products in the line will be considered by Party A and Party A will make improvements accord ing to the feedback or requireme nts from Party B.7、价格和货款支付方式：Price and payme nt terms:(1) 价格：甲方同意给予乙方相关系列产品最优惠的人民币价格。Prices:

13、 Party A agrees to provide Party B the most favorable price for the producedproducts.(2) 货款支付方式：双方都同意的付款方式。Terms of payme nt: by the terms agreed and accepted by each both parties.8、 生产和交货周期：根据实际生产情况，最长不得超过30天。Production and delivery date: according to actual producing situation but it shall within3

14、0 days maximum 。9、商标的使用权和网络销售权的授予：Usufruct of the trade mark and internet marketing right 商标的使用权：甲方同意乙方在本协议有效期内在*区域使用甲方的BBB 品牌和BBAB 以及“ mW 商标标志；且品牌和商标的选定最终由乙方决定。Usufruct of the trade mark: Party A agrees that party B use theBBB , BBAB BRANDand the trading marks“ B日 A日 of the party A in territory of

15、*And the opti on of the brand and trad ing mark decided by party B.(2)网络销售权的授予：甲方同意提供应乙方上述产品网络分销权开展分售业务Party A agrees to provide Party B distributi ng marketi ng rights for the foreme nti oned products for retail markets.10、 广告宣传和市场推广：甲方同意乙方在市场宣传和推广中传播BBB 和BBAB 的品牌为 *公司为其生产商和品牌持有人.乙方保证不在代理的目标市场对上述的商

16、标进行 注册。根据乙方的销售活动和市场运作活动方案甲方有义务向乙方提供广告支持，包括提供样本， 宣传册，电子版样本和大型的广告图画等。Advertiseme nts and market promoti on regulati on: Part A agrees that Party B use thebrand of BBB 、 BBAB and trade mark“BBA日 .Party A confirms that theBBB BBAB bra nd is owned by*Co., Ltd. And Party B warra nt not to register the abo

17、ve mentioned brand and trade mark in * Concerned advertiseme nt material for Part B in clud ing suppl ying catalogues, leaflets, docume nts and big advertiseme nt pictures.11、技术支持和售后效劳条款：Tech no logy support and after-sales service terms:(1) 技术资料支持：甲方应向乙方提供较为详细和准确的零部件图册和电子版.Tech ni cal Support: Part

18、y A provides Party B a more detailed and accurate books and electr onic comp onen ts.(2) 技术培训和售后支持：甲方有对乙方售后技术人员来国内进行维修技术培训的义务.如果需要派人到目标市场进行售后效劳维修工作或者建立效劳站工作，甲乙双方另行协商并签订相关的协议，作为本协议的附件.Technical training and services support: Party A has the Obligations to train Party B after-sale technical personnel.

19、 If there is a need to send people to the target market for after-sales maintenance or establishing service station, Party A and Part B wil sign the甲方给relevant agreements as the attachments of the agreement after fully negotiation.(3) 经双方协商达成共识， 在效劳协议没有签订之前或不能正式为乙方提供售后效劳之前，予乙方每件*元的买断*件，且*件及*不包含在此内By

21、中心仲裁，上述仲裁结果均为最终结果，对各方均具有法律效力。This agreement is both enforceable in China and * court of laws and regulations. Incase any disputes, firstly both parties shall discuss for the settlement friendly. If can not reach agreement, shall be submitted to *International Arbitration Centre . The result shall be final arbitration and both parties shall follow.该协议一式两份，在双方签字盖章后，甲乙双方各持有一份。其他未尽事宜，双方可以进行协商 签订附件。附件具有同本协议同等的法律效力。该协议及其附件有中
