6、ed colour boundary line on the plan hereto annexed and marked as Annexure B (hereinafter referred to as “ the said Property ” ); 1AZB Comment: We understand that this agreement is proposed to be executed in and governed by the laws of Kenya. As such, the draft would require to be vetted and confirme

7、d by Kenyan counsel to ensure that the same complies with and in consonance with the laws of Kenya. Pursuant to discussions and negotiations held between the Owner andtheDeveloperthey have agre

10、ed to develop, on the said Property, a project comprising of an urban complex in Nairobi and a new general office building integrating hotels, offices and apartments2 on the said Property, together with such amenities and facilities as are commensurate to a project of this nature, and as more partic

The Parties are now desirous of recording the terms and conditions mutually agreed upon by and between them as hereinafter appearing: 订约方现希望记录下文出 现的经双方约定的条款及条件: NOW THEREFORE THIS AGREEMENT WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE PARTIES HERETO AS FOL

Development Rights shall have the meaning as ascribed to it under Clause 2 below; 1.1.5. Force Majeure shall have t

30、r the date hereof, from time to time, be amended, supplemented or re-enacted, and any reference to statutory provision shall include any subordinate legislation rules and regulations framed there under from time to time under that provision and include any statutes and rules or regulations made or g

57、_元。 第五条 付款方式 在本 协议经 甲、乙双方授 权代办签署生效后由 _ 方_安排下列 时间付款。 (1)在本 协议签署后 _ 日_内, _ 方_向 _ 方_支付 总投资的 _ ,%内 含定金 _ 万_元,合 计 _ 万_元; (2)在本 协议签署后 _ 日_内, _ 方_向 _ 方_支付 总投资的 _ ,%内 含定金 _ 万_元,合 计 _ 万_元。 第六条 前期工作安排 合作开 发项目的前期工作由甲方 负责 ,包括但不限于以下各 项: (1)落实合作开发项目用地 规划手续,获得合建项目占地的使用地 规划批文,土地使用 权人 为甲方,土地使用不附 带第三者的利益限制。 (2)落实合作开发

58、项目占地的 规划报建工作。 (3)完成合作开 发项目规划用地的拆迁、安置及 补偿工作,拆迁安置及 补偿费 用包含在 总投 资内。 (4)甲方 负责合作项目的整体供水、 污水处理、供 电、安装、供气、通 讯报装手续,甲 方应负责 合作 项目的资源供 应。 (5)甲方负责合作项目开工手 续的办理,获得开工证,使合作项目可以合法开工建 设。 第七条 承包 发包工作安排 合作项目由第三方承包开 发建设,在甲方 办理前期手 续时,乙方应给予必要协助。 第八条 工程管理 本协议签署后,甲乙双方各自委派 专人共同组织合作项目工程关 联办公室,具体 协商工 程管理、 项目进展、人 员联络、财务及工程进度安排。

59、 管理办公室按前述第六条、第七条 职责规定,具体 协调、落实。 第九条 物 业交付 合作开 发物业应于竣工后交付使用,合作 项目应取得建 设工程质量核验证书 。 合作开 发物业竣工交付 时,甲乙双方 应 共同参加承包商、 设计 单位的竣工 验 收。 第十条 产权 确认与产权过户 _ 本协议签署后应报送 (_合作 项目主管机关) 审批,以便按本 协议规定 确定合作 项目性质物业的产权归 属,即甲方分得 _ 的_产权,乙方分得 _ 的_产权。 按法律及政策 规定,乙方分得物 业时,相应分摊的国有土地 应办 理土地使用 权变更登 记 手续,即将该片国有土地使用 权人变更为乙方的手 续。此项手续由甲方
