2、。第一条乙方的身份确认:1. 乙方为甲方提供劳务期间,不属于劳动法意义上的劳动关系,甲、乙双方不第2页共22页存在劳动法上的权利义务关系,甲方不为乙方提供各项社会保险待遇。乙方须自行购买意外伤害和医疗保险,保险期间必须覆盖在甲方的劳务期。2. 甲乙双方之间的法律关系为劳务关系,双方对此没有任何疑问和争议。3. 甲方不为乙方办理任何在华居留的法律手续,乙方须自行解决在华合法居留身份问题。第二条乙方的工作内容:1. 根据甲方的需要,乙方的工作岗位为,工作内容为。甲方根据需要可以随时对乙方的工作岗位和工作内容进行调整,乙方应当服从甲方。2. 乙方应当根据甲方的要求按时、按质、按量完成甲方安排的工作。

3、第三条 本合同的期限:1. 本合同期限为个月,自年月日至年月日止,其中试用期为个周/月,自年月日至年月日止。2. 本合同期限届满经双方协商一致可以延长。双方应当另行签署协议确定合同期限以及双方权利义务。第四条劳务报酬及待遇:1. 在乙方为甲方提供正常劳务的情况下,乙方劳务报酬为每日元(人民币)。2. 甲方按照如下方式向乙方支付劳务报酬:于签约的次月按月入银行卡,一般于每月 10 日发放。甲方如遇特殊情况不能按时支付劳务费,应及时通知乙方,延期支付不得超过 30 天。因为银行责任迟付乙方报酬,甲方免责。3. 乙方的劳务报酬均为税前收入,乙方承担纳税义务,甲方进行代扣代缴。第3页共22页4. 乙方

4、未按照甲方要求的质量、数量和时间完成工作任务的,甲方有权根据乙方实际完成工作的情况发放乙方相应的劳务报酬。5. 乙方由于工作失误或者重大过失,给甲方造成重大经济损失的,甲方有权以乙方劳务报酬冲减甲方经济损失。乙方因故意给甲方造成经济损失的,应负责赔偿。构成犯罪的,应当追究刑事责任。6乙方工作期间发生疾病、意外伤害或事故的,乙方的医疗费用和其他损失,由乙方所投商业保险承担,甲方不承担任何责任。第五条关于知识产权和商业秘密,乙方承诺:1. 除非法律另有规定或者双方另有约定,乙方在本合同履行期间,根据甲方工作安排、由甲方提供资金、设备、技术、人员等各方面条件或以甲方名义,由乙方单独或者共同完成的所有

5、创作、发明、专利、著作以及国家法律所保护的其他知识产权,均归甲方所有,乙方享有署名权以及依法获取报酬的权利。2. 乙方在本合同履行期间直接或者间接地知悉的甲方商业秘密,乙方在本合同履行期间以及本合同终止、解除后,只要该商业秘密未通过合法途径进入公知领域,乙方就应当负有保密义务,且该义务是无条件的、无期限的,甲方不需要对乙方进行任何形式的补偿。3. 根据乙方在甲方所承担的工作,在甲方认为必要的情况下有权要求乙方签署保密协议或者竞业禁止协议等法律文件,如双方对此协商不一致的,甲方有权解除本合同,并不承担任何违约责任。第六条本合同的续签、变更、终止、解除:1. 本合同期限届满,经双方同意,可以续签,

6、除非有书面协议约定,本合同各第4页共22页项条款内容不变。2. 本合同经协商一致并签订书面协议可以变更,在变更协议签订并生效以前,本合同所有条款继续有效。3. 本合同在下列情况下终止:3.1 本合同期限届满,双方未续签的。3.2 甲方被依法解散、被宣告破产清算、被依法吊销营业执照的。3.3 乙方死亡或者被依法宣告死亡或者下落不明的。3.4 由于不可抗力造成本合同无法继续履行或者继续履行已经没有必要的。3.5 经各方协商一致终止履行的。3.6 法律规定或者本合同约定的其他终止条件出现时。4. 本合同在下列情况下解除:4.1乙方严重违反甲方规章制度,甲方有权解除本合同,乙方的行为造成甲方经济损失的

7、,甲方有权追究乙方的赔偿责任。4.2 由于身体、能力、知识、工作态度、团队精神等方面的原因乙方不能胜任工作的,或者本合同订立时所依据的客观事实发生重大变化导致本合同无法继续履行的,甲方经提前3 日通知可以提前解除本合同,且甲方不构成违约。4.3 乙方经提前 15 日书面通知甲方可以解除本合同,且不承担违约责任,但以下情况除外:乙方有违反甲方工作纪律或者制度造成甲方重大经济损失的。乙方独立或者共同地承担重要劳务项目或者重大政治任务,尚未完成且无法安排他人接替其工作的。4.4 甲、乙双方协商一致可以提前解除本合同,双方对于违约责任有约定的按第5页共22页照约定履行。双方没有约定,互相不承担违约责任

8、,但甲方为乙方承担了培训费用的,按照培训协议履行。4.5 甲、乙双方约定的其他解除情况发生时。5. 本合同终止或者解除后,乙方应当在 3 日内办理财务、设备、工作交接等离职手续。甲方应当结算并支付乙方劳务报酬,但乙方给甲方造成经济损失尚未赔偿完毕或乙方拒绝办理交接手续的除外。第七条违约责任:1. 本合同各方应当依照约定严格履行各自的义务,任何违反约定全部或者部分不履行义务的行为,都构成违约行为,应当承担违约责任。2. 违约一方应当按照本合同约定承担违约责任,本合同没有约定的,按照法律规定承担违约责任。本合同和法律均未有规定的,如一方违约行为给对方造成了经济损失的,对方有权要求赔偿。3. 乙方违

9、反本合同约定解除本合同的,以乙方上个月全部劳务报酬收入总额为基数,承担三个月的违约金。甲方的经济损失超过违约金的,乙方应当承担赔偿责任。4. 甲方违反本合同约定解除本合同的,按国家法律规定承担违约责任。第八条 不可抗力:1. 不可抗力是指不可预见、不可避免、不可抗拒的自然事件和事故,如地震、火灾、战争、水灾、风暴、洪水、流行性疾病、政府紧急状态以及其他不能预见并且对其发生和后果不能防止或者避免的客观或者人为事件。2. 因不可抗力原因导致本合同无法继续履行的,本合同终止履行,双方互不承担违约责任,乙方已付出劳动的,甲方应向乙方支付劳务报酬或者费用。第6页共22页3. 由于不可抗力致使直接影响本协

10、议的履行或者不能按约定的条件履行时,遇有上述不可抗力的一方,应立即通知对方,并应在15 日内,提供不可抗力详情及本协议不能履行,或者部分不能履行,或者需要延期履行的理由的有效证明文件,此项证明文件应由不可抗力发生地区的公证机构出具,按其对本协议的影响程度由双方协商决定是否解除协议,或者部分免除履行协议的责任,或者延期履行协议。第九条争议解决:本合同在履行中发生的与本合同有关的一切争议,由甲、乙双方协商解决。协商不成时,甲、乙双方同意提交北京市石景山区人民法院解决。第十条通知及送达:1. 本合同中载明的地址为双方履行本合同的唯一有效且能够送达之地址,任何一方地址发生变更,应当以书面方式通知对方。

11、没有履行通知义务的,对方向本合同列明地址的文件送达视为通知已经送达。2. 本协议履行过程中,任何涉及本合同履行、变更、解除、终止、义务豁免、追索等都应当采取书面形式通知,包括但不限于传真、文件、协议、普通信函、挂号信函、特快专递、电报等。3. 通知可以传真、当面送达、邮寄送达的形式进行送达,如以上方式无法送达的,可采用公告送达的形式进行送达。以传真方式送达通知的,视发送当日为送达日。当面送达的,以签字收取时间为送达时间。普通邮寄送达的,本市的以信函交付邮寄之日起第3 日为送达时间;非本市的以信函交付邮寄之日起第7 日为送达时间。以特快专递送达的,以特快专递送达签收时间为送达时间。挂号信函以交付

12、邮寄之日起第 10 日为送达时间。公告送达的,以公告发布之日第7页共22页起第 2 日为送达时间。4. 由于通知发出一方的原因造成通知发出的地址或者传真号码错误,导致通知不能送达或者延迟送达的,以通知发出方更正地址或者传真号码并重新进行送达之日开始计算送达期限。第十一条 本合同的理解:1. 本合同为双方所同意后签署,取代双方此前就本合同有关事项的任何口头或书面形式的协议、合同、备忘录、谅解或其它任何安排。2. 本合同双方承诺,对于本合同的所有文字及内容已经全部知晓、理解并认可,并同意遵守并履行本合同的全部内容。3. 在本合同的履行过程中,双方如对本合同的内容理解发生争议的,应当本着诚实、信用、

13、公平、善良的原则协商进行处理。第十二条 其他:1. 本合同自双方签字之日起生效。2. 与本协议有关的履行、协商、争议解决之程序和实体法律均适用中国法律。3. 本合同未尽事项,由甲、乙双方另行议定,并签订补充协议。补充协议与本合同不一致的,以补充协议为准。4. 本合同之附件均为本合同不可分割之一部分。本合同及其附件内,空格部分填写的文字与印刷文字具有同等效力。本合同附件包括:。5. 本合同及其附件和补充协议中未规定的事项,均遵照中华人民共和国有关法律、法规和政策执行。本合同由甲方的外籍人员管理部门负责解释。6. 本合同一式四份,每份均用中文、英文书就,两种文本具有同等法律效力。本合同甲方执三份,

16、 not have a labor contract relationship;4. Party B is a foreign passport holder who possesses a working visa which allows him/her to seek employment in China.5. This agreement seeks to regulate the rights and obligations ofboth sides and protects the legitimate interests of Party B as aservice provi

The two parties reach the following agreement afterconsultation in accordance with relevant national and provincialrules and regulations, and they agree to obey the agreement.Article 1: Identification of Party B1During Party B s service at Party A, the two parties do not havesuch an employment

18、relationship as enshrined in the Labor ContractLaw, and they do not have the rights and obligations as stated inthe same law. Party A does not provide Party B with various insurancebenefits. Party B should purchase by him/herself accidental injuryinsurance and medical insurance policies which cover

19、Party Bsservice at Party A.2Legally speaking, the relationship between Party A and Party B isa service-based relationship, about which neither party has anydoubt or disagreement.3. Party A is not responsible for obtaining for Party B a residentialpermit. Its Party Bs own responsibility to solve the

20、issue of第11页共22页his/her right of abode in China.Article 2 Party Bs Job Descriptions1. 22、_, _.2 Upon the expiration of the contract, the two parties can extendit after they reach agreement through consultation. They should signa new contract which defines a new service period and rights andobligations of both sides.Article 4 Payment and Benefits1If Party B offers normal service to Party

In case Party A can not do it on time, it should inform PartyB immediately. Such a delay can not exceed 30 days. P

24、arty A is exemptfrom liability if a delay is on the banks end.3The payment of Party B is taxable. Party B has the obligation topay tax. Party A will deduct and pay tax on Party Bs behalf.4In case Party B fails to complete the work within a standardacceptable by Party A, specifically, in terms of qua

25、lity, quantityand time frame, Party A has the right to pay Party B in accordancewith Party B s actual performance.5Where Party B makes a serious mistake which causes severe economiclosses to Party A, Party A has the right to make up for its losseswith Party B s remuneration. If Party B intentionally

26、 causeseconomic losses to Party A, Party B should pay compensation. IfParty B s acts constitute a criminal offense, Party B should takecriminal responsibility.6. If Party B suffers an illness or accidental injury during his/herservice for Party A, Party s B s medical expenses and otherrelated losses

27、 will be taken care of by his/her insurance company.Party A will not be responsible in this regard.Article 5 Intellectual Property Rights and CommercialConfidentiality第13页共22页1With exceptions to laws or agreement between Party A and Party B,Party A has the ownership of all the works, inventions, pat

28、ents andother intellectual property rights under national law protection.This applies to work Party A assigns to Party B by which Party Bcompleted independently or jointly with other people within thecontractual period, by using the funds, equipment , technology andhuman resources provided by Party

29、A. Party B has the right to becredited and paid according to law.2Party B has a duty to treat commercial secrets obtained directlyor indirectly during the contract period in confidentiality duringand after the contractual period so long as the secrets do not becomepublic knowledge through legitimate

30、 means. This obligation isunconditional and indefinite, for which Party A is not obligated tocompensate Party B in any form.3Given the job description of Party B, Party A has the right toask Party B to sign Confidentiality Agreement, Non-Compete Agreementor other legal documents. If the two parties

31、can not reach agreementafter consultation, Party A has the right to terminate the contractwithout paying Party B compensation in any form.Article 6 Renewal, Amendment and Termination of the Contract1When the contract expires, Party A and Party B can renew thecontract upon agreement. Except those lis

32、ted in a written agreement,第14页共22页the provisions in the contract remain unchanged.2The contract can be amended after the two parties reach agreementthrough consultation. All the provisions in the contract remaineffective before an amendment is signed and takes effect.3The contract is terminated aut

33、omatically if one of the followingscenarios occurs:31 The contract expires and Party A and Party B have not signed anew contract.32 Party A is declared bankrupt, disbanded , revoked itsoperating license in accordance with the law.33 Party B dies or is declared dead or missing by the courts.34 Becaus

34、e of force majeure, the contract can not be performed orthere is no need to perform the contract.35 Parties agree on the termination of the contract throughconsultation.36 Other circumstances under which the contract must be terminatedas required by law or by the contract.4The contract may be cancel

35、ed in the following circumstances:41 Party A is entitled to rescind this contract if Party Bseriously violates Party A s rules and regulations. Party A has theright to ask Party B for compensation if Party B causes Party Aeconomic losses.第15页共22页42 Party A may rescind the contract if Party B proves

36、unqualifiedfor the job because of his/her health problems, incompetence , lackof knowledge , unconscientiousness and lack of team spirit. Thecontract may be canceled where the conditions under which thecontract was signed have undergone major changes causing the contractto be ineffective. In this ca

37、se, Party A shall give Party B a three-day notice prior to cancellation which does not violate the contract.4.3 Party B may rescind the contract by giving Party A a 15-daywritten notice which does not violate the contract. But the followingcircumstances are exceptions.s work discipline and procedure

38、s andcausesParty A to suffer major economic losses.he/she is assigned to do either independently or jointly withothers , and it is impossible to arrange another person to take upthe job.4.4 The contract may be terminated upon agreement between the twoparties.The parties will follow the contract if i

39、t provides how one partyshould take responsibility for breaking the contract. If the contractdoes not have such contents, no party will be responsible for第16页共22页termination of the contract. But if Party A pays for the training forParty B , they should still follow their agreement on training.4.5Cir

40、cumstances occur under which the contract must be cancelledas required by the contract.5 Within 3 days after the contract is terminated or cancelled,Party B should go through all the procedures before departureconcerning finance, equipment and job handover. Party A shouldsettle accounts with Party B

41、 and pay Party B for his/her service,unless Party B has not paid full compensations for the economiclosses it caused to Party A or Party B refuses to undergo handoverprocedures.Article 7 Responsibility for Breaking the Contract1All parties involved in the contract should follow the contract intheir

42、best endeavor to fulfill their respective obligations. Any actor behavior that partially or fully conflicts with contractualobligations constitute a violation of the contract and the relevantparties should take responsibility.2The party who breaks the contract should take responsibility inaccordance

43、 with the contract, or relevant laws if unspecified in thecontract. If unspecified neither in the contract nor in the laws, aparty has the right to demand compensation if the other party causeseconomic losses to it.第17页共22页3If the contract is cancelled due to Party B s violation, Party Bshould pay p

44、enalties amounting to three times his/her salary of theprevious month. If Party A s economic loss outweighs the maximumpenalties, Party B should pay a compensation equivalent of Party As economic loss.If the contract is canceled due to Party As violation, Party Ashould take responsibility in accorda

45、nce with national laws.Article 8Force Majeure1Force majeure refers to unpredictable, unavoidable anduncontrollable natural occurrences or accidents, includingearthquakes , fires, wars , floods , storms , epidemics, nationalstate of emergency, and other incidents with consequences of whichcan not be

46、prevented or avoided.2The contract may be discontinued if force majeure makes itimpossible or meaningless to perform the contract and no party isresponsible. Party A must pay Party B for the work Party B has doneprior to the occurrence of force majeure.In circumstances where force majeure directly a

47、ffects the executionof the contract or makes it impossible for the contract to beeffective under conditions agreed, the party that encounters forcemajeure should inform the other party with no delay and, within 15days, present a detailed account of force majeure and a certificate第18页共22页giving the r

48、easons why the contract can not be executed or has to bepostponed. Such a certificate must be issued by the notary agency ofthe region where the force majeure occurs. The two parties willdecide , through consultation, whether they will cancel thecontract, or exempt part of their responsibilities, or

49、 postpone theexecution of the contract.Article 9Solution to DisputesParty A and Party B agree to solve, through consultation, alldisputes that arise in the course of the execution of the contract.If agreement cannot be reached, the two parties agree to submitdisputes to the jurisdiction of the Peoples Co
