If Buyer fails toso order any quantity provided for under this Agreement， Seller shall not beobliged s

19、ations， and priceadjustment restrictions)， inability to obtain material， equipment ortransportation， andany othersimilaror differentcontingency.The party whoseperformance is prevented by any such contingency shall have the right to omitduring the period of such contingency all or any portion of the

20、quantitydeliverable during such period， whether upon the total quantity deliverableunder this Agreement shall be reduced by the quantity so omitted. If， due toany such occurrence， Seller is unable to supply the total demands for anymaterialspecifiedin this Agreement， Seller shall have the rightto al

21、locateits available supply among its customers and its departments and divisions ina fair and equitable manner. In no event shall Seller be obliged to purchasematerialfrom othersin orderto enable to delivermaterialto Buyer hereunder.13.任何一方不必为在其合理控制能力之外的意外情况导致的违约承担责任，该等意外事件包括：自然灾害、火灾、洪水、战争、劳资纠纷、意外事故

22、、劳工争议或短缺、政府法律、法令、规则和条例，不管有效的还是失效的（包含但不限于，优先权、征用、调拨和价格调整限制） ，原材料、设备或交通不到位以及任何其他类似的和不同的意外事件。在该等意外事件发生期间内，受阻方可以全部或部分撤销在该时期内应该订购的货物，其在本合同项下的应订货量也依照该撤销部分的数量相应减少。如果卖方因为该等意外事件不能将本合同项下的货物交付买方，则卖方有权以公正公平的方式将该等货物分配给其客户或各个部门。在任何情况下， 卖方都没有义务为了能够向买方发货而购买货物。因不可抗力事故（包括天灾、火灾、洪水、战争、破坏、意外事件、劳资纠纷或劳力缺乏）、政府法律、法律、规则和条例 不

23、论是否合法，包括（但不排除其他）优先权、征第7页共10页用、分配及价格调整限制等 、物质设备及运输短缺、以及其他类似的或不同的意外事故，双方当事人均可免去违约责任。遇刺事故的当事人有权免去全部或部分在该事故期内本应收、发的货物，免去之数额应从合同总额中扣除。由于上述事故使得卖方无法提供本合同规定数额之某种商品，卖方有权公平合理的在其顾客、部门和分公司之间就可能提供之商品进行分配。在任何情况下均不得迫使卖方为满足买方的供货而向他人购买商品。14. THE FOREGOING WARRANTIES ARE EXCLUSIVE，AND ARE

26、 IN LIEU OF ALL OTHERWARRANTIES (WHETHERWRITTEN，ORAL OR IMPLIED) INCLUDING WARRANTY OFMERCHANTABILITY IN OTHER RESPECTS THAN EXPRESSLY SET FORTH ABOVE AND WARRANTYOF FITNESS FOR A PARTICULAR PURPOSE. This Agreement shall be binding upon andensure to the benefitof the respectivesuccessorsand assigneesof each of theparties hereto， but any assignment there ofby eitherparty without the priorwritten consent of the other party shall be void.
