10、n,well protectedagainst wolsture and shocks,Pressure,wet.13、装运通知：卖方在货物装运前，先将合同号、品名、件数、毛重、净重、发票金额,载货飞机名及启航日期、航班号以传真通知买方。Advice of shipment : The Sellers shall upon completion of loading ,advise the Buyers by cable of the contract number,name of commodity,number ofPackages,gross and net weights,invoic

11、e value,name of vessel and its loading date.14、检验：Inspection:15、索赔：如发现货物的品质、规格和数量与合同、信用证或发票不符，除属于保险公司及船公司的责任外，买方有权在货卸目的口岸后90 天内，根据中国商品检验局出具的证明书向卖方提出索赔。如果卖方在收到买方提出的索赔后一个月之内未做答复，买方即认为索赔已被卖方接受。索赔的一切费用由卖方承担。Should the quality , specification and quantity/weight be found not in confermity with the contra

14、认的人力不可抗拒原因造成不可预测的事以致不能按合同约定交货时，卖方应立即以电报通知买方，并在14 天内航寄买方事故发生地点的有关政府或商会发给的证明文件证明事故的存在。卖方由于人力不可抗拒所造成的事故发生，在买方未确认前不排除其责任。如人力不可抗拒的原因继续存在，在合约规定的交货期后一个月仍不能交货，买方有权撤消合约，买卖双方均不互提索赔，如卖方不能取得出口许可证，不得作为不可抗力。Force Majeure:If delivery cannot be effected as stipulated in this Contract owing to unforesean accicent ca

15、used by generally recognized “ Force Majeure ” the Sellers shall notify the Buyers immediatery by cable ,and airmail to the Buyers within 14days thereafter a_certif icate of the accident issued by the government authorities or Chamber of Commeice at the Place of such accident as evidence thereof,The

16、 Sellers shall not be absolved from Theirresponsibility before such an incident is acknowledged as Force Majeure by the Buyers in the event of the Force Majeure causes continuing and delaying shipment buyed one month from the contracted delivery date,the Buyers shall have the option to cancel this C

17、ontract and in such event no penalty shallbe claimed by either party against the other,Sellers failure to obtain the expertnoliclicumstenceancesunderbe considered as Force Majeure.17、罚款：除本合同第16 条人力不可抗拒原因外，如卖方不能按期交货，买方有权撤消合约，因此而造成买方的损失应由卖方赔偿，或经买方同意在卖方缴纳罚款的条件下延期交货，罚金在议付款时由付款银行扣除。罚金应不超出迟交货物总值的5%，罚款率为每七

18、天0.5%，若少于七天则按七天计算。Penalty if the Sellers fail to effect due delivery owing to cause other than Force Majeure as stipulated in Clause 16,The Buyers shall have the option tocancel this contract and the Sellers shall be reaponsible for the Buyer s losses arising there fromers.Ormalternatively,thepostpo

19、ne,withSellBuyers coasent .delivery on the condition that the Sellers pay to the Buyers a penalty,which shall be deducted by the paying bank at the time ofnegotiationfor payment ,The penally,however,shall not exceed 5% of the total value of the goods involved in the late delivery.The rate of Penalty

20、 is charged at 0.5% for every seven days ,add days less than seven days should be counted as seven days .18、仲裁：凡是因为执行合约或与合约有关事项所发生的争执，双方应协商解决， 如协商不能解决时，应提交北京中国国际贸易促进委员会对外贸易仲裁委员会根据中国国际贸易促进委员会对外仲裁委员会的仲裁程序暂行规则进行仲裁，仲裁裁决是终局的，对双方都有约束力。仲裁费用除仲裁委员会另有决定时，由败诉一方负担。Arbitration:Any dispute in connction with this
