4、:_转运：Transshipment _:第七条 包装Article 7 Packing所供货物必须由卖方妥善包装，适合远洋及长途陆路运输，防潮、防湿、防震、防锈、耐野蛮装卸，以确保货物不致由上述原因受损，使之完好安全到达安装或建筑工地。任何由于包装不善所致任何损失均由卖方负担。The Seller shall arrange appropriate packing suitable for long-distance ocean and land transportation and make sure the Commodities well protected against tide,

5、 moisture, shock, rust and improper movement as well as assure the Commodities arrive the place of installation or construction safely. The Seller shall be liable for any damage resulted by the improper packing. 第八条 唛头Article 8 Marks卖方必须用不褪色油漆于每一包装箱上印刷包装编号、尺码、毛重、净重、提吊位置、“此端向上”、“小心轻放”、“保持干燥”等字样及下列唛头：

11、f delivery confirmation of all technical documents.装运后即刻发给买方的已装运通知电报电传附本一份。 f. One copy of telegraph or telex of loading notice promptly sent to the Buyer after shipment. .全套按发票金额110投保_ 的保险费。 g. 110% invoice value insurance policy covering _risk.2.卖方在装运后10天内，须航空邮寄三套上述文件(除外)一份寄给买方，两份寄目的港_运输公司。2.The S

The Seller must advise the Buyer the estimated shipment time, contract number, invoice value, number of the cases and weight and measurement of each case with

16、in 20 days before delivery. 3.卖方必须在装船完毕后48小时内，以电报电传方式向买方通知货物名称、数量、毛重、发票金额、船名和启运日期。3. The Seller must advise the Buyer the Product name, quantity, gross weight, invoice value, carrier name and shipment date by Telegraph/ fax within 48 hours after loading.4.如果任一单件货物的重量达到或超过_ 吨，长 米，宽 米，卖方须在装船期前50天向买方提供

19、。b. Connection description manual, electric drawings, gas/hydraulic pressure connection drawings.易磨损件的制造图纸和说明书。 c. Manufacture drawings and description manual for consumables.零配件目录。 d. Machine parts list.安装、操作和维修说明书。 e. Installation, operation and maintenance manual.2.此外，在签订合同60天内，卖方必须向买方或最终用户挂号航空邮寄

In addition, within 60 days after signing the Contract, the Seller shall send the technical document provided in the above Item 1 Article 12 by air to the Buyer or the final customer. 21、. 第十三条安装指导Article 13 Installation guide第十四条 保质条款Article 14 Warranty卖方必须保证所供货物系用上等材料和一流工艺制造、崭新、未曾使用，并在各方面与合同规定的质量、规格和性能相一致，在货物正确安装、正常操作和维修情况下，卖方必须对合同货物的正常使用给予_天的保证期，此保证期从货物到达起开始计算。The Seller should guarantee that the Commodities offered herein to be of proper materials, with first class workmanship,

22、brand-new and unused, and corresponds in all respect with the quality, specification and performance stipulated in the Contract. 23、d maintained.第十五条 检验Article 15 Inspection1.卖方制造厂商必须在交货前全面、准确地检验货物的质量、规格和数量，签发质量证明书，证明所交货物与合同中有关条款规定相符，但此证明书不作为货物质量、规格、性能和数量的最后依据，卖方或制造厂商应将记载检验细节和结果的书面报告附在质量说明书内。1. The Seller/Manufacturer should carry out the complete and correct inspection on Commodities quality, specification and quantity before d

24、elivery and issue the quality certificate showing the Commodities delivered in conformity with those stipulated in the Contract. However the quality certificate could not be regarded as the final proof of the Commodities quality, specification, performance and quantity. The Seller or manufacturer sh

25、ould work out a written report recording the inspection process and result and attach it to the quality certificate.2.在货物抵达目的地港之后，买方须申请中国商品检验局(以下称商检局)就货物质量、规格和数量进行初步检验，并签发检验证明书。如果发现到货的质量、规格和数量与合同不符，除应由保险公司或船方负责者外，买方在货物抵达目的港后_天内有权拒收货物，向卖方索赔。2. The Buyer should apply to the China Commodity Inspection

26、Bureau (hereafter called as “Bureau”) for the initial inspection on quality, specification and quantity, and issuing the inspection certificate, when the Commodities arrive at the destination port. In case that the quality, specification and quantity of the Commodities be found not in conformity wit

27、h those stipulated in the Contract, the Buyer shall have the right to refuse the acceptance of the Commodities within _days after the Commodities arrive at the destination port and lodge claims against the Seller in addition to the responsibility by the insurance company or the carrier.3.如果发现货物的质量和规

28、格与合同规定不符或货物在本合同第14条所述保证期内被证明有缺陷，包括内在缺陷或使用不适当原材料，买方将安排商检局检验，并有权依据检验证书向卖方索赔。3. In case that the quality and specification of the Commodities be found not in conformity with those in the Contract or the Commodities be proved defective within the warranty period provided in the Article 14 including the

29、inside defects or made of improper raw material, the Buyer shall arrange the Bureau to inspect the Commodities and claim the Seller according to the inspection certificate.4.如果由于某种不能预料的原因在合同有效期内检验证书不及办妥，买方应电告卖方延长商检期_ 天。4. If the inspection certificate could not be issued within the effective period

30、of the Contract due to the unforeseen reasons, the Buyer should request the Seller to extend the Contract by _ days for inspection by telephone or fax.第十六条 索赔Article 16 Claims1.若卖方对货物与合同规定不符，且买方在本合同第14条、第15条规定的检验和质量保证期之内提出索赔时，卖方在征得买方同意后，须按下列之一种或几种索赔：1. 31、do not satisfy the specification in Contract and the Buyer claim against the Seller within the inspection and warranty period provided in the Article 14 and 15 of the Contract, the Buyer shall claim the Seller according to the following after getting the consent from the Seller:.同意买方退货，并将所退货物金额用合同规定

32、的货币偿还买方，并承担因退货造成的一切直接损失和费用，包括：利息、银行费用、运费、保险费、检验费、仓储、码头装卸费以及监管保护所退货物的一切其他必要费用。a. The Seller agrees to take back the Commodities and return the payment of the shipment in the currency provided in the Contract to the Buyer as well as be responsible for all the direct loss and expenses resulted from the

33、 returning process of the Commodities including the interest, bank charges, freight, insurance, inspection fee, storage fee, loading and unloading fee at the port and all the necessary expenses for managing and protecting the returned Commodities. .按照货物质量低劣程度、损坏程度和买方蒙受损失金额将货物贬值。 b. The Seller shall

34、reduce the value of the Commodities according to the poor quality, damage and the loss the Buyer suffers.用符合合同规定的规格质量和性能的新部件替换有瑕疵部件，并承担买方所蒙受的一切直接损失及费用，新替换部件的保质期须相应延长。 c. The Seller shall change the defected parts with the new parts in accordance with the quality, specification and performance in the

35、 Contract and be responsible for all the relative direct loss and expenses suffered by the Buyer. And the warranty period for the new parts shall be extended accordingly. 2.若卖方在收到买方上述索赔书后一个月之内未予答复，则视为卖方接受索赔。2.In case the Seller does not give any answer to the Buyer within one month after receiving t

36、he claim statement from the Buyer, it shall be deemed that the Seller accept it. 第十七条 不可抗力Article 17 Force Majeure1.如签约双方中任何一方受不可抗力所阻，无法履约，履约期限则按照不可抗力影响履约的时间作相应延长。1. Should either Party be prevented from executing the Contract due to Force Majeuer. The time for implementing the Contract shall be ext

37、ended by a period equivalent to the effect of the occurrences.2.受阻方应在不可抗力发生和终止时尽快电告另一方，并在事故发生后14天内将主管机构出具的事故证明书挂号航空邮寄给另一方认可。2. The prevented party shall inform the other party as soon as possible by fax or telephone when the Force Majeuer occurs and terminates. A certificate issued by competent auth

38、orities concerned should be sent to the other party by registered airmail for the confirmation within 14 days of the occurrence of Force Majeure.3.不可抗力事件持续超过120天，另一方有权用挂号航空寄书面通知，通知受阻一方终止合同，通知立即生效。3. In case the consequences of the Force Majeure last for more than 120 days, the other party has the ri

39、ght to terminate the Contract by informing the prevented party through registered airmail.第十八条 仲裁Article 18 Arbitration由于执行本合同而发生的一切争执，应通过友好协商解决，如果不能解决，则.提交中国国际经济贸易仲裁委员会，按照其程序仲裁。仲裁机构的裁决具有最终效力，双方必须遵照执行。仲裁费用败诉一方承担，仲裁机构另有裁定者除外。仲裁期间，双方应继续执行除争议部分之外的合同其他条款。All disputes arising from the execution of the Co

40、ntract shall be settled through friendly consultation between both Parties. In case no agreement can be reached through consultation, they shall be submitted to China International Economic and Trade Arbitration Commission for settlement in accordance with its Rules.The arbitration award shall be fi

41、nal and binding on both parties. Both parties shall act accordingly. The arbitration fee shall be borne by the losing party unless stipulated in the award.In the course of arbitration both parties shall continue to execute the Contract except those terms that have disputes. 第十九条 延期和罚款Article 19 Dela

42、y and Penalty 如卖方不能按合同规定及时交货，除因不可抗力事故之外，若卖方同意支付延期罚款，买方应同意延期交货，罚款通过议付行在议付时扣除，但是罚款额不得超过货物总值的5。罚金率按每星期0.5计算。不足一星期者按一星期计。如果卖方交货延期超过合同规定船期10星期，买方有权撤消合同，尽管撤消了合同，卖方仍须向买方立即支付规定罚款。In case the Seller could not deliver the Commodities in time, except resulted by the Force Majeure, and the Seller agrees to pay

43、the penalty for the delay, the Buyer should agree to delay the delivery. The penalty shall be deducted from the payment when paid by the paying bank; however the penalty should not exceed 5% of the total value of the shipment. 0.5% per week of the shipment shall apply to the penalty. It shall be dee

44、med as one week if less than one week. In case the shipment from the Seller delays 10 weeks exceeding the arrival date provided in the Contract, the Buyer has the right to terminate the Contract. The Seller should pay the penalty to the Buyer promptly even though the Contract is terminated.第二十条 适用法律

45、Article 20 Applicable law本合同适用中华人民共和国法律。The Contract shall be governed by the laws of the Peoples Republic of China.第二十一条 附加条款Article 21 Other terms1 本合同有效期为_年。 2 本合同用中英文两种文字写成，若买卖双方对文字内容有不同理解时以中文文字为准。本合同正本一式四份，买卖双方各二份。 3 本合同的附件为本合同不可分割的组成部分，与合同正文具有同等法律效力。如附件与正文有冲突之处,正文内容优先。 4 对本合同条款的任何修改、增减和变更，须经双方
