Party A shall have the right to supervise implementation of various management regulatio ns by Party B.3、甲方有权向乙方投诉管理服务方面问题。3. Party A shall have the right to file a compla int to Pa

13、rty B about the problems in the aspect of man ageme nt service.4、甲方有义务服从乙方的管理，同时甲方须保证其雇员、访客和其受甲方许可进 入大厦内的人员在使用、管理、维护该物业过程中遵守本协议和大厦的相关规定。甲方 的雇员、访客和其受甲方许可进入大厦内的人员在使用、管理、维护该物业过程中的失 责行为、违约行为、侵害行为，均视作甲方自身的行为，并由甲方承担相应的责任和费 用。4. Party A shall have the obligation to obey Party B' s management, meanwhile

14、 Party A must guarantee its employees, visitors and personnel allowed by Party A to enter the building to comply with the provisions of this agreement and relevant regulations of the building in the process of use, management and maintenance of this property. Default, breach and infringement actions

15、 of Party A' semployees, visitors and personnel allowed by Party A to enter the building in the process of use, management and maintenance of this property shall be considered as Party A own 'acstions and Party A shall bear corresponding liability and cost.5、甲方置于该物业内财产的相关保险事宜由甲方自行解决或委托乙方协助办理

16、， 费用由甲方承担。5. The insurance which Party A effects on the properties within this property shall be settled by itself or commissioned to Party B to assist in handling, and the expense shall be borne by Party A.6、甲方同意乙方 (或乙方授权的代理人 )在合理的时间内，经事先通知 (或在紧急情 况下，未经事先通知 )进入该物业巡视，检查该物业内部各部分状态或处理紧急事项。 需由甲方负责进行的维修

17、，甲方应根据乙方 (或乙方授权的代理人 )的要求立即自行出资 予以维修 ;否则乙方 (或乙方授权的代理人 )有权代为维修，所需费用由甲方承担。需由乙 方负责进行的维修，乙方应立即派人进行维修。6. Party A agrees Party B (or the agent authorized by Party B) to enter and make rounds within this property subject to prior notice (or without prior notice in emergency situation) in order to check the

For the repair for which Party A is responsible, Party A shall immediately make repair at its own cost according to the requirements of Party B (or the agent authorized by Party B); otherwise Party B (or the agent authorized

19、by Party B) shall have the right to make such repair at the cost of Party A. For the repair for which Party B is responsible, Party B shall immediately arrange personnel to make repair.7、甲方进驻大厦后，不得私自改变建筑原貌，未经乙方允许不得在楼外和楼内公 共空间、墙面张贴设置广告、标牌等，不得影响建筑物内外景观，不得以任何形式占用 楼内公共空间。7. 20、ding, it shall not change the original appearance of the building without authorization and shall post or set up advertisement, sign board, etc. outside and inside the public space and on walls of the building without permission of Party B, which shall not affect the internal and external landscape

21、of the building and shall not occupy the public space inside the building in any form.8、因甲方对该物业使用、 管理、维护不当等原因而致他人财产或人身受到损害时， 甲方应自行解决由此而引发的纠纷，并自行承担由此而导致的损失和后果。8. In case of damage to properties of others or personal damage due to Party A's improper use, management, maintenance, etc. of this prope

22、rty, Party A shall settle the dispute arising out thereof by itself and undertake the loss and consequence arising out therefrom by itself.9、甲方不得在大厦内进行非法活动，不得进行任何妨碍或侵扰其他用户的活动。 如有上述行为，乙方有权终止与其的一切协议。9. Party A shall not conduct any illegal activities inside the building and shall not conduct any activ

23、ities which hinder or disturb other users. If there is any above behavior, Party B shall have the right to terminate all the agreements with it.10、甲方有义务保持楼内整洁，不得在公共区域内堆放货物或杂物。如发生上述 情况，经乙方书面警告 2 小时内不予清理，乙方有权予以制止、清理，并向甲方征收清 除费。如造成损失，由甲方全权负责。 In case of any loss, Party A shall be bear all the liabiliti

25、arty B, Party B shall have the right to stop and eliminate it and charge Party A for elimination fee. In case Party A needs to occupy the public space temporarily due to special situation, it must submit an application to Party B beforehand, and store its goods in a unified way according to the stor

26、age area and storage period approved by Party B after Party B approves the application.11、甲方不得在楼内存放任何易燃易爆、剧毒等危险品，以和进行任何危害楼宇 和人员人身安全，或引致投购保险失效或使保险费增加的活动。11. Party A shall not store any dangerous products such as inflammable, explosive and extremely toxic substances, etc. inside the building and condu

27、ct any activities which endanger the safety of the building and personnel, or cause to invalidate the insurance covered or increase insurance premium.12、未经乙方批准，甲方不得擅自更改、迁移或增大用电水装置。用电量超过大 厦提供的基本电量，甲方应交纳超出部分的电贴费和相应的工程改造费用。12. Without approval of Party B, Party A shall not modify, relocate or increase

28、the capacity of water and/or electricity consuming device. In case electricity consumption exceeds the basic electric consumption provided by the building, Party A shall pay the electric subsidy fee of the exceeded part and corresponding engineering retrofitting fee.13、甲方须服从大厦广场管理人员的管理，按规定存放泊停车辆。违反规

29、定者， 乙方工作人员有权以纠正和制止。13. Party A shall obey the management of the building's square moannaegl ement persand park its vehicle as stipulated. In case of any breach, Party B' s workers shall havto rectify an stop it.14、甲方有义务爱护大厦内外的一切设备设施，因甲方的责任造成的损失和由此 引发的一切费用由甲方承担。14. Party A has the obligation

30、to take care of all the equipment and facilities inside and outside the building, and shall undertake any loss on its account and any and all the costs incurred thereby.15、甲方入住时对房屋有装修要求，应提前 5 日向乙方提出书面申请并同时报送 装修方案，经乙方同意后方可进行装修。进场装修的施工队伍应具备合格资质条件，经 乙方同意后方可入场施工，并接受乙方的监督检查。15. In case Party A requires t

31、o decorate the house upon residence, it shall submit written application to Party B five days ahead of the application and submit its decoration scheme at the same time, then it can carry out decoration after consent of Party B. The construction team entering the site for decoration shall have accep

32、table qualification conditions, shall not enter the site for construction until Party B approves and shall accept Party B' supervision and inspection.16、由于甲方系统设备出现故障而对甲方设备财产造成的损坏或损失，由甲方自 行保险承担。乙方不予负责。16. For any damage or loss caused to Party A' s equipment and property due to failure ofPart

33、y A ' s system and equipment, Party A shall effect insurance for them and undertake them by itself. Party B shall not bear any liability.四、乙方的权利和义务IV. Rights and Obligations of Party B1、乙方有权对大厦进行有效的管理，制定管理规章和有偿服务的收费标准、违约 处理标准，建立健全财务管理制度，并根据日常管理运行，建立一套完整的工作程序， 并在实践中不断完善。1. Party B shall have the

34、right to exercise effective management of the building, develop management regulations and charging standards for paid service as well as standards for treatment of breaches, establish and perfect financial management system, and establish a set of complete working procedures according to its daily

35、management an continuously perfect them in its practice.2、乙方有权检查、 巡视大厦公共区域和共用设施设备。 乙方(或乙方授权的代理人 ) 在合理的时间内，经事先通知 (或在紧急情况 )可以进入该区域巡视，检查该房内部各部 分状态或采取各种措施处理紧急事项，甲方不得以任何理由进行阻挡。2. Party B shall have the right to inspect and make its rounds to the public area and public facilities and equipment. Party B (o

36、r its authorized agent) may enter the said area to make its rounds subject to prior notice (or in emergency situation) within reasonable time to inspect the condition of each part inside the house or take various measuresto deal with emergency situation, and Party A shall not stop Party B from doing

37、 so for any reason whatsoever.3、如果甲方未征得乙方的允许私自装修，或装修时违反装修规定，要求甲方将装 修物业恢复原貌，由此发生的修复费以和对乙方造成的损失费全部由甲方承担。情节严 重或拒不服从管理者，乙方有权终止与其签订的一切合同，甲方装修期间，乙方有权进 入装修物业，检查装修是否按规定正常进行。3. In case Party A carries out decoration privately without permission of Party B or violates decoration regulations during the decorat

38、ion, Party A is required to reinstate the appearance of the decorate property, and shall undertake the rehabilitation expense incurred thereby and all losses incurred to Party B. In serious case or in case Party A refuses to obey the manager, Party B shall have the right to terminate all the contrac

39、ts signed with it, during the decoration of Party A, Party B shall have the right to enter the property under decoration to check if the decoration is carried out normally according to the regulations.4、乙方负责大厦内部公共区域和外部周边环境的清洁卫生。4. Party B shall be responsible for the cleaning and hygiene of the publ

40、ic areas inside the building and its surroundings.5、乙方负责协助政府职能部门做好大厦的安全、公共秩序维护、消防等工作，定 期组织有关方面的宣传教育，做到发现问题和时处理。5. Party B shall be responsible for assisting governmental functions to well do such works as of safety, maintenance of public order, fire protection, etc. of the building, regularly organi

41、ze relevant publicity and education in order to handle any problem in time once it is found.6、乙方负责大厦公共设备设施的维护、保养工作。其中所有高档仪器设备由专人 负责，制定标准的操作程序，对有关人员定期培训。非由大厦或物业管理公司提供的设 备设施，乙方不负责其维护、维修。6. Party B shall be responsible for maintenance work of public equipment and facilities inside the building. For all

42、 high-grade apparatus and equipment, Party B shall specially assign personnel to be responsible for maintenance of them, work out the standard operation procedures and carry out periodic training on relevant personnel. Party B shall not be responsible for maintenance and repair of the equipment and

43、facilities not provided by the building or property management company.7、乙方有权清除、拆除任何不符合管理规定的建筑物、安装物以和公共区域摆放 的货物或杂物，并向有关单位或人员征收清除费或违约金。7. Party B shall have the right to remove or dismantle any building and installation not complying with the management regulations and goods or sundries laid in publi

44、c area, and charge removal fee or liquidated damages to relevant unit or person.8、乙方负责控制和安排大厦广场内所有车辆的停放，并有权拖离所有违反规定停 放车辆。8. Party B shall be responsible for controlling and arranging the parking of all the vehicles inside the building square, and have the right to tow off all the vehicles parked in

45、violation of the regulations.9、发生紧急情况和突发事件时，乙方有责任采取应急措施，保障楼内人员生命财 产安全，最大限度减少各方面的损失。9. In case of emergency situation and sudden event, Party B shall have the right to take emergency measures to safeguard the safety of the people and properties inside the building in order to minimize the loss in eve

46、ry aspect.10、乙方应认真对待客户投诉，凡属管理责任问题要和时解决，并将解决结果通 知客户 ;凡近期无法解决的，乙方负责向甲方解释。10. Party B shall carefully treat customer complaints, where the complaint belongs to the problem of management responsibility and needs to be settled in time, Party B shall notify the result of the solution to the customer; wher

47、e the complaint cannot be solved in short term, Party B shall be responsible for explanation to Party A.11、乙方应做好各项配套服务。11. Party B shall well do various supporting services.12、乙方须接受甲方的监督检查。12. Party B must receive supervision and inspection of Party A.五、违约责任V. Liability for breach of agreement1、双方均应

48、遵守本协议的各项规定，任何一方违反本协议的规定，应承担违约责 任;给对方造成经济损失的，还应赔偿损失费。1. Both parties shall observe various provisions of this agreement, any party in breach of any provision of this agreement shall bear the liability for breach; in case Party B cause the other party to suffer economic loss, it shall compensate Party

49、 A for the loss.2、若甲方未能按期缴纳各项费用，乙方有权书面通知甲方立即缴付。甲方逾期7日未能缴付，甲方须按延迟缴纳天数，按每日3%。的标准向乙方缴纳滞纳金。2. In case Party A fails to pay various fees as scheduled, Party B shall have the right to require Party A to pay immediately by giving a written notice to it. In case Party A fails to pay the fees seven days afte

50、r the specified date, Party A shall pay the fine for late payment to Party B at a rate of 3% per day according to the days of late payment.3、甲方未经乙方许可，进行的装饰、装修造成了对原建筑物的改动，甲方须按原 建筑物造成的 2-5 倍支付违约金。3、In case Party A carries out decoration and fitment, which cause modification to the original building wi

51、thout consent of Party B, Party A shall pay the fine for breach at a rate of 25 times of the cost of the modification to the original building.4、甲方违约在公共区域堆放货物、杂物或加建建筑物，乙方有权向甲方收取清理 费。4. In case Party A stacks goods, sundries or additionally constructs building in the public area in breach of the regu

52、lations, Party B shall have the right to charge removal fee to Party A.5、若乙方在甲方未有违约的前提下，单方面提前终止协议，则乙方需向甲方双倍 返还所收费用 ;若甲方提前终止本协议，乙方不予返还甲方所缴纳的相关费用。5. 53、y A; in case Party A terminates this agreement in advanee. Party B shall not refund related fees paid by Party A.六、不可抗力VI. Force majeure1、由于地震、台风、暴雨、火灾、战争以和其他不能预见情况，并且对其发生的 后果不能防止或避免的人力不可抗拒事件，而致影响任何一方不能履行本协议或不能按 本协议约定的条件履行本协议时，遇有上述不可抗力的一方，应立即以电报或传真的方 式通知另一方，并在15日内提供不可抗力详情和本协议不能履行或部分不能履行或需 要延期履行的理由的有

54、效证明文件。此项证明文件应由双方协议解决是否解除本协议， 或者部分免除履行本协议的责任，或者延期履行本协议。1. Both parties shall, through consultation, decide whether to terminate this agreement or to exempt part of the obligations for impleme ntati on of the agreeme nt or whether to delay the executi on of the agreeme nt.2、若乙方与XX的合同终止，本协议随合同终止日一
