1、精选文档外贸佣金合同范例外 贸 佣 金 合 同甲方：（生产厂家）乙方：（中 间 人）依据中华人民共和国合同法和有关法律法规的规定，乙方接受甲方的托付，为甲方产品查找海外客商，双方经协商全都，签订本合同。第一条：托付事项： 甲方托付乙方查找海外客商。其次条：托付事项的具体要求：（1） 甲方应保证所生产产品的合法性及保证产品质量，若消灭产品质量问题和其他不合法问题，后果均由甲方担当。（2） 海外客商交易的具体价格、交货方式、支付方式等由乙方与海外客商双方协商商定，但乙方需要和甲方沟通并争得其同意。（3） 乙方不对甲方与海外客商的交易供应任何信用担保，甲方应严格按国家和国际的"FOB C&

2、amp;F或 CIF条款"执行与海外客商所签定的合同。（4）为便利乙方联系业务，甲方需要准时供应除乙方本职以外的全部便利，货款达到甲方帐户后，甲方应准时通知乙方，以便乙方开展下一步工作。      （5）在整个过程中，乙方只担当自己联系客户的电话费，上网费，路费，自己的饭费，款待费，其他一切费用都由甲方担当。（6）乙方只负责联系客户，签定合同，其他全部工作都由甲方完成。（7）在佣金合同期满之前，凡是乙方为甲方联系的客户，甲方不能不通过乙方而直接和乙方联系的客户签定合同，一旦乙方发觉，甲方除了支付该合同相应的佣金给乙方外，甲方还需要支付

3、销售额的5%作为罚金支付给乙方。（8）若销售合同在佣金合同结束之前签定并收到客户定金，而生产或此销售合同的终止在佣金合同期满之后执行，则甲方需要连续依据佣金合同所规定的佣金率支付此销售合同中相应的佣金给乙方。（9）在佣金合同期满之前，乙方在甲方履行该合同的状况下，不得任凭将订单转移到别的工厂；在佣金合同期满之后，甲方假如想跟乙方所联系的客户直接联系业务，需征得乙方的同意，协商方可。否则甲方需要连续依据佣金合同所规定的佣金率支付所发生业务金额相应的佣金给乙方。第三条：佣金的计算、给付方式、给付时间：（1） 甲方同意按每笔合同成交总额的3%支付佣金给乙方。（2） 给付方式准时间：在甲方与乙方所介绍

4、的海外客商签定合同并收到定金后，甲方应支付总佣金的30%给乙方，该供应合同在收到客户的大部分余款后的5天之内支付余下的佣金给乙方。（若在收回余款时，由于银行费用或其他的一切缘由而造成与实际应收货款相差，范围在300美金或300美金之内，甲方不得因这个问题而拒绝支付或拖延支付乙方佣金）。若为全额信用证，则在甲方收到货款后，5天内支付总佣金给乙方，其他同上！第四条：违约责任：（1） 甲方若不按本合同第三条的（2）执行，逾期一天应支付乙方滞纳金，滞纳金系数为：总佣金的5/天。（2） 甲方同意凡乙方所介绍的海外客商，其将来与甲方发生的每笔业务，甲方都将按本合同的第三条支付佣金给乙方，否则，甲方愿接受合

5、同成交额的30%罚款支付给乙方。第五条：关于销售合同中止问题在乙方联系好业务并开头生产和选购后，若是由于甲方的缘由中止了乙方与外国客户的销售合同，则甲方要担当国外客户的损失，并还要连续支付乙方该笔销售合同应得的佣金。若是由于国外客户的缘由造成合同的中止，则甲方不支付乙方的佣金！乙方不担当任何损失和后果！第六条：争议解决方式对违约行为若双方协商不成，可凭此合同向人民法院提出诉讼。第七条：本合同未尽事宜双方协商解决。本合同一式贰份双方各执壹份具有同等法律效用。本合同双方签字盖章（或按手印）即为有效。 m#bJAW 5本合同有效期限从_年_月_日 到 _年_月_日有效，有效期_年。甲方：乙方：日期：
