15、的依据。2、如货到合同指定交货地点时发生货物破损，收货人应立即与承运商签订设备破损证明，并将此证明原件在到货后10日内提交乙方，以便乙方向承保方办理索赔事宜；若收货人未与承运商签订设备破损证明，则视为甲方已对货物的外包装及数量无异议。3、在下列情形出现之日（二者较早之日），甲方应妥善保管，货物丢失、毁损的风险同时转移给甲方承担：（1）甲方接收设备；（2）乙方或乙方委托承运人按照合同约定将货物运至甲方指定地点而甲方无理由拒绝接收。4、 若甲方在合同约定的交货期内未按照第四条第2款的约定向乙方发出书面交货通知，则乙方可在交货期届满后随时向甲方出具书面的货物备妥通知并交运货物，甲方须在收到该货物备妥

16、通知后立即安排收货。如自乙方货运交付地之日起5日内甲方仍未安排收货，甲方承担货物灭失风险 。六、安装与验收：1、甲方自接收货物之日起2日及时通知乙方，甲乙双方指派代表到现场清点及安装验收。（1）开箱清点：根据本合同附件一，甲乙双方共同对货物进行开箱清点。如发现货物与附件一约定不符，合同双方应签署书面的货损货差证明，乙方确认后应在5日内补足或调换相应的合格货物；如验收合格或仅有不影响安装的小问题，则进入设备安装阶段。（2）安装验收：开箱验收合格后，双方立即就设备进行安装，安装完成当日双方共同进行验收，若验收不合格，甲乙双方应共同签署故障报告，乙方应对此负责，乙方应保证在一周内重新安装并验收合格，

17、若二次验收仍不合格，甲方可以解除合同，乙方应承担违约责任；如非乙方原因在安装完成后一周内没有进行验收，则视为验收合格。安装验收合格后，甲、乙双方即签订安装验收合格证书（格式参见附件二）。七、技术支持及保修服务1、乙方在技术维护和咨询上支持甲方，并设有技术咨询热线电话：*。2、乙方对所提供的产品提供一年的保修服务，保修期自设备安装验收合格之日算起。 3、在保修期内乙方负责免费对设备进行维修，在保修期后乙方有责任继续为甲方提供设备维修，且只收取人工费和材料成本费。4、乙方在接到甲方报修通知后应8小时内响应、24小时内派人到现场维修；如乙方对保修通知不响应或不派人维修或逾时24小时维修，乙方应承担违

18、约责任。八、保证事项1、甲方保证按合同规定及时向乙方发出相应书面交货通知以及对货物进行接收、验收并付款。2、乙方保证按合同规定及时向甲方提供约定设备、安装调试与验收、技术支持和保修服务。九、违约责任：1、除合同第十条不可抗力原因外，乙方如未按合同规定如期交货、逾期安装验收、二次验收不合格或未尽第七条及第八条义务，乙方则构成违约，违约行为每延迟一日，按合同额的0.5%向甲方偿付违约金，此项违约金不超过合同总额的10%，如超过，甲方有权解除合同，乙方应承担合同总额20%的违约责任。2、除合同第十条不可抗力原因外，甲方未按合同规定如期收货、安排验收或付款，则构成违约，每一违约行为每延迟一周，按合同金

19、额的0.5%向乙方偿付违约金，不足一周的按一周计算。 十、不可抗力1、不可抗力范围: 战争，火灾，台风，洪水，地震或其他双方共同认为属于不可抗力的原因或事件。2、若发生不可抗力事件，则须由受不可抗力事件影响的一方，取得权威机构的相关证明，并及时通知另一方。遭受不可抗力的一方凭此证明免除全部或部分责任,具体免除范围和方式由双方另行协商。3、如需继续履行合同，受不可抗力影响的一方应在不可抗力终止或被排除后尽快通过电传或传真通知另一方，并通过特快专递通知另一方不可抗力已终结或排除并明确继续合同的履行。4、如果不可抗力持续超过60天，双方将通过友好协商解决未来的合同执行问题。十一、仲裁因执行本合同而发

20、生的或与本合同有关的一切纠纷，合同各方应通过友好协商解决；如果不能解决，任一方可向北京仲裁委员会申请仲裁，仲裁裁决是终局的，对双方均有约束力。仲裁费用及律师费由败诉方承担。十二、附则1、本合同一式4份，双方各执2份。2、本合同一经双方签字、盖章即生效，合同执行期间，双方均不得随意变更或解除合同。如未经双方协商单方面变更或解除合同的，须赔偿对方由此发生的一切损失。合同如有未尽事宜，须经双方共同协商，作出书面补充规定，与本合同具有同等法律效力。3、本合同附件：分别为附件一货物清单、附件二安装验收合格证书、附件三工作说明书。本合同附件是本合同组成部分，与本合同具有同等法律效力。 签字页，本页无正文甲
