清算业务委托合同

1、财务及活算代理服务合同FinancialandLiquidationAgentContract甲方：AA有限公司PartyA:AA乙方：BB有限公司PartyB:BBCo.,Ltd.甲乙双方对以下业务签订合约。PartyAsignsthecontractwithPartyBinvolvingthefollowingengagement第一条(目的)ARTICLE 1: :(AIM)甲方和乙方在互相信任的基础上，以确立公正的交易关系，谋求互相的利益和业务的发展为目的，签订本合约。Thiscontractbasedonmutualtrustandfairdealaimedtothemutualin

2、terestandservicedevelopment.本合约未规定事项发生时，甲乙双方协商决定。Ifanythingnotprescribedinthiscontracthappensinthefuture,theagreementshouldbereachedthroughnegotiationbetweentheparties.第二条乙方的责任和义务ARTICLE 2: :(RESPOSIBILITYANDOBLIGATIONOFPARTYB)1、乙方接受甲方委托，为甲方提供清算前代理记账及清算期间代理记账服务1. PartyBprovidesbookkeepingagencyservi

3、cebeforeandintheperiodofliquidationofPartyA.(1) 根据甲方提供的清算期间现金流水账和银行流水账清单以及原始票据、凭证，负责审核弁制作会计记账凭证、设置会计科目和账箭，登记财务账海；(2) Checkthecashdaybook&bankstatementaswellastheoriginalvouchersoftheliquidationperiodprovidedbyPartyA,andthenmakeaccountingvouchers,planaccountingsubjectsandaccountingbooks,registera

4、ccountingbooks;(2)在甲方清算期间代理甲方税务事项包括每月应纳税额的计算，代理填写纳税申报表和税务申报手续(包括增值税和企业所得税、个人所得税等)；(3) IntheliquidationperiodofPartyA,PartyBprovidesservicesregardingtaxmatters:Calculatesduetaxesmonthly,fillsthetaxdeclarationformandtaxdeclarationformalities(includingVATandcompanyincometaxes,individualincometaxes,etc.

5、)(3)根据中国企业会计制度有关规定，编制清算期间中英文月度清算资产负债表和清算损益表。(4) Intheperiodofliquidation,prepareliquidationbalancesheerandliquidationincomestatementmonthlyinChineseandEnglishaccordingtoBusinessAccountingSystemofChina2、乙方接受甲方委托，为甲方提供下列审计业务2. PartyBprovidesthefollowingauditservice:(1)对甲方201*年*月-*月经营情况进行审计，出具年度审计报告。(1

6、) PerformauditingonthebusinessconditionofPartyAfrom*201*to*201*andissuedauditreport;(2)对甲方的清算情况进行专项审计，弁出具清算鉴证报告。(2) PerformspecialauditingontheliquidationofPartyAandissuetheliquidationverificationreport;3、 乙方接受甲方委托，为甲方代理注销下列政府颁发的证照3. CancelthefollowinglicensesissuedbythegovernmentonbehalfofPartyA(1)

7、工商营业执照；BusinessLicense(2)税务登记证；TaxRegistrationCertificate(3)财政登记证;FinancialRegistrationCertificate(4)统计证；StatisticalCertificate(5)外汇登记证；ForeignExchangeRegistrationCertificate;(6)海关登十己证；CustomsRegistrationCertificate(7)组织机构代码证等证照。OrganizationCodeCertificate4. 乙方接受甲方的委托，做好下列工作：5. 8、thefollowingservices:(1) 为甲方提供清算期间财务和税务咨询服务；(2) Financialandtaxconsultingservicesintheliquidationperiod;(2)为甲方代为保管公司7年的全部财务档案资料。(3) Keepallthefinancialdocumentsofthelast7yearsforPartyA第三条甲方的责任和义务ARTICLETHREE:(RESPOS旧ILITYANDOBLIGATIONOFPARTYA)1、甲方应当依照中国的有关法律法规，依法建立健全清算期间的公司内部控制制度(如不相容工作岗位安排不同的人来担当等)

9、；设置持证上岗的出纳员工作岗位。1. PartyAshouldbuildasystemtoimproveandperfecttheinternalcontrolpursuanttotherelatedlawandregulationinChina,andhiredifferentpersonstoundertakeincompatiblepositionsandacompetentpersontoholdthepositionofcashier;2. 甲方应在经营期末(201*年*月*日)清点甲方的全部资产，提供清理后的全部资产明细清单。2. PartyAshouldcheckallofits

10、assetsattheendofoperation(*201*)andprovidealistofallassets.3. 甲方应在清算期初提供公司经股东会批准的董事会关于解散公司、提前终止章程的协议等申请报告、弁在决定解散公司后15天内成立清算小组。清算小组于10天内通知债权人、弁于60天内在报刊上刊登公司解散的公告、及注销劳动登记证。4. PartyAshouldprovidetheagreementsapprovedbytheboardofdirectorsondissolutionofcompanyandearlyterminationofarticlesofassociationat

11、thebeginningofliquidationandsetupaliquidationgroupwithin15daysafterthedecisionofdissolutionofcompany.Theliquidationgroupshallinformthecreditorswithin10days,publishtheannouncementofcompanydissolutionin60daysandcancellaborregistrationcertificate.4、甲方应为乙方代理记账人员提供清算期间所有银行、现金收支凭证及资产处置附件。5. PartyAshallpro

12、videallthecopiesofvouchersonbankpayment,cashandassetdisposalinliquidationperiod.6. 甲方应及时划转足够的银行存款到纳税账户。7. 18、将委托业务所需要的当月资料于下月5日前及时、完整地提供给乙方，弁且将委托业务实施中所需要的信息告知乙方。1) )PartyAshouldprovideallthenecessarymaterialsforthecurrentmonthtoPartyBbythe5thdayofthefollowingmonth,andalsoshouldprovidetoPartyBallthenecessaryinformation,neededfortheserviceimplementation.2) 乙方应谨慎保管甲方提供的资料，且不得将资料用于本合约的委托业务以外的任何目的。除本合约的委托业务以外，乙

19、方不得将甲方提供的资料进行复印、编辑等。3) PartyBshouldprudentlymaintainandsupervisethematerialsprovidedbyPartyB,andmaynotusethesematerialsinotherpurposeexceptfortheoutsourcingserviceinthiscontract.Excepttheservicestipulatedupon,PartyBshouldnotduplicate,copyoreditthematerialsprovidedbyPartyA.第六条保密责任ARTICLE 6: :(CONFIDE

20、NTIALITY)甲乙双方对本合约以及基于本合约的委托业务执行中知晓的双方技术、营业、以及个人信息等负有保密义务。在本合约有效期间内，包括本合约终止后，凡是未得到对方许可，不得将其情报泄露给第三方。PartyAandPartyBareamenabletokeepthetechnique,businessandpersonalinformationwhichareknownintheimplementoftheconsignmentserviceunderthiscontractconfidential.Withinthevalidperiodofthiscontract,andafterthe

21、terminationofthiscontractaswell,theyshouldnotdiscloseeachother'sinformationtothirdpartieswithoutpermission.第七条非常处理ARTICLE 7: EN:(ABNORMALDEAL)发生妨碍委托业务执行的事态时，应尽早与对方联络，由甲乙双方协力解决问题。Whensomethingobstructseitherofthepartiesfromtheimplementofconsignmentservice,PartyAorPartyBshouldcontactcounterpartyas

22、soonaspossible.Andtheproblemshouldbesolvedthroughnegotiation.第八条不当处理以及损害赔偿ARTICLE 8: HT:(MISCONDUCT&INDEMNITY)乙方将处理结果联络甲方后，若发现由于乙方处理不当而引起的问题，乙方应在甲乙双方协议决定的日期内无偿地进行修改。AfterPartyBinformsPartyAofthesettlementresult,PartyBshouldmodifythemisconductwithnoadditionalchargewithintheperiodmutuallyagreedthr

23、oughthenegotiationbetweentwopartiesifitisthePartyB'sfaultttolthadmisconduct.除上述情况外，由于一方责任使对方遭受重大损失的，应在实际损失范围内向对方提出赔偿要求。Besidestheabovesituation,ifeitherofthepartiescausesthecounterpartyseriousloss,itshouldcompensatethecounterpartywithintheactuallosslimits.若损失金额超过本合约的业务委托费用的范围，由甲乙双方协议决定赔偿金额。Pursu

24、anttoprovisionscontainedherein,withintherangeofbusinessoutsourcingfeesagreedupon,theamountofcompensationshallbemutuallyagreedthroughnegotiationbetweentheparties.第九条不可抗力ARTICLENIGHT:(FORCEMAJEURE)因为天灾人祸、战争、暴动、内乱、罢工、纷争以及其他不可抗力，造成本合约的全部或者部分内容履行延误或者不能履行时，甲乙双方都不负任何责任。Duetovismajor,war,insurrection,civilstrife,strike,dissentionandotherforcemajeure,onepartydelaysimplementorcannotfulf川allorpartofthecontractstipulations,sobothpartiesarefreefromanyresponsibility.第十条解约ARTICLE 10: (CANCELLATION)甲方或乙方在本合约实行期间，如要解除合约，应提前2个月通知对方。Ifei
