1、房屋租赁合同Premises Lease Con tract合同编号Con tract No.本合同双方当事人:The parties to this con tract are:出租方(以下简称甲方):The Lan dlord (here in after referred to as Party A“)_ 承租方(以下简称乙方): ,代表其将在中国设立的外商独资企业(以下简称”新公司”),其注册资本为-万美元。The Tenant (here in after referred to as Party B )., on behalf of its WhollyForeig n In ve
2、sted En terprise to be established in Chi na (here in after referred to asCo ) with “ Newregistered capital of US$ .根据中华人民共和国合同法、中华人民共和国城市房地产管理法及其他有关法律、法规之规定,在平等、自愿、协商一致的基础上,甲、乙双方就下列厂房的租赁达成如下协议:In accorda nee with the Con tract Law of the People sRepublic of Chi na , the Property Management Law of C
3、ity RealEstate of the People s Republic of China and other relevantand regulations. Party A and Party B, on the basis of equality and mutual understanding and through friendly negotiation,have reached the following agreement on the lease of the premises:第一条房屋的基本情况Chapter 1 Basic In formati on on the
4、 Premises甲方厂房(以下简称 厂房”座落于-,总建筑面积为-平方米;该厂房平面图参见附件1。Party A s premises (here in after referred to as the Premises ” ) are located at - Road: total built-up area is - sqm.Please refer to Annex 1 for the plan of the Premises.该厂房应已具备所有必要的硬件设施(包括水管道,电线及电话线)以供乙方使用。The Premises shall be equipped with all th
5、e n ecessary hardware facilities (in cludi ng water pipes,power lines and pho ne lin es) in stalled in side the premise to be used for Party B.甲方向乙方和新公司陈述和保证其为厂房的唯一合法所有人 ,并且厂房在发生任何抵押或者其他类型的担保时,乙方在本协议下的权利权益不受到任何损害。Party A represents and warrants to Party B and New Co that it is the sole legal owner o
6、f thePremises and that, in the event of a mortgage or any other similar guarantees in connection with thePremises taking place, Party B srights and interests pursuant to this agreement shall not be damaged in any manner whatsoever.第二条厂房的用途Chapter 2Use of the Premises该厂房用途为工业厂房,乙方不得任意改变厂房用途。The Premi
7、ses should be used for industrial purpose. Party B should not change the use of the Premises at its own will.第三条租赁期限Chapter 3Lease Period租赁期限为-年,自新公司获得营业执照或项目批准证书之日起计算。The duration of the lease period shall be years, starting from the day of issuance of NewCompany business license or Certificate of
8、Approval.第四条租金Chapter 4 Rental4.1该厂房第一到三年的租金为人民币12元/平方米/月,计人民币 元/月,人民币 元/季,人民币 元/年。之后,每三年商定的递增不得超过 %。For the first three years during the lease term, the rental of the Premises is RMB12/sqm/month. Thetotal rental is RMB/month, RMB /quarter and RMB /year. Thenegotiated increase in the rental should b
9、e no more than % for each subsequent period ofthree years.4.2年月 日至年月 日为免租期The period from to , shall be rental-free.第五条付款方式Chapter 5 Payment Terms租金交款帐户为:租金按季结算,在租赁期内由乙方于每季的第壹周交付甲方,先交后租。stThe rental shall be paid by Party B to Party A in the 1week of every quarter of the year during thelease period.
10、 Party A shall issue the official rental invoice to Party B within 7 days after the payment of the rental.The bank account for the rental payment is:户 名:Name of beneficiary: 开户银行: Opening bank: 第六条 保证金Chapter 6 Security Deposit本合同签订后的 7 个工作日内,乙方应当向甲方支付总额相当于 3 个月租金额的保证金,即人民币 。Within 7 working days up
11、on the signing of this Contract, Party B shall pay to Party A a sum of three months rental as thesecurity deposit, that is RMB。乙方向甲方缴纳的保证金应作为其履行本合同所规定义务的担保。 如果乙方的行为违反合同规定的义 务或者导致对厂房的损害,甲方有权从 保证金中扣除相应数量的金额作为补偿。 在合同终止日期后30 天内,甲方在从保证金中扣除乙方违反任何合同义务应承担的的补偿、赔偿或违约金后应将保证 金的余额无息返还给乙方。The security deposit sha
12、ll be taken as the warranty for Party B s due performance of its obligationsunder this Contract. If Party B carries out activities that are against its obligations or result in any damage to the Premises, Party A is entitled to deduct corresponding amount of compensation from the deposit. Within 30
13、days from the expiration of the Contract, Party A shall return the balance of the security deposit to Party B without interest after making deductions from the security deposit for compensation for any breach of the contract by Party B.第七条 维修养护责任Chapter 7 Maintenance Responsibilities 甲方向乙方和新公司陈述和保证厂
14、房和用于建筑的材料应符合中国有关法律法规关于消防、 安 全和环 保事宜的所有要求。且该厂房已获得所有所需的政府强制性证书(包括,但不限于环保证书,防火证 书及防雷证书)Party A represents and warrants to Party B and New Co that the Premises and the materials usedfor the construction shall comply with all the requirements of the relevant Chinese laws and regulations concerning fire,
15、safety and environmental issues. Party A has also obtained all the required mandatory certificates by the government (including, but not limited to Environmental Protection Certificate, Fire Protection Certificate and Thunder Strike PreventionCertificate) for the Premises. 租赁期间,甲方对厂房及其附属设施每隔半年检查一次,乙
16、方予积极配合,正常的厂房维修费由乙方 承担During the lease period, Party A will do an overall inspection on the Premises and its facilities once every 6 months. Party Bshould provide necessary support. Party B should be responsible for routine maintenance of the Premises.因乙方管理使用不善造成厂房及其相连设备损失的,则由乙方负责恢复原状,并承担赔偿经济损失的 责任。P
17、arty B should be responsible for the reinstatement works and compensation for the economic losses for the damage of thePremises and loss of its facilities due to the mismanagement of Party B.在乙方正式接收厂房之前, 甲乙双方应对厂房进行一次综合检查。 甲方应对厂房存在的瑕疵负责修复。 Before taking possession of thePremises, Party A and Party B
18、should conduct a comprehensive inspection. Party A should be responsible for rectifying any defects of the Premises.第八条 关于装修和改变厂房结构的协议Chapter 8Agreement on the Decoration and Structural乙方不得随意损坏厂房设施,如需改变厂房内部结构和装修或设置对厂房有影响的设备,需先征得甲 方的书面同意,相关费用由乙方承担。乙 方将按照附于本合同的项目计划进行改建。甲方在此同意此 些改建。Party B should not d
19、amage the facilities in the Premises. If structural change is necessary in the process of decoration or theinstallation of the equipment does damage to the Premises, Party B should get the prior written approval from Party A. Thecost of such change should be borne by Party B. The structural changes
20、that Party B will carry out to the Premises are第九条 关于厂房租赁期间的有关费用 indicated in the project attached to this Contract. Party A hereby gives its consent to such changes.Chapter 9 Related Fees during the Lease Period of the Premises在厂房租赁期间,有关厂房及租金收入之税务由甲方负担;以下费用及因延期付款而产生的罚金(如 存在)应由乙方支付:During the lease
21、period, Party A should be responsible for the taxes levied on the rental income.Party B should be responsible for the following charges and the penalty, if any, on overdue payment:1 、 水、电费;Water and electricity bill2、通讯费;Telecommunication charges第十条 租赁期满Chapter 10 Expiry of the Lease Period租赁期满后,本合同
22、即终止,届时乙方须将出租方厂房中的所有设施恢复原貌完好退还甲方,除乙方 按照本合同第八条的规定在甲方同意的情况下对厂房结构的改建。如乙方要求继续租赁,则须提前三 个月以书面形式向甲方提出申请, 甲方在合同期满前二个月内书面答复乙方,如同意继续租赁,则双 方应签定新的租赁合同。如本租赁合同在租赁期满后终止,乙方必须按时搬 出其全部所属物品,搬迁 后 30 天内厂房里仍有余物,视为乙方放弃所有权,由甲方处理。Upon expiry of the lease period, this contract is terminated. Party B should conduct reinstateme
23、nt works and yield up thePremises and all of the landlord s installations in their original state exceptfor those structural changes made by Party B and approved by Party A as established in Chapter 8.If Party B wishes to extend the lease period, it should submit a written application to Party A 3 m
24、onths before the expiry date.Party A will give Party B a written reply 2 months before the expiry date. If extension of the lease period is agreed, a newlease contract should be signed. If the lease contract is terminated upon expiry of the lease period, Party B should move outall its belongings in
25、time. If there is still property remaining inside the Premises 30 days after the move, it is understood thatParty B has forsaken its property right and Party A has the right of disposal.第十一条 因乙方责任终止合同的约定Chapter 11 Termination of the Contract due to Party B s Responsit ibeisl乙方有下列情形之一的,甲方有权终止本合同并收回厂房
26、,由此造成甲方损失,由乙方负责赔偿:Party A has the right to terminate the contract, take back the Premises and ask for compensations from Party B if Party B actson any of the followings: 1 、 擅自将承租的厂房向第三方转租的;To lease the Premises to third parties at its own will; 2、擅自将承租的厂房向第三方转让、转借或擅自调换使用的; rdTo transfer or lend the
27、 Premises to the third parties, or exchange the Premises with the 3 party at its own will;3 、 擅自拆改承租的厂房结构或改变承租厂房用途的;To change the structure or the use of the Premises at its own will;4、拖欠租金累计达叁个月;Rental payment is overdue for more than 3 months;5、利用承租的厂房进行违法活动的;To engage in any illegal activities wi
28、thin the Premises;6、故意损坏承租厂房的;To damage the Premises intentionally;第十二条 提前中止合同Chapter 12 Termination of the Contract before Expiry Date租赁期间,乙方提出终止合同,需提前 6 个月书面通知另一方,同时甲方没收乙方相当于三个月租金 的保证金,经双方协商后签订终止协议,在终止协议签订前,本合同仍有效。During the lease period, if Party B wishes to terminate the contract, it should info
29、rm the other party six months in advance; the security deposit in equivalent to three-month rental shall be confiscated.After negotiation, a termination agreement should be signed. This contract is still valid before the termination agreement is signed.第十三条 违约责任Chapter 13 Liabilities for Breach of C
30、ontract 租赁期间双方必须信守合同, 任何一方违反本合同的规定, 违约方应向另一方支付年租金 的 10% 作为 违约金。乙方逾期交付租金,甲方需书面通知乙方。如果此通知发出七天后,欠款还未支付,每逾期 一日,甲方有权按月租金 的 0.1% 向乙方加收滞纳金。During the lease period, both parties should abide by this lease contract. If there s any breachcontract from one party, this party should pay 10% of the total yearly r
31、ental to the other party for compensation. If Party B delays on rental payment, Party A shall inform Party B in written. In case of late payment exceeding seven days after such notice, Party A has the right to charge penalty of0.1% of the monthly rental from Party B for every day after the due date
32、of the rental payment.第十四条Chapter 14 因不可抗力原因导致厂房毁损和造成损失的,双方互不承担责任。If the Premises are damaged or the loss of the Premises is caused by Force Majeure, neither party is responsible.第十五条Chapter 15 本合同未尽事项,由甲、乙双方另行议定,并签订补充协议,补充协议与本合同具有同等法律效力。For issues not covered in this contract, Party A and Party B w
33、ill negotiate amicably and sign a supplementary agreement, which shall have the same legal binding force as this contract.第十六条 本合同之附件均为本合同之不可分割部分。Chapter 16 Annex to the contract shall be an indivisible part of this Contract合同附件为本合同的组成部分。本合同及其附件和补充协议中未规定的事项,均按中华人民共和国有 关法律、法规和政策执行。The annex is an int
34、egral part of this contract. For issues not specified in this contract or in the follow-up supplementary agreement, they should be resolved in accordance with the relevant laws and regulations of the People s Republic ofChina.第十七条Chapter 17 本合同在履行中发生争议,由甲、乙双方友好协商解决。如双方协商不成时,该争议应提交管辖法院 进行裁决。Any dispute in the implementation of this contract should be resolved by Party A and Party B through friendly negotiation. If the two parties fail to reach an agreement after negotiation, the dispute should be settled by the competent judicial
