3、违约金,违约金在下次订货前付清后,才予以再次订货,第三次发现,卖方有权终止本合同以及采购订单。上述冲货违约在年 月 日至 年 月日间累计计算,而非按具体订单计算。The buyer must sell the products in agreed sales region ; otherwise it will be seemed as cross region sales. If the seller found the buyer breach the items, the buyer must stop selling products in forbidden sales region
4、 and pay the different penalty charge according to the conditions below, the first time breach the item, the buyer shall pay 5 percent of the total value of cross region shocks as damages based on the batch code, the second times breach the item, the buyer shall pay 10 percent of the total value of
5、cross region shocks as damages, the buyers shall pay all the damages before making purchase order. The third times breach the item, the buyer reserves a right to termination contract and purchase order. This act is accounted accumulatively between and, rather than base onseparated orders.3 .销售目标: 万美

7、rtation and well protected against dampness.5 .装运口岸:上海或宁波Port of Loading: Shanghai or Ningbo6 .目的口岸:(依据实际情况)Port of Destination:7 .付款条件Terms of Payment7.1 信用证结算:装运前20天将即期保兑的不可撤销的即期付款信用证开到卖方,该信用证的有效期延至装运期后21天在中国到期,并必须注明允许分批装运和转船。If settled by L/C : a Confirmed, Irrevocable L/C to be available by sigh
8、t draft to reach the Seller 20 days before delivery time and to remain valid for negotiation in China until 21 days after the Time of Shipment. The L/C must specify that transshipment and partial shipments are allowed.7.2 电汇结算:双方确认订单后,买方即电汇100%货款给卖方,到达卖方指定银行帐户后安排生产。If settled by T/T: After both side
9、s acknowledged the order; the buyer should T/T 100% invoice value in advance to the seller 20 days before deliver date, the seller will arrange the production when the money received.7.3 买方未在规定的时间内开出信用证或支付预付款,卖方有权发出通知取消相应的订单。卖方因此遭受的 损失由买方承担,如买方有特殊产品配方及标签,由此产生的原材料采购及标签制作费用由买方承担。The Buyer shall establ
10、ish a Letter of Credit before the above-stipulated time, or make payment in time, failing which; the Seller shall have the right to cancel the relevant Sales Confirmation. The Buyer must cover for the direct losses suffered of Seller, If the buyer needs the special product formulation and label, the
11、 buyer will need to undertake the increased cost of raw materials and label cost.7.4 除非另有规定,"FOB"、"CFR"和"CIF"均应依照国际商会制定的2000年国际贸易术语解释通则(INCOTERMS 2000)办理。)The terms FOB、CFR、or CIF shall be subject to the International Rules for the Interpretation of Trade Terms (INCOTER
12、MS 2000) provided by International Chamber of Commerce (ICC) unless otherwise stipulated herein.) 7.5如果买方延迟开出信用证或延迟履行其付款义务,则买方同意向卖方支付不超过相应合同价值的5%违约金。每延期一周的违约金率是0.25%。Should Buyer delays the opening of the Letter of Credit or delays its payment obligations, in full or in part then Buyer shall agree t
13、o pay a penalty for breach of contract to Seller which shall not exceed 5% of the corresponding contract value. The rate of the penalty for breach of contract is charged at 0.25% for every week of delay starting from the end of the second week of delay.8 .装运期限:收到可以转船及分批装运之信用证或电汇款后天内装出。Time of Shipme
14、nt: Withindays after receipt L/C or T/T payment, transshipmentand partial shipments are allowed.9 .保险:如果以CIF条件成交的业务,保额为发票价值的110%,针对水渍险/一切险/战争险。投保险别以本合同中所开列的为限,买方如要求增加保额或保险范围,应于装船前经卖方同意,因此而增加的保险费由买 方负责。Insurance: If contract concluded on CIF basis, the premium should be 110% of invoice value against
15、W.P.A/All Risks/War risks. All risks insured should be included within this contract. If the Buyer asks to increase the insurance premium or scope of risks, he should get the permission of the Seller before time of loading, and all the charges thus incurred should be borne by the buyer.10 .单据:如果信用证结
16、算,卖方应向议付银行提供已装船清洁提单、发票、中国商品检验局或工厂出具的品质证明、中国商品检验局出具的数量/重量鉴定书;如果本合同按 CIF条件,应再提供可转让的保险单 或保险凭证。如果 T/T电汇结算,上述单据于装运后直接邮寄买方。Documents: If settled by L/C, the Sellers shall present to the negotiating bank, Clean On Board Bill of Lading, Invoice, Quality Certificate issued by the China Commodity Inspection B
17、ureau or the Manufacturers, Survey Report on quantity/Weight issued by the China Commodity Inspection Bureau, and transferable Insurance policy or Insurance Certificate when this contract is made on CIF basis. If settled by T/T, the Seller should mail the mentioned documents to the Buyer after shipm
18、ent effected.11 .质量标准:11.1 双方在签订此合同前,买方有义务全面了解并向卖方书面提供进口国当地法律对产品的质量、包装、销 售等各项法律规定,及在进口国办理相关进口许可。卖方将按照买方提供的食品法规或产品质量要求提供产 品,并向中国出入境检验检疫机构申请出口备案及报检。双方同意中国出入境检验检疫机构出具电子转单及 商检证书即视为产品检验合格。卖方在了解买方提供的进口国特殊规定后有权决定是否采纳,卖方不采纳的 可终止本协议或订单并无需承担任何法律责任。Before both parties sign this contract, the buyer has the obli
19、gation to fully understand and provide importing countries' law about products' quality, packing, sale, and in dealing with relevant importer import license to the seller. The seller will provide the buyer in accordance with the food regulations or product quality requirement to provide prod
20、ucts. And to the Chian Entry-Exit Inspection and quarantie institutions apply export registration and inspection.Both sides agree to China Entry-Exit Inspection and quarantine institutions issued by electronic transfer and inspection certificate as the product inspection. The seller in the understan
21、ding of the buyer with the importing country special provisions shall have the right to decide whether to adopt, the seller does not adopt may terminate this agreement or order need not bear any legal responsibility.11.2 买方提交的进口国食品法规及质量标准见合同附件。The Buyer submits importing countries' food regulati
22、ons and quality standards should see the appendix.Quality standards:the Seller shall apply for the quality, specifications and quantities of the goods to the China Entry-Exit Inspection and quarantine authorities (CIQ 出入境检验检疫局 /CCIC 中国商检)before shipment. The seller warrants that the product quality
23、conforms to the relevant provisions of Chinese law and goes through the aforementioned authorities, and gets a certificate of competency. In addition, the seller does not offer other warranties, express or implied. The buyer is obliged to be aware of the provisions of product quality, packaging, sal
24、es and other legal requirements of the importing country. If the local regulations of the importing country are higher than the agreed quality standards bythe parties, the buyer shall inform the seller when signing the agreement, the inferior limit is no later than the buyer issued specific orders.
25、The seller has the right to decide whether to adopt the special regulations of the importing country that the buyer provided. If the seller turns down the regulation, the seller shall terminate this agreement or order without legal liability.12 .检验、索赔及责任Quality/Quantity Discrepancy12.1 如交货质量不符,买方须于货
26、物到达目的港3 0日内书面提出索赔;数量索赔须于货物到达目的港1 5 日内书面提出。对由于保险公司、船公司和其它转运单位造成的损失卖方不承担责任。In case of quality discrepancy, claim should be filed by the Buyer within 30 days after the arrival of the goods at port of destination; while for quantity discrepancy, claim should be filed by the Buyer within 15 days after th
27、e arrival of the goods at port of destination. It is understood that the Seller shall not be liable for any discrepancy of the goods shipped due to causes for which the Insurance Company, Shipping Company, other transportation organizations are liable.12.2 责任限制LIMITATION OF LIABILITY卖方与本合同相关的所有赔偿责任的
28、总赔偿额不可以超过合同金额的10%。The total liability of seller with respect to claims arising under or in connection with this Contract excluding late delivery penalty shall not exceed in total 10 (ten) per cent of the Contract price.卖方无须对以下情况承担任何责任:买方的工作损失、利润损失或其它任何种类的间接的、附随的损失。Seller will however not be liable f
29、or: working loss or loss of profits or other, indirect or consequential losses of any kind.13本合同内所述全部或部份商品,如因人力不可抗拒的原因,以致不能履约或延迟交货,卖方应予免责。The Seller shall not be held liable for failure or delay in delivery of the entire lot or a portion of the goods under this contract in consequence of any force M
30、ajeure incidents.14 .仲裁Arbitration对于本合同项下双方之间的分歧将通过买卖双方友好协商接决。如果协商不能达成一致,有关分歧将按本合 同规定的权利与义务提交仲裁。仲裁将在杭州仲裁委员会进行,并适用该仲裁委员会的仲裁规则,仲裁地点 为中国杭州。仲裁裁决是终局的,对买卖双方均有约束力,双方都应按仲裁结果行事。在仲裁过程中,双方 应继续履行各自在本合同项下除提交仲裁之外的职责。仲裁费将由败诉一方承担。All disputes arising between both parties in connection with this Contract shall be se
31、ttled through friendly consultations between both parties. In case no agreement can be reached through consultations, they shall be submitted for arbitration to the Hangzhou Arbitration Commission in accordance with the Provisional Rules of procedures promulgated by the said Arbitration Committee. T
32、he arbitration shall take place in Hangzhou China. The arbitration award shall be accepted by both parties as final and binding, and both parties shall act accordingly. In the course of arbitration both parties shall continue to execute their receptive obligations under the Contract except those und
33、er arbitration. The arbitration fee shall be borne by the losing party.15 .合同解除、终止TERMINA TION15.1 若买方有以下违约行为,且在收到卖方补救、纠正通知后60日内没有按照卖方要求纠正、完成补救措施的,则卖方有权解除此合同:If the buyer has the following breach, do not follow sellers' requirements to correct, complete remedial measures within 60 days after rec
34、eiving sellers' remediation, correct notice , the seller has the right to terminate the contract:(a)、买方在 年 月 日至 年 月日有三次冲货行为的;The Buyerhas triple channel conflict behaviors;(b)、未经卖方预先同意,买方私自将本协议之任何义务或责任转让或转移给第三方;Without the prior consent by seller, buyer assignment or transfer any obligations or
35、responsibilities of this agreement to third party;(c)、买方利用卖方的名义和品牌从事假冒伪劣产品之生产和销售;The Buyer use seller's name and brand engaged in fake and inferior products production and marketing;15.2 若一方财务状况或经营状况发生严重影响合同履行的重大变化的(包括破产、一方或其他方提出破产请 求、经营不善丧失履约能力等),则另一方将有权终止合同和/或订单,但应提前1个月书面通知另一方。If one party fin
36、ancial status, or operating conditions has significant changes in serious influence on contract fulfillment (incl. Bankruptcy, One party or the other party is submitting the bankruptcy request, Loss contractual capacity because of poor management etc.), the other party shall have the right to termin
37、ate the contract and/or the order, but should be 1 months in advance written notice to the other party.15.3 卖方依法依约解除、终止合同/订单时,若卖方为履行合同已预先支付了一定的费用(如原材料采购等),则买方将有责任承担相应的费用,此费用可从卖方预付款中扣除。预付款不足扣除的,卖方应当在收到买方 通知后三日内补足,否则每逾期一日应当向卖方支付应付款项5%的违约金。The seller according to law and agreement about terminating the
38、 contract/order, if the seller for implementing of the contract has paid in advance a certain expenses (raw material purchase, etc.), the buyer will have the responsibility to bear the corresponding cost, the expenses can be deducted from the seller's advance payment. Lack of advance payment ded
39、uction, the seller shall, after receipt of the notification by the buyer within three days complement, or every expired a day to the seller shall pay 5% of the liquidated damages payable.16 .禁止商业贿赂Seller & Buyer Prohibition from Commercial Bribery16.1 买方承诺:在业务往来过程中,包括但不限于在谈判、签订合同及实际履行过程中,不向卖方工作人
40、员 赠送现金、物品或以其他任何方式给予卖方工作人员好处或利益。The buyer guarantees that during the business contact, includes but not limited in the negotiation, signing the contract and the implementation of the contract, the buyer will not present employees and/or representatives of the seller cash, valuables or give personal benefit in any format.16.2 若买方违反以上承诺,卖方有权对有关工作人员洽谈、签订及执行合同的行为部分或全部不予认可,同 时可以采取以下措施:1)、取消或永久取消买方作为卖方企业客户的资格;2)、单方面解除双方签署的一切合同。因合同的解除及买方违反本协议给卖方造成损失的,买方应负责全额赔偿。The seller has the right to deny part of or all of the actions including negotiating, signing and executin
