8、技术资料”， 是指列于附件一与制造和维修合同产品有关的工程、 制造 及原始资料，包括与制造设备、工具和装置有关的图纸、蓝本、设计图表、材料 规格、照片、影印资料和一般资料，设计及其说明书等。但上述资料仅限于许可 方拥有的资料和接受方用于本合同业务活动的资料；1.7 Technical Documents means engineering, manufacturing and originating in formation relati on to the manu facture and servic ing of Con tract Products, i ncludi ng draw

9、in gs,bluepri nts, desig n sheets, material specificati ons, photographs, photocopies and gen eraldata, and desig ns and specificati ons relat ing to manu facturi ng Con tract Products, toolsand fixtures, but includes, however, only such information as is available to lice nsor andapplicable to the

10、operatio ns of Lice nsee un der this Con tract which detailed as per Appendix 1 to the Con tract.1.8 “合同生效日”是指本合同双方有关部门的最后一方的批准日期。1.8 “ Thecate of Coming into Force of the Contract ”means the date of ratificati on ofthe Con tract by the compete nt authorities of both parties, whichever comes later.第

11、二条 合同范围 Sectio n 2 Scope of the Con tract2.1 接受方同意从许可方取得，许可方同意向接受方授予合同产品的设计、 制造和销售的专利技术。这种技术应与许可方最新产品的技术完全一致。2.1 Licensee agrees to obtain from Licensor, and Licensor agrees to grant Lice nsee thepate nted tech no logy to desig n, Such Pate nted Tech no logy shall be in exact accorda neewith the tec

12、h no logy of Lice nsor latest products.2.2 合同产品的名称、型号、规格和技术参数详见合同附件二。2.2 manu facture specificati on and tech ni cal in dices of the Con tract Products aredetailed in Appe ndix 2 to the Con tract.2.3 许可方授予以非独占许可方式许可接受方在 _ 国设计制造合同产品，使用、销售和出口合同产品的许可权。2.3 Lice nsor agrees to grant Lice nsee the non-exc

14、t, applicati on for pate nt and nu mber ofthe pate nt, etc., the specific docume ntati on is detailed in Appe ndix 1 to the Con tract.2.5 许可方有责任接收、安排接受方赴许可方培训的技术人员，许可方应设 法使其掌握上述合同产品专利技术。 （详见本合同附件三）2.5 Licensor shall be responsible for the training of Licensee technical personnel inLicensor relevant

15、facilities and also do its best to enable Licensee technical personnel tomaster the Patented Technology of the aforesaid Contract Product （details as per Appendix3 to the Contract）.2.6 许可方负责自费派遣技术人员赴接受方进行技术服务。 （详见本合同附 件四）2.6 Licensor is obliged to send at its own expense technical personnel to Licen

16、seefactory for technical service （details as per Appendix 4 to the Contract）.2.7 在合同的执行中， 如果接受方需要许可方提供技术服务或一部分生产所 需的零部件或原材料时， 许可方有义务以最优惠的价格向接受方提供， 届时双方 另行协商签订合同。2.7 In the course of implementation of the Contract, Licensor is under an obligation,upon the request of Licensee, to provide Licensee at t

17、he best favorable price with thetechnical services or some components, spare parts and raw materials which are necessaryfor manufacturing the Contract Products. When the time comes, both parties will sign the newcontract through friendly consultation.2.8 许可方同意接受方使用其商标的权利， 在合同产品上可以采用双方的联 合商标。或者标明“根据许可方的许可制造”的字样。2.8 Licensor agrees to grant Licensee the license and right to use the trade mark ofLicensor, while the combined trade mark of both parties or mark the wording productionaccording to Licensors license on the Contract Products can be also a
