1、设备租赁合同英文版设备租赁合同3.1 PAYMENTSUNCONDITIONAL;TAXBENEFITS;ACCEPTANCE.EACHLEASESHALLBEANETLEASE,ANDLESSEESOBLIGATIONTOPAYALLRENTANDOTHERSUMSTHEREUNDER,ANDTHERIGHTSOFLESSORINANDTOSUCHPAYMENTS,SHALLBEABSOLUTEANDUNCONDITIONAL,ANDSHALLNOTBESUBJECTTOANYABATEMENT,REDUCTION,SETOFF,DEFENSE,COUNTERCLAIM,INTERRUPTI

2、ON,DEFERMENTORRECOUPMENT,FORANYREASONWHATSOEVER.Itistheintentoflessor,andaninducementtoLessor,toenterintoeachLease,toclaimallavailabletaxbenefitsofownershipwithrespecttotheEquipmentsubjectthereto.LesseesacceptaneeoftheEquipmentsubjecttoaLeaseshallbeconclusivelyandirrevocablyevideneedbyLesseeexecutin

3、ganAcceptaneeCertificatewithrespecttosuchEquipment,anduponacceptanee,suchLeaseshallbenoncancellablefortheLeaseTermuniessotherwiseagreedtoinwritingbyLessor.AnynonpaymentofRentorotheramountspayableunderanyLeaseshallresultinLesseesobligationtopromptlypayLessoriasadditionalRentonsuchoverduepayment,forth

4、eperiodoftimeduringwhichitisoverdue(withoutregardtoanygraceperiod),interestatarateequaltothelesserof(a)fourteenpercent(14%)perannum,or(b)themaximumrateofinterestpermittedbylaw.3.2 USEOFEQUIPMENT.LesseeshallusetheEquipmentsolelyintheconductofitsbusiness,inamannerandfortheusecontemplatedbythemanufactu

5、rerthereof,andincomplianeewithalllaws,rulesandregulationsofeverygovernmentalauthorityhavingjurisdictionovertheEquipmentorLesseeandwiththeprovisionsofallpoliciesofinsuraneecarriedbyLesseepursuanttoSection3.6below.Lesseeshallpayallcosts,expenses,feesandchargesincurredinconnectionwiththeuseandoperation

6、oftheEquipment.3.3 DELIVERY;INSTALLATION;RETURN;MAINTENANCEANDREPAIR;INSPECTION.Lesseeshallbesolelyresponsible,atitsownexpense,for(a)thedeliveryoftheEquipmenttoLessee,(b)thepacking,rigginganddeliveryoftheEquipmentbacktoLessor,uponexpirationorterminationoftheLeaseTerm,ingoodrepair,conditionandworking

7、order,ordinarywearandtearexcepted,atthelocation(s)withinthecontinentalUnitedStatesspecifiedbyLessor,and(c)theinstallation,deinstallation,maintenanceandrepairoftheEquipment.DuringtheLeaseTerm,LesseeshallensurethattheEquipmentiscoveredbyamaintenanceagreement,totheextentavailable,withthemanufactureroft

8、heEquipmentorsuchotherparty,reasonablyacceptabletoLessor.Lesseeshall,atitsexpense,keeptheequipmentingoodrepair,conditionandworkingorder,ordinarywearandtearexcepted,and,attheexpirationorterminationoftheLeaseTerm,oranyrenewalterm,withrespecttoanyoftheEquipment,havesuchEquipmentinspectedandcertifiedacc

9、eptableformaintenanceservicebythemanufacturer.IntheeventanyoftheEquipment,uponitsreturntoLessor,isnotingoodrepair,conditionandworkingorder,ordinarywearandtearexcepted,LesseeshallbeobligatedtopayLessorfortheout-of-pocketexpensesLessorincursinbringingsuchEquipmentuptosuchstatus,butnotinexcessoftheCasu

10、altyValue(asdefinedintheapplicableLease)forsuchEquipment,promptlyafteritsreceiptofaninvoiceforsuchexpenses.LessorshallbeentitledtoinspecttheEquipmentatLesseeslocationatreasonabletimes.3.4 TAXES.Lesseeshallbeobligatedtopay,andherebyindemnifiesLessoranditssuccessorandassignsagainst,andholdseachofthemh

11、armlessfrom,alllicensefees,assessments,andsales,use,property,exciseandothertaxesandcharges,otherthanthosemeasuredbyLessorsnetincome,nowandhereafterimposedbyanygovernmentalbodyoragencyuponorwithrespecttoanyoftheEquipment,orthepossession,ownership,useoroperationthereof,oranyLeaseortheconsummationofthe

12、transactionscontemplatedinanyLeaseorthisAgreement.Notwithstandingtheforegoing,Lessorshallfileallrequiredpersonalpropertytaxreturns,andshallpayallpersonalpropertytaxespayablewithrespecttotheEquipment,LesseeshallpaytoLessor,asadditionalRent,theamountofallsuchpersonalpropertytaxeswithinfifteen(15)dayso

13、fitsreceiptofaninvoiceforsuchtaxes.3.5 LOSSOFEQUIPMENT.LesseeshallbeartheentireriskoftheEquipmentbeinglost,destroyedorotherwisepermanentlyunfitorunavailableforusefromanycausewhatsoever(anEVENTOFLOSS)afterithasbeendeliveredtocommoncarrierforshipmenttoLessee.IfanEventofLossshalloccurwithrespecttoanyit

14、emofEquipment,LesseeshallpromptlynotifyLessorthereofinwriting.OntherentalpaymentdatefollowingLessorsreceiptofsuchnotice,LesseeshallpaytoLessoranamountequaltotherentalpaymentorpaymentsdueandpayablewithrespecttosuchitemofEquipmentonorpriortosuchdate,plusasumequaltotheCasualtyValueofsuchitemofEquipment

15、asofthedateofsuchpaymentassetforthinsuchLease.UponthemakingofsuchpaymentbyLesseeregardinganyitemofEquipment,theRentforsuchitemofEquipmentshallceasetoaccrue,thetermofthisLeasetosuchitemofEquipmentshallterminateand(exceptinthecaseofloss,theftorcompletedestruction)Lessorshallbeentitledtorecoverpossessi

16、onofsuchitemofEquipmentinaccordaneewiththeprovisionsofSection3.3above.ProvidedthatLessorhasreceivedtheCasualtyValueofanyitemofEquipment,LesseeshallbeentitledtotheproceedsofanyrecoveryinrespectofsuchitemofEquipmentfrominsuraneeorotherwise.3.6 INSURANCE.LesseeshallobtainandmaintainfortheLeaseTermatits

17、ownexpense,propertydamageandliabilityinsuraneeandinsuraneeagainstlossordamagetotheEquipment(ineludingso-calledextendedcoverage),asaresultoftheftandsuchotherrisksoflossasarenormallymaintainedonequipmentofthetypeleasedhereunderbyeompanyscarryingonthebusinessinwhichLesseeisengaged,insuchamounts,insuchf

18、ormandwithsuchinsurersasshallbesatisfactorytoLessor.EachinsuraneepolicywillnameLesseeasinsuredandLessorasanadditionalinsuredandlosspayeethereofaslessorsinterestsmayappear,andshallprovidethatitmaynotbecanceledoralteredwithoutatleastthirty(30)dayspriorwrittennoticethereofbeinggiventoLessororitssuccess

19、orandassigns.3.7 INDEMNITY.ExceptwithrespecttothegrossnegligeneeorwillfulmisconductofLessor,Lesseeherebyindemnifies,protects,defendsandholdsharmlessLessoranditssuccessorsandassigns,fromandagainstanyandallclaims,liabilities(includingnegligenee,tortandstrictliabilities),demands,actions,suits,andprocee

20、dings,losses,costs,expensesanddamages,includingwithoutlimitation,reasonableattorneysfeesandcosts(collectively,CLAIMS),arisingoutof,connectedwith,orresultingfromthisAgreement,anyLeaseoranyoftheEquipment,including,withoutlimitation,themanufacture,selection,purchase,delivery,possession,condition,use,op

21、eration,orreturnoftheEquipment.EachofthepartiesshallgivetheotherpromptwrittennoticeofanyClaimofwhichitbecomesaware.TheprovisionsofthisSection3.7shallsurvivetheexpirationorterminationofthisAgreementoranyLease.3.8 PROHIBITIONSRELATEDTOLEASEANDEQUIPMENT.WithoutthepriorwrittenconsentofLessor,whichconsen

22、tasitpertainstosubsections(b)and(d)belowshallnotbeunreasonablywithheld,Lesseeshallnot:(a)assign,transfer,pledge,encumber,hypothecateorotherwisedisposeofthisLeaseoranyrightsorobligationsthereunder;(b)subleaseanyoftheEquipment;(c)createorincur,orpermittoexist,anylienorencumbraneewithrespecttoanyoftheE

23、quipment,oranypartthereof;(d)moveanyoftheEquipmentfromthelocationatwhichitisfirstinstalled;or(e)permitanyoftheEquipmenttobemovedoutsidethecontinentallimitsoftheUnitedStates.3.9 IDENTIFICATION.LesseeshallplaceandmaintainpermanentmarkingsprovidedbyLessorontheEquipmentevidencingownership,securityandoth

24、erintereststherein,asspecifiedfromtimetotimebyLessor.3.10 ALTERATIONSANDMODIFICATIONS.Lesseeshallnotmakeanyadditions,attachments,alterationsorimprovementstotheEquipmentwithoutthepriorwrittenconsentoflessor.Anyaddition,attachment,alterationorimprovementtoanyitemofEquipmentshallbelongtoandbecomethepropertyofLessoruniess,attherequestofLessor,itisremovedpriortothereturnofsuchitemofEquipmentbyLessee.LesseeshallberesponsibleforallcostsrelatingtosuchremovalandshallrestoresuchitemofEquipmenttoitsoperatingconditionthatexistedatthetimeitbecamesubjecttotheapplicableLease.3.11 EQUIPMENTTOBEPERSONALPROP
