5、tativeand time-efficientmanner and abideby all the compa ny rules.5. 甲方可以根据实际工作需要,根据乙方的工作能力和 表现,调整乙方工作岗位或安排乙方临时从事其他工作岗 位,乙方应予以认可配合。Party A may adjust Party B' sppoint Party Bto do anotherjob temporarily by virtue of itsbus in ess requireme nts as well as Party B' s compete nee and performa n

6、ee. Party B shall agree and cooperate with Party A.三、工作时间和休息时间Worki ng Hours & Rest Hours6. 甲、乙双方同意按以下方式确定乙方的工作时间(正 常工作时间:09: 0018: 00;其中12: 3013: 30为 午餐时间。)标准工时制,即每日工作 小时,每周周一至周五工作。Both parties agree Party B' sworkinghours arespecified as follows (n ormal worki ng hours: 09:0018: 00; lunch

The pay period is from the begi nning to

9、; s operation and PartyB' s performa nee.9. 在甲方取得中国企业营业执照之前,甲方不承担乙方 社会保险费用和医疗保险费用;在甲方取得其企业营业执 照后,甲方须承担乙方相关社会、医疗保险费用,并按照 国家有关规定对乙方所应承担的社会保险费用及个人所得税进行代缴。Before Party A obta ins its Busin ess Lice nse officially,Party A is not responsible for payingoff Party B'ssocial and medical in sura nee; a

10、fter Party A obta ins its Busin ess Lice nse, it must pay related Party B's social and medical in sura nee and will deduct Party B'sow n social and medical in sura nee premium and in dividual in come tax from PartyB'ssalary to pay tothe Chin ese gover nment.10. 甲方调整乙方工作岗位的,根据乙方能力及其相关职位,双

11、方协商一致后调整乙方劳动报酬。Party B ' s labor remuneration will be adjusted as per Party B ' s compete nee and job requireme nts on thebasis of consen sus in case Party A adjust Party B job.11. 甲方将每年对乙方的工作成绩、表现,以及劳动报酬 进行评估.Party A will review Party B 'work performa nee and salary on an annual basis.五

12、、社会保险和福利待遇Social Welfare& Ben efits12. 甲方根据国家有关规定为乙方缴纳北京市城镇社会 保险(养老、医疗、失业、工伤),个人缴纳部分由甲方 从乙方工资中代扣代缴。甲乙双方解除、终止劳动合同时, 甲方按有关规定为乙方办理社会保险相关手续。Accordingto the State ' redated rules, Party A willpay Beiji ng social in sura nee in urba n area (i.e. pensionin sura nee,un employme ntin sura nee,Occupat

14、负伤,在医疗期内工资及其医疗待 遇按照本合同16条执行。乙方患职业病或因工负伤后的 工资和医疗补助执行按照国家和地方的有关法律法规执 行。In case of ill nesses or in juries un related to work, the salary duri ng the remedial period as well as medicaltreatmentshall be paid in accordaneewith Clause 16. The salary and Medicare ben efits ofParty B in caseof occupational

15、diseasesorwork-related in juries shall be paid in accorda nee with the releva nt n ati onal and local laws and regulati ons.14. 因公出差按公司规定实行差旅费报销与补贴。In case Party B travels on bus in ess, Party A will reimburse travelling expenses and give subsidy to Party B in accorda nee with the compa ny rules.六、假

16、期安排Annual Leave and Sick Leave15. 带薪年假-雇佣期满一年后,甲方每年为乙方提供 十天带薪年假。乙方需根据甲方经营和工作等实际情况,安排年假,尽量将甲方损失最小化。乙方休年假时,必须 提前一个月通知甲方,并取得甲方批准,方可休假。Annual Leave-Party B shall be en titled to take paidannual leave of ten (10) working days per annum after the first year the employme nt. Leave may be taken as it is acc

17、rued but may only be taken at times agreed to by the company in order that disruption will be minimal. Request for leave must be submittedone (1) month in advaneeandapproved by Party A.16. 病假-如乙方不涉及住院治疗,甲方将每年批准乙 方共计15天带薪病假;其中全薪病假五天,三分之二薪 金病假五天,以及三分之一薪金病假五天。如乙方病假日 期总数超过甲方允许的病假日期总数,超出部分将在乙方 带薪年假日期数中扣除

18、;如果乙方病假日期总数超出了甲 方允许的病假和带薪年假日期总和,甲方将不会支付乙方 超出日期的任何薪金。乙方必须向甲方财务或行政部出具医院的相关病假证明并通知乙方上级部门,如乙方不能提供相关医院病假证 明,视为乙方旷工处理,甲方有权不支付乙方旷工期间任 何薪金。sicksickisParty B is entitled to five (5) days sick leave per full calendar year at full pay, next five (5) days leave at two-third pay and next five (5) days leave at o

Medical Certificates must be submitted to our Acco un ts/Adm in departme nt upon retur ning to the office; if not, Party A has right not to pay for Party B'abse nee.Party B is required to inform its supervisor and the directors if Party B requires sic

All abse nee bey ond Party B'allocated sick leave is deducted from its vacation time. lf both the sick leave andvacationleaves are used up, Party B will not been titled to be paid for its time that Party B is abse nt from work.劳动纪乍丰Labor Discipli nes17. 合同期间,乙方应严格遵守国家的各项法律法规及甲 方依法制定的各项规

21、章制度及要求,严格遵守劳动安全卫 生、操作规程及工作规范;应爱护甲方财产,遵守职业道 德,积极维护公司荣誉和利益。Within the con tract term, Party B shall abide by theState ' laws and regulationsas well as the rulesformulated by Party A accordi ng to the laws; follow labor security and hygie nesystems, producti onprocesses, operati ngin structi onsand

22、 jobspecifications; take good care of Party A' s pand safeguard the ben efits and reputati onof thecompa ny.18. 乙方违反劳动纪律,甲方可依据本公司的规章制度 给予纪律处分,直至解除本劳动合同。另外,由于乙方的 原因对甲方造成经济损失的,原则上必须按照实际损失金 额由乙方向甲方承担损害赔偿责任,数目重大者甲方有权追究其法律责任。In case Party B violates any of the labor discipli nes,Party A may punish Pa

23、rty B or even release the con tract accord ing to the rules and regulati ons of the company. Moreover, Party B will be held liable for Party A s;conomiclosses on a case -by-casebasis, i n the eve nt that Party B' s behavior damaParty A' sinterests. In case of the considerable amount of losse

24、s, Party A will retain the right to pursue legal acti ons aga inst Party B.19. 在本合同履行过程中,甲方根据国家有关规定可以制 定新的规章制度,也可以对公司制定的规章制度进行修 改,发布的各种规章制度、操作规定、通知、公告等均对 乙方有约束力。During the con tractperforma nee,Party A mayformulate new or revise rules and regulati ons based on the State s relatedregulations.The rule

25、s andregulati ons, operat ingprovisi ons,no ticesandproclamati ons are bi nding on Party B.八、劳动合同的履行和变更 Labor Con tract Performa nee & Alternation20. 甲方应按照约定为乙方提供适当的工作场所、劳动条 件和工作岗位,并按时向乙方支付劳动报酬。乙方应当认 真履行自己的劳动职责,并亲自完成本合同约定的工作任 务。Party A shall furnish Party B with proper working place, labor con d

26、iti ons and positi on, and shall alsopay the remun erati on to Party B on time, conforming to the provisions herein. Party B shall fulfill his resp on sibilities here in in due dilige nce.21. 甲、乙双方协商一致,可以变更本合同内容,并以书 面的形式确定。The con tractmay be revised in writte n form, afterboth parties 'agreeme

27、nt through n egotiati on.九、劳动合同的解除、终止和续订Labor Con tract Can cellatio n.Term in ati on & Ren ewal22. 经甲、乙双方当事人协商一致,本合同可以解除。双 方应提前三十日(试用期为提前三日)以书面形式通知对 方或以支付一个月工资代替通知,方可解除本协议。The con tractmay be can celed based on bothparties ' mutual n egotiati on. Either partyintending to can celthe con trac

28、tshall inform theother party in written form 30 days in advance (Probation period: five (3) days in advance) or one(1) month salary in lieu of the no tice.23. 乙方有下列情形之一的,甲方可以随时解除本合同:严重违反劳动纪律和规章制度的;严重失职,营私舞弊,给甲方造成重大损失的; 乙方没有经过甲方同意,同时与其他用人单位建立劳 或者动关系,对完成甲方的工作任务造成严重影响, 经甲方提出,拒不改正的;因劳动合同期满致使本合同无效的;依法被追究

29、刑事责任或劳动教养的; 乙方利用职务之便收受贿赂的或泄漏公司机密造 成公司损失的。Party A may can cel the con tract in case any of the follow ing occurs:Party B severely violates the labor discipli nes and regulati ons;Party B ' gross negligenee or jobbery causes great losses for Party A;Party B holds ano ther job without the permit of

30、 Party A, which seriously affectsthecompleti on of Party A ' work task, or Party B refuses to correct the error after Party A' warni ng;The con tract turns in valid due to expirati on;Party B is held criminally responsible or reeducated through labor; orParty B accepts bribes by tak ing adva

31、 ntage of duty or causes the loss of the compa ny by virtue of divulgi ng the commercial secrets.24. 有下列情形之一的,乙方可以随时通知甲方解除本合 同。在试用期内的;甲方以暴力、威胁或者非法限制人身自由的手段 强迫劳动的;甲方未按照劳动合同约定支付劳动报酬或者提供 劳动条件的。Party B may no tify Party A of term in ati ng the con tract at any time, i n case any of the follow ing occurs

32、:Within the probati on;Party A forces Party B to work by violenee, threat or illegal limitations of Party B ' s freedom.Party A fails to pay Party B' s salary or providwork con diti ons as stipulated here in.25. 符合下列情形之一的,甲方提前三十日(试用期为提 前三日)以书面形式通知乙方或以支付一个月工资代替通 知,解除本合同:患病或非因工负伤,在规定医疗期满后,不能从

33、事原工作,也不能从事甲方另行安排的工作的; 乙方不能胜任工作,经过调整工作岗位,仍不能 胜任工作的;本合同订立时所依据的客观情况发生重大变化, 致使本合同无法履行,经甲、乙双方协商, 未能变更本合同内容达成协议的;按照相关法规及程序甲方依法裁员的。Party A may cancel the contract upon thirty (30) days ' prior written notice to Party B (Probation:three(3) days in adva nee) or one (1) month salary in lieu of the notice,

34、 in case any of the following occurs:Party B, due to sicknessor injuryin flicted off the job, cannot resume hisor her work or do the other job reassigned by Party A after specified period of medical treatme nt;Party B is unqualified,evenafter a trai ning or job adjustme nt;The objectiveconditionson

35、which thecon tract is based have materially cha nged to the exte nt that it is impossible to perform thecon tractwhile both parties cannot reach an agreeme ntto ame nd the con tract toreflect the cha nged con diti ons; or Party A dow nsizes accordi ng to related laws and procedures.26. 乙方有下列情形之一的,甲方

36、不得按本合同第二十五 条的约定与乙方解除劳动和同:在甲方工作期间患职业病或者因工负伤并被确认 丧失或者部分丧失劳动能力的;患病或因工负伤,在规定的医疗期间的; 女职工在孕期、产期、哺乳期的; 法律、行政法规规定的其他情形。Party A is not allowed to can cel the labor con tract as per Clause 25 in case any ofpartly or totally in dustrial injury orwhen working forthe follow ing occurs:Party B is con firmed in ca

37、pacitated due to an an occupationaldiseaseParty A;Party B is in a period of medical treatment for sick ness or work injury;The female employee is in pregnancy, maternity or lactati on; orOthersituati onsstipulated in laws and27.admi nistrative provisi ons.符合下列情形之一的,本劳动合同即可终止:劳动合同期满;乙方死亡、或者被法院宣告死亡或者宣

38、告失踪的;甲方依法被宣告破产的;甲方被吊销营业执照、责令关闭、撤销或者甲方 决定提前解散的;法律、行政法规规定的其他情形。The con tract will termi nate in case any of the following occurs:The labor con tract expires;Party B is dead, pronounced dead or pronouncedmissing by the people'scourt;Party A is declared ban kruptcy legally;Party A' sbus in ess l

39、ice nseis revoked;Party A is compelled to close dow n or dissolve; or Party A decides to dissolve in adva nee; orOthersituati onsstipulated in laws andadmi nistrative provisi ons.赔偿责任、违约责任Compe nsati on for the Breach or Can cellatio n ofthe Con tract28.乙方造成直接损失的赔偿金:赔偿金按乙方实际造成的损失计算,赔偿金的范围包括:乙方损坏甲方财物

40、而导致的直接经济损失;乙方疏忽导致的甲方直接经济损失;乙方拒绝合理的工作安排而导致甲方经济损失In case Party B' behaviorcauses thetheThelosses of Party A, the compe nsati on amount is calculated based onactual losses caused by Party B. compe nsati on in cludes:The direct econo mic losses caused by PartyB' sdamages of Partylosses resulting

41、s n eglige nee; andlosses due to Party B' swork assignedproperty;reas on ableThe direct economic from Party B ' The econ omicrejectionof theby Party A.甲乙双方任何一方违反本合同,给另一方造成经失的,根据违约责任大小,需承担违约责任。In case that either party breaches the con tract causes the econ omic losses of the other party, the

42、29.济损ordefault party will be held liable for breach of con tract on a case-by-case basis.30. 乙方不得在任何情况下将甲方的保密资料、数据、运 营模式、工具等直接或者间接泄露给任何第三方,如经甲 方发现按甲方损失大小赔偿。In any case, Party B shall not directly or in directly divulge the commercial secrets (includingbut notlimited in formatio n, data, man ageme nt models and tools) of Party A to any the third party .In case PartyB is found to divulge the commerc
