The Seller shall bear all the charges and risks un til the goods are on boardthecarry ing vessel at the loadi ng port.a)卖方必须在合同规定的交货期限30天前，将合同号码、货物名称、数量、装运口岸及预计货物运达装运口岸日期，以传真通知买方安排舱位。并同时通知买方在装运港的船舶代理。倘在规定期内买方未接到前述通知，即作为卖方同意在合同规定期内任何日期交货，并由买方主动租订舱位。The Seller shall advise the Buyer by fax, and s

12、imultaneouslyadvise the Buyer ' sshipp ing age nt at the load ing port, 30 days before the con tracted time of shipme nt, of the Con tract No., n ame of commodity,qua ntity, load ing port and expected date ofarrival of the goods at the loading port, enabling the Buyer to arranges for shipping sp

Abse nce of such advice with in the time specified above shall be con sidered as Seller ' s readiness to deliver the goods during the time of shipment contracted and theBuyer shall arrange for shipping space accordingly.b）买方应在船只受载期12天前将船只、预计受载日期、装载数量、合同号码、船舶代理人，以传真通知卖方。卖方应联系船舶代理人配合船期装船。如买方因

14、故需要变更船只或更改船 期时，买方或船舶代理人应及时通知卖方。The Buyer shall advise the Seller by fax, 12 days before the expected loading date, of the estimated laydays, Contract No., name of vessel, quantity to be loaded and shipping agent. The Seller shall then arrange with the shipping agent for loading accordingly. In case

15、of necessity for substitution of vessel or alteration of shipping schedule, the Buyer or the shipping agent shall duly advise the Seller to the same effect.c ）买方所租船只按期到达装运口岸后，如卖方不能按时备货装船，买方因而遭受的一切损 失包括空舱费、滞期费及/或罚款等由卖方负担。如船只不能于船舶代理人所确定的受载期内到达，在港口免费堆存期满后第16天起发生的仓库租费、保险费由买方负担，但卖方仍负有载货船只到达装运口岸后立即将货物装船之义

16、务并负担费用及风险。前述各种损失均凭原始单据核实支付。In the event of the Seller ' s failure in effecting shipment upon arrival of the vessel at the loading port, all losses, including dead freight, demurrage and/or fines etc., thus incurred, shall be for Seller' s account. If the vessel fails to arrive at the loading

17、 portwithin the laydays previously declared by the shipping agent, the storage charges and insurance premium from the 16th day after expiration of the free storage time at the port shall be borne by the Buyer. However, the Seller shall be still under the obligation to load the goods on board the car

18、rying vessel immediately after her arrival at the loading port, at their own expenses and risks. The expenses and losses mentioned above shall be reimbursed against original receipts or invoices.C&F (CFR )或 CIF 价格的装运条件Terms of Shipments (C&F/CFR or CIF)卖方负责将本合同所列货物由装运口岸到目的口岸，中途不得转船。The Selle

19、r shall undertake to ship the contracted goods from the port of loading to the port of destination, with no transshipment allowed.a)卖方应在不迟于装运前 30日，以传真通知买方装运船只的船名、船籍、船龄和其他有关该船的详细情况，以及每次装运货物的合同号。经买方对船只确认接受后，卖方才可装运。 但 买方不能无理拖延上述确认，买方应在接到通知后 5个工作日内作出确认，否则即视为该船只 已被确认。The Seller shall, not later than 30 d

20、ays before the time of shipment, inform the Buyer by Fax of the name, nationality, age and other details of the carrying vessel as well as the contract number of each shipment. The shipment shall not be effected without the confirmation from the Buyer with respect to the acceptability of the vessel,

21、 provided that Buyer shall not unreasonably withhold such confirmation. Buyer shall confirm the vessel by Fax within 5 working days, otherwise the vessel shall be regarded as confirmed.b)卖方所租船只应适航和适货，租船时应慎重、认真地选择承运人及船只。买方不接受非保赔协会成员船只。卖方指定船舶的国籍不得违反买方所在国承诺的国际义务。The carrying vessel chartered by Seller

22、shall be seaworthy and cargoworthy. Seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. Buyer is justified in not accepting vessels chartered by Seller that are not members of the P&I CLUB. The nationality of the ves

23、sel nominated by Seller shall not be in conflict with the international commitments undertaken by the country where Buyer is located.c)卖方所租船只船龄不得超过15年。对超过15年船龄的船只其超龄额外保险费由卖方负担。买方不接受超过20年船龄的船只。The age of the carrying vessel chartered by Seller shall not exceed 15 years, Theextra overage insurance pre

Vessel morethan 20 years of age in no event be acceptable to Buyer.d）卖方应和载运货物的船只保持密切联系，并以最快方式通知买方船只在途中发生的一切事故，卖方应对未及时通知买方而造成买方的一切损失负责赔偿。Seller shall maintain close contact with the carrying vessel and shall notify Buyer byfastest means of communication ab

25、out any and all accidents that may occur while the carrying vessel is on route. Seller shall assume full responsibility and shall compensate Buyer for all losses incurred for its failure to give timely advice or notification to Buyer.12 .装运通知：卖方在货物装船后，一个小时内（填入24或48或72）将合同号、品名、件数、 毛重、净重、发票金额、载货船名及装船日

26、期以传真（传真号：-）通知买方。Advice of shipment The Seller shall, upon completion of loading, advise the Buyerwithin hours by fax （fax No. ） of the Contract No., name of commodity, number of packages, gross and net weights, invoice value, name of vessel and loading date.13 .卸货条款（Discharging Term ）：按照卸货港惯常速度快速卸货，

27、不计滞期费或速遣费。customary quick despatchDischarging rate on discharging port is as per CQD14 . 保险(Insurance ):FOB 或 C&F/CFR 价格的保险Insurance (FOB or C&F/CFR):买方应负责按 规则投保。但卖方应按本合同第12条通知买方。 如卖方未能及时通知买方，买方因而遭受的一切损失全由卖方承担。Insurance shall be procured by Buyer, in accordance with the insurance regulations

28、ofFor this purpose the Sellers shall advise the Buyers by fax of the particulars as called for in Clause 12 ofthis Contract. In the event of the Buyers being unable to arrange for insurance in consequence of the Sellersfailure to send the above advice, the Sellersshall be held responsible for all th

30、方出具制造商(装运港检验机构)根据本合同的规定标准对货物的品质、规格、数量、重量、包装、安全、卫生或健康要求签发的检验报告。上述检验报告应构成卖方要求付款时出具的单据之一。15.1 Inspection by manufacturerinspection organization on loading portThe Seller shall, before the time of shipment, provide the inspection reports signedby the manufacturers ( inspection organization on loading po

31、rt ) on the quality, specification, quantity,weight,packaging and requirementsfor safety andsanitation/hygiene of the goods in accordance with the standards stipulated in this Contract.The aforesaidinspection reports shall be an integral part of the documents to be presented for payment.15.2 到货检验：买方

32、有权在货物到达（卸货港）后向检验机构申请检验货物。检验机构是：中华人民共和国（填入相应地名，如北京等）出入境检验检疫局。15.3 Inspection upon arrivalBuyer shall have the right to apply to the inspection organization for the inspectionof the goods after the arrival of the goodsat.Inspectionorganization: Exit-Entry Inspection and Quarantine Bureau of the People

33、' sRepublic of China.15.4 最终检验：卸货港的检验证书如与制造商或装货港的检验证书有冲突，则 检验证书具有最终 效力。15.5 Final InspectionInspection certificate issued by shall be final in case it is in conflictwith that issued at loading port or issued by manufacture.16 .不可抗力：合同当事人一方因战争、洪水、火灾、地震、雪灾、旱灾、冰雹、飓风、暴乱、罢工、政府禁令或其他该方当事人无法控制、并在签订本合同时不

34、能合理预见、不可避免或无法克服的事件造成其无法履行或迟延履行全部或部分合同义务，则该合同当事人应免责。但是，因不可抗力而 其履约受影响的合同一方应向另一方尽快通知不可抗力事件的发生，并应在事件发生后不迟于15天，向另一方发送由主管机关或当地商会出具的关于发生不可抗力事件的证明文件。Force Majeure:Neither party shall be liable for failure or delay to perform all or any part of this Contractdue to war, flood, fire, earthquake, snowstorm, dro

35、ught, hailstorm, hurricane, civil commotion, strike, government prohibition or any other events that are beyond the control of the affected party and could not reasonably be expected at the time of conclusion of this Contract or have been avoided or overcome by such party. However, the party who 

36、9; s performance is affected by the event of Force Majeure shall give a notice to the other party of its occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative authority or the local chamber of commerce shall be sent to the

37、other party not later than 15 days after its occurrence.17 .延迟交货及罚款：除本合同第16条人力不可抗拒事故，使卖方不能如期交货，罚款率为每10天合同金额的1%,不足10天的部分按1%计算，最多不超过合同金额的 5%。卖方延期交货超过 30天，买 方有权提出解除合同。 如果买方不宣布解除合同，则卖方除承担上述罚款外，还应赔偿其延期交付给买方造成的全部损失。Delay in delivery and PenaltyShould the Seller fail to effect delivery on time asstipulated

38、 in this Contract owing to causes other than Force Majeure as provided for inClause 16 of this Contract, a delay penalty should be charged at the rate of 1% of the total contract value for every 10 days, odd days less than 10 days should be counteredas 10 days , total penalty shall not exceed 5% of

39、the total value. If the Seller' s delay indelivery is over 30 days, the Buyer is entitled to terminating the contract. In case the Buyer chooses not to terminate the contract, the Seller shall compensate the Buyer for all losses due to the delay other than the delay penalty.18 .索赔（Claims ）:18.1

40、如果货物的品质、规格、数量、重量、包装及对安全、卫生或健康的要求不符合本合同的规定,买方有权凭本合同第15.2条规定的检验机构签发的检验证书在货物到达最终目的地之后90日内，只要该日不超过货物到达卸货港车站机场 之日后90日内及 时向卖方提出索赔，并列明索赔理由。18.2 Should the quality, specifications, quantity, weight, packing and requirements for safety , sanitation or hygiene of the goods be found not in conformity with the

41、stipulations of this Contract, Buyer shall have the right to lodge claims against Seller based on the Inspection Certificate issued by the inspection organization provided in Clause 15.2 of this Contract and itemize the reasons for the claims within 90 days from the date of arrival of the goods at t

42、he final destination, provided that such date shall not exceed 90 days from the date of arrival of the goods at the port ofunloading railway station airport ;18.3 卖方在收到本合同第15.2规定的检验机构出具的检验证书后，应当于此后 20日内 答复买方的索赔要求。如果卖方未在上述期限内作出答复，则买方的索赔要求被视为接受。18.4 Seller shall reply to Buyer ' s claim not later

43、than 20 days after receiptof the inspection certificate issued by the inspection organization providedin Clause 15.2 of this Contract and the claims shall be regarded as having been accepted if Seller fails to reply within the above-mentioned time limit.18.5 如果卖方声称货物的数量和质量问题是由于卖方不负责任的原因造成，如属于保险公 司及/

44、或船公司的责任，卖方应承担举证责任。因索赔所发生的一切费用（包括检验费用）均由卖方负担。FOB价格条件时，如重量短缺，买方有权同时索赔短重部分的运费。18.6 Seller shall take the burden of proof for his allegation that discrepancy of quantity and quality is due to some reason to which seller shall not be responsible, such as circumstances where the insurer/carrier shall be r

45、esponsible. All costs including survey cost shall be born by the Seller in case of claim. Under FOB terms, the Buyer is entitled to the overpaid freight accordingly in case of shortage.19 .通知(Notices ):任何通知应以书面形式， 并应有专人送交、 传真发送或航空快件寄送， 专人送交时视为已给 予通知; 如以传真发送，则发送之日第二天视为已给予通知；如航空快件寄送，则另一方当事人 在本合同抬头列明的地

46、点收到信件时，通知视为送达。Any notice to be given hereunder shall be in writing and shall be hand delivered, transmitted by facsimile or sent by express airmail shall be deemed given when so hand-delivered, or if transmitted by facsimile, one day after the date of such facsimile so transmitted, or if sent by exp

47、ress airmail when received, by the other party at the addresses specified at the head of this Contract.20 .法律的适用：除非另有约定，本合同适用联合国国际货物销售合同公约并在 联合国国际货物销售合同公约没有规定的情况下适用中国法。Applicable law : Unless otherwise agreed, the United Nations Convention on Contracts for the International Sale of Goods (CISG)and Chinese Law (in case of those matters not stipulated in CISG) shall beapplied.21 .仲裁：一切因执行本合同或与本合同有关的争执，应由双方通过友好方式协商解决。如经协商不能 得到解决时，应提交中国国际经济贸易仲裁委员会，按其仲裁规则进行仲裁。 仲裁委员会的仲裁
