Liabilities for Breaching of the Contract 违约责任1) If the Buyer fails to pay the down-payment to the Seller within 15 days after the date of signing of the Contract, the Seller shall have the right to terminate the Contract upon notifying the Buyer in writing.合同签署后15日内

9、，如买方仍未将合同规定的预付款支付给卖方, 卖方有权在书面通知买方后终止合同。2) If the Seller fails to ship the Goods in accordance with the shipping date specified in Article 4 of this Contract and the Buyer has paid all amounts due to the Seller, the Seller shall pay 0.02% of the value of the delayed Goods to the Buyer as a compensati

10、on fee for each day that shipment is overdue, provided that the maximum amount of compensation shall not exceed 5% of the Purchase Price. If the delay is caused by the Buyers Customs clearance, then the Seller will not be responsible to pay the compensation. 如卖方未能在合同第四条规定的交货日期内发货，且买方已支付了全部货款，每推迟一个天，

In such case, the Seller will charge the Buyer 0.02

12、% of the purchase price as a storage fee for the delayed Goods each day that shipment is overdue, provided that the maximum storage fee shall not exceed 5% of the Purchase Price. If the actual shipment date is 30 days later than the shipment date specified in the Contract due to the Buyers fault, th

13、e Seller reserves the right to re-adjust the selling price in effect on the actual shipping date.假设买方未在合同规定的期限内支付货款，且该逾期支付并未征得卖方书面赞同，那么货物仍应在卖方的存货目录下。在此情况下，按合同交货期，每逾期一天，卖方将向买方收取相当于合同价值0.02%的金额作为延期付款货物的仓储费，但仓储费最多不超越合同总金额的5%。当由于买方的过错导致卖方超越合同规定的交货日期30天后交货，卖方保管按卖方在实践发运日的公司一致价钱重新调整售价的权益。9. Ownership of th

14、e Goods and Risk of Loss 货物一切权与灭失风险The Seller reserves the Ownership of the Goods delivered until the Buyer has paid fully to the Seller the Purchase Price and all related costs (shipping costs, custom duty, VAT, insurance costs, etc) as stated in the Contract for such Goods. The risk of loss of the

15、 Goods shall be borne by the Buyer upon delivery.在买方未付清合同所规定的全部货款及全部相关费用包括运费、关税、增值税、保险费等以前, 所发运货物的一切权归卖方一切。货物灭失的风险自发运之时起由买方承当。10. Warranty 质量担保The Seller warrants that the Goods manufactured by the Seller or its affiliate(s) (collectively, “Ingersoll-Rand) and delivered hereunder conform to Ingersol

16、l-Rands quality standard in material and workmanship for a period of _ months from the date of placing the Goods in operation or _months from the date of shipment, whichever shall first occur. THE SELLER MAKES NO OTHER WARRANTY OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED.卖方担保由卖方或其关联公司以下合称“英格索兰制造并且在本合

17、同项下交付的货物的材质及制造工艺均符合英格索兰的质量标淮, 保证期为自货物投入运营日起_个月或自货物发运日起_ 个月, 以先到期者为准。 除此以外, 卖方不再提供任何其他明确或隐含的担保。 11.Confidentiality 严密The parties hereto acknowledge that confidential information (including trade secrets) (“Information) shall be provided exclusively to each other. The parties and their respective empl

18、oyees and directors shall maintain confidentiality of the Information and shall use the Information exclusively for the purpose of the Contract. 双方成认信息包括商业下称“信息只能向彼此提供。双方及其各自的雇员和董事应维持信息的性并且仅为本合同的目的而运用该类信息。12. Force Majeure 不可抗力 Performance is excused when there is any contingency beyond the reasonab

19、le control of the Seller or the Buyer (for example, earthquake, typhoon, storm, fire disaster, war, rebellion, breakage of equipment, governmental actions or legislation, labor difficulties, and other unpredictable Force Majeure events) and such contingency has prevented the Seller or the Buyer, as

20、applicable, from performing its obligations under this Contract.当出现为卖方或买方所不能合理控制的不测事件如地震、台风、暴风雨、火灾、战争、叛乱、设备损坏、政府行为或立法、劳工争议，以及其他不可预见之不可抗力事件而且该不测事件已阻止卖方或买方视情况而定履行其在本合同项下的义务，遭遇不可抗力之一方可以免除其履行合同的义务。13. Disputes Settlement 争议的处理All disputes arising from the execution of or in connection with the Contract

21、shall be settled through friendly consultation between the parties. In case no agreement can be reached through consultations, such dispute shall be governed by Chinese law and shall be submit to China International Economic and Trade Arbitration Commission (CIETAC) for arbitration at Shanghai. The

22、CIETAC Arbitration Rules in effect on the date of the signing of this Contract shall apply. .对由于履行合同而引起的或与合同有关的任何争议, 双方应友好协商处理。如经协商仍达不成协议,该争议适用于中国法律, 并应递交在上海的中国国际经济贸易仲裁委员会进展仲裁。仲裁程序应适用合同签署时有效的中国国际经济贸易仲裁委员会仲裁规那么。14. Limitation of Liability 责任限制 1) The liability of Seller shall not exceed the purchase

23、price of the Goods upon which such liability arises, whether the claim is based on contract, warranty, tort, negligence, strict liability, indemnity, statute or otherwise.卖方因货物所产生的责任不应超出此货物购买价钱, 无论索赔根据为合同、 保证责任、 侵权、忽略、 严厉责任、赔偿责任、法令条例或其他。2) IN NO EVENT SHALL THE SELLER BE LIABLE FOR ANY CONSEQUENTIAL

24、, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE LOSSES OR DAMAGES ARISING OUT OF THIS CONTRACT, WHETHER BASED ON CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, INDEMNITY, STATUTE OR OTHERWISE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES.卖方不对因本合同发生的任何非直接的、间接的、附带的、特殊的、或惩罚性损失或损害担任，无论对该损失或损害之索赔是根据合同、保证责任、侵权、忽略、严厉责任、赔偿责任、法令(条例)或其它，即使这种损失或损害发生的能够性曾经被预先告知。15NOTICE OF CLAIMS 索赔通知The Buyer shall notify the Seller in writing of any claim for damages within sixt
