V:1.0精细整理，仅供参考保密承诺(中英文对照)日期：20xx年X月STRICTLYPRIVATE&CONFIDENTIAL机密CompanyName:XXXAddress:..XXX公司[day]November20102010年11月日DearSirs,敬启者，CONFIDENTIALITYUNDERTAKING保密承诺WehaveexpressedaninitialinterestinexploringthepossibilitiesofproceedingwiththepotentialtransactioninrelationtoXXXanditssubsidiaries(“XXX”)(hereinafter“Transaction”).Consequently,subjecttothetermssetforthinthisConfidentialityUndertaking,weand/orourPermittedPersons(asdefinedbelow)fromtimetotimeafterthedateofthisConfidentialityUndertakingmay,byoronbehalfofXXX,befurnishedwith,orgivenaccessto,certainfinancial,technical,operational,commercial,HR,managementandotherinformationofwhateverkindinconnectionwiththeTransaction,whetherinwritten,oral,electronicorotherform,relatingtoXXX,asthecasemaybe(anyandallsuchinformationandtheexistenceoftheTransaction,collectivelythe”ConfidentialInformation”).我们已表示了初步的兴趣，愿探索是否可能进行与XXX及其分公司（“XXX”）相关的潜在交易“以下称交易”。因此，按照此保密承诺的条款，我们及/或我方许可人员（如下规定）在本保密承诺开始日期后可以不时以XXX的名义，收取或是可以使用与交易相关的一定财务、技术、运营、商务、HR、管理及其它任何种类的信息，无论是书面、口头、电子或其它形式，与XXX相关，视具体情况而定（任何及全部此类信息，以及此交易存在的信息合称“保密信息”）。 WeacceptthatnoneoftheConfidentialInformationconstitutesanofferforsaleorthebasisforanycontractnorisXXX,itsshareholdersorweunderanyobligationtomakeoracceptanyofferorproposalrelatingtotheTransactionbaseduponorrelatedtotheConfidentialInformationortoconcludeanyothercontractortoreimbursetheotherpartyforanycostsincurredinrelationtotheTransaction.我们认可，保密信息并不构成为出售提议，或构成任何合同的基础，或是使得XXX，其股东或我方有义务提出或接受任何与基于或关于保密信息的交易提议或报价，或是要对任何其它方的交易相关费用进行补偿。2. Asaconditiontousand/orourPermittedPersonsbeingfurnishedwith,orgivenaccessto,anyConfidentialInformation,weundertake:作为我方或我方许可人员收取或使用任何保密信息的前提，我方承诺：(a) tokeeptheConfidentialInformationcompletelyandstrictlyconfidentialexceptasotherwisecontemplatedbythisConfidentialityUndertaking;完全严格地保证保密信息的秘密性，除非保密承诺中另有计划，(b) nottodistributeordisclosetoanypersonthewholeoranypartoftheConfidentialInformation(exceptaspermittedbyClause3);不向任何人散布或披露全部或任何一部分保密信息（第3款允许的情况除外）(c) subjectto(d)below,nottousetheConfidentialInformationforourownbenefitorforthebenefitofanyoneelse;按照以下(d)款，不出于我方自身或任何他人的利益使用保密信息；(d) tousetheConfidentialInformationonlyforthepurposeofevaluatingorfurtheringtheTransaction;and保密信息只用于估值或进一步的交易，且nottoassertanyownershiprightsovertheConfidentialInformation.不会对保密信息声称任何所有权。 Theterm”person”,asusedinthisConfidentialityUndertaking,shallbebroadlyinterpretedtoinclude,withoutlimitation,anycorporation,company,partnership,individualorgovernmentalagencyorothergovernmentalbody.人员一词，在保密承诺中所用，应被广义地理解为包括，但不限于任何企业、公司、合伙企业、个人或政府机关或其它政府机构。WeundertaketorestrictaccesstotheConfidentialInformationtothoseofourandoursubsidiaries’respectivedirectors,officers,employees,andprofessionaladviserswhoneedtoknowthesameforthepurposeofevaluatingorfurtheringtheTransaction(hereinaftercalledthe”PermittedPersons”).WeshallinformeachPermittedPersontowhomwediscloseormakeavailableanyConfidentialInformationthatsuchConfidentialInformationisproprietaryandconfidentialandprocurethateachsuchPermittedPersonisboundby,andcomplywith,confidentialityobligationsandotherundertakingsnolessonerousthanthoseagreedbyusunderthisConfidentialityUndertaking.我们承诺，能接触保密信息的只限于我方及我方子公司中为了进行估值或进一步交易，需要了解相同内容的董事、官员、雇员及专业顾问（以下称许可人员）。我方将告知每一位我们向其披露或允许接触任何保密信息的许可人员，此保密信息为专有、保密，使得每一名许可人员都受保密义务的束缚并遵从保密义务和其它承诺，不少于此保密承诺中同意的义务与承诺。4. NeitherwenoranyPermittedPersonshall,withoutyourpriorwrittenconsent,disclosetoanyotherpersonwhoisnotaPermittedPersontheexistenceorsubjectmatterofthisConfidentialityUndertaking,ortheexistence,statusorprogressofanydiscussionswithXXX,oranybiddingorotherprocess,inrelationtotheTransaction.Notwithstandingtheforegoing,intheeventanypublicannouncementoranyotherdisclosurearerequiredbylaw,regulationoranygovernmentalorcompetentregulatoryauthoritytobemadebyusoranyofourassociatedcompanies,orbyanyPermittedPerson,inconnectionwiththeTransaction,suchrequiredpublicannouncementordisclosureshallbepermittedhereunderprovidedtheproposedform,contentandtimingthereofiscoordinatedwith,andagreedby,providedthatsuchcoordinationandagreementarenotprohibitedduetoapplicablelaworregulation,XXX(whichagreementshallnotbeunreasonablywithheldordelayed),havingdueregardtoapplicablesecuritieslawsandothermandatorylegislation.无论是我方还是许可人员，未经贵方事先书面许可，都不得向许可人员以外的任何其他人员披露本保密承诺的存在或其主题事项，或是披露存在着与XXX的讨论，讨论的状态或进度，或是与交易相关的任何竞价或其它过程的存在。不管上述，如果法律法规或政府或主管当局要求我方或我方任何关联企业或任何许可个人进行任何与交易相关的公开声明或披露，所要求的公开声明或披露，要经如下许可，只要所建议的形式、内容和时间与XXX进行协调，得到同意，只要此类协调与同意不触犯适用法律法规，XXX（其同意不得被不合理的阻碍或延迟），按适用的安全法律及其它强制法令相关有应得权力。5. TheobligationofconfidentialitysetoutinClauses2(a)and(b)andClause3shallnotapplytoanypieceofConfidentialInformation,which:条款2(a)、(b)和3中列出的保密义务不适用于以下的保密信息：wasinthepublicdomainatthetimeofitsdisclosuretousortoanyPermittedPerson;在向我方或任何许可人员披露时已进入公众领域subsequentlycomesintothepublicdomain,exceptthroughbreachoftheobligationsofthisConfidentialityUndertakingbyusorbreachofanyoftheconfidentialityobligationsandundertakingsofanyPermittedPersonreferredtoinClause3;随后进入公众领域，但并非由于我方违反保密承诺义务或任何保密人员违反条款3中引用的保密义务和承诺造成。waslawfullyinourorourPermittedPersons’possessionpriortosuchdisclosureandwasnotacquired,tothebestofourorourPermittedPersons’knowledge,directlyorindirectly,fromXXXoranyofitsassociatedcompanies,orfromanythirdpartyunderanobligationofconfidence;在此类披露前已由我方许可人员合法掌握，且据我方或我方保密人员所知，并非直接或间接由XXX获取，或从任何有保密义务的第三方获取。isdevelopedbyusoraPermittedPersonindependentofanyConfidentialInformation;or由我方或许可人员不依赖于任何保密信息而独立形成的subsequentlyisfurnishedtousorourPermittedPersonswithoutrestriction,tothebestofourandourPermittedPersons’knowledge,byanythirdpartyhavingabonafiderighttodoso.随后由据我方或许可人员所知对信息拥有实际权利的第三方不加限制地提供给我方或我方许可人员6. AllformsofConfidentialInformation,including,withoutlimitation,allsummaries,copiesandexcerptsofanyConfidentialInformation,shallbethesolepropertyofXXX.Upondemand,andinanyeventifweceasetobeinterestedintheTransactionforwhateverreason,weshall,andshallprocurethatallPermittedPersonsreturntoXXXordestroyallformsofConfidentialInformationinourpossession,orinthepossessionofanyPermittedPerson,andweshallnot,andshallprocurethatnoPermittedPersonsretainanycopiesorotherreproductions,inwholeorinpart,ofsuchmaterial.ThisshallnotapplytocopiesofelectronicallyexchangedConfidentialInformationmadeasamatterofroutineinformationtechnologybackupandtotheretentionofsuchmaterialwhichisrequiredbyanyapplicablelocallaw,rule,professionaldutyand/orinternalcomplianceprocedures.所有形式的保密信息，包括，但不限于所有的总结、副本和摘要，由XXX全权拥有。一经要求，或是我方出于无论何种原因对交易不再感兴趣，我方（且保证所有许可人员）将把我方或许可人员所拥有的各种形式的保密信息归还XXX或予以销毁。且我方（并保证所有许可人员）不得保留任何此类材料的全部或部分复件或其它复制品。但本规定不适用于作为常规信息技术备份所做的电子交换保密信息，也不适用于适用法律、规定、职业责任和/或内部遵从规程要求予以保留的此类材料。7. Intheeventthatwe,oranyPermittedPerson,arerequestedorrequiredbydocumentsubpoena,civilinvestigativedemand,interrogatories,requestforinformation,rulesofanyapplicablestockexchangeorregulator,orothersimilarprocess,todiscloseanyConfidentialInformation,weshallbeforedisclosinganyConfidentialInformationprovideXXXwithpromptwrittennoticeofsuchrequestorrequirement,providedthatthegivingofsuchnoticeisnotprohibitedduetoapplicablelaworregulation,sothatXXXmayseekanappropriateprotectiveorderor,asappropriate,waiveanycompliancewiththeprovisionsofthisConfidentialityUndertaking.如果我方或任何许可人员受公文传票、民事调查要求、质询、信息索取、适用股票交易所或调节者的规则或其它类似程序的要求，需披露任何保密信息，我方在披露任何保密信息前要向XXX迅速提供书面通知，告知此要求，只要相关法规不禁止进行通知，以便XXX寻求适当的保护性程序，或是在适当的情况下放弃遵守本保密承诺的规定。8. WeacknowledgeandrecognizethatanybreachbyusofthisConfidentialityUndertakingcouldinjureXXX.Accordingly,XXXshall,inanysuchevent,beentitledtoinjunctiverelieffromanycourtofcompetentjurisdiction,inadditiontoanyotherremediesavailableatlaworunderthisConfidentialityUndertaking.我方承认，我方对于保密承诺的任何违约可能对XXX造成伤害。相应的，除了任何法律或本保密承诺可以提供的补偿，XXX在任何情形下还都有权向有管辖权的法庭要求禁止救济。9. IftheTransaction,ascontemplatedbythisConfidentialityUndertaking,isnotcompletedwithus(oroursubsidiaries),neitherwenoranyofourassociatedcompanieswill,andwewillprocurethatnoneofourPermittedPersons(whowillnotincludethirdpartyprofessionaladvisersandprovidersoffinancethathavebeenretainedbyusinconnectionwiththeTransaction)will,foraperiodofthirty-six(36)monthsfromthedatehereofsolicitforemployment,otherthanthroughabonafidegeneralandnon-targetednewspaperorotherpublicmediaadvertisementintheordinarycourseofbusiness,anymanagerofXXX.如果未与我方或我方子公司完成本保密承诺预期的交易，我方或我方关联公司都不会，并使我方许可人员（不包括我方延聘的与交易相关第三方专业顾问和财务提供者）不会，在三十六个月（36个月）内要求雇用XXX的经理人，通过正常无目标性的报纸或其它公众媒体广告，以正常业务程序进行的招聘除外。10. ThisConfidentialityUndertakingshallbegovernedby,andconstruedinaccordancewith,Chineselaw.本保密承诺受中国法律管辖，按中国法律进行解释。11. Anydispute,controversyorclaimarisingoutoforrelatingtothisConfidentialityUndertaking,orbreach,terminationorvaliditythereofshallbesettledbyarbitrationinShanghaiinaccordancewiththeArbitrationRulesoftheCHINAINTERNATIONALECONOMICANDTRADEARBITRATIONCOMMISSION,SHANGHAICOMMISSION.TheplaceofarbitrationshallbeinShanghai,China.任何由本保密承诺所产生的，或是与本保密承诺、与其违约、终止或有效性相关的争论、争议或索赔，要在上海按照中国国际经济贸易仲裁委员会上海分会的仲裁规则进行解决。仲裁地点要在中国上海。仲裁程序以英文或双方同意的其它语言进行。12.
