-12-InterimCasinoOperatingAgreement娱乐经营临时协议核心提示：THISAGREEMENTmadethe_________(M,D,Y).BETWEEN:AAACORPORATION,acorporationestablishedpursuanttotheEnablingLegislationandwhichisforallitspurposesanagentofBBB,(hereinafterreferredtoasAAA),OFTHEFIRSTPART,-and-CCCLITHISAGREEMENTmadethe_________(M,D,Y).BETWEEN:AAACORPORATION,acorporationestablishedpursuanttotheEnablingLegislationandwhichisforallitspurposesanagentofBBB,(hereinafterreferredtoasAAA),OFTHEFIRSTPART,-and-CCCLIMITED,acorporationincorporatedpursuanttothelawsoftheProvinceof_________(PLACENAME),(hereinafterreferredtoastheOperator),OFTHESECONDPART,-and-DDD,INC.,acorporationincorporatedpursuanttothelawsoftheStateof_________(PLACENAME),EEE,INC.,acorporationincorporatedpursuanttothelawsoftheStateof_________(PLACENAME)andFFFCORPORATION,acorporationincorporatedpursuanttothelawsoftheStateof_________(PLACENAME),(hereinafterindividuallyreferredtoasaParticipantand,collectively,theParticipants),OFTHETHIRDPART.WHEREAS,inresponsetoarequestforproposalsdated_________(M,D,Y),theOperatorsubmittedaproposalforthedevelopment,financingandoperationofthePermanentCasinoComplexandindicateditswillingnesstonegotiateandfinalizeanagreementinrespectoftheInterimCasinoComplex;ANDWHEREAStheOperatorhasbeendesignatedasthesoleandexclusivepartywithwhomAAAwillundertakefurthernegotiationswithrespecttothePermanentCasinoComplex;ANDWHEREASthepartieshaveagreedtoenterintothisAgreementtoprovideforthedevelopmentandoperationoftheInterimCasinoComplex;THISAGREEMENTWITNESSESTHATinconsiderationoftherespectivecovenants,agreements,representations,warrantiesandindemnitiesofthepartieshereincontainedandforothergoodandvaluableconsideration(thereceiptandsufficiencyofwhichareacknowledgedbyeachpartyhereto),thepartiesherebyagreeasfollows:ARTICLEONEDEFINITIONS(a)Definitions:ThefollowingdefinitionsshallapplyintheinterpretationofthisAgreementandtherecitalsandScheduleshereto:(i)AdjacentLandsmeansthelandsintheCityof_________(PLACENAME)legallydescribedinPart2ofScheduleAheretoandoutlinedinblueonScheduleBheretoandallappurtenancesthereto;(ii)AffiliatemeanswithrespecttoanyPerson,anylegalentitywhichdirectlyorindirectlyControlsorisControlledbysuchPersonoranylegalentitywhichisdirectlyorindirectlyControlledbyaPersonwhichdirectlyorindirectlyControlssuchPerson;(iii)ApplicableLawmeansallpubliclaws,statutes,codes,acts,ordinances,orders,rules,regulations,GovernmentalConsentsandGovernmentalRequirements,whichnoworatanytimehereaftermaybeapplicabletoandenforceableagainsttherelevantworkoractivityinquestionoranypartthereof,includingwithoutlimitation,thoserelatingtoemployment,zoning,building,lifesafety,environmentandhealth;(iv)ApprovedOperatingBudgetmeans,withrespecttoanOperatingYear,theOperatingBudgetforsuchOperatingYearasapprovedbyAAA;(v)ApprovedOperatingPlanmeans,collectively,theApprovedOperatingPoliciesandthethencurrentApprovedOperatingBudget;(vi)ApprovedOperatingPoliciesmeanstheOperatingPoliciesfortheInterimCasinoComplexasapprovedbyAAApursuanttoSubsection3.5(d),asamendedorsupplementedfromtimetotimeinaccordancewiththetermshereof;(vii)ArtGalleryLandmeansthelandsintheCityof_________(PLACENAME)legallydescribedinPart1ofScheduleAheretoandoutlinedinredonScheduleBheretoandallappurtenancesthereto;(viii)AuditorsmeanssuchfirmofindependentnationallyrecognizedcharteredaccountantsappointedbytheOperatorwiththeapprovalofAAA,astheauditorsfortheInterimCasinoComplex;(ix)BaseFeehasthemeaningascribedtheretoinSubsection8.1(a)(i);(x)BuildingmeansthepremisescomprisingtheentirebuildinghavingthemunicipaladdressofRiversideDrive,_________(PLACENAME),_________(PLACENAME)situateontheArtGalleryLandcontainingarentableareaofapproximately_________squarefeet,leasedtoAAApursuanttotheInterimCasinoLeasetogetherwithanypremisessituateontheAdjacentLands;(xi)BusinessDaymeansanydaywhichisnotaSaturday,SundayoradayobservedasaholidayunderthelawsoftheProvinceof_________(PLACENAME)orthefederallawsofCanadaapplicabletherein;(xii)CapitalRenewalReservemeans,foranyperiod,thereserveestablishedintheApprovedOperatingBudgetforCapitalRenewals;(xiii)CapitalRenewalsmeansadditionsorimprovementstotheInterimCasinoComplex,includingthepurchaseorleaseonbehalfofAAAofGGGbywayofreplacement,addition,constructionorrepairofpropertywithausefullifeofoneyearormoreorwhichundergenerallyacceptedaccountingprincipleswouldbeclassifiedasacapitalexpenditure(excludingitemswithacostof$,_________orlessand,forgreatercertainty,excludingGGGRepairsandMajorCapitalImprovements);(xiv)CasinomeansthoseareaslocatedintheBuildingwhichareusedforthepurposeofplayingoroperatingaGameofChance;(xv)CasinoAccountsmeans,collectively,theOperatingAccountandsuchotheraccountoraccountswithafinancialinstitutionorinstitutionsdesignatedbyAAAinconsultationwiththeOperatorfromtimetotime;(xvi)CitymeansTheCorporationoftheCityof_________(PLACENAME);(xvii)CityMortgagemeanstheCharge/MortgageofLandintheprincipalamountof$,_________,dated_________(M,D,Y)madebytheLandlordinfavouroftheCityandregisteredontitletopartoftheArtGalleryLandandtheAdjacentLandson_________(M,D,Y)asInstrumentNos._________and_________;(xviii)CommencementDatehasthemeaningascribedtheretointheInterimCasinoLease;(xix)ComplexLandsmeans,collectively,theArtGalleryLand,thoseParkingLotLandsuponwhichtheParkingFacilitiesarelocatedand,ifapplicable,theAdjacentLands;(xx)ContingencyReservehasthemeaningascribedtheretoinSection8.3;(xxi)ControlorControlledmeanstherighttodirectthemanagementandpoliciesofaPerson,whetherdirectlyorindirectly,ortoelectamajorityoftheboardofdirectorsorthetrusteesofaPerson,whetherthroughtheownershipofvotingsecuritiesorbycontractorotherwise;(xxii)DeficiencyAmountsmeans,collectively,MandatoryDeferralsandDiscretionaryDeficiencyContributions,outstandingPre-OpeningExpensesnotincludedinMandatoryDeferralsandaccruedbutunpaidOperator’sFees;(xxiii)DiscretionaryDeficiencyContributionshasthemeaningascribedtheretoinSubsection4.3(g);(xxiv)EnablingLegislationmeanstheAAACorporationAct,_________(YEAR)(_________(PLACENAME)),asamendedorre-enactedfromtimetotime;(xxv)ETAmeanstheExciseTaxAct(Canada)asamendedorre-enactedfromtimetotime;(xxvi)EventofDefaulthasthemeaningascribedtheretoinSection10.1;(xxvii)ExecutiveStaffmeansthePresidentandManagingDirector,theGeneralManager,theChiefFinancialOfficer,theFinancialController,theVice-President,CasinoOperations,theCasinoManager,theDirectorofSurveillance,theDirectorofNon-GamingOperations,theCasinoController,theDirectorofSalesandMarketing,alldepartmentheadsanddesignatedassistantdepartmentheads,andsuchotheremployeesasmaybedesignatedassuchbytheOperatorandagreedtobyAAA;(xxviii)ExperthasthemeaningascribedtheretoinSection13.1;(xxix)GGGmeansallfurniture,furnishings,equipment(includingallgamingequipment),fixtures,apparatusandotherpersonalpropertyusedin,heldinstorageforusein,orrequiredinconnectionwiththeoperationoftheInterimCasinoComplex,otherthanOperatingEquipmentandOperatingSupplies;(xxx)GGGRepairsmeans,foranyperiod,normalmaintenanceandrepairofGGGascontemplatedintheApprovedOperatingBudget,expendituresinrespectofwhichduringanOperatingYearwillnotexceed2%ofGrossRevenuesforsuchyearexceptwhereotherwiseagreedbyAAAandtheOperator,whichagreementcanbereflectedintheApprovedOperatingBudget;(xxxi)ForceMajeuremeansanybonafidedelayorstateofaffairsbeyondthecontrolofaparty(otherthanasaresultoffinancialincapacityandotherthanadelayorstateofaffairscausedbythepartyrelyinguponsuchForceMajeure)whichshallcauseorcontributetowardsanypartybeingunabletofulfillorbeingdelayedorrestrictedinthefulfillmentofsuchparty’sobligation,includinganysuchdelayorstateofaffairsbyreasonof:(I)thenon-deliveryornon-availabilityofthesupplyorprovisionofanyserviceorthedoingofanyworkorthemakingofanyrepairs;(II)inabilitytoobtainanyrequiredmaterial,goods,equipment,serviceorlabour;(III)ApplicableLaworinabilitytoprocureanyrequiredGovernm
