精品文档精心整理精品文档可编辑的精品文档合同（CONTRACT）合同号日期ContractNo:Date:地点Place:买方：Buyer:卖方：Seller:本合同有买卖双方订立，根据本合同规定的条款，买方同意购买，卖方同意出售下述商品：ThisContractismadebyandbetweentheBuyersandtheSellers,wherebytheBuyersagreetobuyandSellersagreetoselltheunder-mentionedcommodityonthetermsandconditionsstipulatedbelow:编号CAT说明DESCRIPTION数量QUANTITY单价UNITPRICE(5)生产国别制造厂商COUNTRYOFORIGINANDMANUFACTURERS：(6)装运期限TIMEOFSHIPMENT：(7)装运口岸PORTOFSHIPMENT：(8)到货口岸PORTOFDESTINATION：(9)保险INSURANCE：(10)包装PACKING:(11)唛头SHIPPINGMARK：(12)付款条件TERMSOFPAYMENT:(13)单据DOCUMENTSREQUIRED:卖放应将下列单据提交付款银行议付/托收货款.如为电汇付款,下列单据应直接寄给买方:TheSellshallpresentthefollowingdocuments(markedwith<x>)tothepayingbankfornegotiation/collection,ortotheBuyerincaseofpaymentbyT/T:1)<x>SignedCommercialInvoicein3copiesindicatingContractNo.2)<>FullsetofcleanonboardOceanBillsLadingmadeouttoorderandblankendorsed.marked“freightprepaid”,indicatingshippingmarksandnotifyingtheBuyer.<x>AirWaybillsshowing“freightprepaid”indicatingfreightamountandshippingmarksandconsignedtotheBuyer.3)<x>InsurancePolicy/Certificatefor110%oftheinvoicevalueshowingclaimspayableinChinaincurrencyofthedraft,blankendorsed,covering(<>OceanMarineTransportation/<x>AirTransportation)AllRisks,WarRisks.4)PackingListin3copiesindicatingquantity/grossandnetweights/measurementsofeachpackageandpackingconditions.5)<x>CertificateofQualityin2copiesissuedbythe<>manufacturer/<x>Publicrecognizedsurveyor.b)下列单据应在发货时与货物一起交付承运人或用快递寄送买方.Ifnecessary,thefollowingdocumentshallbesentalongtogetherwiththeconsignment,orsenttotheBuyerbyexpressairmail.<x>Certificateof(Heat)TreatmentissuedbytheOfficialOrganization,orNon-coniferouswoodpackingmaterialissuedbytheSeller.c)货物装运后一个工作日内,卖方应传真买方装运通知.Within1workingdayaftershipmentiseffected,theSellerfaxfreightshipmentnoticetothebuyer.(14)技术资料TECHNICALDOCUMENT:甲技术资料一套与货物一起装箱,运交买方.Onesetoftechnicaldocumentsincludingoperationandservicemanualshallbepackedanddispatchedtogetherwiththegoods.1.Foundationdrawings3.Manufacturingdrawingsofeasilywornpartsc.WithintheguaranteeperiodstipulatedinClause16hereofshouldthequalityandorthespecificationofthegoodsbefoundnotinconformitywiththecontractedstipulations,orshouldthegoodsprovedefectiveforanyreasons,includinglatentdefectortheuseofunsuitablematerials．theBuyershallarrangeforaninspectiontobecarriedoutbytheBureauandhavetherighttoclaimagainsttheSelleronthestrengthoftheinspectioncertificateIssuedbytheBureau.(18)索赔解决方法SETTLEMENTOFCLAMS:IncasetheSellerareliableforthediscrepanciesandaclaimismadebytheBuyerwithintheperiodofclaimorqualityguaranteeperiodasstipulatedinclause16and17ofthiscontract,theSellershallsettletheclaimupontheagreementoftheBuyerinthefollowingways:同意买方退货,并将退货金额以成交原币偿还买方,并负担退货而发生的一切直接损失和费用包括利息,银行费用,运费,保险费,检验费,仓租费等一切其他费用.AgreetotherejectionofthegoodsandrefundtotheBuyerthevalueofthegoodssorejectedinthesamecurrencyascontractedhereinandtobearalldirectlossesandexpensesinconnectiontherewithincludinginterestaccrued,bankingcharges,freight,insurancepremium,inspectioncharges,storageandallothernecessaryexpensesrequiredforthecustodyandprotectionoftherejectedgoods.Devaluatethegoodsaccordingtothedegreeofinferiority,extentofdamageandamountoflossessufferedbytheBuyer.Replacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthiscontract,andbearallexpensesincuredanddirectlossessustainedbytheBuyer.TheSellershall,atthesametime,guaranteethequalityofthereplacementgoodsforafurtherperiodof12monthsasspecifiedinClause16ofthiscontract.(19)人力不可抗拒的事故FORCEMAJEURE:TheSellershallnotbeheldresponsibleforanydelayindeliveryornondeliveryofthegoodsduetoForceMajeure.However,theSellershalladvisetheBuyerimmediatelyofsuchoccurrenceandwithinfourteendavsthereafter,shallsendbyairmailtotheBuyerfortheiracceptanceacertificateissuedbythecompetentgovernmentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.UndersuchcircumstancestheSeller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods-Incasetheaccidentlastsformorethantenweeks,theBuyershallhavetherighttocancelthiscontract.(20)迟交和罚款LATEDELIVERYANDPENALTY:Incaseofdelayeddelivery,exceptforforcemajeurecases,theSellershallpaytotheBuyerforeveryweeksofdelayapenaltyamountingto0.5%ofthegoodswhosedeliveryhasbeendelayed.Anyfractionalpartofaweekistobeconsideredafullweek.Thetotalamountofpenaltyshallnot,however,exceed50%ofthetotalvalueofthegoodsinvolvedinlatedeliveryandistobedeductedfromtheamountduetotheSellerbythepayingbankatthetimeofnegotiation,orbytheBuyerdirectatthetimeofpayment.Incasetheperiodofdelayexceeds10weeksafterthestipulateddeliverydatetheBuyerhavetherighttoterminatebuttheSellershallnottherebybyexemptedfromthepaymentofpenalty.(21)仲裁ARBITRATION:Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledthroughfriendlynegotiations.Incasenosettlementcanbereachedthroughnegotiations,thecaseshouldthenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommission，ShanghaiCommissioninaccordancewiththerulesinforceofthesaidcommission.ThearbitrationshalltakeplaceinShanghaiandtheawardrenderedbythesaidcommissionshallbefinalandbinginguponbothparties.Thearbitrationfeeshallbebornebythelosingparty.(22)适用法律GOVERNINGLAW:ThiscontractshallbegovernedandconstruedforitsmeaningandeffectinaccordancewiththesubstantivelawsofthePeople'sRepublicofChina.(23)附注REMARKS：（24）补充条款SUPPLEMENTARYCONDITIONS：（25）合同生效EFFECTIVENESSOFTHISCONTRACT：Thiscontractshallcomeinto
