Iftheregisteredcapitalispaidininstalments,thecontributiontothefirstinstalmentshallnotbelessthan15%ofitssubscribedcapital.Itisnotlessthanthestatutoryminimumamountofregisteredcapital;thefirstinstalmentshallbepaidwithinthreemonthsupontheissuanceofbusinesslicense.TherestpartofthecapitalcontributiontimeshallbeconformedbytheprovisionsoftheCompanyLaw,therelevantforeigninvestmentlawsandtheregulationsontheAdministrationofCompanyRegistrationRegulations.Otherlaws,administrativeregulationsshallpaythewholecapitalbyshareholderswhenthecompanyfounded,withitsprovisions.

Article12

Generally,thecompanyinthebusinessperioddoesnotreduceitsregisteredcapital.

Article13

(suchasforeigninvestorsjointventure)anyoftheinvestmentpartiestransferofallorpartofitsequitytoathirdparty,investorsshallbeconsentedbytheotherpartiesandreporttotheoriginalexaminationandapprovalauthorityforapproval.Onepartyoftheinvestorstransferallorpartofitsstockrights,theotherpartiesshallhavethepre-emptiverights.

CHAPTER4theshareholders'committee/shareholders

Article14

(Ifthecompanyhastwoormoreshareholders)Thecompanysetuptheshareholders'committeebyalltheshareholders.Theshareholders'committeeisthecompany'sorganofpower;ensurealltheactivitiesofthecompanyinaccordancewithChineselaws,regulationsandrelevantprovisions,thecompanydecidedtoallmajorissues.

(Ifthecompanyisonlyoneshareholder)Thecompanyhasnotsetuptheshareholders'committee;Shareholderisthecompany'sorganofpower,whentheshareholdersperformtheirfunctionsandpowers,shallbemadeinwrittenformandsignedbytheshareholderandpreservedinthecompany.

Article15

Theboardofshareholders/shareholdershallperformthefollowingfunctionsandpowers:

(1)Todecideonthebusinesspolicyandinvestmentplanofthecompany;

(2)Toelectandrecalldirectorandsupervisorwhosepostsarenottakenbytherepresentativesofthestaffandworkers,andtodecideonmattersconcerningtheremunerationofdirectorsandsupervisors;

(3)Toexamineandapprovereportsoftheexecutivedirector;

(4)Toexamineandapprovereportsofthesupervisor;

(5)Toexamineandapprovetheannualfinancialbudgetplanandfinalaccountsplanofthecompany;

(6)Toexamineandapproveplansforprofitdistributionofthecompanyandplansformakinguplosses;

(7)Toadoptresolutionsontheincreaseorreductionoftheregisteredcapitalofthecompany;

(8)Totheissuanceofcorporatebonds

(9)Toadoptresolutionsonmatterssuchasthemerger,division,transformation,dissolutionandliquidationofthecompany;

(10)Toamendthearticlesofassociationofthecompany.

Article16

Theshareholdersmeetingshallbeconvenedatleasttimeseveryyear.Theshareholdersrepresentone-tenthormoreofthevotingrights,one-thirdormoreofthedirectors,supervisorswouldproposetoconveneaninterimmeeting,andtheinterimmeetingshallbeconvened.

Article17

(Ifitsetsupaboardofdirectors)Theshareholders'meetingconvenedbytheboardofdirectors,andpresidedoverbythechairman.Thechairmanisunabletoperformdutiesordoesnotperformhisduties,andpresidedoverbythevice-chairman;thevicechairmanoftheboardofdirectorsisunabletoperformdutiesordoesnotperformhisduties,thehalformoreofthedirectorsjointlyheldupadirectortohost.

Theboardofdirectors/executivedirectorcannotperformhisdutiesorfailstoconvenetheshareholders'meetingoftheresponsibility,convenedandpresidedoverbythesupervisors;thesupervisorsdon’tconveneandpresidedover,representingone-tenthormoreofthevotingrightsoftheshareholderscangatherandpresidedoverit.

Theshareholders'committeeshallwritetheminutesofthemeetingbythedecisions,theshareholderswhoattendedthemeetingwouldsignintheminutesofthemeeting.

CHAPTER5boardsofdirectors/executivedirector

Article18

(Ifitsetsupaboardofdirectors)Thecompanyshallestablishtheboardofdirectors,bymembers(3-13persons).Eachtermforthreeyears,includedonechairman,vice-chairman,directors.Thedirectorfromtheboardofdirectorsproducesby.Thetermexpires,canbereappointed.

Article19

(3)Todecideonthebusinessplansandinvestmentplanofthecompany;

(4)Toformulatetheannualfinancialbudgetplanandfinalaccountsplanofthecompany;

(5)Toformulateplansforprofitdistributionandplansformakinguplossesofthecompany;

(6)Toformulateplansfortheincreaseorreductionoftheregisteredcapitalandissuanceofcompanybondofthecompany;

(7)Toformulateplansforthemerger,division,transformationanddissolutionofthecompany;

(8)Todecideontheestablishmentofthecompany'sinternalmanagementorgans;

(9)Todecideonappointmentanddismissthecompany'smanagerandthematteronthemanager'sremuneration,and,uponrecommendationofthemanager,todecideonappointmentanddismissthecompany'sdeputymanager(s)andpersonsinchargeofthefinancialaffairsofthecompanyandthemattersconcerningtheirremuneration;

(10)Toformulatethebasicmanagementsystemofthecompany.

CHAPTER6boardsofsupervisors/supervisors

Article21

Thesupervisorofthecompanyshallexercisethefollowingfunctionsandpowers:

(1)Toexaminethefinancialaffairsofthecompany;

(2)tosupervisetheactsofthedirectorandseniorexecutivesperformingtheirfunctions,andtobringtheproposaltodismissthosedirectorsandseniorexecutivesviolatingthelaws,administrativeregulations,thearticlesofassociationofthecompanyortheresolutionsoftheshareholder;

(3)Todemanddirectorsandseniorexecutivestomakecorrectionsifanyoftheiractsisfoundtohavedamagedtheinterestsofthecompany;

(4)Proposetoconveneaninterimshareholders'meeting,theboardofdirectorsfailstoconveneandpresideovertheshareholders'meetingdutiesconveneandpresideovertheshareholders'meeting.

(5)Putforwardproposaltotheshareholders'meeting

(6)TobringalawsuitagainstthedirectorsorseniorexecutivesinaccordancewiththeprovisionsofArticle152ofthecompanylawofthepeople’srepublicofChina.

SupervisorsmayattendthemeetingsoftheboardofdirectorsandtheboardofdirectorstoraisequestionsorSuggestionsmatters.

Theboardofsupervisorsfoundthecompanyoperatingconditionisunusual,itcanundertakesurvey;ifitisnecessary,theymayhireanaccountingfirmtohelptheirwork,andtheexpensestobebornebythecompany.

Supervisorsperformtheirfunctionsandpowersofthenecessaryexpensesshallbebornebythecompany.

CHAPTER7BusinessManagementOffices

Article25

Companymanagementinstitutionsandtheirfunctionsandpowersdecidedbytheshareholders'meeting/shareholders/board/executivedirector.

(Thefollowingtermssuitableforestablishingthemanager)Itisallowedtosetupmanagers,theboardofdirectors/executivedirector,whoshallbehiredordismissed.Themanagerisaccountabletotheboardofdirectors,performthefunctionsandpowers.

1.Presidedoverthecompany'sproductionandoperationmanagementwork,organizetheimplementationofthedecisionoftheboardofdirectors.

2.Organizetheimplementationoftheannualbusinessplanandinvestmentplan.

3.Developingcompanyinternalmanagementorganizationsetupscheme.

4.Developingcompanybasicmanagementsystem.

5.Developingcompanyspecificregulations.

6.Whoshallbehiredordismissedthedeputymanager,personinchargeoffinance.

CHAPTER8labormanagementandfinancialothersystem

Thecompanyfollowthe"LaborcontractlawofthePeople'sRepublicofChina"andotherrelevantprovisionsofthelawsandregulations,Dealwithemployees'employment,dismissal,resignation,wagesandbenefits,laborinsurance,labordisciplineandothermatters.ThecompanysupportsstaffaccordingtothelaborlawofthePeople'sRepublicofChina","Chineseunionarticlesofassociation"forsettinguptradeunions.

Thecompanyinaccordancewiththerelevantlawsandregulationstoestablishandexecutefinance,accounting,auditing,foreignexchange,statistics,insurancesystem.

CHAPTER9Duration,DissolutionandLiquidation

Article28

TheoperatingperiodoftheCompanyis___________yearsandshallstartfromthedateonwhichthebusinesslicenseoftheCompanyisissued.

Article29

Shouldtheinvestingpartydecidetoextendtheoperatingperiod,itshallsubmitawrittenapplicationtotheoriginalexaminationandapprovalauthorityatlease6monthspriortotheexpirydateoftheoperatingperiod.Thedurationcanbeextendedupontheapprovaloftheexaminationandapprovalauthorityandcompletionofregistrationformalitiesintheoriginalregistrationauthority.
