InthisAgreementwordsshallhavethesamemeaningsasareassignedtotheminPartIIofthisSupervisionContract(hereinafterreferredtoas“theContract”)-StandardConditions.本合同的有关词语含义与本合同第二部分<<标准条件>>中赋予它们的定义相同.

III.

ThefollowingdocumentsshallbedeemedtoformpartofthisAgreement:下列文件均为本合同的组成部分:

IV.

InconsiderationofthepaymenttobemadebytheClienttotheSupervisorashereinaftermentioned,theSupervisorherebycovenantswiththeClienttoperformsupervisionservicesinthescopeasstatedintheConditionsofParticularApplicationinconformitywiththeprovisionsoftheContract.考虑到以下提到的委托人向监理人的付款，监理人向委托人承诺,按照本合同的规定,承担本合同专用条件中议定范围内的监理业务.

V.

TheClientherebycovenantstopaytheSupervisor,inconsiderationoftheperformanceofthesupervisionservices,suchamountasmaybecomepayableundertheprovisionsoftheContractatthetimesandinthemannerandcurrencytypeprescribedbytheContract.

考虑到监理人提供的监理服务，委托人向监理人承诺按照本合同注明的期限,方式,币种,向监理人支付报酬.InwitnesswhereofthepartiesheretohavecausedthisAgreementtobeexecutedfromApril,2007toOctober,2008.If

foranyreasonstheprojectstopsfor

morethanonemonthuninterrupted,theendingdatewillbepostponedwithsameperiods.本合同自施工单位进场时开始,至整个工程竣工验收止完成.如果项目进行中，被停止连续时间超过一个月，完成时间应该被顺延。

Article1

"Supervisor"meansthepartywhoisemployedbytheClienttoperformsupervisionservicesandassumesupervisionliabilities,andlegalsuccessorstotheSupervisor.

Article2

ThisSupervisionContractshallbegovernedbyChineselaws,statutes,administrativeregulations,anddepartmentalrules®ulations,locallaws,rules®ulationsspecifiedintheStandardConditionsandConditionsofParticularApplication.建设工程委托监理合同适用的法律是中国的法律，条例,行政法规，以及标准条件及专用条件中载明的部门规章或地方法规，地方规章。

Article3

ObligationsoftheSupervisor监理人的义务

Article4TheSupervisorshalldesignatetheSupervisionTeamandsuperintendentsnecessaryforcarryingoutthesupervisingworks;providetotheClientaname-listoftheChiefSupervisionEngineer,mainstaffoftheSupervisionTeamandasupervisionplanandperformthesupervisionserviceswithinthescopeofworkasstatedintheConditionsofParticularApplication.DuringtheexecutionoftheContract,theSupervisorshallsubmitsupervisionreporttotheClientatregularintervalasstatedintheContract.Article5

TheSupervisorshallexercisereasonablecareanddiligence,provideadviceatanappropriatelevelintheperformanceoftheobligationsundertheContracttotheClientandindemnifythelawfulrightsandinterestsofvariousparties.Article6

Article7

DuringthecontractperiodoraftertheContractisterminated,withouttheconsentoftheClient,theSupervisorshallnotdisclosetheconfidentialinformationinrelationtotheProjectandtheContract.

ObligationsoftheClient委托人的义务Article8

TheClientshallpayanadvancepaymenttotheSupervisorpriortothecommencementoftheservicesoftheSupervisor,ifsuchadvanceArticle9

TheClientshallberesponsibleforallcoordinationofexternalrelationshipsinrelationtotheconstructionoftheProject.IftheClientassignspartorallofsuchcoordinationworkstotheSupervisorasisnecessary,thentheworktobeassignedandrelevanttermsofremunerationshallbespecifiedintheSupplementalClauses.

TheClientshallappointaClient'sRepresentative(tobespecifiedintheConditionsofParticularApplication)whoisfamiliarwiththeProjectandabletomakedecisionwithinspecifiedtimeforthepurposeofcontactingtheSupervisor.ShouldtheClient'sRepresentativebereplaced,theClientshallnotifytheSupervisorinadvance.

Article13

TheClientshalltimelynotifytheawardedContractor,inwriting,ofthepoweroftheSupervisor,rolesandauthoritiesofmainstaffoftheSupervisor.SuchinformationshallbemadeclearinthecontractsignedbytheClientandanythirdparty.

Article14

TheClientshallnotifytoContractortoprovidethefollowinginformationtotheSupervisorwithinsuchatimethattheSupervisor'sworkwillnotbehampered:

(1)

Listofsuppliers&manufacturersoftherawmaterials,componentsandparts,mechanicalequipmentetc.tobeusedintheProject;与将用于本工程的原材料，构配件，机械设备等的供应和生产厂家名录；

(2)

Listofcoordinators,cooperatorsinrelationtothedevelopmentoftheProject.与本工程有关的协作人，配合人的名录。

Article15

TheClientshallfurnishfreeofcharge(includingutilityfees)totheSupervisorthesiteoffice,telecommunicationconnection,accommodation

andotherfacilitiesspecifiedintheConditionsofParticularApplication.

Article16

Givencertaincircumstances,ifthetwopartiesagreethatRightsoftheSupervisor监理人的权利

Article17

TheSupervisorshould

havethefollowingrightswithinhisscopeofwork.ItisherebyunderstoodthatanyandallofthefollowingactivitiesshallalsobeconsideredastheobligationoftheSupervisor,whoshallperformthefollowingactivitieswheneveritisneededinordertoensurecompletionoftheProjectinthebestpossiblemannerandaccordingtotherelevantcontractualdocumentsandapplicablelaws:(1)TherightandobligationtomakerecommendationsontheselectionoftheGeneralcontractor(1)

选择工程总承包人的建议权和义务；

(2)TherightandobligationtomakerecommendationsontheselectionoftheSub-contractor(2)

选择工程分包人的建议权和义务；

(3)TherightandobligationtomakerecommendationstotheClientintherespectsoftheprojectincludingprojectsize,designstandard,planningdesign,technologicaldesignandperformancerequirements.(3)对工程建设有关事项包括工程规模、设计标准、规划设计、生产工艺设计和使用功能要求，向委托人的建议权和义务；

(4)Therightandobligationtoadvise,intheprinciplesofsafetyandoptimum,theClientonthetechnicalproblemsinthedesign.IfthedesignisfoundtobenotinconformitywiththeQualityStandardspromulgatedbytheStateorspecifiedintheDesignContract,theSupervisorshallreporttotheClientinwriting.(4)对工程设计中的技术问题,按照安全和最优化的原则,有权利和义务向委托人提出建议.当发现工程设计不符合国家颁布的建设工程质量标准或设计合同约定的质量标准时,监理人应当书面报告委托人.并提供处理方案

(5)Therightandobligationtoreviewtheconstructionmanagementplanandthetechnicalproposalandto

makerecommendationtotheClientforchangesthattheContractorcouldimplementtoensurequality,on-timecompletionandcostreduction.(5)对审查工程施工组织和技术方案,按照保质量、保工期和降低成本的原则,并就承包人有可能采取的变化监理人有权利和义务向委托人提出建议并提供处理意见.

(6)

Conductappropriatearrangementandco-ordinationwithrelevantorganisations,whichcanexertbeneficialinfluencetothedevelopmentoftheProject.ForallsuchmatterstheSupervisorshallfirstreporttotheClientinadvanceandseektheauthorityoftheClienttomakesucharrangementsandco-ordination.(6)主持工程建设有关协作单位的组织协调,对于所有协调项应当事先向委托人报告,并要求委托人授权以进行组织协调工作.

(7)

HavingobtainedtheconsentoftheClient,theSupervisorhastherighttogivecommandwithregardstocommencement,suspensionandresumptionoftheworks.Butbeforedoingso,heshallreporttotheClient.

TheClient’sRepresentativewillbeavailableforcontactinginphonetodiscussemergencyandothermatters.(7)征得委托人同意,监理人有权发布开工令,停工令,复工令,但应当事先向委托人作出书面报告.委托人代表将可以随时电话联系到以就紧急情况和其他事宜与监理人进行研究.

(8)

RightandobligationtocheckandinspectthematerialstobeusedintheProjectandqualityofconstructionandtoadvisetheContractorimmediatelyofanynon-conformities.ShouldtheContractorcontinuetousethematerialsafterthenon-conformityhasbeenidentified,thentheSupervisormustadvisetheClientthattheContractorshouldstopusingthem.Formaterials,componentsandparts,equipmentthatarenotinconformitywiththedesignrequirements,provisionsoftheConstructionContractandnationalqualitystandards,theSupervisorhastherighttonotifytheClientthattheContractorshouldstopusingthem;forworkingsequence,divisionalandsub-divisionalworksthatarenotinconformitywithrelevantcodesandqualitystandards,andconstructionoperationsthatposesafetyconcerns,theSupervisorhastherighttonotifytheClientthattheContractorshould

stopandmakecorrectionsorredotheworks.TheContractorcanresumeconstructiononlyafterhehasreceivedtheworkresumptioncommandfromtheSupervisionTeamviatheClient..(8)工程上使用的材料和施工质量的检验权和义务.发现不合格材料应通知承包方，如果承包人在接到通知后仍继续使用该不合格材料,监理人必须及时通知委托人,让承包人不得继续使用.对于不符合设计要求和合同约定及国家质量标准的材料,构配件,设备,监理人有义务通知委托人让承包人停止使用;对于不符合规范和质量标准的工序,分部分项工程和不安全的施工作业,监理人有义务及时通知委托人，监理人有权让承包人停工整改,返工.承包人只有通过委托人收到监理机构发出复工令后才能复工.

(9)Rightsandobligationtocheck,supervisetheprogressoftheconstruction.

RighttoratifythattheactualcompletionisaheadorbehindthecompletiondatespecifiedintheConstructionContract.(9)工程施工进度的检查、监督权和义务，以及工程实际竣工日期提前或超过工程施工合同规定的竣工期限的签认权和义务；

(10)RightandobligationtocheckandcertifybysignaturethatthepaymenttotheconstructioncontractoriswithinthescopeoftheConstructionContract,torecheck,confirm,andnegatetothesettlementoftheaccounts.WithoutthesignatureandconfirmationfromtheChiefSupervisionEngineer,theclientwillnotmakepaymenttotheconstructioncontractor.(10)在工程施工合同约定的工程价格范围内，工程款支付的审核和签认权和义务，以及工程结算的复核确认权与否定权。未经总监理工程师签字确认，委托人不支付工程款。

Article18Duringsupervision,iftheemployee(s)oftheContractorisfoundtobeincapableofhisjob,theSupervisionTeamshallnotifytheClientoftheviewsoftheSupervisionTeamonthismatter.第十八条在监理过程中如发现工程承包人员工作不力,监理机构应将其对此事的观点告知委托人.

Article19Withinthescopeofwork,iftheClientandtheContractorhaveanydissentandrequirement(includingclaim)toeachother,andwheresuchdisputeisbeingmediatedbyanadministrativedepartmentinchargeofconstructionorbeingarbitratedbyarbitrationbody(ChinaInternationalEconomicandTradeArbitrationCommission,Shanghai),theSupervisorshallproviderelevantproof.第十九条在委托的工程范围内，当委托人和承包人对对方有任何意见和要求(包括索赔要求),双方争议由政府建设行政主管部门调解或仲裁机关（中国国际经济贸易仲裁委员会－上海[H1]

）仲裁时，监理人应当提供相关证明。RightsoftheClient委托人的权利

Article20

TheClienthastherighttoappointthe

Contractorandenterintoacontractwiththatcontractor.第二十条

委托人有选定工程承包人，以及与其签订合同的权利。

Article21

TheClienthastherighttodecidetheprojectsizeandagreethedesignstandard,planningdesign,technologicaldesignanddesignedperformancerequirements;andtherighttoapproveconstructioncost,programmeanddesignvariation.第二十一条

委托人享有对工程规模、设计标准，规划设计、生产工艺设计和设计使用功能要求的认定权，以及对工程造价、进度计划和设计变更的审批权。

Article22

IntheeventthattheSupervisorwanttoreplacetheChiefSupervisionEngineer,heshallobtaintheClient’sconsentinadvanceduringtheContractconductingperiod.第二十二条

在履行本合同期间,监理人调换总监理工程师须事先经委托人同意。

Article23

TheClienthastherighttorequiretheSupervisortosubmit

supervisionreportandspecificreportineachdisciplinewithintheSupervisor’sscopeofwork..第二十三条委托人有权要求监理人提交监理工作报告及监理人业务范围内的专项报告。

Article24

IntheeventthattheClientfindtheSupervisor’sstafffailstoperformdutiesundertheContract,orcauseanylosstotheProjectortheClientthroughcollusionwiththeContractor,theClientshallbeentitledtorequirethatsuchstaffbereplacedbytheSupervisororeventerminatetheContractanddemandtheSupervisortoassumeresponsibilitiesorcontiguousresponsibilitiesinpayingcompensation.第二十四条当委托人发现监理人的职员不按本合同履行监理职责，或与承包人串通给本工程或委托人造成任何损失的，委托人有权要求监理人更换该职员，直到终止合同并要求监理人承担相应的赔偿责任或连带赔偿责任。

LiabilitiesoftheSupervisor监理人的责任

Article25

TheSupervisor’sliabilityperiodisthevalidperiodoftheContract(ContractPeriod),includingthemaintenanceperiod.IntheeventthattheprojectprogrammeispostponedordelaywhichresultsintheContractPeriodtobeextended,thetwopartiesshallmakefurthernegotiationtoagreeanextensionoftheContractPeriod.监理人的责任期即本合同有效期（合同期），包括维护期。如果因工程进度的推迟或延误而导致合同期将要延长，双方应进一步协商约定的延长合同期。

Article26

TheSupervisorshallperformhisdutiesduringtheContractPeriod.ShouldanyfinanciallossbecausedbythefaultoftheSupervisor,heshallpaycompensationtotheClient.Accumulatedamountofcompensation(exceptforthecompensationspecifiedinArticle24)shallnotexceedthetotalpaymentbytheClienttotheSupervisor(excludingincometax).监理人在合同期内，应当履行约定的责任。如果因监理人过失而造成了委托人的任何经济损失，其应当向委托人赔偿。累计赔偿总额（除第二十四条规定的赔偿以外）不应超过委托人向监理人支付的报酬总数（除去税金）。赔偿按相关法律执行[H2]

Article27

TheSupervisorshallbenotresponsibleforanyContractor’snonconformityinqualityrequirementsandcompletiontime(forsubmittingdrawingsordeliveryofgoods).IntheeventofanyforcemajeurewhichcausepartoralloftheexecutionoftheContracttobeimpossible,theSupervisorshallnotbeheldresponsible.ButforanyinfringementtoArticle5,theSupervisorshallpaycompensationtotheClient.第二十七条

监理人对承包人违反施工合同规定的质量要求和完工(交图、交货)时限，因监理人失责应承担相应的责任，因不可抗力导致本合同不能全部或部分履行，监理人不承担责任。但对违反第五条规定引起的与之有关的事宜，应向委托人承担赔偿责任。

Article28

IftheclaimmadebytheSupervisortotheClientcannotbejustified,theSupervisorshallberesponsibleforanycostincurredbytheClientinrelationtotheclaim.第二十八条

监理人向委托人提出赔偿要求不能成立时，监理人应当补偿由于该索赔所导致委托人的任何费用支出。

LiabilitiesoftheClient委托人的责任

Article29

TheClientshallcarryouthisdutiesasstatedintheContract.第二十九条委托人应当履行本合同约定的义务，如有违反则应当承担违约责任，赔偿给监理人造成的直接经济损失。

Article30IftheclaimmadebytheClienttotheSupervisorcannotbejustified,theClientshallberesponsibleforanycostincurredbytheSupervisorinrelationtotheclaim.第三十条委托人如果向监理人提出赔偿的要求不能成立，则应当补偿由该索赔所引起的监理人的各种费用支出。

Commencement,AlterationandTerminationoftheContract本合同的开始、变更与终止

Article31IfArticle32If如实际情况发生变化，使得监理人由于法律原因或实际原因不能根据本合同全部或部分执行监理业务时，监理人应当立即通知委托人。经委托人认可，该监理业务的完成时间应予延长。当恢复执行监理业务时，应当增加不超过42日的时间用于恢复执行监理业务，并按双方约定的数量支付监理报酬。监理人向委托人办理完竣工验收或工程移交手续，承包人和委托人已签订工程保修责任书，监理人收到所有监理报酬，本合同即终止，除了有关双方的责任的条款，其应可按照相关法律的时效期限用以索赔。保修期间的责任，双方在专用条件中约定。

第三十五条

监理人在应当获得监理报酬之日起30日内仍未收到支付单据，而委托人又未对监理人提出任何书面解释时，或根据第三十三条及三十四条已暂停执行监理业务时限超过六个月的，监理人可向委托人发出终止合同的通知，发出通知后14日内仍未得到委托人答复，可进一步发出终止合同的通知，如果第二份通知发出后42日内仍未得到委托人答复，可终止合同或自行暂停或继续暂停执行全部或部分监理业务。委托人承担违约责任。

Article36Ifthesupervisionservicesaresuspendedorterminatedduetocausesnot第三十六条

监理人由于非自己的原因而暂停或终止执行监理业务，不可抗力除外，其善后工作以及恢复执行监理业务的工作致使监理工期延长，经委托人认可，应当视为额外工作，有权得到额外的报酬。

Article37IfintheopinionoftheClientthattheSupervisorisnotdischarginghisrightswithoutjustifiablereasons,hecaninformtheSupervisorofsuchopinion.第三十七条

当委托人认为监理人无正当理由而又未履行监理义务时，可向监理人发出指明其未履行义务的通知。若委托人发出通知后21日内没有收到答复，可在第一个通知发出后35日内发出终止委托监理合同的通知，合同即行终止。监理人承担违约责任。

Article38Termination第三十八条

合同协议的终止并不影响各方应有的权利和应当承担的责任。

Payment监理报酬

Article39

第三十九条正常工作、附加工作和额外工作的报酬，按照监理合同专用条件中第九条的方法计算，并按约定的时间和数额支付。

Article40

第四十条

如果委托人在规定的支付期限内未支付监理报酬，自规定之日起，还应向监理人支付滞纳金。滞纳金从规定支付期限最后一日起计算。

Article41

第四十一条本合同适用的货币币种、汇率在专用条件中陈述。

Article42

第四十二条如果委托人对监理人提交的支付通知中报酬或部分报酬项目提出异议，应当在收到支付通知书24内向监理人发出表示异议理由的通知，但委托人不得拖延其他无异议报酬项目的支付。

Others其他

Article43UndertheconsentoftheClient,costnecessarilyincurredbytheSupervisorforvisitstocitiesotherthanShanghaioninvestigationpurpose,testingofmaterialsandequipmentcanbereimbursedbytheClient,withinthebudgetscope,asitactuallyhappens.委托人根据建设工程需要邀请的建设工程监理所必要的监理人员出外考察、材料设备复试，其费用支出经委托人同意的，在预算范围内向委托人实报实销。Article44

Withinthescopeofsupervisionservices,ifexpertisneededtobeemployedforconsultingorassistancepurposes,theSupervisorshallbearsuchcostwhentheexpertisemployedbyhim,theClientshallbearsuchcostwhentheexpertisemployedbyhim.第四十四条

在监理业务范围内，如需聘用专家咨询或协助，由监理人聘用的，其费用由监理人承担；在监理业务范围外由委托人聘用的，其费用由委托人承担。

Article45IfprofitisgeneratedfortheClientasaresultofrecommendationsmadebytheSupervisor,theClientmaygivebonustotheSupervisor.第四十五条

监理人在监理工作过程中提出的合理化建议，使委托人得到了经济效益，委托人在可以给予监理人经济奖励。

Article46Theon-siteSupervisionTeamoritsstaffshallnotacceptanyremunerationormoneyprovidedbytheContractor.第四十六条

监理人驻地监理机构及其职员不得接受监理工程项目施工承包人的任何报酬或者经济利益。TheSupervisorshallnottakepartinanyactivitythatmayhaveconflictwiththeinterestsoftheClientandwiththeworktobeperformedaccordingtothiscontract.监理人不得参与可能与合同规定的与委托人的利益相冲突的任何活动。

TheSupervisorshallnotdiscloseanyinformationthatisdeclaredbytheClienttobeconfidential.TheSupervisorshallnotdiscloseanyinformationprovidedanddeclaredtobeconfidentialbytheDesignerortheContractoreither.第四十七条

监理人不得泄露委托人申明的秘密，监理人亦不得泄露设计人、承包人等提供并申明的秘密。第四十八条

监理人对于由其编制的所有文件拥有版权，委托人仅有权为本工程使用或复制此类文件。

SettlementofDisputes争议的解决

第四十九条

因违反或终止合同而引起的对对方损失和损害的赔偿，双方应当协商解决，如未能达成一致，可提交主管部门协调，如仍未能达成一致时，根据双方约定提交仲裁机关仲裁，或向人民法院起诉。

Article2Thescopeofsupervision第二条监理工作内容Tosupervisetheconstructionquality,progress,contract,andprojectinformation,tocoordinatebetweentheClientandtheGeneralContractor,andtourgetheGeneralContractortoconstructinasafetyandcivilizedmanner.ThedetailoftheSupervisionServiceisthefollows,负责本项目的建筑质量、进度、合同、项目信息管理，协调委托人与总承包方的关系，督促并检查施工单位安全文明施工,监理工作具体有：

1.Toassisttheclienttosigntheconstructioncontract1.

协助委托人签订施工承包合同；

2.ToassisttheclientandthecontractortodrawuptheConstructionCommencementReport2.

协助委托人与施工单位编写开工报告；

3.ToorganizethemeetingontheConstructionDrawingExplanationandCheck3.

组织设计交底与图纸会审；

4.ToreviewtheConstructionPlan,SchemeandtheMasterScheduleoftheContractor4.

审核承建单位提出的施工组织设计,施工技术方案和施工进度计划；

5.ToSupervisethecontractortoexecutetheConstructionContractandtheNationalTechnicalandConstructionCode,aswellasthedocumentsreferredtoatarticle1hereof,todealwiththecontractor’sviolationagainsttheregulationorthecode;

对承建单位执行工程承包合同和国家工程技术规范标准，以及第一条所规定的文件的情况进行督促,检查,参与承包方违约事件的处理；

6.Tocheckthelistofthematerialandequipmentofthecontractor’s;toinspecttherawmaterial,semi-product,andpartswhichwillbeusedintheproject;torejectthedisqualifiedmaterial,partsandequipmentagainsttheconstructioncontractandstandard.6.

审查承建单位提出的材料和设备清单,对工程使用的原材料、半成品、构件、设备进行检查,有权拒绝使用不符合合同要求和标准规定的材料,构件,设备；

7.Toinspecttheconstructionprogressandquality;toinspectandacceptthedivisional,sub-divisionalandconcealedworks;toevaluatetheconstructionprogress7.

检查工程进度和施工质量,验收分部分项工程和各项隐蔽工程,对工程进度进行评估。每周书面向委托人报告工程进度，每周组织召开施工例会。

8.ToorganizetheClient,theDesignerandtheContractortohandlethequalityaccident;tosupervisetheexecutionofthetechnicalschemeforthequalityaccident;toinspect,acceptandissuethecertificateafterthequalityaccidentissettled.8.

组织委托人、设计、施工单位处理工程质量事故并提供处理方案和责任划分方案,监督质量事故技术处理方案的实施,并对事故处理进行验收和签证；

9.TocompiletheSupervisionDocumentsandSpecificationsforfiling9.

整理监理文件和技术档案资料；

10.ToorganizetheDesignerandtheConstructionContractortopre-inspectandpre-acceptfortheconstructioncompletion10.

组织设计单位和施工单位进行工程竣工初步验收；

11.ToassisttheClienttoexecutetheCompletionAcceptance.11.

协助委托人进行竣工验收工作;

12.TosubmittheSupervisionEvaluationReportfortheprojecttotheClient.12.

向委托人提交项目监理评估总结报告；

13.

ToorganizeHSEsiteservice:Safetystrategy,sitesafetysupervision,healthcontrol,securityofsiteoffice.13.

负责提供安全策略，现场安全监督，现场健康控制，以及现场办公室安全。

Article3Externalconditionsinclude:theClientisresponsibleforallthepublicrelationsandcoordinationfortheprojectincludingthelocalgovernmentandauthorities第三条
