SPECIALNOTESI. ThisContractappliestothepre-leaseofcommercialhousingsituatedwithintheadministrativejurisdictionofShanghai,aswellastheleaseofpremiseswhoserentisdeterminedbytherelatedpartiesthroughnegotiationsaccordingtoreasonablemarketprinciples,exclusiveoftheleaseofanypublicly-ownedresidencepremisesattherentratiospecifiedbyShanghaiMunicipalGovernment,ofthepublicnon-residencepremisesadministrativelyallocatedandinvestedbyShanghaiMunicipalGovernment,andoftheprivatepremisesleasedattherentratiospecifiedbyShanghaiMunicipalGovernmentpriortotheimplementationoftheRegulationsofShanghaiMunicipalgovernmentonPremisesLease(hereinafter“theRegulations”).II.Thepre-leasehereunderisonlyrestrictedtosuchcommercialhousingsasbuiltbyrelatedrealestatedeveloperswhohasobtainedthepre-salepermit,exceptforanycommercialhousingwhichhasbeenpre-soldbyrelatedrealestatedevelopers;andnopre-leasemaybemadebyanypre-buyerofcommercialhousing.Boththeterms【ForLease】and【ForPre-Lease】mentionedhereinareforindicativepurposes,denotingthatrelatedprovisionsorclausesmarkedwithsuchtermsapplytoleaseorpre-lease,asindicatedrespectively.WhenthisContractisusedasapremisesleaseagreement,onlythoseprovisionsmarkedwiththeword【Lease】willbeincludedandadoptedasintegralpartofsuchleaseagreement;likewise,whenusedasacommercialhousingpre-leasecontract,onlythoseprovisionsmarkedwiththe【Pre-lease】,aswellastheprovisionsentitled“Pre-leaseRelatedIssues”assetoutintheSupplementalProvisions,andotherprovisionsnotmarked【】maybeincludedasthegeneraltermsandconditions,regardlessofpre-leaseorlease.IV. IncasethisContractistobeusedforintendedpre-leaseofcommercialhousing,bothpartiestosuchpre-leaseshall,uponthecompletionofthecommercialhousing,enterintothehandoverletterofcommercialhousingafterrelatedpropertydeveloperhasfollowedtherequiredinitialregistrationofrealestateandacquiredtherealestateownershipcertificate,forthatpurposes,thatcontractshallbecomethepremisesleasecontract,andtheoriginaltermsandconditionscontainedthereinshallhavebeenfullyfulfilled.V. ThisContractisthetentativetemplatepreparedbyShanghaiAdministrationofPropertyandLandRecoursesincollaborationswithShanghaiMunicipalBureauforIndustryandCommerce,inaccordancewiththeRegulationsofShanghaiMunicipalGovernmentonPremisesLease,alltermsandconditionscontainedhereinareonlyforindicativepurposestobemutuallyagreedbetweenthePartieshereto.AnyissuesnotcoveredordefinedhereinmayberesolvedbyenteringintosupplementaryprovisionsbyPartyAandPartyBthroughamicablenegotiations.VI. PriortoexecutionofthisContract,thelessorisrequiredtopresenttotheprospectivelesseeitsrealestateownershipandlanduserightcertificateorotherrelatedownershipcertificate,andappropriatepropertydevelopershallshowthepre-lesseethepre-salespermitasdulyobtained.Eachpartytoanintendedleaseorpreleaseshallverifytheidentitycertificateofothersanddelivertoothersitsownidentitycertificate.WheretheintendedlesseeisanitinerantpersonfromoutsideShanghai,thelessorisalsorequiredtopresentthePermitofPremisesLeasingsecurityissuedbyrelatedpoliceauthority.VII. Relatedpartiesconcernedshall,withinfifteen(15)daysuponexecutionofthisContract,followrelatedformalitiesofcontractregistration.Specifically,intheeventofpremiseslease,register,andapplyforthecertificateofcontractregistrationwiththelocalappropriaterealestateexchangecenterorfarmsystemdulyestablishedattheplacewheresuchleasedpremisesarelocated;intheeventofpre-leaseofcommercialhousings,thepre-leaseofforeign-orientedcommercialhousingsshallberegisteredwithShanghaiMunicipalRealEstateExchangeCenter;thepre-leaseoflocal-orientedcommercialhousingshallberegisteredwiththerealestateexchangecenterdulyestablishedattheplacewheresuchpre-leasedpremisesislocated.Thepropertyownershipcertificatewillbegrantedifthecommercialhousingsunderpre-leasemechanismarecompleted,andtherelatedpartiesshallregister,andapplyforthecertificateofcontractregistrationwiththelocalappropriaterealestateexchangecenterorfarmsystemdulyestablishedattheplacewheresuchleasedpremisesarelocated,upontheexecutionofhandoverletterofcommercialhousingsunderpre-leasemechanism.Oncedulyregisteringwiththeaboveauthority,thelesseehastherighttoclaimagainstthethirdpartyinrelationtoanypurportedrepeatedpre-leases,transferordiscretionaldisposalofmortgagedpremisesduringleaseperiod,etc.VIII. Intheeventonepartyrequirestoregisterwhiletheotherrefusestorendernecessarycoordination,formermaygothroughrelatedformalitiesforregistrationbypresentingthisleasecontract,valididentificationcertificate,aswellasothersupportinginstruments.IX.Thesecuritydepositservesasthesafeguardtoensurethedueperformanceoftheleasecontract.Duringthecourseofpremiseslease,thelessorandthelesseemaystipulatethesecuritydepositintheleasecontract,andthespecificamountshallbedeterminedbybothparties.Uponterminationofthelease,thesecuritydeposit,afterdeductingtherelevantcostsandexpensespayablebylessorasspecifiedinthecontract,shallberefundedtotheLessee.X.ThisContractisavailablefromtheShanghairealestateexchangecenterorfarmsystemfilingofficeoritsdivisionsinitsdistrictor,countywheretherelatedpremisesarelocated.Bothpartiesareadvisedtoreadthoroughlyeachprovisioncontainedhereinandmakeasoundunderstandingthereof.XI.ThisContractservesonlyasaModelTextforreferencebyrelatedparties.XII.Wheretheleaseholdhereunderisestablishedunderthehelpofagencyorbrokerage,relatedpartiestoaleaseshallrequiresuchbrokerageorbrokertosignonthelastsignaturepagehereof.SHANGHAI PREMISESPRE-LEASE CONTRACT(ContractNo.:) BETWEEN:Lessor(hereinafter“PartyA”):【ForLease】Lessee(hereinafter“PartyB”)Pre-lessor(hereinafter“PartyA”):【ForPre-Lease】Pre-lessee(hereinafter“PartyB”):THISCONTRACTismadeandenteredintobyandbetweenPartyAandPartyB,throughmutualfriendlynegotiationbasedontheprinciplesofequality,voluntariness,fairness,aswellasgoodfaith,inrespectofissuesconcerningtheleasebyPartyAtoPartyBofthe(Premises/CommercialHousing)whichPartyAisentitledto(lease/pre-lease),inaccordancewiththeContractLawofthePeople’sRepublicofChinaandtheRegulationofShanghaiMunicipalGovernmentonPremisesLease(hereinafter“theRegulations”),subjecttothetermsandconditionsashereof:I. ProfileofLeased/Pre-leasedPremises1-1 ThePremises(ForLease/Pre-lease)byPartyAtoPartyBhereunderissituatedatroom,floor,(No./building)(Lane/NewVillage)Road(district/county),Shanghai(hereinafter“thePremises”).ThemeasuredbuildingareaofsuchPremises___(ForLease/Pre-lease)issquaremeters,andthePremisesareallowedfor,withatypeofandstructureof.TheplanorlayoutofsuchPremisesisasprovidedinAppendixAattachedhereto.ItisacknowledgedthatPartyAhaspresentedtoPartyB:(i) 【ForLease】Therealestateownershipandland-userightcertificate/houseownershipcertificate________,numberedas(ii) 【ForPre-Lease】Pre-salepermit,numberedas(RefertoArticle2.1andArticle2.2oftheSupplementalProvisionsfordetails)1-2TheleaseholdisestablishedbetweenPartyA,as(RealEstateOwner/Administrator/OtherRightHoldersundertheApplicableLaws),andPartyBhereunder.PartyAhasinformedPartyBthatthePremises(have/havenot)beenmortgaged,priortotheexecutionofthisleasecontract.1-3 Space,ConditionsandRequirementsforUseofPublicorSharedAreasofthisPremises:TheexistingDecoration,ancillaryfacilities,conditionsofequipment,aswellastheinformationandstandardsof,theancillaryfacilitiesdecoratedandaddedbyPartyB,uponconsentofPartyA,shallbedeterminedasperAppendixB,attachedhereto,respectively.BothPartiesagreethatthesetwoAppendicesasmentionedaboveshallbethestandardsorbasisforacceptanceofthePremiseswhenitisreturnedbyPartyBtoPartyAuponterminationhereofandwhenitisbyPartyAtoPartyBasoftheeffectivedatehereof.(RefertoArticle2.3oftheSupplementalProvisionsfordetails)II. PurposesofLease2-1 PartyBundertakeswithPartyAthatthePremisesareleasedhereundertobeusedas,andwillcomplywithanyandallrelatedapplicableprovisionsconcerningthepremisesuseandpropertymanagementoftheStateandShanghai.2-2PartyBwarrantstoPartyAthatduringtheleasetermhereofnochangewillbemadetothepurposesmentionedinArticle2-1aboveintheabsenceofpriorwrittenconsentofPartyAandapprovalfromrelatedcompetentauthoritiesafterdueprocessofexaminationinaccordancewithrelatedprovisions.III. HandoverDateandLeaseTerm3-1 BothPartiesheretoagreethatPartyAwillhandoverPartyBthesaidPremisesbyyyyy/mm/dd.【ForLease】Theleasetermhereofshallcommencefromandendon【ForPre-Lease】TheleasetermshallcommencefromthedatewhenthePre-leasedCommercialHousingHandoverLetterissignedandendonthedateof___________.(RefertoArticle3oftheSupplementalProvisionsfordetails)3-2 Uponexpiryoftheagreedtoleaseterm,PartyAshallhavetherighttorecoverthePremisesleasedhereunder,andPartyBisrequiredtoreturnthesameasscheduled.PartyBshalldeliverawrittennoticetoPartyArequestingrenewalofthisContractsix(6)monthspriortotheexpirydate,whichrenewalhereofshallbesubjecttoexpressconsentofPartyA.IV.Rent,TermsofPaymentandPeriod4-1ItisagreedbybothPartiesheretothattheagreed-uponrentforeachsquaremeterofbuildingarea/perdayisYuan(Currency).【ForLease】Themonthlyrentintotalis____________Yuan(Currency)(Inwords:THOUSAND_____HUNDRED____YUANONLY).【ForPre-Lease】ThemonthlyrentshallexpresslystipulatedbybothPartiesintheHandoverLetterofCommercialHousingaspertheactuallymeasuredbuildingareaspace.(RefertoArticle4.1oftheSupplementalProvisionsfordetails)Theaforesaidrateofrentremainsunchangedforaperiodof(Year/Month),whichmaybesubjecttoadjustmentfromtimetotimebybothpartiesheretofrom(year/Month)throughmutualfriendlynegotiation,mattersconcerningsuchadjustmenttobecontractedbetweenbothpartiesintheSupplementalProvisionshereto.4.2ThesaidrentshallbepayablebyPartyBtoPartyApriortothedayofeachmonth.PartyBisobligedtopayapenaltytoPartyAattherateof%ofunpaidrentforeachdelayedday.(RefertoArticle4.1andArticle14.2oftheSupplementalProvisionsfordetails)4-3TherentshallbepaidbyPartyBaccordingtothefollowingpaymentschedules:(RefertoArticle4.1oftheSupplementalProvisionsfordetails)V. CashDepositandOtherFees5-1BothPartiesheretoacknowledgethatuponhandoverbyPartyAtoPartyBofthePremises,PartyBshallpaytoPartyAsecuritydepositinthesumofrentformonths,i.e.Yuan(RMB).Uponreceivingthesaidsecuritydeposit,PartyAshallissuetoPartyBareceiptthereof.UponterminationorexpirationofthisContract,thesecuritydeposit,aspaidbyPartyBhereunder,afterdeductingrelatedfeeswhicharetobepaidbyPartyBasstipulatedherein,shallberefundedtoPartyBwithoutinterest(ifanyamountremaining).(RefertoArticle5oftheSupplementalProvisionsfordetails)5-2Anyandallfeesandexpensesincurredduringtheleaseterm,inrespectofthewater,electricity,gas,communications,equipment,propertymanagement,andotherrelatedfeesorexpensesshallbeborneby(PartyA/PartyB).Allotherfeesandexpensesshallbeborneby(PartyA/PartyB).(RefertoArticle4.2andArticle4.3oftheSupplementalProvisionsfordetails)5-3Themeansforcalculatingorapportioningtheaforesaidfeesandexpensestobepaidby(PartyA/PartyB),thetermsaswellastimeofpaymentthereofshallbeasfollows:(RefertoArticle4.2andArticle4.3oftheSupplementalProvisionsfordetails)VI. RequirementsforUseofPremisesandMaintenanceLiabilities6-1Duringtheleasetermhereof,PartyBshallpromptlyinformPartyAtorepairormakegoodanydamageorfailureoccurredtothePremisesoritsancillaryfacilitieswheneversuchdamageorfailurecomestohisattention;PartyAshall,withinfifteen(15)daysuponreceiptofsuchnoticefromPartyB,makeappropriatecorrectionorrepair,otherwise,PartyBmaymakesuchnecessaryrepairatthecostofPartyA.6-2Duringtheleaseterm,PartyBshallreasonablyuseandtakepropercareofthePremisesanditsancillaryfacilities.PartyBshallbeheldliableformakingproperrepairorcorrectionofanydamageorfailuretothePremisesoritsancillaryfacilitiesasresultofmisuseorunreasonableusebyPartyB.IncasePartyBrefusestomakeproperrepairuponrequestfromPartyA,PartyAmaymakesuchrepairatthecostofPartyB.6-3PartyAwarrantsthatthePremisesanditsancillaryfacilitiesareingoodconditionandsafemanner,suitableforuse,duringtheleaseterm.PartyAshallnotifyPartyBofanyplannedinspectionand/ormaintenanceonthePremisesthree(3)daysinadvance,inthiscase,PartyBshallprovidereasonableandnecessarycooperationforthatpurpose,provided,howeverPartyAisrequiredtominimizetothepossibleextenttheimpactontheusebyPartyBofthisPremises,causedbysuchinspectionand/ormaintenance.(RefertoArticle7oftheSupplementalProvisionsfordetails)6-4ExceptforAppendixhereto,anyintendedDecorationoradditionofancillaryfacilitiesandequipmentsbyPartyBshallbesubjecttopriorwrittenconsentsofPartyAandrequiredapprovals,forwhich(PartyA/PartyBentrustedbyPartyA)shallapply,fromappropriatecompetentauthoritiesinaccordancewithapplicableprovisions,ifsuchapprovalisrequiredbyapplicablelawsasnecessaryforsuchintendedDecorationandadditionofancillaryfacilitiesandequipments.TheownershipofsuchDecorationandadditionofancillaryfacilitiesandequipments,madebyPartyB,aswellasmaintenanceresponsibilitiesthereforeshallbeagreedbybothPartyAandPartyBseparatelyinwriting.(RefertoArticle6andArticle7oftheSupplementalProvisionsfordetails)VII. ConditionsofPremisesattheTimeofReturn7-1UnlessPartyAconsentsPartyBtorenewthisContract,PartyBshallreturnthePremiseswithin___day(s)uponexpirationoftheleaseterm.IfPartyBdelaystoreturnthePremiseswithoutconsentofPartyA,foreachdelayedday,PartyBshallpaytoPartyAanoccupationalfeeat(____currency)____/m2(equaltotwotimesofthedailyrent)duringtheperiodwhenthePremisesareoccupiedbyPartyB.(RefertoArticle8oftheSupplementalProvisionsfordetails)7-2ThePremisesreturnedbyPartyBshallbeintheconditionorstateleftafteraperiodofnormaluse.TheintendedreturnofthePremisesshallbesubjecttodueinspectionandacceptanceofPartyA,intheeventofacceptancebyPartyAofintendedreturn,eachpartyshallpayupanyandallamountsthatshouldbechargedtohisaccount.VIII. Sublease,AssignmentandExchange8-1ExceptasPartyAhasconsentedPartyBtosubleasethePremisesasprovidedforintheSupplementalProvisionshereto,PartyB,duringtheentireleasetermhereof,maynotsubleasethePremisesinwholeorinparttoanythirdpartywithoutapriorwrittenconsentofPartyA,provided,however,PartyBshallnotsubleasetheinternally-dividedPremisestomorethanonesublessees.(RefertoArticle9oftheSupplementalProvisionsfordetails)8-2ForanyintendedsubleaseofthePremises,asubleasecontractshallbeconcludedbetweenPartyBandrelatedsub-lesseeinwriting,andthesubleasecontractisrequiredtoberegisteredwiththeRealEstateExchangeCenterorFarmSystemFilingOfficeestablished8-3Duringtheleasetermhereof,anyassignmentintendedbyPartyBoftheleaseholdofthePremisestoanythirdparty,oranyexchangeofthePremiseshereunderwithanythirdpartyshallbesubjecttoapriorwrittenconsentofPartyA.Uponcompletionofsuchassignmentorexchange,theassigneeorthepersonwithwhomPartyBexchangespremisesshallenterintoanovationagreementwithPartyA,andtoperformthetermsandconditionscontainedherein.(RefertoArticle9oftheSupplementalProvisionsfordetails)8-4IfPartyAintendstosellthePremisesduringtheleaseterm,itshallsendathree-monthnoticetoPartyB.PartyBshallhavetherightoffirstrefusaltopurchasethePremisesunderequaltermsandconditions.(RefertoArticle11.8oftheSupplementalProvisionsfordetails)IX. ConditionsforTerminationofthisContract9-1PartyAandPartyBagreethatduringtheleasetermhereof,thiscontractshallbeterminatedunderanyofthefollowingcircumstanceswithoutanyliabilitiesimposedoneitherpartyhereto:(i) TherighttousethelandwhichistotallyorpartlyoccupiedbythePremisesisrevokedinaccordancewithapplicablelaws;(ii) ThePremisesareconfiscatedinaccordancewithapplicablelawsforsocialpublicinterest;(iii)ThePremisesaretobedismantledandrelocatedaccordingtolawfortheneedsofurbanconstruction;(iv)ThePremisesaredamaged,destroyedorassessedasdangerousproperties;(v)PartyBwasinformedofanyandallmortgageoverthePremisespriortosuchlease,whichisexercisednowbytheconcernedparties;(vi)(RefertoArticle13oftheSupplementalProvisionsfordetails)9-2ItisagreedthatunderanyofthefollowingcircumstanceseitherpartymaynotifytheotherinwritingtoterminatethisContract.Eitherpartyinbreachofthiscontractshallpayappropriatepenaltyinthesumoftimesofonemonthlyrent;Incasesuchpenaltyisinsufficienttocoverthelossincurredbytheotherpartyasaresultofsuchbreach,thedefaultpartyshallpaythedifference.(i) PartyAfailstohandoverthePremisesasscheduledandthefailurecontinuesforaperiodofdaysupontherequestofPartyB;(ii) ThePremiseshandedoverbyPartyAisinconsistentwithstipulationscontainedherein,thusfrustratingtheleasepurposes;orthePremiseshandedoverbyPartyAisdefective,threateningthesafetyofPartyB;(iii) PartyBchangesthepurposesofthePremiseswithoutpriorwrittenconsentfromPartA,thuscausinganydamagetothePremises;(iv) ThemainbodyofthePremisesisdamagedbyreasonofPartyB;(v) PartyBsubleasesthePremises,assignstherightsownedasthelesseeofthePremisesorexchangeswithotherstheirrespectiveleasedpremiseswithoutpriorwrittenconsentofPartyA;(vi)PartyBfailstopayduerentalforaperiodofone(1)monthsintotal.(vii)(RefertoArticle14.4oftheSupplementalProvisionsfordetails)X. LiabilitiesforBreach10-1IncasethePremisesaredefectiveatthetimeofhandover,PartyAshallmakethingsgoodwithinthirty(30)daysuponthedateofhandover,otherwise,PartyAagreestodecreasetheoriginally-agreedrentratioandmodifythelease-relatedtermsandconditions..10-2PartyAshallbeheldliableforcompensationforanylosssufferedorsustainedbyPartyBasaresultoffailureofPartyAtoinformPartyBofanymortgagesorencumbrancesoverthePremiseshereunderorofthefactthatpartofthetitlehasbeentransferredpriortotheleaseofthePremises.10-3PartyAshallbeliableformakingappropriatecompensationforanydamagetopropertyoforbodilyinjurytoPartyBasaresultofdamagetothePremisesduetoPartyA’sfailuretoperformtherepairand/ormaintenanceliabilitiessetforthherein,duringtheleasetermhereof.10-4Duringtheleaseterm,intheeventthatPartAwithdrawsthePremisesinadvancebyterminatingthisContractforthereasonorreasonsnotspecifiedhereinwithoutpriorconsentfromPartyB,PartAshallpayPartBthepenaltiesatanamountof___timesoftherentaccruedduringtheperiodfromtheearlyterminationdatetothenatureexpirydate.IncasetheamountisinsufficienttocoverthelosssustainedbyPartyBasaresultoftheearlytermination,PartyAisrequiredtopaythedifference.(RefertoArticle14.1oftheSupplementalProvisionsfordetails)10-5IncasePartyBconducttheDecorationoraddsancillaryfacilitieswithoutthepriorwrittenconsentofPartyAoroutsidethescopeofandrequirementsforsuchDecorationoradditionofancillaryfacilitiesasconsentedtobyPartyAinwriting,PartyAmaychoosetorequirePartyBtorestoresuchPremisesandcompensatefortheloss(restoresuchPremises/compensatefortheloss).(RefertoArticle6oftheSupplementalProvisionsfordetails)10-6Duringtheleaseterm,intheeventthatPartBterminatestheleaseholdinadvanceforthereasonorreasonsnotspecifiedhereinwithoutpriorconsentfromPartyA,PartyBshallpaytoPartyAthepenaltiesatanamountof___timesoftherentaccruedduringtheperiodfromtheearlyterminationdatetothenatureexpirydate.IncasetheamountisinsufficienttocoverthelosssustainedbyPartyAasaresultofthesaidearlytermination,PartyBisrequiredtopaythedifference.PartyAmaydirectlydeductthepenaltiesfromthesecuritydeposit.Ifthesecuritydepositisinsufficienttodeductthepenalties,PartyBshallstillpaythedeficiency.(Fordetailedaboutotherliabilitiesforbreachofcontract,refertoArticle14.2,Article14.3andArticle14.5oftheSupplementalProvisionsfordetails)XI. Miscellaneous11-1IfPartyAintendstomortgagethePremisesduringtheleaseterm,PartyAshallgiveawrittennoticetoPartyBandundertaketoPartyBthat,iftheconcernedpartieswilldisposeofthePremisesbymeansofconversiontoapriceorrealizationafterthePremisesaremortgaged,PartyAwillgivea____-daywrittennoticetoPartyBtosolicitPartyB’sopinionaboutpurchaseofthePremises.(RefertoArticle11.8oftheSupplementalProvisionsfordetails)11-2ThisContractentersintoforcewithindaysuponthesignatureandsealbybothPartieshereto.Withinfifteen(15)daysuponeffectivedate,PartyAshallberesponsibleformakingregistrationofthecontractwithrelatedrealestateexchangecenterorfarmsystemfilingofficeestablishedattheplacewherethePremisesarelocated,andapplyforthepremisesleasingregistrationcertificate;withinfifteen(15)daysuponregistrationofthiscontract,PartyB(PartyA/PartyB)shallberesponsiblefortheregistrationswiththeoriginalregistryofficeforanyintendedchangeandterminationofthisContract,.PartyAshallbesolelyliableforanylegaldisputearisingoutoforfromPartyA’sfailuretofollowtheaboveregistrationformalities.(RefertoArticle15.6oftheSupplementalProvisionsfordetails)
11-3AnyissuenotcoveredorundefinedhereinshallbedeterminedbySupplementalProvisionsmutuallyagreeduponbothParties.TheSupplementalProvisionsandtheappendicesheretoshallbedeemedintegralpartsofthisContract.ThewordsinsertedintheblankspaceintentionallyleftinthisContract,itsSupplementalProvisions,aswellasAppendicesattachedhereto,areequallyauthenticasprintedwords.11-4EitherPartyhereto,uponexecutionofthisContract,understandsclearlytheirrespectiverights,obligationsandliabilitieshereunder,andagreestofaithfullyexerciseand/orperformthesameasstipulatedherein.Eitherpartyheretomayclaimforappropriatecompensationagainsttheotherpartywhoisheldinbreachhereof.11-5Anydisputearisingoutof,orinconnectionwiththeperformanceofthisContractshallberesolvedbetweenbothPartiesthroughmutualfriendlynegotiation;failingwhich,thesecondoptionindicatedbelowwillbeemployedbybothPartiestosolvesuchdispute:(i)SubmittoArbitrationCommitteeforarbitration;(ii)Lodgeproceedingswithappropriatepeople’scourtwithcompetentjurisdictionpursuanttorelatedlaws.(RefertoArticle15.9oftheSupplementalProvisionsfordetails)11-6ThisContract,alongwithitsAppendicesattachedhereto,ismadeinquadruplicate,withPartyAholding2copies,PartyB,andtherealestateexchangecenterof(ShanghaiMunicipality/District/County)holdingonecopythereof,andallofthecopiesthereofshallbeofequalvalidity.
