”共享办公创业服务平台,与甲方开设的其他众创空间一并创设【熊猫乐园】,为企业家创业者提供相关服务;乙方已经知悉甲方的服务内容,愿意加入【熊猫乐园】接受相关服务,经双方协商一致,达成如下协议:PartyAinvestsandconstructsthe“___”sharedofficeandinnovationserviceplatforminBuilding__ofPandanIFC;issetupalongwithothermassinnovationspacesopenedbyPartyA,whichprovidesrelatedservicesforentrepreneursandpioneers.PartyBhasbeeninformedoftheservicecontentsofPartyAandiswillingtojoininandacceptrelatedservices.Throughconsensus,bothpartiesreachthefollowingagreement:第一条 会员服务Article1 MemberService1.1 乙方自愿加入【熊猫乐园】,成为【熊猫乐园】会员,付费接受甲方的相关服务,自愿遵守本协议的约定。1.1PartyBvoluntarilyjoinsin[PTC]andbecomesthememberof[PTC].PartyBpaystoacceptrelatedservicesofPartyAandvoluntarilyadherestothestipulationsofthisagreement.1.2乙方拥有大熊猫金融中心楼单元的面积为平方米专享商务空间(具体位置见附件一:乙方商务空间建筑面积平面图;商务空间装修及设备见附件二:商务空间交接确认单)。1.2 PartyBownstheexclusivecommercialspaceofUnit__,Building__,PandanIFC,withtheareaof___squaremeters.(theconcretelocationisseeninAppendix1:planofthecoveredareaofPartyB’scommercialspace;decorationandequipmentofthecommercialspaceisseeninAppendix2:theformoftakeoverconfirmationofthecommercialspace).1.3 双方确认,乙方的商务空间须做办公室使用。会员期间内,未经甲方书面同意,乙方不得擅自改变商务空间的用途。会员期间内,乙方不得使用、允许或默许商务空间用作任何非法或损害【熊猫乐园】整体商誉的行为及用途,否则甲方有权单方面终止本合同,由此造成的一切损失均由乙方承担。1.3 BothpartiesconfirmthatthecommercialspaceofPartyBshallbeusedastheoffice.Duringthememberperiod,withoutthewrittenapprovalofPartyA,PartyBshallnot第 3页 共28页arbitrarilychangetheuseofcommercialspace.Duringthememberperiod,PartyBshallnotuse,allownorconniveatcommercialspace’sbeingusedfortheillegalorharmfulbehavioranduseoftheoverallcommercialreputationof[ThePhoenixClub].Otherwise,PartyAhastherighttounilaterallyterminatethiscontract.AllthelossesarisingoutofthisshallbeassumedbyPartyB.1.4基本服务1.4.1依据乙方需求,提供包括内资企业、外资企业、中外合资企业的注册及变更,人力资源招聘等基本服务。1.4.2依据乙方需求,提供深圳市内劳斯莱斯VIP专车接送服务、全国各地酒店协议价入住服务,价格另行协商。1.4.3甲方提供精品咖啡服务,乙方可根据使用额度享受相应服务。1.4.4甲方提供云端健身服务。1.4 BasicServices1.4.1 InaccordancewithPartyB’sdemands,providethebasicservicessuchasregistrationandchangehumanresourcerecruitmentfordomestically-fundedenterprises,foreign-fundedenterprises,Sino-foreignjointenterprises.1.4.2 InaccordancewithPartyB’sdemands,providetheVIPexclusivevehiclepickupservicesofRolls-RoycewithinShenzhen,check-inserviceaccordingtothenegotiatedpricesofhotelsnationwide.Thepricesshallbeseparatelynegotiated.1.4.3 PartyAshallprovideexcellentcoffeeservice,andPartyBcanenjoythecorrespondingserviceaccordingtoitsamountofuse.1.4.4 PartyAshallprovidecloudfitnessservice.1.5 增值服务依据乙方实际需求,甲方协助乙方开展发展规划编制、商业模式研究、商业计划书编制、团队组建、宣传营销等咨询工作,甲方可免收服务费用。乙方要求甲方帮助深入研究和实际编制的,双方采取一事一议的方式,由甲方指定的专业服务机构及其他相应的机构提供有偿服务。1.5 Value-addedServicesInaccordancewithPartyB’sactualdemands,PartyAhelpsPartyBtocarryouttheconsultationworksuchasformulationofdevelopmentplanning,researchof第 4页 共28页commercialmode,formulationofcommercialprojectplan,teamsetup,publicitymarketing.PartyAmayexemptserviceexpense.IfPartyBrequiresPartyAtohelpwithin-depthresearchandactualformulation,bothpartiesadoptthemodeofonematterandonediscussion;PartyAdesignatestheprofessionalserviceorganizationsandotheraccordingorganizationstoprovidepaidservice.1.5.1 依据乙方实际需求,甲方帮助引进专业机构,为乙方提供财务顾问、税务顾问、法律顾问、管理咨询、营销咨询、研发咨询等服务,甲方可免收中介服务费。依据乙方实际需求,甲方帮助乙方配备商业导师,为乙方提供商业指导,甲方可免收中介服务费。1.5.1 InaccordancewithPartyB’sactualdemands,PartyAhelpsbringintheprofessionalorganizationsandprovidesfinancialconsultant,taxconsultant,legalconsultant,managementconsultation,marketingconsultation,R&DconsultationforPartyB.PartyAmayexempttheintermediaryserviceexpense.InaccordancewithPartyB’sactualdemands,PartyAhelpsPartyBtoallocatethecommercialtutors,providecommercialguidanceforPartyB.PartyAmayexempttheintermediaryserviceexpense.1.6 资助政策申报辅导服务依据国家部委/省市/各区下设的科技、经促、发改、文化等相关政府职能部门资助政策,甲方协助乙方及时申报,协助乙方引进专业机构编制项目可研报告、项目建议书、科研项目申请等各类申报材料,并在申报过程中协助乙方与相关职能部门有效沟通。未取得政府资助的项目,甲方免收服务费;取得政府资助的项目,甲方按照双方签订的中介服务协议收取服务费。1.6 ServiceofSubsidyPolicyDeclarationGuidanceInaccordancewiththesubsidypoliciesofrelatedgovernmentfunctionaldepartmentsincludingscience&technology,economicpromotion,developmentreform,culturesetbythenationalministries/provincesandcities/districts,PartyAhelpsPartyBtodeclareintime,helpsPartyBtobringinvariousdeclarationmaterialssuchastheprojectfeasibilityreports,projectproposal,scientificresearchprojectapplicationformulatedbyprofessionalorganizations.Inthedeclarationprocess,PartyAhelpsPartyBwiththeeffectivenegotiationswithrelatedfunctional第 共28页departments.Fortheprojectsthatfailtogetthegovernmentsubsidy,PartyAexemptsserviceexpense.Fortheprojectsthatgetthegovernmentsubsidy,PartyAchargesserviceexpenseaccordingtotheintermediaryserviceagreementsignedbybothparties.1.7 融资服务1.7.1甲方协助乙方开展融资工作、设计融资方案、提供项目路演、对接投资机构。乙方融资失败的,甲方可酌情免收服务费;乙方融资成功的,甲方按照双方签订的融资服务协议的约定收取服务费。1.7.2 依据乙方的实际情况和请求,乙方可向甲方提出融资申请、提交融资材料。经甲方审核通过后,甲方可使用自有资金或其管理的创业股资基金、股权投资基金对乙方进行投资。1.7.3 依据乙方项目实际情况和请求,甲方可协调第三方以租金换股权增资入股乙方。1.7 FinancingService1.7.1 PartyAhelpsPartyBcarryoutthefinancingwork,designthefinancingscheme,providetheprojectroadshow,connectwiththeinvestmentorganizations.IfthefinancingofPartyBfails,PartyAmayexempttheserviceexpenseaccordingtotheconcreteconditions.IffinancingofPartyBsucceeds,PartyAchargestheserviceexpenseaccordingtothestipulationsofthefinancingserviceagreementsignedbybothparties.1.7.2 InaccordancewithPartyB’sactualconditionsandrequests,PartyBmayproposethefinancingapplicationtoPartyA,submitthefinancingmaterials.AfterPartyAreviewsit,PartyAmayusetheself-ownedcapitaloritsmanagedpioneeringstockfundandstockinvestmentfundtoinvestinPartyB.1.7.3InaccordancewithPartyB’sprojectactualconditionsandrequests,PartyAmaycoordinatewiththethird-partytoexchangethestockwithrentalandincreasethefundtoPartyB.1.8 其他服务依据乙方实际需求,甲方与乙方另行签订服务协议,甲方协助乙方引进专业机构,开展包括但不限于产品和股权众筹、营销推广、知识产权及商标申报、高新企业认定、软件企业认定及行业内相关的资质认定工作。第 6页 共28页1.8 OtherServicesInaccordancewithPartyB’sactualdemands,PartyAandPartyBseparatelysignserviceagreement;PartyAhelpsPartyBintroduceintheprofessionalorganizations,carryouttheservicesincludingbutnotlimitedtoproductsandstockrightcrowd-funding,marketingpromotion,declarationofintellectualpropertyandtrademark,affirmationofhigh-techenterprisesandaffirmationofsoftwareenterprises,andotherrelatedqualificationcertificationwork.1.9 服务说明1.9.1本协议第一条约定的内容为选择性服务内容,乙方可按照公司发展所需自主选择。1.9.2 甲方对以上会员服务有最终解释权和调整权,入会会员确认能够对此理解并无条件接受。1.9 ServiceInstructions1.9.1 ThecontentsinArticle1ofthisagreementarethealternativeservicecontents.PartyBmayautonomouslychooseitaccordingtothecorporatedevelopment.1.9.2 PartyAownstherightoffinalinterpretationandadjustmentrightoftheabovememberservices.Themembersconfirmtounderstandthisandunconditionallyacceptit.第二条 会员费用Article2 MemberExpense2.1 会费(服务费):根据乙方选择的会员等级和专属商务空间面积(按照每平米398元计算)。乙方应缴纳会费每月人民币元(大写:)。服务费自年月日起逐年递增%。2.2每月会费乙方应于当月日前(如日前一日为国家规定的公众假期,则乙方应当提前至前一个工作日缴纳)向甲方以转账或甲方指定的其他方式支付,会费缴纳以到账时间为准。甲方指定的收款银行及账户信息:收款人:;开户银行:;银行账户:。2.3本合同项下会员费用每半年缴交一次,每次一次性缴交六期会费,乙方应在本合同签订后个工作日内支付会费共计人民币元(大写:),即自年月日至年月日的会员费用。2.4本合同项下的税费由承担,乙方在足额收款后应向甲方提供相应的服第 共28页务费发票。2.1Membershipdues(serviceexpense):accordingtothemembergradeandexclusivecommercialspacechosenbyPartyB(Calculateonthebasisof398Yuanpersquaremeter).PartyBhastopaythemembershipduesof人民币yuanpermonth(incapital:).Theserviceexpenseincreasesprogressivelyby%sinceMMDD,YY.2.2Forthemonthlymembershipdues,PartyBshallpayPartyBthroughthetransferorothermodesdesignatedbyPartyAbeforethe__dayofthemonth(ifthepreviousdaybeforethe__dayisthepublicholidaystipulatedbythecountry,PartyBshallpayitinthepreviousoneworkingday).Thepaymentofmembershipduesshallrefertothetimeofreachingtheaccount.TheduebankandaccountinformationdesignatedbyPartyA:_____;payee:;depositbank:;bankaccount.2.3Themembershipfeeunderthiscontractshallbepaideverysixmonthsonetime,andeachpaymentshallbethesixmembershipfees.PartyBshallpay¥_________(amountinwords:_________)ofmembershipfeewithin___workingdaysaftersigningthiscontract,namelythemembershipfeefrom________to_________.2.4Thetaxunderthiscontractshallbeassumedby;PartyBshallprovidetheinvoiceoftheaccordingserviceexpenseafterthefull-quotaproceeds.第三条服务期限3.1会员服务期限:年月日始,至年月日止,共2年。会员服务到期前3个月,乙方应与甲方协商续约以及相关费用事宜。Article3ServiceDeadline3.1Periodofmembershipserviceistwoyearsfrom__________to_________.Beforethethreemonthswhentheperiodisdue,PartyBshallnegotiatetherenewalandrelevantcostswithPartyA.第四条 会籍保证金4.1 乙方应缴纳相当于个月会费的保证金,合同终止后30日内,如未发生本合同第8页 共28页第十二条规定情形的,乙方无违反管理守则或规章、无欠费(包含会费、水电费等一切费用)的情况下,会籍保证金无息退还。4.2 乙方如不履行本合同条款或违反本合同约定提前解除本合同或损坏商务空间及其附属设施的,则甲方有权直接将会籍保证金予以扣收,不足部分乙方应及时补足,并有权要求乙方另行支付违约金、赔偿金等。Article4 MembershipCashDeposit4.1 PartyBshallpaythecashdepositequaltothemembershipduesof__months.Within30daysafterthecontractterminates,ifthestipulatedcaseinArticle12inthiscontractdoesnotoccurandPartyBdoesnotviolatethemanagementrulesandregulationsandhasnotowedexpenses(includingmembershipdues,waterandelectricityexpense),membershipcashdepositwillberefundedbyinterest-free.4.2 IfPartyBdoesnotpaythecontractsumorviolatethiscontracttoreleasethiscontractinadvanceordamagethecommercialspaceanditsauxiliaryfacilities,PartyAhastherighttodirectlydeductthemembershipcashdeposit.Fortheinsufficientpart,PartyBshallmakeitupintime.PartyAalsohastherighttorequirePartyBtoseparatelypayliquidateddamages,indemnity.第四条装修期4.1装修期为个月,即从年月日至年月日。4.2装修期内,乙方应交的会费标准为每月人民币元。但如因甲方原因延迟交付商务空间,则该装修期以此顺延。Article4 DecorationPeriod4.1Thedecorationperiodlastsformonths,namelyfromMMDD,YYtoMMDD,YY.4.2 Withinthedecorationperiod,thestandardofmembershipduesthatPartyBshouldpayis___yuanpermonth.IfdeliveryofthecommercialspaceispostponedforthereasonofPartyA,thisdecorationperiodshallbethuspostponed.第五条 进场及交付标准5.1 双方约定,本合同项下的进场日为 年月日。本商务空间如有附属设备,有关附属设备应开列清单并由甲、乙双方清点后签字确认,附属设备清单作为本协议的附件。交付方式:现状交付。第9页 共28页5.2 乙方应于收到甲方通知交付3日内与甲方办理该商务空间的交接手续。若非因甲方原因乙方未能在规定时间内办理所有交接手续的,则视为本合同约定交付日起已经交接给乙方使用,乙方应自合同约定交付日起承担该商务空间的相应费用。乙方超过交付时间一个月后仍未办理商务空间验收、交接手续,则甲方有权单方终止本合同,没收会籍保证金及已缴付的首月会费。5.3 甲方延迟一个月仍未向乙方交付的,乙方有权解除本合同,并有权要求甲方双倍赔偿会籍保证金金及退回已缴付的首月会费。Article5 ApproachandDeliveryStandard5.1 BothpartiesagreethatthedayofapproachunderthiscontractisMMDD,YY.Ifthiscommercialspacehastheaffiliatedequipment,listofrelatedaffiliatedequipmentshallbegiven.Afterbothpartiesmakeaninventory,theysigntoconfirmit.Thelistoftheaffiliatedequipmentisregardedastheappendixofthisagreement.Modeofdelivery:deliveryasitis.5.2 PartyBshalldealwiththetakeoverproceduresofthecommercialspacewithPartyAwithin3daysafterreceivingthedeliverynoticeofPartyA.IfPartyBfailstodealwithallthetakeoverprocedureswithinthestipulatedtimenotforthereasonofPartyA,itisdeemedthatithasbeentakenovertoPartyBsincethedeliverydayagreedbythiscontract;PartyBshallassumetheaccordingexpensesofthecommercialspacesincethedeliverydaystipulatedbythiscontract.IfPartyBstillfailstohandlethecheckandtakeoverproceduresofthecommercialspaceafteronemonthsincethedeliveryday,PartyAhastherighttounilaterallyterminatethiscontract,confiscatethemembershipcashdepositandthepaidmembershipduesofthefirstmonth.5.3 IfPartyApostponesthedeliverytoPartyBforonemonth,PartyBhastherighttoreleasethiscontractandhastherighttorequirePartyAtogivedoublecompensationofthemembershipcashdepositandreturnthepaidmembershipduesofthefirstmonth.第六条 商务空间的装饰装修6.1 若乙方需要对商务空间进行装修,应自行承担所有的相应费用包括向物业管理公司支付装修保证金。乙方可向甲方咨询装修相关设计、风格以及施工等相关事宜。6.2 乙方承诺对装修设计文件自行承担全部责任。在装修过程中服从物业管理公司及第 10页 共28页其他单位(如涉及)的管理和指挥,并按照物业管理公司的规定缴纳因装修而发生的收费项目,包括但不限于装修保证金、垃圾清运费等。乙方对该商务空间的装饰装修必须符合法律法规,遵守关于装修设计文件审查的规章制度,且不能破坏甲方已经完成的装修。6.3 乙方违反本合同约定的各项要求对该商务空间进行装饰装修的,则物业管理部门有权通知乙方改正。自物业管理公司发出通知之日起超过5日,乙方仍未改正的,则物业管理公司有权对该商务空间停止水、电等能源供应或直接采取强制措施予以纠正,因此而发生的一切损失和费用均由乙方承担,乙方仍应当按本合同约定承担会费等费用。6.4 若乙方装修涉及水、电、消防、空调及排污等中央系统的接驳、更改或移动等,须征得所属大厦物业管理处书面同意并建议由本大厦原施工方施工,所需费用由乙方承担。6.5 乙方保证不因对商务空间进行装饰装修而造成任何的财产损失或人身伤害,否则,由乙方自行负责纠纷的解决及赔偿并承担一切责任。6.6 本合同期满或合同提前解除后,装修部分残留物由乙方自行清除完毕。Article6 FurnishingandDecorationoftheCommercialSpace6.1 IfPartyBneedstodecoratethecommercialspace,PartyBshallpayallcorrespondingexpenses,includingthepaymentofthedecorationdeposittothePropertyManagementCompany.PartyBmayseekadviceonrelateddesign,style,andconstructionrelatedmattersofthedecorationfromPartyA.6.2 PartyBpromisestoassumealltheresponsibilitiesofthedecorationdesigndocuments,obeythemanagementandcommandofthepropertymanagementcompanyandotherunits(ifitinvolves)inthedecorationprocess,andpaytheexpenseprojectsarisingoutofdecorationstipulatedbythepropertymanagementcompany,includingbutnotlimitedtothedecorationcashdeposit,garbagecleaningexpenses.PartyB’sfurnishingdecorationofthecommercialspacemustkeepinlinewithlawsandregulations.PartyBmustabidebytherulesandsystemsrelatedtothedocumentcensorshipofdecorationdesignandshallnotdestroythedecorationthatPartyAhasfinished.6.3 IfPartyBviolatesthevariousrequirementsstipulatedbythiscontractandconductsfurnishinganddecorationofthecommercialspace,thepropertymanagement第 11页 共28页departmenthastherighttonotifyPartyBtocorrectit.IfPartyBstillfailstocorrectitformorethan5dayssincethedaywhenthepropertymanagementcompanyissuesthenotice,thepropertymanagementcompanyhastherighttostoptheenergysupplysuchaswater,electricitytothecommercialspaceordirectlyadoptthecompulsorymeasurestocorrectit.AllthelossesandexpensearisingoutofthisshallbeassumedbyPartyB,PartyBshallalsoassumethemembershipduesstipulatedinthiscontract.6.4 IfPartyB’sdecorationinvolvestheconnection,changeormoveofthecentralsystemssuchaswater,electricity,fire,airconditioningandpollutiondischarge,itshallgainthewrittenapprovalofthepropertymanagementdepartmentofthebuilding.Theoriginalconstructionpartyofthebuildingissuggestedtoconstruct.TheexpensesrequiredshallbeassumedbyPartyB.6.5 PartyBguaranteesnottocauseanypropertylossesorpersonalinjuryarisingoutofthefurnishinganddecorationofthecommercialspace.Otherwise,PartyBshallberesponsibleforthedisputesolutionandcompensation,andassumealltheresponsibilities.6.6 afterthiscontractexpiresorthecontractisreleasedinadvance,PartyBshallcleartheresiduesofdecoration.第七条 紧急状态和商务空间维修7.1 该商务空间及其所在区域或其相邻的建筑发生火灾、爆炸、恐怖活动等危害公共安全的事件或发生重大的刑事犯罪行为等不可预测的突发性事件的情形,或存在发生上述危害公共安全的事件或突发性事件的潜在危险的情形构成本合同项下所述紧急状态。(1) 发生紧急状态时,甲方或物业管理部门可以在不通知乙方的情况下,自行决定中断对该商务空间的水、电、燃气等能源供应或停止空调、电梯等设施设备的运行。但事后应当通过适当途径尽快通知乙方,并作出说明。(2) 因紧急状态或者公用事业部门或者有关政府部门的要求、命令而导致该商务空间的水、电、燃气等能源供应中断或空调、电梯等设施设备停止运行的,甲方、物业管理部门不承担任何责任。(3) 因处置紧急状态而造成该商务空间及相关设施设备受到损害或其他财产第 12页 共28页损失的(无论是因为甲方、物业管理部门或相关政府部门工作人员的行为),其中凡属于乙方的货物、设备等,均由乙方自行承担。7.2 该商务空间因工程质量原因发生损坏的,甲方应予以维修。但是,甲方不因为对该商务空间及其相关设施设备和能源供应系统进行维修而向乙方作出任何形式的赔偿或补偿。甲方对该商务空间的维修责任只限于该商务空间的结构及交接时甲方提供的设备设施(本合同另有约定的除外)。此外,甲方亦应维修商务空间的公共部位/区域。乙方装修或增设的设施设备由乙方自行维修。倘在任何时间内非因甲方的过错,该商务空间的水、电、煤气供应或空调服务停止供应或该商务空间内的任何公共设施停止运作,甲方不必为此而向乙方承担任何赔偿责任或减免乙方任何会费及其它费用。甲方向该商务空间提供的保安人员、管理人员、任何性质的机械、电子防盗系统(如有),将不构成甲方有义务负责该商务空间或其内之财物的保安、保管。除甲方的过错外,乙方在任何时间都应自行对该商务空间或其内之财物负责。7.3 因乙方原因导致该商务空间的水、电、燃气等能源供应中断或空调、电梯等设施设备停止运行的,乙方应当承担修复所需的一切费用,并赔偿因此给甲方及第三方所造成的一切损失。7.4 因乙方对该商务空间进行装饰装修工程或因乙方的其他行为导致甲方或物业管理部门无法对相关的管道、线路和设备进行检修、调试或及时采取补救措施的,则因此而发生的损失或因此而扩大的损失,应当由乙方自行承担损失及可能发生的损害赔偿责任,甲方、物业管理部门不负赔偿责任。Article7 EmergencyConditionandRepairoftheCommercialSpace7.1 Thecommercialspaceanditsregionoritsneighboringbuildingshavetheeventsthatendangerthepublicsecuritysuchasfire,explosionandterroristactivitiesorhavetheunpredictableemergencyeventssuchasthemajorcriminalbehaviors,orhavetheaboveeventsofendangeringthepublicsecurityorthecaseswithpotentialdangersoftheemergencyevents,whichconstitutethefollowingemergencyconditionsunderthiscontract.Incaseofemergencycondition,PartyAoritspropertymanagementdepartmentmayindependentlydecidetostoptheenergysupplysuchaswater,electricity,gastothecommercialspacewithoutnotifyingPartyB,orstoptheoperationofthefacility13页共28页andequipmentsuchasairconditioningandelevator,butPartyAshallnotifyPartyBthroughproperapproachesassoonaspossibleaftertheeventandmakeexplanations.Iftheenergysupplysuchaswater,electricity,gastothecommercialspaceorthefacilityandequipmentsuchasairconditioningandelevatorisstoppedoutoftheemergencyconditionortherequirementsofthepublicutilitydepartmentsorrelatedgovernmentdepartments,PartyAandthepropertymanagementdepartmentshallnotassumeanyresponsibilities.Ifharmisdonetothecommercialspaceandrelatedfacilityandequipmentoutoftheemergencyconditionorotherpropertylosses(whetheritisthebehaviorofPartyA,workingstaffofthepropertymanagementdepartmentorrelatedgovernmentdepartments),PartyBshallindependentlyassumetheproductsandequipmentofPartyB.7.2 Ifthecommercialspacehasanydamageoutoftheprojectquality,PartyAshallrepairit.However,PartyAdoesnotmakeanycompensationorindemnitytoPartyBoutoftherepairofthecommercialspaceandrelatedfacilityandequipmentandtheenergysupplysystem.PartyA’srepairresponsibilityofthecommercialspaceisonlylimitedtothestructureofthecommercialspaceandtheequipmentandfacilitiesprovidedbyPartyAinhandover(exceptforotherwiseagreedinthiscontract).Inaddition,PartyAshallrepairthepublicparts/regionsofthecommercialspace.PartyBshallrepairitsdecorationorthefacilityandequipmentitincreases.Ifthewater,electricity,gassupplyserviceisstoppedoranypublicfacilitystopsoperationwithinthecommercialspacenotoutofthemistakeofPartyAatanytime,PartyAdoesnothavetoassumeanycompensationresponsibilitytoPartyBnorexemptanymembershipduesandotherexpensesofPartyB.Thesecurityguards,management,mechanism,electronicsecuritysystem(ifany)providedbyPartyAforthecommercialspaceshallnotconstitutePartyA’sobligationofbeingresponsibleforthesecurityofthecommercialspaceorthepropertieswithinit.ExceptforthemistakesofPartyA,PartyBshallberesponsibleforthecommercialspaceandthepropertieswithinitatanytime.7.3 If water, electricity, gas supply service is stopped or any public facility stops第 14页 共28页operationwithinthecommercialspaceoutofPartyB,PartyBshallassumealltheexpensesrequiredforrepairandcompensateallthelossescausedtoPartyAandthethird-party.7.4 IfPartyAorthepropertymanagementdepartmentfailstooverhaul,debugoradopttheremedymeasurestotherelatedpipes,routesandequipmentoutofPartyB’sfurnishinganddecorationprojectdonetothecommercialorotherbehaviorsofPartyB,thelossesarisingoutofthisortheexpandedlossesshallbeassumedbyPartyB.PartyBshallalsoassumethecompensationresponsibilityforthepossibleharms.PartyAandthepropertymanagementdepartmentdonotassumeanycompensationresponsibility.第八条 乙方在会员期间的照管责任8.1 自进场日后,未经甲方书面同意,乙方不得擅自改变或损坏该商务空间的空间结构、外墙部分、以及甲方提供的任何设施设备(包括专用设施设备和共用设施设备)。8.2 对于设置或通过该商务空间的设施设备,乙方应当给予充分的注意和保护。8.3 乙方在使用该商务空间时,应当遵守中国包括环境保护、卫生、防疫、文化、安全、治安、消防管理在内的各项法律规定,自行负责该商务空间内经营安全、消防安全、财产安全保卫工作,承担因此而产生的一切费用支出和责任,并服从甲方在安全工作上的统一协调、管理。8.4 乙方保证正常合理的使用该商务空间及其设施设备,不得放置任何超过该商务空间设计荷载的物品;不得采取任何可能导致不合理的缩短该商务空间建筑物及设施设备使用期限的行为。8.5 乙方保证不从事任何可能阻碍、影响相邻区域内甲方或其他会员合法权利的行为或其他不合理的干涉、扰乱甲方或其他会员正常经营的行为。8.6 对于因乙方原因导致的水、烟、燃气等相关物质外泄或因乙方原因导致火灾、爆炸等危害公共安全的事件发生或乙方有不良经营行为的,则乙方应当对甲方及第三方因此而蒙受的损失给予赔偿,包括人身损害和财产损害。本款内所述乙方的责任也适用于乙方的工作人员或其他与乙方相关的人员,并由乙方承担连带赔偿责任。8.7 因第三方原因导致乙方财产发生损害或导致乙方蒙受损失的,由乙方自行向第第 15页 共28页三方索赔,甲方、物业管理部门不承担任何赔偿或补偿责任。Article8 PartyB’sResponsibilityofLookingafterDuringtheMemberPeriod8.1Sincetheentranceday,withoutPartyA’swrittenapproval,PartyBshallnotarbitrarilychangeordamagethespacialstructure,externalwallpartandanyfacilityandequipmentprovidedbyPartyA(includingtheexclusiveandcommonfacilityandequipment).8.2Forthefacilityandequipmentofthecommercialspace,PartyBshallgiveadequateattentionandprotection.8.3 Inusingthecommercialspace,PartyBshallabidebyvariousrulesandstipulationsincludingenvironmentprotection,sanitation,anti-epidemic,culture,security,publicsecurity,firemanagementinChina,shallberesponsibleforthesecurity,firesecurity,propertysecurityguardworkofthecommercialspace,assumealltheexpensesandresponsibilitiesarisingoutofthisandobjectPartyA’sunifiedcoordination,managementintermsofthesecuritywork.8.4 PartyBguaranteestonormallyandreasonableusethecommercialspaceanditsfacilityandequipmentandnottosetanyobjectsbeyondtheloaddesignedbythecommercialspace;PartyBshallnotadoptanybehaviorthatmayunreasonablyshortentheusedeadlineofthebuildingandthefacilityandequipmentofthecommercialspace.8.5 PartyBguaranteesnottobeengagedinanybehaviorthatmayhinderandinfluencethelegalrightsofPartyAorothermemberswithintheneighboringareas,anybehaviorthatdisruptsthenormaloperationofPartyAorothermembers.8.6 Fortheeventsthatendangerthepublicsecurityoutoftherelatedmaterialleakagesuchaswater,smokeandgasorthefireandexplosionoutofPartyB,orthebadmanagementbehaviorofPartyB,PartyBshallgivecompensationtothelossescausedtoPartyAandthethird-party,includingthepersonalharmandpropertyharm.TheresponsibilitiesofPartyBstatedinthisarticlealsosuittheworkingstaffofPartyBandrelatedpersonnelofPartyB;PartyBshallalsoassumethejointcompensationresponsibility.8.7 IfthepropertiesofPartyBareharmedorPartyBsuffersfromlossesoutofthe第 16页 共28页reasonofthethird-party,PartyBshallclaimcompensationfromthethird-party;PartyAandthepropertymanagementdepartmentdonotassumeanycompensationorindemnityresponsibilities.第九条 乙方的进一步保证9.1 未经甲方、物业管理公司书面同意,乙方不得擅自改变该商务空间相关设施的主体用途,亦不得采用封堵或阻挡等任何方式妨碍其实现设计用途。同意乙方装修该楼层的走道,外扩或内缩走廊过道。9.2 乙方保证其工作人员在该商务空间内遵守国家、地方及物业管理部门有关的消防管理规定(包括但不限于:不得私自使用明火、危险品、易燃物、吸烟、电加热器等)。9.3 乙方保证不改变商务空间的用途,乙方在会员期间内,按照国家批准的业务范围合法经营业务,不得将所商务空间用于合法经营业务以外的其他用途。Article9 FurtherGuaranteesofPartyB9.1 WithoutthewrittenapprovalofPartyAandthepropertymanagementcompany,PartyBshallnotarbitrarilychangethesubjectuseofrelatedfacilitiesofthecommercialspace,norpreventitfromrealizingthedesignpurposethroughblockage.PartyBisagreedtodecoratetheaisleofthefloor,externallyexpandorinternallynarrowthecorridorandisles.9.2 PartyBguaranteesthatitsworkingpersonnelabidebythenational,localandthepropertymanagementdepartment’srelatedfiremanagementstipulationswithinthecommercialspace(includingbutnotlimitedto:donotprivatelyusefire,dangerousproducts,inflammable,smoke,electricheaters).9.3 PartyBguaranteesnottochangetheuseofthecommercialspace.Duringthememberperiod,PartyBlegallymanagesthebusinessaccordingtothebusinessscopeapprovedbythecountryandshallnotusethecommercialspaceforotherusesexceptforthelegalbusinessmanagement.第十条 会员期间甲方的保证和责任10.1 会员期内,该场地内的各种甲方提供的设施、设备出现故障,甲方或物业管理部门应在接到乙方维修通知三日内进行维修,若该商务空间的损坏或故障直接影响到乙方的运营,甲方或物业管理部门须在接到乙方维修通知一日内进行维第 17页 共28页修。甲方或物业管理部门对该商务空间及设施的定期维修保养应事先通知乙方,并征得乙方同意,并尽可能在双方认为合适的时间安排进行,以确保乙方的正常经营不受影响或干扰。Article10 PartyA’sGuaranteesandResponsibilitiesduringtheMemberPeriod10.1 Duringthememberperiod,iffacilitiesandequipmentprovidedbyPartyAwithinthesitebreakdown,PartyAorthepropertymanagementdepartmentshallrepairitwithinthreedaysafterreceivingtherepairnoticeofPartyB.IfthedamageorbreakdownofthecommercialspacedirectlyinfluencestheoperationofPartyB,PartyAorthepropertymanagementdepartmentshallrepairitwithinonedayafterreceivingtherepairnoticeofPartyB.TheregularrepairandmaintenanceofthecommercialspaceandfacilitiesdonebyPartyAorthepropertymanagementdepartmentshallbenotifiedtoPartyBinadvanceandgettheapprovalofPartyB,andshallbearrangedwithinthepropertimethatbothpartieshold,soastoguaranteethenormaloperationofPartyBisnotinfluencednordisturbed.第十一条 会籍转让11.1 乙方在会员期内不可将会籍转让给其任何第三方,不可将商务空间对任何第三方出租。Article11 MembershipTransfer11.1 Duringthememberperiod,PartyBshallnottransferthemembershiptoanythird-partyandshallnotrentthecommercialspacetoanythird-party.第十二条 违约责任12.1 本合同签署后,如乙方未能在本合同约定的期限内向甲方足额支付会籍保证金,则自乙方逾期支付第五个工作日起,甲方即有权以书面通知方式解除合同。甲方解除合同的,乙方应当向甲方支付相当于相应保证金应付金额的违约赔偿金,并不退还乙方已缴付的首月会费。12.2 双方确认,本合同因乙方违约而解除或终止的,则本合同项下之会籍保证金甲方不予退还,乙方应当在收到甲方通知后一个工作日内立即补缴所欠会费、水电费等一切费用及相关违约金,同时若造成甲方损失的,甲方有权要求乙方承第 18页 共28页担
