Article1Beforesigningthiscontract,thetwopartiesshall

person(PartyA)andtheemployee(PartyB),andaffixthe

officialsealoftheemployer(orthespecialsealofthelabor

contract).

Article4Workinghourssystemisdividedintostandardworkinghours,non-fixworkinghours,andcomprehensivecalculationworkinghours.Theirregularworkinghours,andcomprehensivecalculationworkinghours,shouldbe

approvedbylaboradministrationauthorities.

Article5Theunfinishedmattersofthiscontract,maysign

asupplementaryagreement,astheattachmentofthis

Article3WorkingHours,andRestandLeave

A.ThePartiesagreetodeterminethetermoftheworking

onedayoffinaweek.

2.Non-scheduleworkinghoursystem.Thepositionof

PartyBpracticesnon-scheduleworkinghoursystemafterthe

approvalofthelaboradministrationauthority.

B.PartyAmayextendworkinghoursduetotherequirementofitsproductionorbusinessafterconsultationwiththeTradeUnionandthePartyB,but,withtheexceptionofthecircumstancesstipulatedinArticle42ofthePRCLabor

Law,

theextendedhoursforadayshallgenerallynotexceed

onehour;ifsuchextensioniscalledforduetospecialreasons,

theextendedworkinghoursshallnotexceedthreehoursa

dayundertheconditionthatthehealthofthePartyBis

guaranteed.However,thetotalextensioninamonthshallnot

exceed36hours.

C.PartyAshallprovidethePartyAwithlegalholidays,

annualleave,marriageleave,funeralleave,homeleave,

maternityleave,nursingleave,etc.inaccordancewithrelevant

regulations

andpayvacationwagesaccordingtothewagestandard

providedbythiscontract.

Article4LaborRemuneration

A.ThewageofPartyBfornormalworkinghoursshallbepaidpursuanttomodebelowandmaynotlessthantheminimumwagerateintheplacewherethePartyAislocated.

(1)ThewagesofthePartyBfornormalworkinghoursshallbepaidpursuantto;thebeginningwageamountisasRMB/monthorRMB/hour.

(2)ThewagesofthePartyBisasRMB/monthinthe

probationaryperiod(theprobationalsalaryshallnotbeless

thantheminimumwageofsamepostand80percentof

appointedsalaryinthecontract,notlessthantheminimum

wagestandardinwherePartyAislocated.);

Article5SocialInsuranceandFringeBenefits

A.Duringthecontractperiod,PartyA,inaccordancewiththerelevantregulationsofnation,provinceanddistrict,shallpaythepension,medical,unemployment,workinjuryandmaternityinsuranceproceduresforPartyB,andshallpaysocialinsurancefundbasedonpaymentbaseandpaymentratiobyrule.PartyBshallundertakehisownpartofsocialinsurancefund,thepayableamountshallbewithheldbyPartyAfromthePartyB’smonthlywages.PartyAshalltruthfullyinformthesituationofhandlingsocialinsuranceproceduresandwithholdingsocialinsurancepremiumstoParty

B.IncasePartyBsufferssicknessornon-work-relatedinjury,PartyAshallofferPartyBaperiodofmedicaltreatmentandsick-leavetreatmentstipulatedbynationalandlocalregulations,paymedicalinsuranceandothermedicalpaymentrelatingtorelevantregulations,andpaysicknesspayordiseasereliefduringspecifiedmedicalperiod,theamountmaybeRMBpermonth(nolessthan80%ofthelocalminimumwagestandard).

Article6LaborProtection,WorkingConditionandProtectionAgainstOccupationalHazards

A.PartyAshallprovideworkingplaceconformedtothenationallaborhealthstandard,inaccordancewithlaborprotectionregulationsofthenationandprovince,andeffectivelyprotectthesafetyandhealthofPartyBduringworkingproduction.IfPartyBmaysufferoccupationalhazardduringproductionprocedures,PartyAshalltruthfullyinformPartyB,andprotectthehealthandrelatedrightsofPartyB

stipulatedby“LawofOccupationalDiseasePrevention”.

D.PartyBshallhavetherighttorefusetocarryoutanydangerousoperationforceduponhim/herbyPartyA.ForPartyA'soritsmanager'sbehaviorwhichisindifferenttothe

safetyand

B.AccordingtothepositionofthePartyB,PartyAshall

providePartyBwithlaborsafetyandhygieneconditionsin

conformitywiththerelevantlawsandregulations,andprovide

freephysicalexaminationforPartyBevery(year/season

C.PartyAmustcarryoutrelevantprovisionsformulated

bythenation,provinceanddistrictforthelaborprotection

Article7ModificationoftheEmploymentContract

A.EitherofthePartiesmaymodifyrelevanttermsofthe

EmploymentContractwithwrittennoticetoothers.

B.PartyAchangethename,legalrepresentative,principal

responsiblepersonorinvestor,dosenotaffectthe

performanceofthecontract.

C.IfPartyAoccurtheeventofmergerordivision,the

contractsremaininforce,andshallcontinuouslyperformby

theunitsucceededPartyA'srightsandobligations.

D.Thetwopartiesmayalterthelaborcontractthrough

mutualconsultationandagreement,andhandlechange

proceduresinwriting.Afterthechangeoflaborcontract,each

partyholdsone.

A.Cancellation

1.Thepartiesmayterminatethelaborcontractthroughmutualconsultationandagreement.IfPartyAproposesto

terminatethiscontract,shallpaytheeconomiccompensationtoPartyBbyrule.

2.PartyAmayterminatetheemploymentcontractunderanyofthefollowingcircumstancesinvolvingPartyB:

(2)PartyBseriouslybreachlabordisciplinesorregulations

stipulatedbyPartyA.

(3)PartyBneglectshisdutyandengagesinmalpractices

forselfishends,thuscausingsignificantharmtotheinterests

ofthePartyA.

(4)PartyBbuildlaborrelationshipswithotherunits,to

causeaseriouslyimpactonthecompletionofthetaskofParty

A,orrefusetocorrecttherulesmadebyPartyA.

(5)WherePartyBhasconcludedormodifiedthelabor

contractagainstthetrueintentionsof

(1)PartyBbeenproventobeincompetentfortheemployingrequirementduringprobationalperiod.

PartyAthroughtheuseoffraud,coercionorexploitationoftheunfavorablepositionofPartyA,asaresultofwhichthisagreementisdeemednullandvoid;

(6)PartyBisfoundguiltyaccordingtothelawsofP.R.C.

(7)PartyBisillorinjuredduetonon-workrelation,after

thecompletionofmedical,stillisincompetentforhisoriginalwork,oralternativejobsarrangedbyPartyA.

(8)PartyBisincompetentforworkaftertrainingoradjustmentofjobs.

PartyAterminatethiscontractaccordingtoitem(7),(8)

and(9),shouldnoticePartyBinwritingbefore30days(or

extrapayamonthwagetoPartyB),andpayeconomic

compensationtoPartyBsubjecttoregulations.IfPartyA

terminatethiscontractaccordingtoitem(7),alsoshallpay

medicaltreatmentallowancestoPartyBconformingto

relevantregulations.

3.Underanyofthefollowingcircumstances,PartyAcan

makeredundanciesstipulatedbyregulationsandprocedures,

andpayeconomiccompensationtoPartyBbyrule:

(9)Iftheobjectivesituationchangessignificantlythiscontractbasedon,toresultthecontractunabletoperform,andmutualconsentcannotbereachedinchargeofthislaborcontracts.

(1)PartyArestructuredpursuanttotheEnterpriseBankruptcyLaw;

(2)ProductionandbusinessoperationofPartyAmetseriousdifficulties;

(3)Production,technologicalinnovationorbusinessmethodofPartyAadjusted;

(4)Ifotherobjectivesituationthiscontractbasedon,changessignificantly,toresultthecontractunabletoperform.

PartyBmayterminatehisemploymentcontractunderany

ofthefollowingcircumstancesinvolvingPartyA.PartyAshall

paytheeconomiccompensationtoPartyBbyrule:

(1)PartyAhasfailedtoprovidelaborprotectionor

workingconditionsasstipulatedinthelaborcontract;

(2)PartAhasfailedtopayremunerationontimeorinfull;

(3)PartyAhasfailedtocontributesocialinsurancefund

onbehalfofPartyBinaccordancewiththelaw;

(4)PartyA'spoliciesviolatelawsorregulations,thereby

infringinguponPartyB'srightsandinterests;

4.PartyBmayterminatethelaborcontractwith30days'priorwrittennoticetoPartyA;duringtheprobationaryperiodwith3days'priorwrittennoticetoPartyA.

(5)PartyAhasconcludedormodifiedthelaborcontractagainstthetrueintentionsofParty

Bthroughtheuseoffraud,coercionortakingadvantageofPartyB’sunfavorableposition,asaresultofwhichthiscontractorthechangingagreementisdeemednullandvoid;

(6)PartyAisexemptedfromitslegalliabilityandPartyB'srights,asaresultofwhichthiscontractisdeemednullandvoid;

(8)IfPartyAusesviolence,intimidation,oranunlawful

restraintofindividualfreedomtocompelPartyBtowork,orif

PartyAinstructsPartyBtoviolatethelaworengagein

hazardousworkthatendangershispersonalsafety.

(9)OthercircumstancesforterminationbyPartyBas

specifiedunderlawsandregulations.

Ifthesituationofitem(8)occurs,PartyBhastherightto

terminatethecontractimmediatelywithoutnoticePartyAin

advance.

(7)PartyAviolatesobligatoryprovisioninlawsandregulations,asaresultofwhichthiscontractisdeemednullandvoid;

5.Oftheanyofthefollowingcircumstances,PartyAcannotterminatethelaborcontractonthebasisofarticle40and41ofthe“LaborContractLaws”;

(1)PartyBthatconductsoperationsexposinghim/hertooccupationaldiseasehazardshasnotgonethroughanoccupationalhealthexaminationbeforeleavinghispost,oris

2.Thecontractterminateduetooneofthefollowingcircumstance,PartyAshouldpayeconomiccompensationto

PartyBstipulatedbyregulations.

suspectedofhavinganoccupationaldiseaseandisunderdiagnosisormedicalobservation.

(2)Injuredduetotheoccupationaldiseaseorwork-relatedreasons,andwasconfirmedashavinglostor

partiallylosttheabilitytowork.

(3)Illnessornonwork-relatedinjurywithintheprescribed

periodofmedicaltreatment.

(4)Womenworkersinpregnancy,childbirth,

breastfeeding.

(5)Workedcontinuouslyfor15yearsandlessthanfive

yearsawayfromhislegalretirementageinthisunit.

(6)Othercircumstancesstipulatedbylawsadministrative

regulations.

B.Termination

1.Oncethecontractexpiredorstatutorytermination

conditionoccurs,thecontractshallbeterminated.

(1)InadditiontothePartyAmaintainorimprovetheconditionofthelaborcontracttorenewthelaborcontract,PartyBdisagreetonewalease,thelaborcontractexpires;

C.IfPartyAillegallydissolvesorterminatesthecontract,PartyBrequeststocarryonthiscontract,PartyAshallcontinuetoperform;PartyBdoesnotrequiretocarryonthecontractorthecontractcannotcontinuetobeperformed,PartyAshallpaydoublecompensationforPartyBaccording

toeconomiccompensationstandard.

(2)PartyAwasdeclaredbankruptbycourt.

(3)BusinesslicenseofPartyAwasrevoked,ordertoclose,cancellationorearlydissolutionof.

(4)Othercircumstancesstipulatedbylawsadministrative

regulations.

3.WhenPartyBhasthecircumstancesofthefirst

paragraph(5)ofarticle8,thecontact

expired,PartyAshallrenewthecontractuntilthe

correspondingcircumstancedisappeared.ButifPartyBsuffers

fromoccupationaldiseaseorwork-relatedinjuryandis

confirmedtohavetotallyorpartiallylosttheabilityofwork,

PartyAshallexecuteaccordingtoworkinjuryinsurance

regulationsformulatedbynationandprovince.

D.Proceduresofthedissolutionorterminationofthecontract

A.IfPartyAprovidePartyBwithspecialtrainingexpensesandprofessionalandtechniquetraining,thetwopartiesmakefollowingagreement:executinginaccordancewithcompanytrainingmanagementsystem.(WhenPartyBbreachestheserviceperiodagreement,shallpaypenaltytoPartyA

accordingtotheagreement.Theamountofpenaltyshallnot

Whenrelievingorterminatingthiscontract,PartyAshallshowthecertificateofrelievingorterminatinglaborcontact,andhandletransferformalitiesoffilesandsocialinsuranceforPartyBwithin15days.

Article9ConciliationandArbitration

Ifanydisputearisesbetweenthiscontract,itshallbe

settledthroughnegotiation;ifthepartiesareunwillingto

negotiateorthenegotiationfails,canapplyformediationto

thePartyA'slabordisputemediationorganization.If

mediationfails,canapplyarbitrationtojurisdictionallabor

disputearbitrationcommissionwithinthetimeforstatutory

arbitration;alsocanapplyarbitrationtolabordispute

arbitrationcommission.Ifnotsatisfiedwitharbitraldecision,

caninstitutelegalproceedingsinPeople'sCourtswithin

statutorytimelimit.

Article10ServicePeriodandCompetitionRestriction

exceedthetrainingexpensesprovidedbyPartyA,andshallbenomorethanthetrainingexpensescausedintheserviceperiodunperformed.

B.IfPartyBshallkeepthebusinesssecretsand

confidentialmattersrelatedtointellectualpropertyofPartyA,

thetwopartiesmakethefollowingappointment:fordetails

obligation,PartyAcanmakecompetitionrestriction

agreementwithPartyB,andafterrelievingorterminatingthis
