rundertheContract."Employer'sRisks"meansthoserisksdefinedinSub-Clause37.2."Engineer"meansthepersonappointedbytheEmployertoactasEngineerforthepurposesoftheContractanddesignatedassuchinthePreamble.16"Engineer'sRepresentative"meansanyrepresentativeoftheEngineerappointedfromtimetotimebytheEngineerunderSub-Clause2.2."FinalCertificateofPayment",meansthecertificatetobeissuedbytheEngineertotheEmployerinaccordancewithSub-Clause33.10."ForceMajeure"hasthemeaningassignedtoitunderSub-Clause44.1."ForeignCurrency"meansacurrencyofacountryotherthanthatinwhichPlantistobeinstalled."GrossMisconduct"meansanyactoromissionoftheContractorinviolationofthemostelementaryrulesofdiligencewhichaconscientouscontractorinthesamepositionandunderthesamecircumstanceswouldhavefollowed."LetterofAcceptance"meanstheformalacceptancebytheEmployeroftheTenderincorporatingandadjustmentsorvariationstotheTenderagreedbetweentheEmployerandtheContractor."PerformanceSecurity"meansthesecuritytobeprovidedbytheContractorinaccordancewithSub-Clause10.1.forthedueperformanceoftheContract."Plant"meansmachinery,apparatus,materialsandallthingstobeprovidedundertheContractforincorporationintheWorks."Programme"meanstheProgrammetobesubmittedbytheContractorinaccordancewithSub-Clause12.1.andanyapprovedrevisionsthereto."ProvisionalSum"meansasum,describedassuchfortheexecutionofworkorforthesupplyofgoodsorservices,tobeusedinaccordancewithSub-Clause36.1."RiskTransferDate"meansthedatewhentheriskoflossofordamagetotheWorkspassesfromtheContractortotheEmployerinaccordancewithSub-Clause39.1."ScheduleofPrices"meansthecompletedandpricedScheduleofPrices,oranypartorindividualschedulethereof,submittedbytheContractorwithhisTenderandformingapartoftheContractdocuments."Section"meansapartoftheWorksspecificallyidentifiedassuchintheContract."Site"meanstheplaceorplaces,providedormadeavailablebytheEmployerwhereworkistobedonebytheContractorortowhichPlantistobedelivered,togetherwithsomuchoftheareasurroundingthesameastheContractorshallwiththeconsentoftheEmployeruseinconnectionwiththeworksotherwisethanmerelyforthepurposesofaccess."Specification"meansthespecificationoftheWorksincludedintheContractandanymodificationthereofmadeunderClause31."Subcontractor"meansanyperson(otherthantheContractor)namedintheContractforanypartoftheWorks,oranypersontowhomanypartoftheContracthasbeensubcontractedwiththeconsentoftheEngineer,andtheSubcontractor'slegalsuccessorsintitlebutnotanyassigneeoftheSubcontractor."Taking-OverCertificate"meansthecertificatetobegivenbytheEngineertotheContractorinaccordancewithClause29."Tender"meanstheContractor'spricedoffertotheEmployerfortheexecutionoftheWorks."TestonCompletion"meansthetimestatedinthePreambleforcompletingtheWorksoranySectionthereofandpassingtheTestsonCompletioncalculatedfromtheCommencementDateunlessextendedinaccordancewithClause26."TimeforCompletion"meansthetimestatedinthePreambleforcompletingtheWorksoranySectionthereofandpassingtheTestsonCompletioncalculatedfromtheCommencementDateunlessextendedinaccordancewithClause31.1."VariationOrder"meansanywrittenorder,identifiedassuch,issuedtotheContractorbytheEngineerunderSub-Clause31.1."Works"meansallPlanttobeprovidedandworktobedonebytheContractorundertheContract.HeadingsandTitles1.2TheheadingsandtitlesintheseConditionsshallnotbedeemedpartthereoforbetakenintoconsiderationintheinterpretationorconstructionoftheContract.Interpretation1.3Wordsimportingpersonsorpartiesshallincludefirmsandcorporationsandanyorganisationhavinglegalcapacity.Wordsimportingthesingularonlyalsoincludethepluralandviceversawherethecontextrequires.WrittenCommunications1.4WhereverintheContractprovisionismadeforacommunicationtobe"written"or"inwriting"thismeansanyhand-written,type-writtenorprintedcommunication,includingtelex,cableandfacsimiletransmission.Notices,ConsentsandApprovals1.5WhereverintheContractprovisionismadeforthegivingofnotice,consentorapprovalbyanyperson,suchconsentorapprovalshallnotbeunreasonablywithheld.Unlessotherwisespecified,suchnotice,consentorapprovalshallbeinwritingandtheword"notify"shallbeconstruedaccordingly.Costs,OverheadChargesandProfit1.6WheneverbytheseConditionstheContractorisentitledtobepaidcost,suchcostshallbeproperlyincurredandshallincludeanyoverheadchargesproperlyallocabletheretobutnotprofitunlesssostated.AnyprofitentitlementshallbeaddedtocostatthepercentagestatedinthePreamble.Periods1.7IntheseConditions"day"meanscalendardayand"year"means365days.EngineerandEngineer'sRepresentativeEngineer'sDuties2.1TheEngineershallcarryoutthedutiesspecifiedintheContract.IftheEngineerisrequired,underthetermsofhisappointmentbytheEmployer,toobtainthespecificapprovaloftheEmployerbeforecarryingoutanyoftheseduties,fullparticularsofsuchrequirementsshallbesetoutinPartII.ExceptasexpresslystatedintheContracttheEngineershallhavenoauthoritytorelievetheContractofanyofhisobligationsundertheContract.Engineer'sRepresentative2.2TheEngineers'RepresentativeshallbeappointedbyandberesponsibletotheEngineerandshallonlycarryoutsuchdutiesandexercisesuchauthorityasmaybedelegatedtohimbytheEngineerunderSub-Clause2.3.Engineer'sPowertoDelegate2.3TheEngineermayfromtimetotimedelegatetotheEngineer'sRepresentativeanyofthedutiesvestedintheEngineerandmayatanytimerevokesuchdelegation.AnysuchdelegationorrevocationshallbeinwritingandshallnottakeeffectuntilacopythereofhasbeendeliveredtotheContractorandtheEmployer.Anydecision,instructionorapprovalgivenbytheEngineer'sRepresentativetotheContractorinaccordancewithsuchdelegationshallhavethesameeffectasthoughithadbeengivenbytheEngineer.However:anyfailureoftheEngineer'sRepresentativetodisapproveanyPlantorworkmanshipshallnotprejudicetherightoftheEngineertodisapprovesuchPlantorworkmanshipandtogiveinstructionsfortherectificationthereof;iftheContractorquestionsanydecisionorinstructionoftheEngineer'sRepresentativehemayreferthemattertotheEngineerwhoshallconfirm,reverseorvarysuchdecisionorinstruction.EngineertoActImpartially2.4WhereverundertheContracttheEngineerisrequiredtoexercisehisdiscretionby:givinghisdecision,opinionorconsent,orexpressinghissatisfactionorapproval,ordeterminingvalue,orotherwisetakingactionwhichmayaffecttherightsandobligationsoftheEmployerortheContractor,heshallexercisesuchdiscretionimpartiallywithinthetermsoftheContractandhavingregardtoallthecircumstances.Engineer'sDecisionsandInstructions2.5TheContractorshallproceedwiththedecisionsandinstructionsgivenbytheEngineerinaccordancewiththeseConditions.ConfirmationinWriting2.6TheContractormayrequiretheEngineertoconfirminwritinganydecisionorinstructionoftheEngineerwhichisnotinwriting.TheContractorshallnotifytheEngineerofsuchrequirementwithoutunduedelay.SuchadecisionorinstructionshallnotbeeffectiveuntilwrittenconfirmationthereofhasbeenreceivedbytheContractor.DisputingEngineer'sDecisionsandInstructions2.7IftheContractordisputesorquestionsanydecisionorinstructionunderClause2.5orawrittenconfirmationunderClause2.6,heshallgivenoticetotheEngineerwithin28daysafterreceiptthereof,givinghisreasons.TheEngineershallwithinafurtherperiodof28daysbynoticetotheContractorandtheEmployerwithreasons,confirm,reverseorvarysuchdecisionorinstruction.IfeitherpartydisagreeswiththeactiontakenbytheEngineer,oriftheEngineerfailstoreplytotheContractor'snoticewithinthestipulated28days,andthemattercannotbesettledamicablythatpartyshallbeatliberty,subjecttoSub-Clause50.1,toreferthemattertoarbitrationinaccordancewiththeContract.ReplacementofEngineer2.8TheEmployershallnotappointanypersontoactinreplacementoftheEngineerwithouttheconsentoftheContractor.AssignmentandSubcontractingAssignment3.1TheContractorshallnotassigntheContractoranypartofhisobligationsundertheContract.AchargeinfavouroftheContractor'sbankersofanymoniesdueundertheContractshallnotbeconsideredanassignment.Subcontracting4.1TheContractorshallnotsubcontractthewholeoftheWorks.ExceptwhereotherwiseprovidedbytheContracttheContractorshallnotsubcontractanypartoftheWorkswithoutthepriorconsentoftheEngineer.TheContractorshallhowever,notrequiresuchconsentforpurchaseofmaterialsortoplacecontractsforminordetailsorforanypartoftheWorksofwhichthemanufacturerorsupplierisnamedintheContract.TheContractorshallberesponsiblefortheacts,defaultsandneglectsofanySubcontractor,hisagentsoremployeesasfullyasiftheyweretheacts,defaultsorneglectsoftheContractor,hisagentsoremployee.ContractDocumentsRulingLanguage5.1WhereversionsoftheContractarepreparedindifferentlanguages,theversionwhichistoprevailshallbespecifiedinthePreamble.Thelanguageofsuchversionisreferredtoastherulinglanguage.DaytoDayCommunications5.2ThelanguagefordaytodaycommunicationsisstatedinthePreamble.PriorityofContractDocuments5.3UnlessotherwiseprovidedintheContractthepriorityoftheContractdocumentsshallbeasfollows:TheLetterofAcceptanceThePreambleTheConditionsofContract,PartIITheConditionsofContract,PartIAnyotherdocumentsformingpartoftheContract.DocumentsMutuallyExplanatory5.4SubjecttoSub-Clause5.3.theContractdocumentsshallbetakenasmutuallyexplanatory.AnyambiguitiesordiscrepanciesshallberesolvedbytheEngineer,whoshalltheninstructtheContractorthereon.IftheContractorconsidersthatcompliancewithsuchinstructionswillresultinanycostwhichtheContractorcouldnotreasonablyhaveanticipated,heshallforthwithinformtheEngineerwithfullsupportingdetails.TheEngineershallthen,ifheapproves,certifysuchcostsasmaybereasonable,togetherwithprofitwhereappropriate,whichshallbeaddedtotheContractPrice.IfontheotherhandcompliancewithsuchinstructionsresultsinlowercostsfortheContractorthanhehadreasontoanticipate,theEngineershallcertifyadeductionfromtheContractPriceallowingforprofitwhereappropriate.Contractor'sDrawings6.1TheContractorshallsubmittotheEngineerforapproval:withinthetimegivenintheContractorintheProgrammesuchdrawings,samples,modelsorinformationasmaybecalledfortherein,andinthenumbersthereinrequired,andduringtheprogressoftheWorks,suchdrawingsofthegeneralarrangementanddetailsoftheWorksasspecifiedintheContractorastheEngineermayrequire.TheEngineershallsignifyhisapprovalordisapprovalthereof.IfhefailstodosowithinthetimegivenintheContractortheProgrammeorifnotimelimitisspecified,within28daysofreceipt,theyshallbedeemedtobeapproved.Approveddrawings,samplesandmodelsshallbesignedorotherwiseidentifiedbytheEngineer.TheContractorshallsupplyadditionalcopiesofapproveddrawingsintheformandnumbersstatedintheContract.ConsequencesofDisapprovalofContractor'sDrawings6.2AnyContractorsDrawingswhichtheEngineerdisapproves,shallbeforthwithmodifiedtomeettherequirementsoftheEngineerandshallbere-submitted.ApprovedContractor'sDrawings6.3ApprovedContractor'sDrawingsshallnotbedepartedfromexceptasprovidedinClause31.InspectionofContractor'sDrawings6.4TheEngineershallhavetherightatallreasonabletimestoinspect,attheContractor'spremises,allContractor'sDrawingsofanypartoftheWorks.ErectionInformation6.5TheContractorshallprovide,withinthetimesstatedintheContractorintheProgramme,drawingsshowinghowthePlantistobeaffixedandanyotherinformationrequiredfor:preparingsuitablefoundationsorothermeansofsupport,andprovidingsuitableaccessontheSiteforthePlantandanynecessaryequipmenttotheplacewherethePlantistobeerected,andmakingnecessaryconnectionstothePlant.OperationandMaintenanceManuals6.6BeforetheWorksaretakenoverinaccordancewithClause29theContractorshallsupplyoperationandmaintenancemanualstogetherwithdrawingsoftheWorksasbuilt.TheseshallbeinsuchdetailaswillenabletheEmployertooperate,maintain,adjustandrepairallpartsoftheWorks.UnlessotherwisestatedinPartIIthemanualsanddrawingsshallbeintherulinglanguage,andinsuchformandnumbersasstatedintheContract.Unlessotherwiseagreed,theWorksshallnotbeconsideredtobecompletedforthepurposesoftakingoveruntilsuchmanualsanddrawingshavebeensuppliedtotheEmployer.Employer'sUseofContractor'sDrawings6.7Contractor'sDrawingsmaybeusedbytheEmployerfornootherpurposethancompleting,operating,maintaining,adjustingandrepairingtheWorks.Contractor'sUseofEmployer'sDrawings6.8TheEmployer'sDrawings,SpecificationandotherinformationsubmittedbytheEmployerortheEngineertotheContractorshallremainthepropertyoftheEmployer.Theyshallnot,withouttheconsentoftheEmployer,beused,copiedorcommunicatedtoathirdpartybytheContractorunlessnecessaryforthepurposesoftheContract.ManufacturingDrawings6.9UnlessotherwisespecifiedinPartIItheContractorshallnotberequiredtodisclosetotheEmployerortheEngineertheContractor'sconfidentialmanufacturingdrawings,designs,know-howofmanufacturingpractices,processesoroperations.ErrorsinContractor'sDrawings7.1TheContractorshallberesponsibleforanyerrorsoromissionsintheContractor'sDrawingsunlesstheyareduetoincorrectEmployer'sDrawingsorotherwritteninformationsuppliedbytheEmployerortheEngineer.ApprovalbytheEngineeroftheContractor'sDrawingsshallnotrelievetheContractorfromanyresponsibilityunderthisSub-Clause.TheContractorshallbearanycostshemayincurasaresultofdelayinprovidingContractor'sDrawingsandotherinformationorasaresultoferrorsoromissionstherein,forwhichtheContractorisresponsible.TheContractorshallathisowncostcarryoutanyalternationsorremedialworknecessitatedbysucherrorsoromissionsforwhichheisresponsibleandmodifytheContractor'sDrawingsandsuchotherinformationaccordingly.TheperformanceofhisobligationsunderthisClauseshallbeinfullsatisfactionoftheContractor'sliabilityunderthisClausebutshallnotrelievehimofhisliabilityunderSub-Clause27.1.ErrorsbyEmployerorEngineer7.2TheEmployershallberesponsiblefortheEmployer'sDrawingsandforotherwritteninformationsuppliedbytheEmployerortheEngineerandforthedetailsofspecialworkspecifiedbyeitherofthem.IfsuchEmployer'sDrawings,informationordetailsareincorrectandnecessitatealterationsofthework,theEmployershallpaytheContractorthecostofthealterationstogetherwithprofitascertifiedbytheEngineer.ObligationsoftheContractorGeneralObligations8.1TheContractorshall,inaccordancewiththeContract,withduecareanddiligence,design,manufacture,deliverytoSite,erect,testandcommissionthePlantandcarryouttheWorkswithintheTimeforCompletion.TheContractorshallalsoprovideallnecessaryContractor’sEquipment,superintendence,labourand,exceptasstatedinPartII,allnecessaryfacilitiestherefor.SettingOut8.2TheContractorshallsetouttheWorksinrelationtooriginalpoints,linesandlevelsofreferencegivenbytheEngineerinwritingandprovideallnecessaryinstruments,appliancesandlabourforsuchpurposes.If,atanytimeduringtheexecutionoftheWorks,anyerrorappearsinthepositions,levels,dimensionsoralignmentoftheWorks,theContractorshallrectifytheerror.TheContractorshallbearthecostofrectifyingtheerror,unlesstheerrorresultsfromincorrectinformationsuppliedinwritingbytheEmployer,theEngineerorfromdefaultbyanothercontractor,inwhichcasethecosttogetherwithprofitshallbebornebytheEmployer.Thecheckingofanysetting-outbytheEngineershallnotrelievetheContractorofhisresponsibilityfortheaccuracythereof.ContractAgreement9.1TheContractorshall,ifcalleduponsotodo,executeaContractAgreementrecordingallthetermsoftheContract,tobepreparedbyandcompletedatthecostoftheEmployerintheformannexedhereto.PerformanceSecurity10.1IfPartIIrequirestheContractortoobtainaPerformanceSecurity,heshallobtainthesameinthesumrequired,within28daysafterthereceiptoftheLetterofAcceptance.ThePerformanceSecurityshallbeprovidedbyapersonandinaformapprovedbytheEmployer.ThecostofcomplyingwiththerequirementsofthisClauseshallbebornebytheContractor.PeriodofValidity10.2ThePerformanceSecurityshallbevaliduntiltheContractorhasexecuted,completedandremedieddefectsintheWorksinaccordancewiththeContract.NoclaimshallbemadeagainstthePerformanceSecurityaftertheissueoftheDefectsLiabilityCertificateandthePerformanceSecurityshallbereturnedtotheContractorwithin14daysoftheissueoftheDefectsLiabilityCertificate.ClaimsunderPerformanceSecurity10.3WhetherornotthePerformanceSecurityisstatedbyitstermstobepayableonthedemandoftheEmployertheEmployershallnotmakeaclaimunderthePerformanceSecurityunlessoneofthefollowingissatisfied:theContractorisinbreachoftheContractandfailstoremedythebreachwithin42daysafterreceivingwrittennoticefromtheEmployerrequiringhimsotodo.ThenoticeshallstatetheintentiontoclaimunderthePerformanceSecurity,theamountclaimedandthebreachreliedupon,ortheEmployerandtheContractorhaveagreedinwritingthattheamountdemandedispayabletotheEmployer,andtheamounthasnotbeenpaidwithin42daysthereafter,ortheEmployerhasobtainedanawardinarbitrationunderclause50andtheamountawardedhasnotbeenpaidwithin42daysaftertheaward,ortheContractorhasgoneintoliquidationorisbankrupt.IneverycasetheEmployershall,whenmakingtheclaim,sendacopytotheContractor.SiteData11.1TheTendershallbedeemedtohavebeenbasedonsuchdataonclimatic,hydrologicalandgeneralconditionsontheSiteandfortheoperationoftheWorksastheEmployerortheEngineerhasmadeavailabletotheContractorforthepurposesoftheTender.TheContractorshallberesponsibleforhisowninterpretationofsuchdata.SufficiencyofContractPrice11.2TheContractorshallbedeemedtohavesatisfiedhimselfonandtakenaccountofinhisTender:alltheconditionsandcircumstancesaffectingtheContractPrice,thepossibilityofcarryingouttheWorksasdescribedintheContract,thegeneralcircumstancesattheSite(ifaccesshasbeenmadeavailabletohim)andthegenerallabourpositionattheSite.TheContractorshallnotberesponsiblefortheaccuracyofinformationgiveninwritingbytheEmployerortheEngineerbutshallbe
