TheLicensor,awhollyforeign-ownedenterpriseincorporatedinBeijingunderthelawsofthePeople’sRepublicofChina(the”PRC”),whichownsthedomainnamesof,,,,baidu.jpandbaidu.kr(the“DomainNames”).

2.

TheLicensee,acompanyincorporatedinBeijingunderthelawsofthePRC,islicensedbyBeijingMunicipalTelecommunicationManagementBureautocarryonthebusinessoftheInternetInformationService;

3.

TheLicensoragreestolicensetheDomainNamestotheLicenseepursuanttothetermsandconditionssetforthhereinandtheLicenseeagreestoacceptthelicensewiththetermsandconditionssetforthherein;

NOWTHEREFOREthepartiesagreeasfollows:

1.

GrantofLicense

1.1

TheDomainNames

Uponthetermsandconditionshereinaftersetforth,theLicensorherebygrantstheexclusivelicensetotheLicenseeforusingDomainNames,andtheLicenseeherebyacceptstheexclusivelicensetousetheDomainNames.WithoutthepermissionoftheLicensee,theLicensorshallnotlicenseanythirdpartytousetheDomainNames.

1.2

Scope

1.2.1

TheuserightsoftheDomainNamesgrantedbyLicensortoLicenseeshallbeeffectiveonlyto(“BaiduWebsite”)operatedbyLicensee.TheLicenseeagreesthatitwillnotmake,orauthorizeanyuse,directorindirect,oftheDomainNamesbyanyothermeans,unlessthereareoppositestipulationsinthisAgreement.

TheuserightsoftheDomainNamesgrantedbyLicensortoLicenseeshallbeeffectiveonlytinthePRC.TheLicenseeagreesthatitwillnotmake,orauthorizeanyuse,directorindirect,oftheDomainNamesinanyotherregions.

2.

TermsofPayment

TheLicenseeagreestopaytheLicensorlicensefeesandthespecifiedamountofthelicensefeesandtheformofpaymentaresetforthinAppendix1.

3.

Goodwill

3.1

TheLicenseeacknowledgesthevalueofthegoodwillinconnectionwiththeDomainNames,andconfirmsthattheDomainNamesandrelevantrightsandthegoodwillpertainingtotheDomainNamesshallbelongtotheLicensor,andtheDomainNameshaveasubordinatemeaninginthemindofpublic.

4.

Confidentiality

4.1

TheLicenseeshalltakereasonableeffortstoprotectandmaintaintheconfidentialityofanyandalldataandinformationoftheLicensorthatismarkedwith“Confidential”orknownasconfidentialbytheLicensee(the“ConfidentialInformation”).UponterminationorexpirationofthisAgreement,theLicenseeshall,attheLicensor’srequest,returnConfidentialInformationtotheLicensorordestroyititselfanddeleteConfidentialInformationfromanymnemonicdevicesandceasetousethem.TheLicenseeshallnotdisclose,grantortransferanyConfidentialInformationtoanythirdpartywithouttheLicensor’swrittenconsent.

4.2

Section4.1shallsurvivewhateverthisAgreementisamended,terminationorexpires.

5.

RepresentationsandWarranties

5.1

TheLicensorrepresentsandwarrantsasfollows:

5.1.1

TheLicensorisacompanydulyincorporatedandvalidlyexistingunderthelawsofthePRC;

5.1.2

TheLicensorhastheexclusiveownershipofDomainNamestoothers;

5.1.3

TheLicensor,subjecttoitscompanypowerandbusinessscope,hastakennecessarycompanyactionstogettheproperauthorizationandthenecessaryconsentsorapprovals)fromotherthirdpartyor

5.1.4

TheAgreementwillconstitutealegal,validandbindingagreementofLicensorandwillbeenforceableagainstLicensorinaccordancewithitstermsuponitsexecution.

5.2

TheLicenseerepresentsandwarrantsasfollows:

5.2.1

TheLicenseeisacompanydulyincorporatedinBeijingandvalidlyexistingunderthelawsofthePRCandislicensedbyBeijingMunicipalTelecommunicationManagementBureautoengageinthebusinessoftheInternetInformationService;

5.2.2

TheLicensee,subjecttoitscompanypowerandbusinessscope,hastakennecessarycompanyactionstogettheproperauthorizationandthenecessaryconsentsorapprovals)fromotherthirdpartyorgovernments,withoutviolatingtherestrictionofthelawsandcompanywhichbindsorinfluencesLicenseetoexecuteandperformthisAgreement;

5.2.3

TheAgreementwillconstitutealegal,validandbindingagreementofLicenseeandwillbeenforceableagainstLicenseeinaccordancewithitstermsuponitsexecution.

6.

TheLicensor’sOwnershipandProtectionofLicensor’sRights

6.1

TheLicensoragrees,duringtheeffectivetermofthisAgreementandthereafter,nottoquerytheownershipandotherrightsofDomainNamebyLicensor,theeffectivenessofthisAgreement;andconductanyactionthatisdeemedbyLicensorasharmfultoitsright,ownershipsandlicensebyLicensor.

6.2

TheLicenseeagreestoprovidenecessaryassistancestohelptheLicensortoprotecttherightsofDomainName.TheLicensormayparticipatethelawsuitsrelatedtotheclaimsofcompensationwithitsowndesire,onbehalfofitself,LicenseeorbothParties,onceanythirdpartyclaimsthecompensationinconnectionwiththeDomainNameofLicensor.IfanythirdpartyinfringesanyrightofDomainName,theLicenseeshallnotifytheLicensorimmediatelyinwrittenofsuchinfringementswithinthescopethatitknows,andonlyLicensorhastherighttotakeactionsagainstsuchinfringements.

6.3

TheLicenseeagreestousetheDomainNamesonlypursuanttothisAgreementandnottousetheDomainNamebymannerofdeceit,misleadingorothersmannersthataredeemedbyLicensorasharmfultotheDomainNameorthereputationofLicensor.

QualityofBaiduWebsite

TheLicenseeshalltakebesteffortstooperateBaiduWebsiteinhighqualityinordertoprotectandenhancethereputationoftheDomainNames.

8.

Promotion

8.1

InallcaseswheretheLicenseeshallbeartheproductioncostofthepromotionmaterialinvolvingtheDomainNamesrequiredbytheLicensee.TheLicensorhasthesoleandexclusiverighttotheownershipofpromotionmaterialsregardingtheDomainNameoritsduplicate,includingallintellectualpropertyrightswhateversuchpromotionmaterialsisinventedorusebyeithertheLicensorortheLicensee.

8.2

TheLicenseeagreesnottopromoteoradvertiseanyoftheDomainNamesonradios,televisions,papers,magazines,theInternetorothermediawithoutthepriorwrittenconsentoftheLicensor.

9.

CompetitiveWebsite

IntheeventthatanyoftheDomainNamescontradictwithanyofthetrademarkordomainnameusedbyLicensor,itsparentcompanyoraffiliateofitsparentcompany,atthepresentorinthefuture,theLicensorshallhavetherighttoterminatetheAgreementbyawrittennoticetotheLicenseewithin30daysbeforesuchtermination.

10.

EffectiveDateandTerm

10.1

ThisAgreementhasbeendulyexecutedasofthedatefirstsetforthaboveandshallbeeffectivesimultaneously.ThetermofthisAgreementisfive(5)yearsunlesstheearlyterminationsetforthinthisAgreement.

10.2

ThisAgreementmaybeextendedoneyearautomaticallyuponitsexpiration(includingtheexpirationofanyextension)unlesstheLicensorinformsoftheterminationofthisAgreementwiththewrittennoticebeforetheexpiration.

11.

Termination

11.1

ThisAgreementshallexpireonthedatedueoritsextensionduewiththenoticeofnon-extensionofthisAgreementbytheLicensor.

11.2

WithoutprejudicetoanylegalorotherrightsorremediesofthepartywhoasksforterminationofthisAgreement,anypartyhastherighttoterminatethisAgreementimmediatelywithwrittennoticetotheotherpartyintheeventtheotherpartymateriallybreachesthisAgreementincludingbutnot

limitedtoSection6.1,6.2and6.3ofthisAgreementandfailstocureitsbreachwithin30daysfromthedateitreceivesthewrittennoticeofitsbreachfromthenon-breachingparty.DuringthetermofthisAgreement,theLicensormayterminatethisAgreementatanytimewithawrittennoticethattakeeffects30daysaftertheissueofsuchnoticetotheLicensee.

11.3

Article3,4,6and16shallsurviveupontheterminationorexpirationofthisAgreement.

12.

EffectofTerminationorExpiration

UponandaftertheexpirationorterminationofthisAgreement,allrightsgrantedtotheLicenseehereundershallforthwithreverttotheLicensor,whoshallbefreetolicenseotherstousetheDomainNamesandtheLicenseewillrefrainfromfurtheruseoranydirectorindirectuseoftheDomainNames.

13.

ForceMajeure

13.1

ForceMajeure,whichincludesbutnotlimitedtoactsofgovernments,actsofnature,fire,explosion,typhoon,flood,earthquake,tide,lightningorwar,meansanyeventthatisbeyondtheparty’sreasonablecontrolandcannotbepreventedwithreasonablecareoftheaffectedparty.However,anyshortageofcredit,capitalorfinanceshallnotberegardedasaneventbeyondtheparty’sreasonablecontrol.ThepartyaffectedbyForceMajeureandseeksfortheexemptionfromperformingtheobligationsunderthisAgreementshallinformtheotherpartyofsuchexemptionandanyactiontakenbyitforperformingthisAgreement.

13.2

IntheeventthattheaffectedpartyisdelayedinorpreventedfromperformingitsobligationsunderthisAgreementbyForceMajeure,onlywithinthescopeofsuchdelayorprevention,theaffectedpartywillnotberesponsibleforanydamagebyreasonofsuchafailureordelayofperformance.TheaffectedpartyshalltakeappropriatemannerstominimizeorremovetheeffectsofForceMajeureandattempttoresumetheperformanceoftheobligationsdelayedorpreventedbytheeventofForceMajeure.OncetheeventofForceMajeureisremoved,bothpartiesagreetoresumetheperformanceofthisAgreementwiththeirbestefforts.

14.

Notices

NoticesorothercommunicationsrequiredtobegivenbyanypartypursuanttothisAgreementshallbewritteninEnglishandChineseandshallbedeemedtobedulygivenwhenitisdeliveredpersonallyorsentbyregisteredmailorpostageprepaidmailorbyarecognizedcourierserviceorbyfacsimiletransmission(thecopyoffacsimileshallbesentafterwards)totheaddressoftherelevantpartyorpartiessetforthbelow.

15.

AssignmentorSublicense

15.1

TherightsandobligationslicensedbytheLicensortotheLicenseepursuanttothisAgreementshallnotbeassigned,pledged,sublicensedwithoutthepriorwrittenconsentoftheLicensor.

15.2

TheLicenseeherebyagreesthattheLicensorshallbeabletotransfertherightsandobligationunderthisAgreementtoanythirdpartyatitsdiscretion,andsuchtransfershallonlybesubjecttoawrittennoticeservicedtotheLicenseebytheLicensor,andnoanyfurtherconsentfromtheLicenseewillberequired.

16.

SettlementofDisputes

Thepartiesshallstrivetosettleanydisputearisingfromtheinterpretationorperformancethroughfriendlyconsultation.Incasenosettlementcanbereachedthroughconsultationwithin30daysafteronepartyaskforconsultation,eachpartycansubmitsuchmattertoChinaInternationalEconomicandTradeArbitrationCommission(the“CIETAC”)inaccordancewithitsrules,andthearbitrationproceedingsshallbeconductedinChineseandshalltakeplaceinBeijing.Thearbitrationawardshallbefinalandconclusiveandbindinguponthepartiesandshallbeenforceableinaccordancewithitsterms.

17.

ApplicableLaw

Theperformance,interpretationandimplementationofthisAgreementshallbegovernedbythelawsofthePRC.

18.

AmendmentandSupplement

AnyamendmentandsupplementofthisAgreementshallbemadeinwritingbybothParties.TheamendmentandsupplementdulyexecutedbybothPartiesshallbedeemedasapartofthisAgreementandshallhavethesamelegaleffectasthisAgreement.
