英国国际货运协会标准交易合同（中英文对照第一部分）TABLEOFCONTENTS目录DEFINITIONSANDAPPLICATION定义与应用THECOMPANY本公司THECUSTOMER客户LIABILITYANDLIMITATION责任及限制JURISDICTIONANDLAW司法管辖区及法律TheCustomer'sAttentionIsDrawnToSpecificClausesHereofWhichExcludeOrLimitTheCompany'sLiabilityAndThoseWhichRequireTheCustomerToIndemnifyTheCompanyInCertainCircumstancesAndThoseWhichLimitTimeBeingClauses8,10,12-14Inclusive,18-20Inclusive,And24-27Inclusive.客户敬请留意本文件有关豁免或限制本公司责任及规定客户在若干情况及时限下向本公司作出赔偿的特定条款，即第9条、第10条、第12至第14条（包括首尾两条）、第18至第20条（包括首尾）及第24至第27条（包括首尾）。InsurancemayonlybeeffectedbytheCompanyunderclause11(A)ifsoauthorisedbytheFinancialServicesAuthorityoritssuccessor.保险可能须经本公司根据第11(A)条由金融服务局或其延续机构就此授权后方可生效。Allheadingsareindicativeanddonotformpartoftheseconditions.所有标题均属说明性质，并不构成本合同条款的一部分。DEFINITIONSANDAPPLICATION定义与应用1.Intheseconditionsthefollowingwordsshallhavethefollowingmeanings:在本合同条款中，下列词汇具有以下涵义："Company"theBIFAmembertradingundertheseconditions"Consignee"thePersontowhomthegoodsareconsigned"Customer"anyPersonatwhoserequestoronwhosebehalftheCompanyundertakesanybusinessorprovidesadvice,informationorservices"DirectRepresentative"theCompanyactinginthenameofandonbehalfoftheCustomerand/orOwnerwithH.M.RevenueandCustoms("HMRC")asdefinedbyCouncilRegulation2193/92orasamended"Goods"thecargotowhichanybusinessundertheseconditionsrelates"Person"naturalperson(s)oranybodyorbodiescorporate"SDR"areSpecialDrawingRightsasdefinedbytheInternationalMonetaryFund"TransportUnit"packingcase,pallets,container,trailer,tanker,oranyotherdeviceusedwhatsoeverforandinconnectionwiththecarriageofGoodsbyland,seaorair"Owner"theOwneroftheGoodsorTransportUnitandanyotherPersonwhoisormaybecomeinterestedinthem「本公司」指根据本合同条款进行交易的协会成员；「收货人」指获交付货物的人士；「客户」指应其要求或由本公司代其进行任何业务或提供意见、信息或服务的任何人士；「直接代表」指以客户及／或拥有人名义或代表客户及／或拥有人而根据理事会条例2193/92（或经修订）所界定与英国皇家税务与海关总署（HMRC）行事的本公司；「货物」指与根据本合同条款进行的任何业务相关的货物；「人士」指自然人或任何团体或法人团体；「特别提款权」（SDR）指由国际货币基金组织所界定的特别提款权；「运输单位」指供给及涉及以陆路、海路或空运方式运送货物的包装盒、货盘、货柜、拖车、油轮或任何其他方式的任何其他装置；「拥有人」指货物或运输单位的拥有人及目前或可能将会于货物或运输单位拥有利益的任何其他人士。2.(A)Subjecttosub-paragraph(B)below,allandanyactivitiesoftheCompanyinthecourseofbusiness,whethergratuitousornot,areundertakensubjecttotheseconditions.(A)除下文第(B)分段所规限外，本公司在业务过程中的全部及任何活动，无论是否收受报酬，均按本合同条款的规定而进行。(B)Ifanylegislation,toincluderegulationsanddirectives,iscompulsorilyapplicabletoanybusinessundertaken,theseconditionsshall,asregardssuchbusiness,bereadassubjecttosuchlegislation,andnothingintheseconditionsshallbeconstruedasasurrenderbytheCompanyofanyofitsrightsorimmunitiesorasanincreaseofanyofitsresponsibilitiesorliabilitiesundersuchlegislation,andifanypartoftheseconditionsberepugnanttosuchlegislationtoanyextent,suchpartshallasregardssuchbusinessbeoverriddentothatextentandnofurther.倘任何法规（包括规则及指令）强制适用于所进行的任何业务，则本合同条款将（就该等业务而言）被解读为受该等法规所规限，且本合同条款概不得被阐释为本公司放弃其于该法规下的任何权利或豁免或增加其于该法规下的任何责任或负债，及倘本合同条款的任何部分与该法规于任何程度上有抵触，则该部分应视作对该业务的规定被凌驾至该程度而已。3.TheCustomerwarrantsthatheiseithertheOwner,ortheauthorisedagentoftheOwnerand,also,thatheisacceptingtheseconditionsnotonlyforhimself,butalsoasagentforandonbehalfoftheOwner.客户保证其为拥有人或拥有人的授权代理人，并且表明不单只他本人接受本合同条款，亦以代理人身分代表拥有人接受本合同条款。THECOMPANY本公司4.(A)Subjecttoclauses11and12below,theCompanyshallbeentitledtoprocureanyoralloftheservicesasanagent,or,toprovidethoseservicesasaprincipal.(B)TheCompanyreservestoitselffulllibertyastothemeans,routeandproceduretobefollowedintheperformanceofanyserviceprovidedinthecourseofbusinessundertakensubjecttotheseconditions.受下文第11及第12条所规限，本公司将有权以代理人身分促使获得任何或全部服务，或以主事人身分提供该等服务。(B)于本合同条款规限下，本公司保留其充分自由度以便决定在所进行业务过程中就履行所提供的任何服务而采取的方法、路线及步骤。5.WhentheCompanycontractsasaprincipalforanyservices,itshallhavefulllibertytoperformsuchservicesitself,or,tosubcontractonanytermswhatsoever,thewholeoranypartofsuchservices.当本公司以主事人身分就任何服务订立合约时，本公司将有充分自由度自行履行该等服务，或不论以任何条款分判该等服务的全部或任何部分。6.(A)WhentheCompanyactsasanagentonbehalfoftheCustomer,theCompanyshallbeentitled,andtheCustomerherebyexpresslyauthorisestheCompany,toenterintoallandanycontractsonbehalfoftheCustomerasmaybenecessaryordesirabletofulfilltheCustomer'sinstructions,andwhethersuchcontractsaresubjecttothetradingconditionsofthepartieswithwhomsuchcontractsaremade,orotherwise.(B)TheCompanyshall,ondemandbytheCustomer,provideevidenceofanycontractenteredintoasagentfortheCustomer.InsofarastheCompanymaybeindefaultoftheobligationtoprovidesuchevidence,itshallbedeemedtohavecontractedwiththeCustomerasaprincipalfortheperformanceoftheCustomer'sinstructions.当本公司以代理人身分代表客户时，本公司将有权且客户谨此明确授权本公司代表客户，可于必要或适当时订立全部或任何合约以履行客户的指示，并决定该等合约是否受订立该等合约的订约方的交易条件所规限或另订规限。(B)本公司将因应客户的要求而就以代理人身分为客户订立任何合约提供证明。就此而言，倘本公司未能履行责任以提供该项证明，则该合约将被视为与客户以主事人身分订立以履行客户的指示。7.InallandanydealingswithHMRCforandonbehalfoftheCustomerand/orOwner,theCompanyisdeemedtobeappointed,andactsas,DirectRepresentativeonly.在代表客户及／或拥有人与英国皇家税务与海关总署进行的全部及任何交易中，本公司被视为只会获委任为直接代表并只以此身分行事。8.(A)Subjecttosub-clause(B)Below,8.(A)于下文第(B)分条所规限，TheCompany:本公司：(i)hasagenerallienonallGoodsanddocumentsrelatingtoGoodsinitspossession,custodyorcontrolforallsumsdueatanytimetotheCompanyfromtheCustomerand/orOwneronanyaccountwhatsoever,whetherrelatingtoGoodsbelongingto,orservicesprovidedbyoronbehalfoftheCompanytotheCustomerorOwner.StoragechargesshallcontinuetoaccrueonanyGoodsdetainedunderlien;对于客户及／或拥有人在任何情况下（无论是否与货物谁属、或代表本公司向客户或拥有人所提供服务有关）于任何时间结欠本公司的所有金额，拥有对所有货物及与货物有关的文件置于其管有、保管或控制下的一般留置权。在留置权下被扣留的任何货物所产生的储存费用将持续累计。(ii)shallbeentitled,onatleast28daysnoticeinwritingtotheCustomer,tosellordisposeofordealwithsuchGoodsordocumentsasagentfor,andattheexpenseof,theCustomerandapplytheproceedsinortowardsthepaymentofsuchsums;有权向客户发出至少28天的书面通知，以客户的代理人身分出售或处置或处理该等货物或文件，而费用由客户承担，并以所得款项用作支付该等金额。(iii)shall,uponaccountingtotheCustomerforanybalanceremainingafterpaymentofanysumduetotheCompany,andforthecostofsaleand/ordisposaland/ordealing,bedischargedofanyliabilitywhatsoeverinrespectoftheGoodsordocuments.就支付结欠本公司的任何金额后余下的任何结余以及就出售及／或处置及／或处理的开支而向客户作出说明后，将获解除有关货物或文件的任何责任。(B)WhentheGoodsareliabletoperishordeterioratetheCompany'srighttosellordisposeofordealwiththeGoodsshallariseimmediatelyuponanysumbecomingduetotheCompany,subjectonlytotheCompanytakingreasonablestepstobringtotheCustomer'sattentionitsintentiontosellordisposeoftheGoodsbeforedoingso.当货物有可能腐烂或变质时，则本公司于出售或处置或处理货物的权利将于有任何金额开始应付本公司时立即生效，惟本公司在出售或处置货物前应采取合理步骤以将本公司的有关意向通知客户。9.TheCompanyshallbeentitledtoretainandbepaidallbrokerages,commissions,allowancesandotherremunerationscustomarilyretainedby,orpaidto,freightforwarders.本公司将有权保留及收取由货运代理人按惯例保留或收取的所有代理费、佣金、补贴及其他报酬。10.(A)ShouldtheCustomer,ConsigneeorOwneroftheGoodsfailtotakedeliveryattheappointedtimeandplacewhenandwherethecompanyisentitledtodeliver,theCompanyshallbeentitledtostoretheGoods,oranypartthereof,atthesoleriskoftheCustomerorConsigneeorOwner,whereupontheCompany'sliabilityinrespectoftheGoods,orthatpartthereof,storedasaforesaid,shallwhollycease.TheCompany'sliability,ifany,inrelationtosuchstorage,shallbegovernedbytheseconditions.AllcostsincurredbytheCompanyasaresultofthefailuretotakedeliveryshallbedeemedasfreightearned,andsuchcostsshall,upondemand,bepaidbytheCustomer.(A)倘若客户、收货人或货物的拥有人未能于本公司有权交付的指定时间及地点提取货物，则本公司有权储存该货物或其任何部分，风险概由客户或收货人或拥有人承担，而本公司就所储存货物或其有关部分所承担的责任即告完全终止。本公司就该储存有关的责任（如有）应受本合同条款约束。因未能提取货物而致使本公司产生的费用应被视为所获得的运费，且客户应按要求支付该等费用。(B)TheCompanyshallbeentitledattheexpenseoftheCustomertodisposeofordealwith(bysaleorotherwiseasmaybereasonableinallthecircumstances):本公司将有权（透过出售或在所有情况下的其他合理方式）进行下列事项，费用概由客户承担：(i)afteratleast28daysnoticeinwritingtotheCustomer,or(wheretheCustomercannotbetracedandreasonableeffortshavebeenmadetocontactanypartieswhomayreasonablybesupposedbytheCompanytohaveanyinterestintheGoods)withoutnotice,anyGoodswhichhavebeenheldbytheCompanyfor90daysandwhichcannotbedeliveredasinstructed;and在向客户发出至少28天书面通知后，或（倘若无法联络客户且本公司已作出合理努力以联络本公司合理假设于货物拥有权益的任何人士）在无需通知的情况下，处置或处理由本公司持有超过90天且无法根据指示交付的任何货物；及(ii)withoutpriornotice,anyGoodswhichhaveperished,deteriorated,oraltered,orareinimmediateprospectofdoingsoinamannerwhichhascausedormayreasonablybeexpectedtocauselossordamagetotheCompany,orthirdparties,ortocontraveneanyapplicablelawsorregulations.在毋须通知的情况下，处置或处理已经腐烂、变质、改变的货物，或预计即将腐烂、变质、改变，并已经引致或可能合理预期将引致对其本公司或第三方造成损失或损害或违反任何适用法律或规例的货物。11.(A)NoinsurancewillbeeffectedexceptuponexpressinstructionsgiveninwritingbytheCustomerandacceptedinwritingbytheCompany,andallinsuranceseffectedbytheCompanyaresubjecttotheusualexceptionsandconditionsofthepoliciesoftheinsurersorunderwriterstakingtherisk.Unlessotherwiseagreedinwriting,theCompanyshallnotbeunderanyobligationtoaffectaseparateinsuranceonthegoods,butmaydeclareitonanyopenorgeneralpolicyheldbytheCompany.除客户以书面形式作出明确指示且本公司以书面形式接受外，本公司概不会对任何货物投保。本公司投购的保险均须受承担风险的承保人所发出保单的常见例外条款及条件所约束。除另有书面协议外，本公司概无责任对货物另购保险，但可宣称以本公司任何公开或一般保单受保。(B)InsofarastheCompanyagreestoeffectinsurance,theCompanyactssolelyasagentfortheCustomer,andthelimitsofliabilityunderclause26(A)(ii)oftheseconditionsshallnotapplytotheCompany'sobligationsunderclause11.就本公司同意投保的情况而言，本公司仅以客户的代理人身分行事，且本合同条款中的第26(A)(ii)条的责任限制不适用于第11条项下的本公司责任。12.(A)ExceptunderspecialarrangementspreviouslymadeinwritingbyanofficeroftheCompanysoauthorised,ormadepursuanttoorunderthetermsofaprinteddocumentsignedbytheCompany,anyinstructionsrelatingtothedeliveryorreleaseoftheGoodsinspecifiedcircumstances(suchas,butnotlimitedto,againstpaymentoragainstsurrenderofaparticulardocument)areacceptedbytheCompany,wheretheCompanyhastoengagethirdpartiestoeffectcompliancewiththeinstructions,onlyasagentsfortheCustomer.除非获得经授权的本公司高级职员事先以书面形式，或根据本公司签署的书面文件的条款作出特别安排，否则本公司接受于指定情况下交付或发放货物（例如但不限于换取货款或换取交出特定文件）的任何指示，在此情况下，本公司须（仅以客户代理人的身分）委任第三方以遵守有关指示。(B)DespitetheacceptancebytheCompanyofinstructionsfromtheCustomertocollectfreight,duties,charges,dues,orotherexpensesfromtheConsignee,oranyotherPerson,onreceiptofevidenceofproperdemandbytheCompany,and,intheabsenceofevidenceofpayment(forwhateverreason)bysuchConsignee,orotherPerson,theCustomershallremainresponsibleforsuchfreight,duties,charges,dues,orotherexpenses.即使本公司接受客户所发出向收货人或任何其他人士收取运费、税费、费用、到期费用或其他费用的指示，但在收到本公司适当要求的凭证时，以及在缺乏上述收货人或其他人士支付的凭证（不论因何原因）的情况下，客户仍须对上述运费、税费、费用、到期费用或其他费用负责。(C)TheCompanyshallnotbeunderanyliabilityinrespectofsucharrangementsasarereferredtoundersub-clause(A)and(B)hereofsavewheresucharrangementsaremadeinwriting,andinanyevent,theCompany'sliabilityinrespectoftheperformanceof,orarrangingtheperformanceof,suchinstructionsshallnotexceedthelimitssetoutinclause26(A)(ii)oftheseconditions.本公司毋须就本文件第(A)及第(B)分条所
