establishedundertheLawsofthePRCandwhollyownedbyShanghaiGuangcheng(“GuangzhouHaosheng”);eachoftheindividualsandtheirrespectiveholdingcompanieslistedonScheduleIattachedhereto(eachsuchindividual,a“Principal”andcollectively,the“Principals”,eachsuchholding ,a“Holding”andcollectively,the“HoldingGSInvestmentPartners(Mauritius)ILimitedandPrivateOpportunities(Mauritius)ILimited,eacha organizedundertheLawsoftheRepublicofMauritius(togetherwiththeirrespectivepermittedassignandtransferee,collectively,“GS”);andJAFCOAsiaTechnologyFundV,anexempted organizedundertheLawsoftheCaymanIslands(togetherwithitspermittedassignandtransferee,“JAFCO”;JAFCOtogetherwithGS,collectively,the“Investors”andeachan“Investor”).EachofthepartiestothisAgreementisreferredtohereinindividuallyasa“Party”andcollectivelyasthe“Parties”.TheRelevantEntitleshavebeenengagedinthewholesaleandretailingofpets,food,treats,groomingproducts,healthcareproducts,medicines,toysandaccessoriesin(theThePrincipalsareintheprocessofestablishinga inthePRCwiththeirrespectiveequityinterestinsuch proportionatetoeachoftheirshareholdingpercentageinShanghaiGuangcheng(the“Domestic”).Theholds100%equityinterestoftheHK.TheHKisintheprocessofestablishingaforeign-investedenterpriseinthePRCtobewhollyownedbyit(the“WFOE”).TheDomesticintendstopurchasefromShanghaiGuangchengallofitsoperatingassetsandbusinessanditsentireequityinterestsinGuangzhouHaosheng.祥新商贸(NanjingXiangxinTradeCo.,.)isa thePRC(“NewMingyan”,andtogetherwithNewAobeilun,collectively,the“NewCos”)totakeoverLittlePumpkinfromShanghaiMingyan.Thereafter,thePartiesexpecttheWFOEtopurchasetheentireequityinterestsintheNewCosandtoNaughtyCarfieldandLittlePumpkinthroughtheTheseeksexpansioncapitaltogrowtheBusinessand,correspondingly,seekstosecureaninvestmentfromtheInvestors,onthetermsandsubjecttotheconditionssetforthherein.D.ThePartiesdesiretoenterintothisAgreementandmaketherespectiverepresentations,warranties,covenantsandagreementssetforthhereinonthetermsandconditionssetforthherein.NOW,THEREFORE,inconsiderationoftheforegoingrecitals,themutualpromiseshereinaftersetforth,andothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thePartiesintendingtobelegallyboundheretoherebyagreeasfollows:Thefollowingtermsshallhavethemeaningsascribedtothembelow:“AccountingStandards”meansgenerallyacceptedaccountingprinciplesinthePRC,appliedonaconsistent“Action”meansanycharge,claim,action,comint,petition,investigation,appeal,suit,litigation,grievance,inquiryorotherproceeding,whetheradministrative,civil,regulatoryorcriminal,whetheratlaworinequity,orotherwiseunderanyapplicableLaw,andwhetherornotbeforeanymediator,arbitratoror “Affiliate”means,withrespecttoa,anyotherthat,directlyorindirectly,Controls,isControlledbyorisundercommonControlwithsuch.InthecaseofanInvestor,theterm“Affiliate”alsoincludes(v)anyshareholderoftheInvestor,(w)anyofsuchshareholder’sorInvestor’generalpartnersorlimitedpartners,(x)thefundmanagermanagingoradvisingsuchshareholderorInvestor(andgeneralpartners,limitedpartnersandofficersthereof)andotherfundsmanagedoradvisedbysuchfundmanager,(y)trustsControlledbyorforthebenefitofanysuchreferredtoin(v),(w)or(x),and(z)anyfundorholding “EquitySecurities”means,withrespecttoany andanyright,warrant,option,call,commitment,conversionprivilege,preemptiverightorotherrighttoacquireanyoftheforegoing,orsecurityconvertibleinto,exchangeableorexercisableforanyoftheforegoing.“Excluded”meansanyofShanghaiGuangcheng,NanjingXiangxin,ShanghaiAobeilunandShanghaiMingyan,collectivelythe“ExcludedCompanies”.“ernmentalAuthority”meansanyernmentofanynation,federation,provinceorstateoranyotherpoliticalsubdivisionthereof,anyentity,authorityorbodyexercisingexecutive,legislative,judicial,regulatoryoradministrativefunctionsoforpertainingtoernment,includinganyernmentalauthority,agency,department,board,commissionorinstrumentalityofthePRCoranyothercountry,oranypoliticalsubdivisionthereof,anycourt,tribunalorarbitrator,andanyself-regulatory“ernmentalOrder”meansanyapplicableorder,ruling,decision,verdict,decree,writ,subpoena,mandate,precept,command,directive,consent,approval,award,judgment,injunctionorothersimilardeterminationorfindingby,beforeorunderthesupervisionofanyernmentalAuthority.“Group”meanseachofthe ,theHK ,GuangzhouHaosheng,andupontheirformation,theDomestic ,theWFOEandtheNewCos,togetherwitheachSubsidiaryofanyoftheforegoing,and“Group”referstoallofGroupCompaniescollectively.“HazardousMaterials”meansanyradioactive,infectious,flble,toxicorhazardoussubstance,chemical,material,waste,pollutant,orcontaminantwhichposesapresentorpotentialhazardtohumanhealthandsafetyortotheenvironment,includingwithoutlimitation(i)thosechemicals,substances,materialsandwastesdefinedas“hazardoussubstances”or“hazardouswaste”prohibitedorregulatedunderanyEnvironmental,HealthandSafetyLaws;and(ii)anypetrochemicalorpetroleumproducts,radioactivematerials,asbestosinanyformthatisorcould efriable,ureaformaldehydefoaminsulation,transformersorotherequipmentthatcontaindielectricfluidcontainingpolychlorinatedbiphenyls,radongas,andtoxicmold.“HazardousMaterialActivity”meansthetransportation,transfer,recycling,storage,use,labeling,treatment,manufacture,removal,disposal,remediation,Release,exposureofothersto,sale,distribution,import,orexportofanyHazardousMaterialsoranyproductcontainingHazardousMaterials.“HongKong”meanstheHongKongSpecialAdministrativeRegionofthePeople’sRepublicof “Indebtedness”ofany means,withoutduplication,eachofthefollowingofsuch :(i)allindebtednessforborrowedmoney,(ii)allobligationsissued,undertakenorassumedasthedeferredpurchasepriceofpropertyorservices(otherthantradepayablesenteredintointheordinarycourseofbusiness),(iii)allreimbursementorpaymentobligationswithrespecttolettersofcredit,suretybondsandothersimilarinstruments,(iv)allobligationsevidencedbynotes,bonds,debenturesorsimilarinstruments,includingobligationssoevidencedthatareincurredinconnectionwiththeacquisitionofproperties,assetsorbusinesses,(v)allindebtednesscreatedorarisingunderanyconditionalsaleorothertitleretentionagreement,orincurredasfinancing,ineithercasewithrespecttoanypropertyorassetsacquiredwiththeproceedsofsuchindebtedness(eventhoughtherightsandremediesofthesellerorbankundersuchagreementintheeventofdefaultarelimitedtorepossessionorsaleofsuchproperty),(vi)allobligationsthatarecapitalized(includingcapitalizedleaseobligations),(vii)allobligationsunderbanker’sacceptance,letterofcreditorsimilarfacilities,(viii)allobligationstopurchase,redeem,retire,defeaseorotherwiseacquireforvalueanyEquitySecuritiesofsuch byreasonoftheindemnification.“InlectualProperty”meansanyandall(i)patents,patentrightsandapplicationsthereforandreissues,reexaminations,continuations,continuations-in-part,divisions,andpatenttermextensionsthereof,(ii)inventions(whetherpatentableornot),discoveries,improvements,concepts,innovationsandindustrialmodels,(iii)registeredandunregisteredcopyrights,copyrightregistrationsandapplications,maskworksandregistrationsandapplicationstherefor,author’srightsandworksofauthorship(includingartwork,software,computerprograms,sourcecode,objectcodeandexecutablecode,firmware,developmenttools,files,recordsanddata,andrelatedation),(iv)URLs,websites,webpagesandanypartthereof,(v)technicalinformation,know-how,tradesecrets,drawings,designs,designprotocols,specifications,proprietarydata,customerlists,databases,proprietaryprocesses,technology,formulae,andalgorithmsandotherinlectualproperty,(vi)tradenames,tradedress,trademarks,names,servicemarks,logos,businessnames,andregistrationsandapplicationstherefor,and(vii)thegoodwillsymbolizedorrepresentedbytheforegoing.“KeyEmployee”meanstheemployeesoftheRelevantEntitieslistedonScheduleIV.“Knowledge”means,withrespecttotheWarrantors,theactualknowledgeofanyofthePrincipalsorKeyEmployeesofsuchWarrantor,andthatknowledgewhichshouldhavebeenacquiredbyeachsuch aftermakingsuchdueinquiryandexercisingsuchduediligenceasaprudentbusiness
