First,Purposeofassetsappraisal

Fifth,Thedeadlinetosubmitappraisalreportandtheway

PartyAshallprovideassessmentdeclarationform,relatedapprovals,ownershipproofofassetsandthecorrespondingdata;whilePartyBreceivesthefullappraisalmaterialsanddata,andmakesaconfirmationofthedata.10daysaftertheconfirmationdate(excludingstatutoryholidays),PartyAfinishestheappraisalwork,andprovidetheformalappraisalreporttoPartyAbymail.ForceMajeurefactorsrequireanextensionorearlycompletionoftheappraisalwork,AandBsidesneedtobenegotiated.

Sixth,Totalservicefee,timeandmanneroftheappraisalservice

1．Appraisalpayments：Cheque□Cash□PostalOrder□Others□

2．Methodsofappraisalcharging：

Thechargingfeesisreceivedaccordingtostateregulationuniformstandards.Thetotalchargesisyuan.50%ofthetotalcharges,thatisyuan,shouldbeprepaidonthesigningday;then40%ofthetotalcharges,thatis.00yuan,shouldbepaidwhenthedraftreportisfinishedandexchangingviews;therestoftheappraisalchargesshouldbepaidwhenformalappraisalreportissubmitted.

Seventh,Rightsandobligationsofbothsides

RightsofPartyA：

1．TherighttorequestPartyBtosubmittheappraisalreportaccordingtotheappointedtime;

2．TherighttorequestPartyBtokeepPartyA'stradesecrets,anditisnotallowedthatPartyBshouldprovideordisclosethecontentsoftheassetappraisalreporttoothersbesidesappraisalauthoritiesandenterprisedirector;

3．TherighttorequestPartyBtomakeexplanationoftheappraisalreportpremisethatnottointerferewithappraisalwork.

ObligationsofPartyA：

1．OncetheEngagementLetterissigned,PartyAshallnotentrustotherappraisalinstitutionstocarryontheappraisementforthesamecontentbeforetheengagementisdischargedorterminated,andshallnotamendtheengagementorreducetheappraisalchargesbyimproperreasons;

2．Safeguardingintegrityoftheassetsandassurethattheinformationprovidingtotheappraisalprojectistimely,legitimate,trueandcomplete;

3．Providingwithallaccountingdataandotherrelevantinformationwhichisrequestedbytheappraisalworktimely;

4．ProvidingwithnecessaryworkingconditionsandworkinginconjunctionwithappraisalpeoplesentbyPartyB;

5．PartyAshouldinchargeoftheco-ordinationbetweentheCPVsandrelatedpartiesaccordingtotheneedsofappraisalbusiness;

6．PartyAorthepropertyholdersshouldhaveaconfirmationoftheappraisalscheduleandtherelevantsupportingdocumentswhichprovidingbytheminthemeansofsigningandsealing;

7．Payingtheappraisalchargesinfullandtimelyaccordingtotheagreementitems;iftheappraisalworkisinterruptedcausedbyPartyA,PartyAshouldpaytheappraisalservicechargescorrespondingtheamountofworkwhichhasbeendonebyPartyB;

8．Undertakingrelatedcostsofthisappraisalbusiness,including：、、;

RightsofPartyB：

1．TherighttoreceiveappraisalchargesinfullaccordingtothetotalchargessigningontheEngagementLetter;

2．TherighttorejecttheunreasonablerequestputforwardbyPartyAtointerferewiththeappraisalwork;

3.Therighttomakeexplanationoftheappraisalreport.

ObligationsofPartyB：

1．Compliancewithrelevantlaws,regulations,andassetsappraisalcriteria,andcarryingouttheanalysis,estimationoftheappraisalobject'svalueandexpressingprofessionalopinionsontheappraisalbasedateandparticularpurpose;

2．FinishingtheappraisalworkfollowingthespecifiedtimepremisethatPartyAfulfilltheobligationsinthisagreement,submittingtheappraisalreportattheappointedtime,premisethattheappraisalworkcarriedoutnormally;

3．Keeptradesecretsstrictlywhichgettingintheprocessofappraisalwork.WithoutthepermissionofPartyA,PartyBshallnotdisclosethetradesecretsandinformationprovidedbyPartyA;

4．ItistheobligationofPartyBtomakeexplanationoftheappraisalreporttoPartyA,withoutthepermissionofPartyA,theCPVsandappraisalinstitutionshallnotprovidethecontentoftheappraisalreporttothirdpartiesorpublic,exceptthatparticularitemsofthelawsandregulations.

Eighth,Responsibilityofusingtheappraisalreport

1．PartyBprovidesPartyAwithcopiesofappraisalreport.

2．TheappraisalreportcouldonlybeusedbyPartyAandotherusersallowedinthisagreement,exceptthatparticularitemsofthelawsandregulations.

3.PartyAshouldunderstandtheappraisalreportreasonablyanduseitproperly,CPVsandappraisalinstitutionwillnotassumetheresponsibilityfortheconsequencescausedbyimproperuseoftheappraisalreportbyPartyAandotherusers.

4．Withoutthepermissionofappraisalinstitution,thecontentofappraisalreportshallnotbeexcerpted,quotedordisclosedbymassmedia,exceptthatparticularitemsofthelawsandregulationsandagreementmadebyrelatedparties.

5.WithoutobtainingwrittenpermissionfromPartyA,PartyBanditsappraisershallnotprovidetheappraisalcontenttothirdpartiesexceptthatparticularitemsofthelawsandregulations.

Ninth,Theagreedvalidityperiod

ThisEngagementLetterismadeofthreecopies,PartyAhasonecopyandPartyBhastwocopies,eachcopyhasthesamelegaleffect.

ThisEngagementLetterwillcomeintoeffectsincethedateofsigningday,andhasthevalidityinthevalidperiodandbeforetheagreedprojecthasbeentotallyfinished.

Tenth,Modifyingorterminatingtheagreement

1．AfersigningtheEngagementLetter,ifanyuncertaintyisfoundbyeachsigningside,ortheappraisalprocessionshouldbeaddedbecauseofrestrictionsandtheagreeditemsshouldbeadjusted,bothsidesshouldnegotiateaboutitandamendtherelateditemsintheengagementlettertimely,andsigntheadditionalagreementorcanceltheengagementletter.

2．AftersigningtheEngagementLetter,bothsidesshouldsigntheadditionalagreementorcanceltheEngagementLetteriftheappraisalpurpose,appraisalobject,appraisalbasedatehaschangedortheappraisalscopehassignificantchanged.

3．Whentheobjectiveconditionschanged,bothsidescouldchangetheagreedcontentthroughconsultation;iftheappraisalconditionsarenotqualifiedorunforeseencircumstancesoccurred,whichaffectthefinishoftheappraisalworkonschedule,bothsidescouldchangetheagreeditemsorterminateperformanceofthisagreement,butthesideshouldnotifytheother,andmakesettlementthroughconsultationbybothsides.

4．PartyBmaysuspendtheperformanceofthisagreementiftheappraisalprocessionisrestrictedandmakesignificantinfluenceontheappraisalresultscorrespondtotheappraisalpurpose;ifrelevantrestrictionsshallnotbeexcluded,theappraisalinstitutioncouldterminatethisengagementletter.Afterterminatingtheengagementletter,theamountofappraisalchargesreceivedorreturnedshouldfollowtheworkloadfinishedbyPartyBthroughsettlementmadebyconsultationofbothsides.

Eleventh,Theobligationofviolation

1．IfthisengagementletteristerminatedthankstoPartyA,theadvancedreceiveswilloffsetthelossofPartyB,iftheappraisalreportissubmitted,therestappraisalchargesshouldbepaid;ifthisengagementletteristerminatedthankstoPartyB,theadvancedreceivesshouldbeallret
