母子公司借款协议英文模板LoanAgreement

ThisLoanAgreement("Agreement")ismadeeffectiveasof[Date],byandbetween[LendingCompany],hereinafterreferredtoasthe"Lender,"and[BorrowingCompany],hereinafterreferredtoasthe"Borrower."TheLenderandtheBorrowerarecollectivelyreferredtoasthe"Parties"andindividuallyasa"Party."

1.LoanDetails

1.1LoanAmount:TheLenderagreestoprovidealoantotheBorrowerintheamountof[LoanAmount](the"LoanAmount").

1.2LoanPurpose:TheBorrowershallusetheLoanAmountsolelyfor[SpecifyLoanPurpose].

1.3InterestRate:TheLoanAmountshallaccrueinterestatarateof[InterestRate]%perannum,compounded[Daily/Monthly/Annually].

1.4RepaymentSchedule:TheBorrowershallrepaytheLoanAmount,alongwithaccruedinterest,in[SpecifyNumberofInstallments]equalinstallmentsof[SpecifyAmount]ona[Weekly/Monthly/Quarterly/Annual]basis,commencing[SpecifyDate].

1.5Prepayment:TheBorrowerhastheoptiontoprepaytheLoanAmount,inwholeorinpart,withoutanypenalty,uponprovidingtheLenderwith[SpecifyNoticePeriod]priorwrittennotice.

2.RepresentationsandWarranties

2.1Borrower'sRepresentations:TheBorrowerrepresentsandwarrantsthatitisadulyincorporatedcompany,validlyexistingunderthelawsof[Country/State],andhastheauthoritytoenterintothisAgreementandborrowfundsinaccordancewithitscorporatedocuments.

2.2Lender'sRepresentations:TheLenderrepresentsandwarrantsthatithasthenecessaryfundsandauthoritytoprovidetheLoanAmountascontemplatedherein,andthatitisnotunderanylegalorregulatoryrestrictionthatwouldpreventorlimititsabilitytoextendthisloan.

3.SecurityandGuarantees

3.1Collateral:TosecurerepaymentoftheLoanAmount,theBorrowershallprovidetheLenderwith[SpecifyCollateral],whichshallbemaintainedingoodconditionuntiltheLoanAmountisfullyrepaid.

3.2Guarantees:[Ifapplicable:][ParentCompany],theparentcompanyoftheBorrower,guaranteestherepaymentoftheLoanAmountandallassociatedcostsincaseofdefaultbytheBorrower.

4.EventsofDefault

4.1Non-Payment:IftheBorrowerfailstomakeanypaymentdueunderthisAgreementwithin[SpecifyGracePeriod]daysoftheduedate,itshallbeconsideredaneventofdefault.

4.2BreachofAgreement:AnybreachorviolationofthetermsandconditionsofthisAgreementbytheBorrowershallconstituteaneventofdefault.

5.GoverningLawandJurisdiction

5.1GoverningLaw:ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[SpecifyJurisdiction].

5.2Jurisdiction:AnydisputesarisingoutoforrelatingtothisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[SpecifyJurisdiction].

6.Miscellaneous

6.1EntireAgreement:ThisAgreementconstitutestheentireagreementbetweenthePartiesconcerningtheLoanAmountandsupersedesallprioragreements,understandings,andrepresentations.

6.2Amendment:Nomodification,amendment,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothParties.

INWITNESSWHEREOF,thePartiesheretohaveexecutedthisLoanAgreementasofthedatefirstabovewritten.
