Delivery

Thedeliveryofgoodsmeansthatthesellerdeliversthecontractedgoodstothebuyeratthe

agreedtime,placeandintheagreedmanner.Whennegotiatingatransaction,thebuyer

andthesellershouldreachanagreementonthetimeofthedelivery,theportsofshipment

anddestination,themethodsofshipmentandshippingdocumentation.Thedetailsshould

beclearlyspecifiedinthecontract.Clearstipulationoftheshipmentclauseisanimportant

conditionforthesmoothexecutionofthecontract.

Dateofdelivery

Thedateofdeliveryisthedatebywhichthesellermustdeliverthegoodsatanagreedplace

bytheagreedmethod.Ifoverseas,theplaceislikelytobeaportfromwhichthesellermust

arrangeonwardtransporttothefinaldestinationafterclearingcustoms.NOTE:Although

shipmentusuallyreferstoshipmentbysea,itispossiblethatshipmentofgoodsmaybe

madebyroad,rail,riverorcanal.Shipmentreferstothetransportofgoodsfromtheseller

tothebuyer.

Indecidingthedateforshipment,considerationsmustbegiventothefollowing:

(1)ThedatewhentherelevantL/Cisopened.Normally,theL/Cshouldreachthesellerat

least15daysbeforethedateofshipmenttopermitthesellersufficienttimetocheckthe

L/Candtodeliverthegoodstotheport.

(2)Thesupplyofgoods.Productiontimemustbeconsideredbecausethereisnopointin

agreeinganearlyshipmentdateifthegoodscannotbeproducedanddeliveredontime.

(3)Transportation.Considerationshouldbegiventothemethodofshipment(sea,train,

canal,roadorair),thelengthoftimerequiredforthejourneyandtheconditionsattheport

(station,airport)ofembarkation.Extratimemaybeneededifthemeansoftransportisnot

alwaysavailableoriftheportisnotalwaysinoperation.

(4)Thetypeofgoods.Somegoodsareperishableorseasonalsotheyneedtogettothe

marketquickly.Sometimeswhenmarinetransportisnotquickenough,airtransportcanbe

used.

Thepartiesneedtonegotiatetofindadatethatisacceptableforbothparties.Oncethe

dateisagreed,thepartiesareobligedtofulfilltheirobligationsbeforetheagreedtimehas

expired,ortheymightfaceclaims.

afterreceiptoftheL/Cimmediateshipmentshipmentassoonaspossiblepromptshipment

Portsofshipmentanddestination

Theportofshipmentistheportfromwhichgoodsareshipped.Theportofdestinationis

theportatwhichgoodsarrive.Goodswillthenbedischargedforonwardtransporttothe

finaldestination.Bothportsshouldbespecifiedinthecontract.

Normally,onespecificportofshipment,andonespecificportofdestinationarestipulated,

butsometimestwoormoreofeacharestated.Incaseswhereadecisioncannotbemade,

severalalternativesshouldbelisted,suchas“oneportoutofLondon/Hamburg/Rotterdam

astheportofdestination".Alternatively,ageneraltermisusedsuchas〃EMP(European

MainPort)"or"ChinaPort”.Itisalwaysbettertobeasspecificaspossible.

Thefollowingpointsareimportantwhenstipulatingtheportofshipmentinacontract:

(1)Theportofshipmentshouldbeclosetowherethegoodsaremanufactured.

(2)Anyspecifichandlingrequirements.

Theportofdestinationisusuallyproposedanddeterminedbythebuyersothatitis

convenientforresellingthegoods.Goodsforinlanddestinationswillbeshippedtothe

nearestportandthenonwardtransportwillbearranged.Responsibilityforthismustbe

decidedandclearlyindicatedinthecontract.

Partialshipmentandtransshipment

Partialshipmentmeansshippingthecommodityunderonecontractinmorethanonelot.It

shouldbedefinedinthecontractwhether"partialshipmentis(orisnot)allowed”.Ifitis

allowed,thetimeandquantityofeachshipmentshouldbespecified,forexample,

“shipmentduringMarchtoJuneinfourequalmonthlylots”.Thesellershouldstrictly

followtheregulations;otherwise,thebuyerhastherighttorejectthegoods.Transshipment

referstoasituationwherethereisnodirectshipbetweentheportofshipmentandtheport

ofdestination,ornosuitableshipsavailableatthatparticularperiod.Thegoodswillhaveto

betransferredfromoneshiptoanotheratanintermediateport.Thecontractmustalso

specifywhether''Transshipmentis(orisnot)allowed”.Inaddition,itshouldalsobe

indicatedwhopaysthecostoftransshipment.
