工程名称：施工地址：依据《中华人民共和国合同法》、《中华人民共和国建筑法》、《中华人民共和国安全法》及其他相关法律、法规和甲方工程标准及规定；遵循平等自愿交易与公平诚信经营的原则，甲、乙双方经友好协商，本着平等互利的原则，就乙方向甲方提供旋转门设备及安装工程事宜，达成以下协议：Basedonthe"ContractLawofthePeople'sRepublic"and"People'sRepublicofChinaConstructionLaw"and"People'sRepublicofChinaSecurityLaw"andotherrelevantlaws,regulationsandtechnicalstandardsandprovisionsofbuyer;equaltofollowavoluntarytransactionintegrityandfairnessoftheoperatingprinciple,Thetwosidesthroughfriendlyconsultations,theprincipleofequalityandmutualbenefit,agreetheprovisionsofdoorinstallationsservicetobuyer,reachedthefollowingagreement:一、合同内容：见附件1承接项目：旋转门生产、安装及辅助工程Toundertakeproducingandinstallingtherevolvingdoorproject.二、价格：到工地交钥匙价详见附件2价格一览表Price:thepriceofturn-keysiteseeAnnex2listprice合同总价Thetotalcontractamount：RMB：.00大写：元整三、甲方责任范围buyerresponsibility:3.1甲方为乙方安装调试自动旋转门提供必要的技术数据及合理的安装时间。Buyerprovidesellerthenecessarytechnicaldataandareasonableinstallationtimeforinstallingrevolvingdoor.3.2符合乙方技术要求的地面及门周边的全部装饰装修工作。Providingthetechnicalrequirementsofthegroundaroundthedoorandallthedecorationwork.3.3甲方为乙方提供一个临时工作间，以便存放必要的设备材料及仪器工具。Buyerprovideselleratemporaryworkstationsforthestorageofequipmentandmaterialsandnecessaryequipmentandtools.3.4甲方负责提供乙方安装设备所需要的电力供应。Buyerisresponsibleforprovidingpowersupplyforinstallationofequipment.四、乙方责任范围Sellerresponsibility:4.1乙方负责提供合同第一条所涉及的全套设备。SellerisresponsibleforprovidingthecompletesetofequipmenrefferedArticle1herein.4.2乙方负责自动旋转门的全部安装调试工作。PartyBisresponsibleforallinstallationworkoftheautomaticrevolvingdoor.4.3乙方负责提供设备使用说明书及相关技术资料。Sellerisresponsibleforprovidingtheuseofequipmentmanualsandrelatedtechnicalinformation.4.4乙方工程人员必须遵守甲方的规章制度，施工中应做好各专业的配合，服从工程总体安排。Thesellerworkersmustabidetherulesandregulationsofthebuyerandshouldcooperateinconstruction,subjecttotheallarrangementsfortheproject.4.5乙方保证施工进度及施工质量。Sellershouldguaranteetheprogressandqualityofconstruction.五、交货Delivery:5.1乙方收到甲方预付款后，于四周内将货物运抵甲方工地或甲方指定存放地点。Sellershould,uponthereceiptoftheadvancepaymentinfourweeksofthegoods,deliveredtothesite,orbuyerdesignatedstoragesites.5.2甲方需向乙方提供Buyerisrequiredtoprovideseller甲方收货人Buyerconsignee：收货地址ReceivingAddress：5.3甲方为运到的设备提供必要的储存场地并负责妥善保管，如甲方原因造成设备损坏，责任由甲方承担。Buyershouldprovidethenecessarystoragespacefortheequipmenttransportationandberesponsibleforsafekeeping,Thebuyershouldbeartheresponsibilityifcausesdamagetotheequipment.5.4如因甲方不具备安装条件要求推迟运货，乙方可将货物暂存放甲方指定仓储地点，由此产生的仓储费及额外搬运费由甲方承担。Ifbuyerdoesnothavethenecessaryconditionstodelaytheshipment,goodscanbetemporarilystoredtheplacethebuyerdesignated,resultinginadditionalstorageandhandlingcostsbornebythebuyer.六、付款方式Payment:6.1合同签字后，甲方即付给乙方合同总额的80%作为预付款，即RMB.00元大写:人民币。Aftersigningthecontract,buyerpay80%ofthetotalamountofthecontractasanadvancepayment,thatisRMBYuan.6.2货到工地安装前，甲方即付给乙方合同总额的20%，即RMB元,大写:人民币。BeforeGoodsdeliveredtotheinstallationplace,buyershouldpay20%ofthetotalamountofthecontract,thatisRMBYuan.6.3乙方银行信息Seller’sBank户名Beneficial：开户行IssueBank： 账号AccountNo.： 七、乙方需向甲方提供的文件DocumentssubmittedbySeller本合同项下的设备产品说明书，出厂合格证，设备装箱单。Thisequipmentspecificationunderthecontract,thefactorycertification,andtheequipmentpackinglist.八、工期Period:8.1乙方在甲方能够满足施工条件的情况下10天可完成安装调试工作。Sellershould,inthecasethatbuyermeettheconditions,completeinstallationworkwithin10days.8.2如因甲方施工现场不符合安装技术要求而造成工期延误，乙方不承担责任。Asaresultoftheconstructionsitedoesnotmeetthetechnicalrequirementsfortheinstallation,sellerisnotliableforthedelayperiod.九、验收Acceptance:乙方在完成整个门系统的安装调试任务后，甲、乙双方共同派人根据生产厂家提供的验收标准乙方提供对工程进行验收，甲、乙双方做好验收运行记录。验收手续应在一周内完成。如因甲方原因未能按期进行验收，转门正常运转7日后则被自动视为验收合格，甲方应按本合同第六条执行付款，乙方在甲方付款后完成全部设备交接手续，即包括提交设备使用有关资料及钥匙，并代甲方培训两名设备操作人员。Sellercompletetheinstallationofthesystemdebuggingtasks,Bothsidessentworkerstocheckinaccordancewiththestandardofacceptancemanufacturerprovidesellerprovided,bothsidesshouldtakearunningrecordoftheinspection.Inspectionproceduresshouldbecompletedwithinaweek.Forthereasonsofbuyerforfailuretocarryoutinspectiononschedule,thedoornormalworkingfor7dayswereautomaticallyqualifiedasacceptance,buyerimplementthepaymentonthebasisofthesixthofthecontract,afterthebuyersettleallthepayment,sellershouldcompleteprocedureoftheequipmenttransfer,procedures,includingsubmissionoftheuseofequipmentinformationandthekey,andtraining,onbehalfofthebuyer,twoequipmentoperators.十、免费保修期及维修Warrantyformaintenance:10.1乙方对其所提供的设备在验收合格后一年内实行免费保修，并免费更换除人为损坏外的所有零件。Equipmentprovidedbysellerisfreemaintenanceandreplacingallpartswithinoneyearotherthantheman-madedamagetotheoutside.10.2在保修期满后，乙方对其所提供的设备，有责任提供及时的有偿维修服务及长期零部件供应。维修合同由甲方与乙方另行签订。Inthewarrantyexpires,sellerhasaresponsibilitytoprovidetimelyandpayableofmaintenanceservicesandlong-termsupplyofspareparts.Maintenancecontractsignseparately.十一、不可抗力Forcemajeure:11.1任何一方对由于不可抗力所产生的任何结果包括损失和延期交货不承担责任。受不可抗力影响的一方应在不可抗力事故发生后尽快通知对方，并于事故发生后十四天内将事故发生地的有关当局出具的证明文件用航空信或任何更快的方法寄给对方审阅确认。一旦不可抗力事故持续十周以上，双方应通过友好协商修改本合同的条款。Eitherasaresultofforcemajeurearisingfromanyresultsincludinglossesanddeferreddeliveryisnotliable.Forcemajeurebythesideeffectsshouldbeforcemajeureaftertheaccidentassoonaspossibletoinformtheotherparty,documentsissuedbyauthoritiessendbyairoranyfastermethodsenttoexamineeachother'sconfirmationwithin14daysaftertheaccident.Oncetheforcemajeureincidentcontinuedformorethan10weeks,thetwosidesthroughfriendlyconsultationstoamendthetermsofthiscontract.十二、争议的解决Disputesettlement:12.1所有因本合同产生或与本合同有关的争议应由双方通过友好协商解决。如果十四天内争议仍无法协商解决，该争议应通过法律诉讼解决。诉讼费用包括但不限于律师费用由败诉方承担。本条款在合同终止后仍然有效。Asaresultofallthis,orhaveacontractwiththecontract-relateddisputesbythetwosidesthroughfriendlyconsultation.Thedisputethroughlegalproceedingstoresolveifitcannotresolvewithin14days.Litigationcostsincludingbutnotlimitedtolegalfeesbornebythelosingparty.Intermsofthecontracttermination.十三、合同变更Amendments13.1甲方对合同规定的货物的规格、型号、技术参数、功能等变更须在交货前两个月前提出书面通知。Goodsonthetermsofthecontractspecifications,models,technicalparameters,suchasfunctionalchangestobedeliveredbybuyerinthefirsttwomonthsbeforethewrittennotice.13.2乙方在收到甲方书面通知后7日内应给予答复。Sellershouldbegiventoreplywithin7daysafterreceivingawrittennoticeofbuyer.13.3在合同签订后欲对合同条款进行改动或偏离，均由双方签署书面的合同修改书。Afterthesigningofthecontract,intermsofthecontractforanyalterationordeviation,thetwosidesshouldsignawrittencontractamendments.十四、其它事项Othermatters：14.1本合同除正文外，还包括以下附件：InadditiontothetextofthecontractalsoincludesthefollowingAnnex:附件1：合同范围和价格明细contractrangeanddetailsofthecontractprice附件2：门区图纸DesignDrawing附件3：设备配置清单Alistofequipment附件4：安装技术要求Thetechnicalrequirementsofinstallation附件5：安装步骤InstallationSteps附件6：验收标准Thestandardofacceptance附件7：售后服务承诺After-salesservicecommitment经甲、乙双方确认同意与合同正文具有同等法律效力。Astwosidesconfirmedandagreedtoacontractwiththebodyhasthesamelegaleffect.14.2甲方在未执行完本合同第六条所涉及的付款前，合同所涉货物归乙方所有。Beforethebuyern
