产品PCN协议ProductAgreementofPCN（密级：C级）(securitylevel:C)甲方PartyA：XXXX有限公司（以下简称“XXXX”）XXXXTechnologyCo.,Ltd.（Hereinafterreferredtoas"XXXX"）乙方PartyB：(以下简称“供应商”):(hereinafterreferredtoas"thesupplier")1、说明鉴于在XXXX与供应商的合作过程中，产品或物料技术更改会对双方产生重大影响，为规范双方的操作，维护双方的合法权益，甲乙双方经友好协商，就双方合作过程中的PCN操作规范作出如下约定：备注：不同类别产品或物料对PCN操作要求的具体条款参照此文件制订1.ExplanationInviewofthefactthatintheprocessofcooperationbetweenXXXXandthesupplier,technicalchangesofproductsormaterialswillhaveasignificantimpactonbothparties,inordertostandardizetheoperationofbothpartiesandsafeguardthelegitimaterightsandinterestsofbothparties,PartyAandPartyBhavemadethefollowingagreementonPCNoperationspecificationintheprocessofcooperationthroughfriendlynegotiation:Note:ThespecifictermsofPCNoperationrequirementsfordifferenttypesofproductsormaterialsareformulatedwithreferencetothisdocument.2、定义PCN：指产品变更通知（Productchangenotification），包含所有与产品相关更改的通知。本协议定义的PCN中的变更，包含产品及其相应数据、资料的更改。包括但不限于以下内容的变更：2.DefinitionPCN:referstotheproductchangenotification,includingallproductrelatedchanges.ChangesinPCNdefinedinthisagreementincludechangesinproductsandtheircorrespondingdataandmaterials.Includingbutnotlimitedtothefollowingchanges:人员变更·负责XXXX项目组主要成员变动·分管XXXX项目的主要高层领导变动Personnelchanges·ResponsibleforthechangeofmajormembersofXXXXprojectteam·ResponsibleformajorchangesofseniorleadersofXXXXprojects设备变更·印刷机、贴片机、回流炉、波峰焊、测试设备等变更·生产线体新增或更改Equipmentchange·Changesofprintingpress,Mounter,reflowoven,wavesoldering,testequipment,etc·Addorchangeproductionline物料变更物料替代物料停产·物料停产·原型号停产的物料升级ChangesofmaterialMaterialsubstitutionStopproductionofmaterials·Stoppedproductionofmaterials·Materialupgradeofprototype功能更改 ystemXXXX正式确认通知(书面或其扫描件)FormalconfirmationnoticeofXXXX(writtenorscanned)7物料替代物料停产或原型号停产的物料升级MaterialsubstitutionMaterialupgradingformaterialshutdownorprototypematerialshutdown最后接单日期前6个月6monthsbeforethedateoflastorderreceiving供应商正式通知(书面或其扫描件)更改后型号的规格书、图纸及足量样品相应测试报告小批量验证报告器件升级需提供相关的升级报告，版本说明文件，兼容性报告等；Formalnoticeofsupplier(writtenorscanned)Specifications,drawingsandsufficientsamplesofthechangedmodelCorrespondingtestreportSmallbatchverificationreportRelevantupgradereport,versiondescriptiondocument,compatibilityreport,etc.shallbeprovidedfordeviceupgrade;作为新物料重新验证检查产品设计、工艺，实施必要的修改，进行充分验证刷新数据库中的物料资料及应用开发文档更改物料系统中数据ReverifyasnewmaterialInspectproductdesignandprocess,implementnecessarymodificationandfullyverifyRefreshthematerialdataandapplicationdevelopmentdocumentsinthedatabaseChangethedatainthematerialsystemXXXX正式确认通知(书面或其扫描件)FormalconfirmationnoticeofXXXX(writtenorscanned)8仅产品、物料标识或供应商标识/订货型号更改；产品或物料的数据/资料更改；产品软件更改或升级Changeofproduct,materialidentificationorsupplieridentification/ordermodelonly;Changeofdata/dataofproductsormaterials;Changeorupgradeofproductsoftware资料正式发布前1个月Onemonthbeforetheofficialreleaseofinformation供应商正式通知(书面或其扫描件)更改前后对比清单提供相关报告文件(如升级报告、版本说明文件、兼容性报告、勘误表等)软件验证报告等Formalnoticeofsupplier(writtenorscanned)ComparisonlistbeforeandafterthechangeProviderelevantreportdocuments(suchasupgradereport,versiondescriptiondocument,compatibilityreport,errata,etc.)Softwareverificationreport,etc核实资料准确性，更改系统中的产品数据刷新数据库中的物料资料及应用开发文档检查设计，实施修改，进行充分验证VerifytheaccuracyofinformationandchangetheproductdatainthesystemRefreshthematerialdataandapplicationdevelopmentdocumentsinthedatabaseCheckthedesign,implementthemodificationandfullyverifyXXXX正式确认通知(书面或其扫描件)对产品的性能、功能、参数、可靠性、品质等无任何影响的更改资料(产品或物料数据手册、用户手册、应用建议、设计指导等)的增加、修订、升级、更正或更改及缺陷声明供应商自行开发的产品软件变更FormalconfirmationnoticeofXXXX(writtenorscanned)Changeofproductperformance,function,parameter,reliabilityandqualitywithoutanyinfluenceInformation(productormaterialdatamanual,usermanual,applicationsuggestion,designguidance,etc.)addition,revision,upgrade,correctionorchangeanddefectdeclarationProductsoftwarechangesdevelopedbythesupplier5、PCN收发、确认的管理要求5.1PCN生效原则SQA部为XXXXPCN接口、管理部门。所有供应商发放的PCN必须以双方认可的正式通知形式(书面或其扫描件)，以及依照本协议第4条约定的时限及时通知SQA部。产品或物料更改通过XXXX的相关验证，SQA部会给供应商发出PCN确认书，供应商在收到上述PCN确认书之后方可供应更改后的物料。5.ManagementrequirementsofPCNreceiving,sendingandconfirmation5.1PCNeffectiveprincipleSQAdepartmentistheinterfaceandManagementDepartmentofXXXXPCN.AllPCNsissuedbythesuppliermustbenotifiedtoSQAdepartmentinaformalform(writtenorscanned)approvedbybothpartiesandwithinthetimelimitspecifiedinArticle4ofthisagreement.IftheproductormaterialchangepassestherelevantverificationofXXXX,SQAdepartmentwillissuePCNconfirmationtothesupplier.AndthesuppliercansupplythechangedmaterialonlyafterreceivingtheabovePCNconfirmation.5.2PCN发放产品PCN正式通知书见《PCN通知及确认单》，供应商必须将物料PCN通知SQA部，并同时提供供应商发布的物料PCN原件。5.2PCNdistributionPleaserefertoPCNnoticeandconfirmationforformalPCNnoticeofproducts.ThesuppliermustinformSQADepartmentofPCNofmaterialsandprovidetheoriginalPCNofmaterialsissuedbythesupplier.5.3PCN响应SQA部收到PCN通知单，在3个工作日内反馈供应商，并提出相关要求。供应商须根据回复要求，提供相关的支持(如样品、资料、报告、验证技术支持等)以协助XXXX的验证或处理。5.3PCNresponseAfterreceivingthePCNnotice,SQAdepartmentwillfeedbacktothesupplierandputforwardrelevantrequirementswithin3workingdays.Thesuppliershallproviderelevantsupport(suchassamples,data,reports,verificationtechnicalsupport,etc.)toassistXXXXinverificationorprocessingaccordingtotheresponserequirements.5.4PCN确认由SQA部在对产品PCN充分验证完成后反馈明确结论：接受、有条件接受、不接受。产品PCN确认书见《PCN通知及确认单》。《PCN通知及确认单》作为XXXX唯一合法的PCN确认书。如果无确认书反馈，即视为XXXX拒绝接受该PCN。5.4PCNconfirmationSQAdepartmentwillgivefeedbackafterfullverificationofPCN,andmakecleartheconclusion:acceptorconditionallyacceptornot.PleaserefertoPCNnoticeandconfirmationforPCNconfirmation.PCNnoticeandconfirmationistheonlylegalPCNconfirmationofXXXX.Ifthereisnoconfirmationfeedback,itisconsideredthatXXXXrefusestoacceptthePCN.5.5拒绝接受PCN下列情况下SQA部可以书面拒绝接受PCN，或投诉供应商：不符合双方达成的PCN要求，或严重不符合国际惯例时间迫切PCN不能给XXXX带来品质、可靠性、成本、货期等方面的任何利益重大PCN，但生产商未提供更改后的器件质量报告，或鉴定项目不足5.5rejectionofPCNSQAdepartmentmayrefusetoacceptPCNinwritingorcomplaintothesupplierunderthefollowingcircumstances:ItdoesnotconformtothePCNrequirementsreachedbybothparties,orseriouslydoesnotconformtointernationalpracticeTimeispressingThePCNcannotbringanybenefitstoXXXXintermsofquality,reliability,cost,deliverytime,etcMajorPCN,butthemanufacturerdidnotprovidethemodifieddevicequalityreport,orthequalificationitemswereinsufficient6、二级供应商PCN管理供应商应当与其所有一级供应商（XXXX项目涉及到的）签署PCN协议，把XXXX的PCN要求传递到其一、二级供应商，并定期进行PCN管理培训。供应商须建立对其一、二级供应商的PCN稽核管理制度，要求一、二级供应商建立PCN管理规范，并监督其按照PCN要求执行。供应商应当将其一、二级供应商PCN变更事项通知XXXX，经XXXX正式确认后方可有效；否则供应商应当参照本协议第7条承担相应责任。6.PCNmanagementofsecondarysuppliersThesuppliershallsignPCNagreementwithallitsfirsttiersuppliers(involvedinXXXXproject),transferXXXX'sPCNrequirementstoitsfirstandsecondtiersuppliers,andconductPCNmanagementtrainingregularly.ThesuppliershallestablishaPCNauditmanagementsystemforitsfirstandsecondtiersuppliers,requirethefirstandsecondtiersupplierstoestablishPCNmanagementspecifications,andsupervisetheirimplementationinaccordancewithPCNrequirements.ThesuppliershallinformXXXXofthechangeofPCNofitsfirstandsecondtiersuppliers,whichshallbevalidonlyafterbeingformallyconfirmedbyXXXX;otherwise,thesuppliershallbearcorrespondingresponsibilitiesaccordingtoArticle7ofthisagreement.7、协议约束如果供应商未及时将PCN通知SQA部，或未得到SQA部正式确认而使PCN生效，所造成的影响及损失将根据以下条款和XXXX的有关规定执行处罚。7.1供应商违反XXXXPCN协议要求，但暂未造成实际损失，每次违反协议，供应商应当支付给XXXX壹万元(10,000)人民币违约金，且供应商应当在XXXX要求的时间内恢复至变更前状态。7.2供应商违反XXXXPCN协议要求，并已经造成实际损失，供应商应当赔偿XXXX因此遭受到的全部直接或间接经济损失，且供应商应当支付给XXXX贰万元(20,000)人民币违约金。7.3供应商承诺并同意，该等违约金及损失XXXX有权从应付供应商之款项中直接扣除，若应付款项不足以支付该等违约金及损失，XXXX有权要求供应商另行支付。ContractconstraintIfthesupplierfailstoinformtheSQADepartmentofPCNintimeormakesPCNeffectivewithoutformalconfirmationfromtheSQAdepartment,theimpactandlosscausedwillbepunishedacco
