1/5XX有限公司反不正当竞争协议XXCo.,Ltd.Anti-UnfairCompetitionAgreement甲方：地址：法定代表人：联系电话：PartyA:Address:LegalRepresentative:Phone:乙方：地址：法定代表人：联系电话：PartyB:Address:LegalRepresentative:Phone:甲方和乙方合称“双方”，单称“一方”。PartyAandPartyBarereferredtoas,together,the“Parties”andindividually,a“Party.”为共同制止不正当竞争及商业贿赂行为、维护双方共同的合法权益，经甲乙双方友好协商，达成以下反不正当竞争协议（“本协议”），以资双方信守履行：Topreventunfaircompetitionandcommercialbribery,andprotecttheParties’legalrights,PartyAandPartyBtogether,throughfriendlynegotiation,reachthisAnti-UnfairCompetitionAgreement(the“Agreement”)asfollows:甲乙双方同意，本协议作为甲乙双方已经签订的采购合同（“采购合同”）的附件，与采购合同具备同等法律效力。ThePartiesagreethat,thisAgreementshallbedeemedastheattachmenttothepurchaseagreementpreviouslyexecutedbytheParties(the“PurchaseAgreement”),andbeofthesamelegaleffectasthePurchaseAgreement.甲乙双方保证并同意，完全遵守并促使其员工、董事、管理者、代理或代表其行事的其他人员（仅在本协议中统称为“工作人员”）完全遵守中国关于反不正当竞争及商业贿赂的相关法律法规，包括且不限于《反不正当竞争法》及《刑法》，通过正常途径开展双方合作的相关业务工作。ThePartiesagreetofullycomply,andcausetheirrespectiveemployees,directors,management,agents,andanyotherrepresentatives(onlyinthisAgreement,together,the“Employees”)tocomply,withtherelevantPRClawsandregulationsregardinganti-unfaircompetitionandanti-commercialbribery,includingbutnotlimitedtothePRCAnti-UnfairCompetitionLawandtheCriminalLawofthePRC,andtoconductbusinesswiththeotherPartythroughnormalchannel.乙方承诺，在薄利多销、双方共赢的基础上，给予甲方最优惠的市场价格，双方应随时就价格变化进行沟通。PartyBwarrantstoofferPartyAthemostfavorablemarketpriceonthebasisofsmallprofitsforquickturnoverandforwin-winoutcome.ThePartiesshallcommunicatewitheachotheratanytimeregardingpricechanges.乙方同意，乙方或其关联方不会以获得双方合作业务为目的，直接或间接地与任意第三方串通价格，或通过采取其他非法排除竞争的手段获取商业利益。PartyBagreesthat,PartyBanditsrelatedpartiesshallnot,directlyorindirectly,colludewithanyotherthirdpartiestoanagreedormanipulatedpriceforthepurposeofgainingbusinessopportunityfromPartyA,ortakeonanyotherillegalactionstoexcludecompetitionforthepurposeofgainingcommercialprofits.乙方同意以同价同质供货至甲方及甲方集团内的其他公司。如甲方发现，乙方在供货时存在未主动提供最优惠市场价格，而导致出现甲方及甲方集团内的其他公司之间的供货价格差异，甲方有权向乙方追缴过往所有采购差价；差价金额超过人民币100,000元的，甲方有权取消乙方的供应商资格，终止一切业务往来。PartyBagreestosupplyproductsofsamepriceandsamequalitytoPartyAandothercompanieswithinthePartyA’scorporategroup.IfPartyAdiscoversthatPartyBfailstovoluntarilyofferthemostfavorablemarketprice,whichcausepricedifferencesinproductssuppliedtoPartyAandtoothercompaniesinPartyA’scorporategroup,PartyAshallhavetherighttodemandpaymentsofallthepreviouspricedifferencesfromPartyB.IncasethatthepricedifferenceisoverRMB100,000,PartyAshallhavetherighttocancelPartyB’ssupplierqualificationandterminateallthebusinesseswithPartyB.在甲乙双方商谈促成合作或业务合作期间，一方或其工作人员不得向对方的工作人员或其亲属，及其他与对方有利益关系的单位或个人，提供、承诺提供或建议提供任何精神及物质上直接或间接的馈赠，包括但不限于：现金、支票、信用卡礼品、样品或其他商品、娱乐票券、会员卡、无息贷款、货币或货物形式的回扣、回佣、就业或置业、旅游、宴请及个人服务、其他形式的私人好处，及其他一切物质或精神上有直接受益的开支，以期获取或保留双方合作业务关系或获得不正当优势。Duringtheperiodofnegotiatingforbusinessorworkingtogether,neitherPartyoritsEmployeesshall,forthepurposeofgainingormaintainingbusinessopportunitiesorunfaircompetitionadvantage,directlyorindirectlyprovide,promisetoprovide,orsuggesttoprovidetheotherParty,itsEmployeesortheirrelatives,oranyotherinterestedpartiesoftheotherParty,withanyspiritualormaterialgifts,includingbutnotlimitedto,cashes,checks,creditcardgfits,samplesorotherproducts,entertainmenttickets,membershipcards,interest-freeloans,rebatesinformsofmoneyorproduct,employmentorhomeownershipopportunities,travels,leisuirediningorpersonalservices,personalbenefitsinotherforms,andanyotherspirituallyormateriallybenefitedexpenditures.如有发现乙方违反上述第6条，一经查实，即视为乙方违约，甲方有权收取乙方过往12个月货款作为违约金，并取消乙方供应商资格，终止一切业务往来。IfPartyBisfoundtoviolateSection6ofthisAgreement,onceconfirmed,PartyBshallbedeemedtobreachthisAgreement,andPartyAshallhavetherighttoclaimthesumoftheprevious12-monthpurchasesfromPartyBasliquidateddamage,cancelPartyB’ssuplierqualification,andterminateallthebusinesses.受限于上述第6条，基于双方合作业务需要及商业接待礼仪，双方可为对方工作人员提供合理的工作餐、住宿、交通等与业务相关的工作方便。双方工作人员因业务需要参加的餐会，餐会后不得有其他任何性质的娱乐活动。如因业务沟通所需，确需安排人均消费人民币300元以上的宴请，乙方应事先报备甲方受宴请人员部门总监或以上。SubjecttoSection6ofthisAgreement,fortheParties’businessrelationshipandbusinessetiquette,thePartymayprovidereasonalbusinessmeal,accommodation,transportationandotherbusinessconveniencesfortheotherParty’sEmployees.IncasethattheEmployeesofthePartiesattenddinnerforbusinesspurposes,noentertainingactivitiesshallbeprovidedafterdinner.IfPartyBisinneedofpreparingdinnerworthoverRMB300perpersonforPartyAEmployees,PartyBshallgiveadvancenoticetodirectorsoraboveofthedepartmentthatsuchinvitedPartyAEmployeeisin.如乙方未按上述第8条及时向甲方报备即安排宴请，一经查实，视为乙方违约，甲方有权收取乙方上一个月的货款作为违约金。IncasethatPartyBfailstogivepriornoticeasrequiredbySection8andpreparedinnerforPartyAEmployees,PartyBisdeemedtobreachthisAgreementandPartyAshallhavetherighttoclaimthesumofthepurchaseofthepreviousmonthfromPartyBasliquitdateddamages.如乙方发现或怀疑甲方工作人员有违反本协议第6、8条的，乙方应及時通过甲方的不正当竞争投诉电子邮箱auditing@.hk与甲方合规部取得联系，向甲方进行检举、揭发，并配合甲方合规部查处甲方相关工作人员的违规行为，一经查实按甲方相关管理制度处理。甲方应为乙方检举人员进行保密，同时有权奖励乙方检举人员，并在同等条件下优先考虑与乙方继续合作。IfPartyBdiscoversorsuspectsanyPartyAEmployeeisinviolationofSection6and/or8ofthisAgreement,PartyBshalltimelycontactPartyA’sComplianceDepartmentviaPartyA’sunfair-competitioncomplainemailauditing@.hktoreportsuchviolation,andtoworkwithPartyA’sComplianceDepartmentoninvestigationofsuchviolation.Onceconfirmed,theviolatingPartyAEmployeeshallbehandledinaccordancewiththerelevantpoliciesofPartyA.PartyAshallkeepconfidentialoftheidentifyofPartyB’sreportingperson,andshallhavetherighttorewardsuchreportingpersonandgivepreferencetoPartyBforfurtherbusinessopportunityunderthesamecondition.甲乙双方应当自觉遵守国家、地方法律法规以及本协议的约定，在合同的订立、履行过程中廉洁自律。ThePartiesshallvoluntarilycomplywiththenationalandlocallaws,regulations,andrules,andthetermsandconditionsofthisAgreement,andshallperformtheirrespectivedutieshonestlyandfaithfully.本协议适用中华人民共和国法律并依照该等法律进行解释。ThisAgreementshallbegovernedbyandconstruedinaccordancewiththePRClawsandregulations.因本协议而引起或与本协议有关的任何争议，双方应友好协商解决，如协商不成，任意一方可依法在对方公司登记所在地的管辖人民法院进行起诉。IncaseanydisputearisingfromorinconnectionwiththisAgreement,thePartiesshallsettlethedisputethroughfriendlyconsultation.IfthePartiesfailtosettlesuchdispute,eitherPartymaysubmitthedisputetothelocalPeople’sCourtwheretheotherPartyisregistered.本协议经双方签字、签章之日生效。甲乙双方终止采购合同、解除供销关系时，本协议自动失效。ThisAgreementshallbecomeeffectiveasofthedatesignedandsealedbybothParties,andshallauto
