禁用物质声明ProhibitedSubstanceDeclaration（密级C级）(SecurityLevelC)甲方PartyA（“TONLY”）:XXX有限公司乙方PartyB(“供应商”):一、说明鉴于乙方在供货过程中出现的物料环保问题将会给甲方造成不可避免的损失，为界定损失以及明确赔偿的计算方法等，甲乙双方经友好协商，一致同意签订本声明。本声明与双方签署的《技术/质量协议书》、《采购协议》等相关条款相互补充，如协议相冲突的，冲突部分以本声明规定为准，未冲突部分的效力不受影响。IntroductionsConsideredanyunavoidablelosswhichincomingmaterialsenvironmentalproblemsofPartyBcausedshouldbedefinedandbeconfirmedthecalculatedway,thetwopartiesAgreedtosignthisagreementbtfriendlynegociated.echnicalandQualityAgreement,PurchaseAgreementandthisagreementarecomplementary,ifhaveanyconflict,theconflictsareprevailinthisagreement,otherpartsarenotaffected.二、相关要求2.1乙方保证：所有由乙方销售给甲方的产品及其包装，不含有或含有浓度低于甲方最新版《公司环境管理物质标准》（文件编号：TLT-A3-2023）所列的禁用物质限定的要求。GP产品及其包装符合SS-00259最新版的管理要求，不使用SS-00259最新版中的1级环境管理物质，零部件中使用的再生树脂、被覆线材必须从获得GP绿色伙伴认定的供应商处采购。对于提供给甲方的测试报告等文件，乙方保证其中的资料及检测结果为正确且真实的。2.2乙方向甲方提交的第三方检测报告需由有相关资质的第三方检测机构出具，具体第三方检测机构资质由乙方提交甲方进行确认，报告的有效期限为一年。2.3乙方应依据甲方要求建立并维持有害物质管理体系，对相关次级供应商传达有害物质要求并进行有效管理。甲方具有随时对乙方实施有害物质管理体系审查的权利，乙方需全力配合。2.Correspondingrequirements2.1PartyBguaranteesthatalltheproductsandpackagingmaterialPartyBsuppliedmustmeettherequirementsofthelatestdocument’ManagementStandardfortheenvironment-relatedsubstancestobecontrolled(versionno.isTLT-A3-2023).GPproductsandtheirpackagingmeetthemanagementrequirementsofthelatestversionofSS-00259,anddonotusethelevel1environmentalmanagementsubstancesinthelatestversionofSS-00259.TherecycledresinandcoatedwireusedinthepartsmustpurchasefromtheGPgreenpartnercertified.ForthetestreportsandotherdocumentsprovidedtoPartyA,PartyBguaranteesthattheinformationandtestresultsmustbecorrectandauthentic.2.2Thethird-partyinspectionreportsubmittedbyPartyBtoPartyAshallbeissuedbyathird-partyinspectionagencywithrelevantqualifications.Thequalificationofthespecificthird-partyinspectionagencyshallbesubmittedbyPartyBtoPartyAforconfirmation.ThevalidityperiodoftheReportisoneyear.2.3PartyBshouldcreateandmaintainahazardoussubstancemanagementsysteminaccordancewithPartyA’srequirements,communicatehazardoussubstancerequirementstorelevantsub-suppliersandconducteffectivemanagement.PartyAhastherighttoreviewthehazardoussubstancemanagementsystemofPartyBatanytime,andPartyBshouldfullcooperate.三.赔偿细则：3Penaltydetails3.1发生有害物质超标处罚如下：3.1penaltiesonhazardoussubstancesexceed事故分级Level环保事故描述Description赔偿原则Penalty实施方式Payment一级LevelI欧盟、美国等终端市场被抽测发现有害物质超标。物料有害物质超标发生在甲方的客户端，导致甲方的客户投诉或退换货。HazardoussubstancesexceedtestedintheEUandtheUS.PartyA’sclientscomplaints,exchangesandreturnscausedbyhazardoussubstancesexceed按照直接损失进行赔偿，并追加不低于20万元人民币赔偿金额，直至取消资格。甲方提供环保事故是否供应商引起的证据，甲方根据导致后果和影响追究供应商法律责任。Suppliershouldpayallthedirectloss,andpenalty200.000RMBormore,iftheconditioncontinuetobeworse,PartyAwoulddisqualifythesupplier.PartyAprovidesevidence,andPartyBwouldbeinvestigatedforlegalresponsibilityaccordingtotheseverity.从供应商货款中直接扣款Deductedfromthesupplier’spayment二级LevelII物料有害物质超标在生产环节发现，需要批量返工。Lotsremanufacturingcausedbyhazardoussubstancesexceedintheproduction.按照直接损失进行赔偿，并追加不低于10万元人民币赔偿金额，直至取消资格。甲方提供环保事故是否供应商引起的证据。Suppliershouldpayallthedirectloss,andpenalty100.000RMBormore,iftheconditioncontinuetobeworse,PartyAwoulddisqualifythesupplier.PartyAprovidesevidenceforPartyB.从供应商货款中直接扣款Deductedfromthesupplier’spayment三级levelⅢ物料有害物质超标在IQC环节或部品认可阶段发现。ExcessivehazardoussubstancesareinthepartsapprovalstageorIQCincominginspectionstage按照直接损失进行赔偿，并追加不低于5万元人民币赔偿金额，直至取消资格。甲方提供环保事故是否供应商引起的证据。Suppliershouldpayallthedirectloss,andpenalty50.000RMBormore,iftheconditioncontinuetobeworse,PartyAwoulddisqualifythesupplier.PartyAprovidesevidenceforPartyB.从供应商货款中直接扣款Deductedfromthesupplier’spayment3.2两年内重复发生有害物质超标处理如下：3.2hazardoussubstancesexceedrepeateditselfin2years,handlingisasfollows.第一次firsttime第二次secondtime第三次thirdtime公司总经理当面检讨问题；该物料停止供货；连续3批次加严抽测送第三方机构测试有害物质，由甲方评估改善效果确认是否恢复供货；相关处罚参见3.1。GeneralmanagerofPartyBshouldreviewtheproblemfacetoface.Stopdeliveringthedefectivematerials.Tightenedinspectiontoinspecthazardoussubstancesinthethirdtestingorganizationthreelotscontinuously.TheimprovementresultwouldbeconfirmedbythePartyAtoqualifythesupply.Anyotherpenaltyrefertothe3.1terms.公司总经理当面检讨问题；该物料系列停止供货；3、连续5批次加严抽测送第三方机构测试有害物质，由甲方评估改善效果确认是否恢复供货；4、相关处罚参见3.1。1.GeneralmanagerofPartyBshouldreviewtheproblemfacetoface.2.Stopdeliveringseriesofdefectiveproducts.3.Tightenedinspectiontoinspecthazardoussubstancesinthethirdtestingorganizationfivelotscontinuously.TheimprovementresultwouldbeconfirmedbythePartyAtoqualifythesupply.4.Anyotherpenaltyrefertothe3.1terms.终止双方交易；相关处罚参见3.1。Transactionterminates.Anyotherpenaltyrefertothe3.1terms.注：如果货款不足罚款时将按照法律程序向供应商索赔（具体金额根据甲方的损失计算）。Remark*ifthepenaltyismorethansupplier’spayment,PartyAwouldclaimthelossaccordingtothelaw.(theexactamountofmoneyisthelossofPartyA)四、其他条款4.otherterms本声明未尽事宜，按双方已经签署的其他协议的相关条款执行。本声明自双方授权代表签字或盖章之日起生效，重新签订之前一直有效。本声明一式（2）份，双方各执（1）份，具有同等效力。Anyproblemsthisagreementthatnotcoveredshouldbedoneaccordingtotheotheragreementsthetwopartieshavesigned.
